The Grantee is prepared 10 provide its match share cf i:,c cost. 8. fAYMENI TERMS -COST REIMBURSEMENT. The State shall reimburse lhe Contractor for lhe satisfactory performance of this Contract exclusively from funds made available for this contract under lhe Highway Safety Act, Title 23, U.S.C. Section 402. Such reimbursement shall be only a.; provided in lhe Contract Manual . Such reimbursement shall be contingent upon lhe conlribution by the Contraetor of its panicipating share as provided herein, and shall be contingent upon lhe continuing availability of federal funds under the Highway Safety Act. Title 23 , U.S.C . Section 402 , for the purposes hereof. A. The Stale shall reimburse lhe Grantee 's reason able, allocable, allowable costs of performance, as d.,lined herein, of the Work, not exceeding the maximum total amount described above . (I) To be eligibl~ for reimbursement, costs incurred by the Grantee shall be : (a) in accordance with the provisions of Anachment A and with the tenns and conditions of this Contract ; (b) necessary for accomplishme,11 of ~e Work; (c) rcuonable in amount for the good , or services purchased; (d) aclU:ll net cost to the Grantee (i.e., the price paid minus any refunds , rebates , or other items of value received by the Grantee that have tile effect of reducing the cost actually incurred); (e) incuned for Work performed .;ubsequen1 to the effective date of this Contract ; and (0 satisfactorily documented. (2) Tbe Grantee shall establish and maintain a proper acc,•unting system in accordance with generally accepted accounting standards (a separate set of accounts. or as a separate and integral pan of its current accounting scheme) to assure that project funds are expended and costs accounted for in a manner consistent wilh this Contract and project objectives. Unless otherwise provided, and where appropriate : ( 1) The State shall establish billing procedures and reimburse the Grantee, hued on the submission of monthly statements in the format prescribed by the SIIIC. The liabili ty of the State, at any time, for such paymen ts shall be limited 10 the amount remaining of such encumbered fuods . (3) In the event this contract is terminated, final payment to the Granrtt may be withheld at the discretion of the State until completion offinal audit. (4) Jr,r.orrect payments to the Grantee due to omission , error, fraud. or defalcation shall be recoven:rt from the Grantee by deduction from subsequent p.,yment under this conlrllCI or other contracts between the State and the Grantee, or by the State as a deb! due 10 the SUIIIO . (5 ) The Grantee shall submit ~uests for reimbursement monthly, stat ing in the invoice a detailed descrip1ion of the amounts of scrvi :ocs performed, the dates of performance, and amounts and description of re imbursable expenses. (6) The Uniform Administrative Requirements for Grunts and Cooperative Cc .l1ICIS 10 State and l _,al Governments (the "Common Ruic"), and the applicable 0MB Circulars cited therein, shall govern the alhiwability and allocability ~f costs under this contract. (7) Any costs incurred by Grantee that are n01 allowable under the Common Rule shall be reimbursed by the Grantee , or offset against cum,nt obligations due by the State to the Grantee, at the State's election . 9. The term of this Contract shall begin on the effective date and shall terminate on September 30, 2000. The Contractor agrees that any subcontn.ct entered into under tliis Cantrae1 shall meet all applicable state and federal l'equirements, including the ~uirements in Title 49, • C.F.R . Contractor shall not 11sisn this Contract without prior written appro val of the State : any llSSignment without such npproval shall be void . 11. al Ieania•1ion Due 10 Loss of Fundjng . The parties hereto expressly recognize the Contractor is to be paid , reimbursed, or otherwise compensated solely with federal funds provided to the State for the purpose of contracting for the services provided for hemn . There fore , the Contrac tor expressly widersrands and agrees all its righu, dcl!llllds and claims to ctmpensation arising under this Contrac'. are contingent upon receipt of StJCh funds by the State . In the event such funds or any pan thereof are not received by the State, the S.ate may immediately tenninate or amend this Contract. b) Termjna1jon for Guse . If. for any cause, the Contractor s~.all fail 10 fulfill in a timely and proper manner its obligations under this Contract, vr if the Contractor shall violate any of the covenants , Contracts or stipulations of this Contraet, the State shall thenoupon have the right to ttrminate this Contract for cause by giving written notice to he Conuactor of such tennination and specifying the effective date thereof, at least 30 days before the effec tive date of such tennination . In that event, all finished or unfinished documents, daLl, srudies, surveys, drawings , maps , models, photographs and repons or other material prepared by ~ Contractor under this Contract shall, at the option of the State, become its propeny, and the Contrac1or shall be entitled to receive jus t and equitable compensation for any satisfactory work completed on such documents and other materials. Any provision of this contract to the contrary notwithstanding, in the event tennination of this contract becomes necessary , in the state ·s sole discretion , to comply with any coun order concerning state personal services contracts genenlly or this conuact , specifically , this contract may be tenninated by the state immediatel y upon the gi ving of notice to contractor without further obligation of the sta te . c) Tenninutjon for Convenjence . The State may tenninate this Conuact at any time the State detcnnines the purposes of the distribution of monies under the Contract would no longer be served by completion of the Project. The State shall effect such termination by giving written notice of tennination to the Contractor and specifying the effective date thereof, at least 20 days before the effecti ve date of such tennination . 12. INDEPENDENT COITTRACTOR. THE CONTRACTOR SHALL PERFORM ITS DUl1ES HEREUNDER AS AN INDEPENDENT CONTRACTOR AND NcrT AS AN EMPLOYEE. NElTIIER THE CONTRACTOR NOR ANY AGENT OR EMPLOYEE OF THE CONTRACTOR SHAU. BE, OR SHAU. BE DEEMED TO BE. AN AGENT OR EMPLOYEE OF THE STATE, AND THEY SHALL HA VE NO AUTHORJZATION, EXPRESS OR IMPLIED, TO BIND THE STATE TO ANY C'JNTRACTS, SETILEMENTS, LIABil.ITY, OR UNDERSTANDING EXCEPT AS EXPRESSLY SET FORTI! HEREIN . THE CONTRACTOR SHALL BE RESPONSIBLE TO THE STATE FOR THE ULTIMATE RESULTS OF PERFORMANCE REQUIRED HEREUNDER BUT SHALL NOT BE SUBJECT TO THE DIR.ECTJC.N AND CONTROL OF THE STA 1 E AS TO THE MEANS AND METI!ODS OF ACCOMPLISRING THE RESULTS . THE SPECIFICATIONS IN TIIIS CONTRACT OF PARTICULAR PERFORMANCE STANDARDS THE STATE DEEMS ESSENTIAL TO PROPER PERFORMANCE 'ID CONTRACT VALUE SHALL IN NO EVENT BE DEEMED TO ALTER 11ilS RELATiu , ,.;HIP. THE CONTRACTOR SHALL PROVIDE AND KEEP IN FORCE WORKER'S COMPENSATION (AND SHOW PROOF OF SUCH INSURANCE) AND • UNEMPLOYMENT COMPENSA TJON INSURANCE IN THE AMOUNTS REQUIRED BY LAW, AND SHALL BE SOLELY RESPONSIBLE FOR THE ACTS OF THE CONTRACTbR, ITS EMPLOYEES AND AGENTS . THE CONTRACTOR ACKNOWLEDGES THAT CONTRACTOR AND ITS EMPLOYEES ARE NOT ENTITLED TO raE BENEFITS OF WORKER'S COMPENSATION INSURANCE OR UNEMPLOYMENT INSURANCE UNLESS THE CONTRACTOR OR A TIIIRD PARTY PROVIDES SUCH COVERAGE AND TIU:'!' THE STATE DOES NOT PAY FOR OR OTHERWISE PROVIDE SUCH COVERAGE. " 13. Pursuant 10 CRS 24-30-202.4 (as amended), the state controller may withhold debts owed 10 state agencies under the vendor offset intercept system for: (a) unpaid child support debt or child support arrearages; (b) unpaid balance of tax, accrued interes~ or other charges specified in Article 22, Tide 39, CRS; (c) unpaid loans due 10 the student loan division of the Department of Higher Education; (d) owed amounts requirtd to be paid to the unemployment compensation fund ; and (e) other unpaid debts owing 10 the state or any agency thereof, the amount of which is found to be owing as a result of fmal agency determination or reduced to judgement as certified by the controller . 14. Federal Funding. This contract is subject to and contingent upon the continuing availability of Federal funds for the purposes hereof. The partks hereto expressly recogni,e that the contractor is to be paid, reimbursed, or otherwise compensateci with funds provided to the State by the Fede·• ( Government for the purpose of contracting for the services provided for herein, and therefore, th ·, vnttactor expressly understands and agrees that all its rights , deman~s. ind claims to compensa\l , .,, arising under this contract are contingent upon receipt of such funds by the State. In the event tli . such funds or any part thereof are not received by the State , the State may immediately terminate this contract without liability, including liability for termination coSts . 15 . The Grantee shall maintai" a complete file of all records, documents , communications, and other written materials which pertain to the operation of programs or the delivery of services under this contract, and shall maintain such records for a period of three (3) y<ars after the date of termination of this contl1'~t or final payment hereunder, whichever is later, or for such further period as may be necessary to resolve any matters which may be pending. All such records , documents, communications and other materials shall be the property of the State, and shall be maintained by the Grantee in a central location and the Grantee shall be custodian on behalf of the State. 16. The Grantee, and its subcontraetors and subgrantees, shall permit th e State , Federal Govemmen~ or any other duly authorized agent of a governmental agency to audi~ inspec~ exarrtine, excerp~ copy and/or transcribe Grantee 's records during the tertn of this contract and for a period of three (3) year; following termination of this contraet or fmal payment hereunder, whichever is later, to assure compliance with the terms hereof, or to evaluate the Grantee's pecformance hereunder. The Grant,e sball also permit these same described entities to monitor all activities conducted by the Grantee pursuant to the terms of this conil""'t. As the monitoring agency may in its sole discretion deem necessary or •~propriate, such monitoring may consist of internal evaluation procedures, examination of program data, special analyses, on-site check. or any other reasonable procedure . 17 . CcimnctOr may, at its own expense, keep copies of all its writings for its personal files . Conrnctor shall not use, willingly allow, or cause to have such materials used for any purpose other than the performance of comractor' s obligations undt• this contraet without the prior written consent of the State; provided. however, that contractor shall be allowed to use non-confidential materials for writing samples in pursuit of the work. The ownership rights described herein shall include, but not be limited to, the right to copy, publish, display , transfer, prepare derivative worlts, or otherwise use written works . B. Federal Reserved Righ15 . If Federal funds are used under this contract. except for its own internal use, the contra1.1or/gn.ntee shall not publish or reproduce any data/information, in whole or pan, that is recorded in any form or medium whatsoever and that is delivered or specified to be delivered under this contract , nor may it authorize or pennit others to do so, without the wrinen consent of tho federal government , through the State, •~1til such time as the ,we/federal government may have relo:\Sed such data/information to :lie public . As authorir.ed by 49 C.F.R. 18.34, the federal government. through the Stare, reserves,. royalty free nonexclusiv e. and irrevocable license to reproduce, publish or otherw i;e use , aur. to authorize tho State and others to use: a) any work developed under this contract or a result 'n third party contr.>,et irrespective of whether it is copyrighted; and b) any rights of copyrigh·. to which • contractor/grantee . subrecipient. or third party contractor purehases ownership w'th federal assistance. RECOMMENDED ACTION The Department of Safety Services , police Division, is requesting that Council approve an ordinance establishing a contractual agreement between the City and the Colorado Department of Transportation (COOT). The co,1tract provides for grant money to be provided to the Police Division for funding for a uniform police officer. BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED The Contract between the City and COOT establishes resources that will enable th e Police Division to maintain a three year comprehensive traffic enforcement project. Two motorcycle officers and one traffic officer assigned to the lmpr..ct Team will be responsible for aggressively enforcing those violations that cau~e accidents and/or disrupt the quality of life of the community . The Police Division's primary (JOBI established in this contract will be to reduce accidents at the top five accident locations within the City by ten percent over the duration of the contract. Another goal of this project is to improve the quality of Illa of the community by effectively addressing traffic issues that compromise safety an d disrupt the quality of life .
