AN ORDINANCE AUTHORIZIN(l A SECOND AMENDMENT TO AN AGREEMENT
FOR ENGLEWOOD clTYCENTER BETWEEN THE CIT'; OF ENGLEWOOD AND
RTD .
WHEREAS , the o,iginal intergovernmental agreement to cooperate in the
development of the transit improvem ents with the Co01nierciol Redevelopment Project
was signed by both parties on Janu. y 6, 1997; and · '
WHEREAS, the intergovernmental agreement was amended on July 19, 1999, to
provide, in part, for additional parking spaces and funding therefore; and
WHEREAS , R"·'D require s thnt the parking location have a fence to be conatructed
by the City between the parking area and the BNSF Railroad right-of-way; and
WHEREAS, RTD will pay the cost of basic galvanized fencing and the City will pay
for any upgrading to vinyl coated fencing ;

• SECOND AMENDMENT TO AGREEMENT
FOR ENGLEWOOD CIT YCENTER
This Second Amendment dated this date of . 2000 amends the
Agreement dated January 6, 1997 between the Regional Transportation District (RTD)
and the City of Englewood, (the City) for participation by RTD in the redevelopment of
the Englewood CityCenter and fo r conveyance of a transit easement to RTD therein.
This Second Amendment to the above-referenced Agreement is to provid : 'or the
install;;tion of vinyl fencing as an upgrade from galvanized metal chain-link feocing on
the border of the Englewood CityCenter that separates the north parking lot from the
adjacent property and along the boundary of the Englewood CityCenter and the
Burlington Northern Sata Fe Railroad right-of-way.
I. Section Two of the AgreemeDI is amended by addit io n of the following :
(j) Installation of vinyl coated chain-link fencing as an upgrade from galvanized
metal chain -link fencing along the border of the BNSF right of way and on the north
border between the nonh parking lot and the adjacent property all as sbown on Exhibit A
attached. RTD will pay to the City the cost of installation of standard six foot galvanized
chain link fence which will be installed by the City contractor along the BNSF right -ot~
way, 650 linear feet at 512 .50 per foot for a total of58!25 .00. Prior to performance of
this work by the City contractor the contractor will provide RTD a copy of a right-of-
entry permit from the BNSF Railroad authorizing the contractor to enter the right-()f-way .
The City will be solely responsible for the difference in cost between the galvanized and
vinyl coated cbain-link fencing along the BNSF right-of-way . The City shall be solely
responsible for installing vinyl-coated fencing ruong the north boundary of the
Eng lewood CityCenter parking lot and the adjacent property shown on Exhibit A.
2. Section lnree of the Agreement is amended by addition of the folk•wing:
The RTD will pay the City the cost of galvanized metal chain link fencing installation
along the BNSF right-ol~way in the area shown on Exhibit A at a cost ofS8125.00. The
City will invoice RTD for this amount The City will pay the difference in cost from
galvanized chain link fence and vinyl coated fence and will provide copies of acrual
contractor invoice s showing the cost of installation . The City will be solely responsible
for installation of fencin g along the north parking lot betw.:en the Englewood CityCenter
and the adjacent propeny. The City affirms that has sufficient funds budgeted and
appropriated in the year 20 00 to ·;omplete and pay for all of the foregoing.
Wherefore, the panies h~ve made this Amendment effec tive the date first written
above.

ENDED ACTION
Sia/I reco mmends Council approval of a Bill for an Ordinance to approve a second amendmen t to lhe /GA for
reimburse ment in !he amo unt of $8,125 to !he Eng lewood Environmental Foundation for work performed by EEF
on behalf of RTD.
BACKGOUND
Earl ier this year, Rick Kahm, Presiden t Englewood Envi ronmental Foun dat ion, sough! and received authorizatir.n
from City Counc il to upgrade the fencing to be installed by RTD at CilyCenler Englewood from galvanized steel
cha in-link to a vinyl coated chain -link fence at a cost of approximately $8.00/linear foot. However, to facilitate the
fence installation, the parties Joi ntly determined Iha! EEF would pun:has a and install the fenci ng and that RTD
woul d reimburse EEF for !he cos! of the basic galvanized fencing at $12 .50/linear foot for 650 feel totaling $8,125 .
Th is amendment authorizes RTD to reimburse EEF for ils expenditure for !he basic fenc ing. The incremental cost
of the vinyl coating, approximately $5,300, has been pa id th rough !he CilyCenler project.
FINANCIAL IMPACT
The CilyCenler project will be reim bursed S8 , 125 of the total fencing cost of $13,425 .
