AN ORDINANCE AUTHORIZING AN AGREEMENT TO EXCHANGE REAL ESTATE
BETWEEN POAG AND Mcl!.'WEN LIFESTYLE CENTERS-LITTLETON L.L.C . AND
THE CITY OF ENGLEWOOD, COLORADO .
WHEREAS, POAG and McEwen Lifestyle Centers-Littleton L.L.C. plans to develop
the real estate parcel in an area bisected by the City Ditch; and
WHEREAS, POAG and McEwen Lifestyle Centers-Littleton hes proposed an
,xchange of real estate to allow the relocation of the City Ditch as a part of the
planned development; and
WHEREAS, POAG and McEwen Lifestyle Centers-Littleton will pipe the City Ditch
throu1h tbia area at ita own cost; and
WHEREAS, the Englewood Water and Sewer Board recommended approval of the
:eal estate exchange at the October JO, 2000 meeting;
'/OW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD, COLORADO, AS FOLLOWS:
S!:J:Dlm.l , An A,!reement for the exchange of real estate by Quit Claim deeds ia
hereby accepted and approved by the Englewood City Council. The Agreement with a
copy of said map, showing the properties to be •xchsnged are attached hereto aa
"Exhibit A" and incorporated herein by reference.
~-The Mayor and City Clerk are hereby authorized to sign an attest,
respectively, the said documents for and on behalf of the City Council and the City of
Englewood , Colorado.
Introduced , read in full , and passed on first reading on the 16'" day of October,
2000.
Published as a Bill for an Ordinance on the 20th day of October, 2000 .
Read by title and passed on fir.'ll reading 011 the 6th day of November, 2000.

This Property Exchange Agreement [the "Ap-ecmenf'] is entered into this _ day of
---~2000 by and betwern the City of Englewood, Colorado, a municipal corporation of the
State of Colorado ["Englewood "), and Poag & McEwen Lifestyle Centers --Littleton, LLC, a
Delaware limited liabili ty company, its successors and assigns ["P&M'1 .
WHEREAS, P&M and Newton Trust have entered into that certain Agreement to Buy and
Sell Real Estate dated November 17, 1999, as amended by that certain Amendment to Agreement
to Buy and Sell Real Estate dated July 25, 2000 (hereinafter the "Purchase Contract''), for the
purpose of buying and selling certain real property located in Arapahoe County, Colorado, which
property is legally described on .fllhihiLA anached hereto and made a part hereof (the "P&M
Propeny"]; and
WHEREAS, Pursuant to City Ditch Agreement dated February 6, 1970 and recorded in
3 ook No. 1864, Page 520 in the Recorder's Office of Arapahoe County, Colorado, and Quitclaim
Deed dated March 24, 1970 and recorded in Book No . 1864, Page 517, in the Recorder's Office of
,\rapahoe County, Colorado , Englewood was granted a right-of-way easement to own, opemte and
maintain a carrier ditch , which carrier ditch is currently located on a portion of the P&M Property
as depicted on~ anached hereto and made a parl hereof[the "Englewood City Ditch Right•
of-Way"); and
WHEREAS , The parties desire to relocate the Englewood City Ditch Right-of-Way to an
area ofland legally described and depicted on~ attached hereto and made a part hereo f :m i.
"Re-Located Englewood City Ditch Right-of-Way "].
NOW, THEREFORE, In consideration of the premises and the mutual covenants of the
parties , more particularl y hereinafter set forth , the adequacy a:1d sufficiency of which are hereby
acknowledged, ii is agreed as follows :
I. Property Exchange . In order to accommodate the proposed relocation of the
Englewood City Ditch Right-of-Way, P&M will convey by Quitclaim Deed to Englewood a fee
simple determinable right-of-way estate with the possibility of reverter in and to the real property
legally described and depicted on f..is.hi!1.il.C , for the purpose of owning, operating and maintaining
an underground carrier ditch , which fee interest is further depicted as "Re-Located Englewood City
Ditch Right-of-Way" on said~-Said Quitclaim deed will be in the form anached hereto as
Exhibit D-1 . Further, in exchange , Englewood will convey by Quitclaim Deed to P&M, all of its
right, title and interest in and to the real property legally described and depicted on~. Said
Quitclaim deed will be in the form attached hereto as Exhibit P-2. P&M and Englewood each will
execute and deliver to the other said Quitclaim Deeds no later than March 31, 2001.
2. Assjgnment . Licensee may assign all of its righ t5 and obligations pursuant to this
License to any entity which acquires title to the P&M Property. The foregoing notwithstanding , this
License is assignable only with the writter. permission of the Licenso~ which permission will not
be unreasonably withheld, conditioned or delayed .

The Engle wood Water and Sewer Board recommends Council approval of the Gran t of Construction
Easement License Agreement and Qui t Claim Deeds fo r an Exchange of Real Estate Agreement for
t~e Englewood City Ditch to Aspen Grove for the Poag & McEwen Lifestyle Centers , LLC for a
Bus iness Improvement Distri ct.
BACKGROUND , ANALYSIS , AND ALTERNATIVES IDENTIFIED
The Poag & McEwen Lifestyle Centers requested a License Agreement , Grant of Construction
Easement and Quit Cla im Deeds for an exchange of real estate for the purpose of constructing a 60"
RCP City Ditch pipe in the new development to be called Aspen Grove . Th is will be a r'3tail
development that will be part of the Poag & McEwen chain . The development will be located at
approximatel y 7100 S. Santa Fe Drive on the west side .
Upon review , the Englewood Util it ies Departme nt is requiring the Poag & Mr.Ewen to install
approx ima tely 600 lineal feet of 60" RCP pipe and that will attach to the 54" pipe previously appro·,1ed
for the Newton Trust portion of the project. The Qu it Claim Deeds for the exchange of real estate are
is to realign the right -of-way to allow for the newly installed City Ditch to allow the owners to maximize
the usage of the lot and accommodate a i;roposed building .
In th a Construction Agreement , Englewood agrees to permit Poag & McEwen to install the 60 " RCP
and at the same time store pipe, equ ipment and fill dirt on E:i glewood's right-of-way in desc ibed
easement. Poag & McE we n v.ill ere c : a temporary security fence around the storag e site to maintain
security .
