AN ORDINANCE APPROVING THE RENEW AL OF AN INTERUOVERNMENTAL
AGREEME~ BETWEEN THE CITY OF ENGLEWOOD, COLORADO AND
ENGLEWOOD PUBIJC SCHOOLS WHEREBY ENGLEWOOD WILL PROVIDE
ENGLEWOOD PU 1IJC SCHOOLS WITH VEHICLE MAINTENANCE .
WHEREAS , the City of Englewood bas been servicing the Englewood Public Schools
vehicles s ince Decembe r, 199~; and
WHEREAS , the City of Englewood and EngJewood Public Schools desire to renew
the agreement whereby Englewood provides Englewood Public Schools with vobicle
maintenance;
NOW, THEREFORE, llE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD, COLORADO, AS FOLLOWS :

and the City of Englewood, Colorado for vehicle maintenance, attached a1 "E:d,ibit A',
is hereby accepted and approved by the Englewood City Council . The Mayor ia
authorized to execute and the City Clerk to attest and seal the Agreement for and on
behalf of the City of Englewood , Colorado.
Introduced, read in full , and passed on first reading on the 20~ day of November,
2000 . .
Published as a Bill for an Ordinance on th• 24th day of November, 2000 .
Read by title and passed on final reading on the 4th day of December , 2000 .

CONTRACT
THIS AGREEMENT, entered into tlua __ day a! ___ ~ 2000 by and betwun
the City of E111lewood , whose addrees le 1000 En1lewood Parkway, Englewood, Colorado
80110 and 'l'he Englewood Public School's, whose addreu is -U0l South Bannock Street,
Englewood, Colorado 80110.
TERMS OF CONTRACT
NOW THEREFORE, IT IS AGREED by and between the City of Englewood and the
Englewood Public School's that:
1. The City of Englewood, Colorado shall perform the following services:
The City of En1lewood shall perform all necessary repairs and maintenance
on the vehicles owned by the Englewood Public School's to the Englewood
Public School's satisfact\an, and the Englewood Public School'• shall pay to
tile City of En1lewood h such urvices the•= of forty-one and 87/100
Dollars ($41.87) per hour, in addition to the coat to the Cit, of Englewood of
any parts or outside vendor charges plus Twenty pe:-c•nt (2011) handling fee.
2 . The City of Englewood will proceed with the performance of the services called for
in Paragraph No . 1 on January 1, 200l, and the Contract shall terminate on
Dectmber 31 , 2001. Three additional one (1) year periods may be negotiat<d by
the City Manqer or his desi gnee.
3 . Some maintenance of the Englewood Public School's vehicles shall be performed
by the City of Englewood according to a schedule to be made by the Englewood
Public School's and approved by the City of Englewood as part of thle agnement,
and shall include work reques ted by the Englewood Publi.: School's or work
identified by En1lewood during inspection of the vehicle .
4 . The City of Englewood shall repair any vehicles of the Englewood Public School's
delivered to the Ci ty of Englewood for that purpose in a good , worl=an!i.ke
manner.
5 . The City of E nglewood and the Englewood Public School's agree uot to : refuse to
hire, diacharge, promote, demote or discriminate in any matter of compensation;
performance, tervices or otherwise, against any penon otherwise qualliie d solely
because of race , creed , se:ot., co lor, national origin or ancestt'f.
6. This Contract may not be modified, amended or otherwise altered unless
mutually agreed upon in writing by the parties.
7. The City of Englewood by and through its em ployees and a1ents shall be
considered for all purposes of the Contract, to be independent contractors and
not employees of the Englewood Public School's .
8 . The Englewood Public School's by and through its employees and agents shall be
considered for all purposes of the Contract, to be independent contrectors and
not employees of the City of Englewood.
9 . The City of Englewood shall not assign or transfer its interest in the Contract
without the writi.n consent of the Englewood Public School's: Az,y unautllorlzed
uaignment or transfer aball nm er the Contract null, void and of no e!rt<:t u to
the En1lewood Public School's.
10 . The Englewood Public School's shall not assign or transfer ita interest in the
Contract without the w:itten consent of the City of Englewood. Any
unauthorized assignment or transfer shall render the Contract null. void and of
no effect as to the City of Enrlewood.
11. The City of Englewood shall be responsible for the professional quality, technical
accuracy. timely completion and the coordination of the repairs under the
Contract. The City shall, without additional compensation, correct or revise any
errors , omissions, or other deficiencies in its servicea related to the Contract.
12 . Either party of the Contract may terminal< the Contract by giving to th• other
party 30 day, notice in writing with or with,-ut good cauae shown. Upon delivery
of such notice by the Enclewood Public Scho,,l'a to the City of Englewood and
upo11-exp~tion of the 30 day period, the r.ity of Englewood shall discontinue all
services in connection with the performance of the Contract . As 100n as
practicable after receipt of notice of termination, the City of Englewood shall
aubmit a statement, showinr in detail the services performed under the Contract
to the date of termination. The Englewood Public School'■ shall then pay the
City of Enrlewood promptly that proportion of the prescribed cbarsn which the
aeJ:\;ces actually performed under the Contract bear to the total services call•d
for under the Contract, less such payments on account of the cbarre• as have
been previously made.
13. All notices and communications under the Contract to be mailed or delivered to
the City of Englewooci shall be to the following address:

14 . The terms and conditions of the Contract shall be binding upon entity, its
successors and assigns.
15 . Nothing herein shall be construed as creating any personal liability on the part
of any officer or agent of any public body which may be party hereto, nor aball it

be construed as giving any rights or benefita hereunder to anyone other than the •
Englewood Public School's and the City of Englewood.

COUNCIL GOAL ANO PREVIOUS COUNCIL ACTION
Council strives to promote regional cooperation. With that in mind, Co•mc il has approved fleet
maintenance agreements with Englewood Schools since 1992 .
RECOMMENDED ACTION
Staff seeks Council approval of a bill for ar, c;rd in mce authorizing the Mayor to sign an
Intergovernmental Agreement (IGA) with Englewood Schools for fleet maintenance .
BACKGROUND , ANALYSIS, ANO ALTERNATIVES IDENTIFIED
The City of Englewood has beer, servicinG 1::nglewood Schcols' vehicles since December, 1992 .
The School District continues to provide basic rnaintena n~e such as oil changes and lube jobs, but
brings more complex jobs to Englewood's Ser,,i :enter. Eng lewood Schools has bean satisfied with
the services provided by the City and is interest ad in continuing our working relation ship at the
revised hou~y rate of $41 .87 In 2001 . The tGA allows for adjusting the hou~y rate each year.
FINANCIAL IMPACT
From 1993 through 2000, the Servicenter Garage has taken on the additional workload of servicing
Englewood Schools ' fleet vehicles. This has been accomplished without adding additional staff.
Income from Englewood Schools helps defray the cost of providing fleet maintenance services to all
Englewood Departments . It is estimated that . in 2001 , maintenance services provided for
Englewood Schools will total approximately $5 ,000 .00.
