COUNCIL BILL NO . 12 INTRODUCED BY COUNCIL MEMBER GULLEY AN OR DINANCE APPROVING AN AGREEM ENT WITH SOUTH SUBURBAN PARK AND RECREATION DI STRICT AND T HE CITY OF ENGLEWOOD WHEREBY SOUT H SUBURBAN GIVES APPROVAL TO ENGLEWOOD FOR T HE WITHDRAWAL OF THE GROUN DWATER UNDERLY ING THE ARAPAHOE COUNTY FAIRGROUNDS. WHEREAS , South Suburban Park and Rec reation Di strict owns a pproxi mate ly 50 acres (Ara pahoe County Fairgrounds) in the City of Englew,,.d, such property is underl ai d by vari ous gro undwole r ~qui fe rs; and WHEREAS , the City of Engl owood provides public water service within its municipal boundary ond has fil ed applications for acljudication of underground waler rights to ground water from aquifers underlying Englewood's boundary ; and WHEREAS, th e "implied consent" ordinance a dopted by Englewood in 1992 allowed Englewood lo obtain the con sent of the landowners within the municipal boundaries to use the underlying groundwater; ond WHEREAS, South Suburban and the City of Englewood desire lo enter into an agree ment whereby South Suburban will approve of Englewood's wi thdrawal of the gr oundwater unde r lying the Fairgro unds prop erty and acljudicotio n of the same; and Yi H EREAS, Engl ewood would grant on optio n for S ou th Suburban to participate in the construction costs of one of the All en Plant Weils and Englewood wou ld make 20 acre feet of Arapahoe Aquifer water per year avai lable lo South Suburban ; and WHEREAS , upon ap pro val ofthi• Agreemrnt South Suburban will not oppo se Engl ewood 's withdr awal of the groun dw ater under the Fai,grounds property in exch ange for Engl ewood mak ing available raw water from it's proposed deep wells project ; NO W, THEREFORE, BE IT ORDAINED BY THE CITY COUNC IL OF THE C ITY OF ENGLEWOOD, CO LORADO, AS FOLLOWS : ~-The City Counci l of the City of Englewood h ereby giv es a pprova l of an intergove rnm enlal Agreement with South Suburban Park e nd Recrea ti on Di strict regarding groundwater und er the Fairgrou nds property. Such Agreement generally provides os Foll ows : A . South Suburban owns approximately 50 acres of property (Arnpnhoe Cou nty Fairgrounds) within the City of Englewood, such Property is un derlaid by various gyoun dwoter aquifers. B. South Suburban h ereby co n se nts to the withdrowal ond u se by Englewoo d ofnll ground water which may occur in th e Denver , Arapah oe, and Lnrami e-Fox Hil ls aquifers underl ying the Prop erty, s ubjecl l o lhe terms oflhis Agree men L. F . Englewood plans to con struct at its Allen Treatment Pi nnt site two (2) well s to withdraw groundwater from the Arapahoe aquifer . Prior to constructing either of the Allen Treatment Plant Wells , Englewood shall provide South Suburban with written notice of the date it in te nd s to commence construction , on esti mate of the construction costs, and an estimate of the quantity ofwoter lhol lhe Well will produce annually. Written notification of the completion of the Woll en d the cost thereo f sh all also be gi ve n to South Suburban. G . Englewood gra nts to South Suhurban an opti on to participate in the construction costs of one of the Allen Treat.II •n •, Plant Wells , which participation would thereby obli gate Engl ewood to make available to South Suburban twenty (2 0) acre feel of Arapchoe Aquifer woter per ye ar from said Well . lf the Allen Treat ment Plant Wells have not been con stru cted within fiv e yea ra of the dote of this Agreem en t, the parti es shall mutually agree upon an alternate sourc e of water on the se same te rm s until such Wells ore con s tructed. H . C,,ow, City Clerk of the City of Englewood, Colo rado, hereby certify thnt the above and foregoing is a true copy of the Ordinance passed on final reading and publish ed by title as Ordinance No./£ Series of 1992. -3 - AGRBEl!!NT This Intergovernmental Agreement is entered into as of this __ day or --,----,.,,.,...-----,-' 1992, by and betwe e n the City of Englewood ("Englewood") , a home rule municipality chartered under Article XX of the Colorado Constit~tion and located wi thin Arapahoe County, Col orad o, and the South Suburban Park and Recreation District ( "South Suburban"), a quasi-municipal co rporation and political subdiv ision ct the s tate of Colorado, organized under Title 32 of the Colorado Revi s ed Statutes and located within Arapahoe and Douglas Co un ties, Colorado. WHEREAS, Section 29-1-2 03 , C.R.S., authorizes governments to cooperate or contract wi th one another to provide any function, service, or facility lawfully authorized to each of the cooperating or contracting units; and WHEREAS, South Subu rban owns approximately 50 acres of property within the City of Englewood more particularly described on Exhibit A attached hereto and incorporated herein (the "Property"), wh ich Prope rty is unde rlaid by various ground water aquifers; and WHEREAS, Englewood p~ovides public 'water service within its municipal boundary and has f iled applications for adjudication of u nderground wa ter r ights to ground ,•ater from aquifers underlying Englewood's boundary and anticipates .. adopting an ordinance i ncorporat i ng said ground ,•ater into its· •. mun icipal water service plan; and WHERE AS, South Su bu rbdn and Englewood desire to enter into an agr eement whereby So uth Suburba n will approve of Englewood's withdrawal of the grou ndwater underlying the Prop erty and adjudication of the same, and will · have the option . to p ay proportionate co sts of cons tru ction and ~pe ration of certain wells in exchange for Engle,·ood making av ailable raw wa ter from such wells to South Suburban ; NOW, THEREFORE, in consideration of the mutual promi s e s ~n d coven ants conta ined herein , and other good and va lua b l e con sideratio n, the re ceipt and su f ficie ncy of which is hereby acknot ag ed by th e Parties, it is mutually agreed as follows: South Suburban shall no t object to Eng l ewood's appl 1ca tion5 f or adjudication of groundwater in Case Nos. 89C W06 1 and 89C W0 62 , nor its application for approval of p lan for augment at ion in case No . 89 CW063 , all o f which ar e filed in the Wate r Court, Water Division No . 1. 2. South Suburban hereby consents to the withdrawal and use by Englewood of all groun dwater which may occur i n the Denver, Arapahoe, and Laramie-Fox Hills aquifers underlying the Property, subject to the tarms of this Agreement. J. Englewood pl ans to construct at its Allen Treatment Plant site two wells to withdraw groundwat••r from the Arapahoe aquifer (the "Allen Treatment Plant Wells" or "Well"). Prior to constructing eithe r of the Allen Treatment Plant We lls, En gl ewood shall provide South Subu r b a n with written notice of the date it intends to commence c onstruction, an estimate of the construction costs, and an estimate of the quantity of water that the We ll will produce annually. Written notification of the completion of the Well and the cost thereof s hall also be given to South Suburban. 4. Englewood grants to South Suburban an option t o participate in the construction costs of one of the Allen Treatment Plant Wells, which partic ipation would thereby obligate Englewooc to make available to South Suburban twenty (20) acre feet ot Arapahoe Aquifer water per year from said Well. If the Allen Treatment Plant Wells have not bee n constructed within five years of the date cf this Agreement , the parties shall mutually agree upon an alternate source of water on these sam e terms until E'Jc h Wells are constructed. 5. South Suburban may exercise its ·option with respect to either of the Allen Treatment Plant Wells within ninety (90) days of completion of the Well by written notice to En glewood a nd paym ent of South Subu r ban's portion of the total construction costs, which portion shall be based on t.j,e percentage of twenty (20) ac re feet to the t otal quantity of water whi c h can be produced by the Well. 6. Upon South Suburban's particip ation in the c ost of one of the Allen Treatment Plant Wells, Sou th Suburban s ha ll provide to Englewood by March 1st of each year ·a written schedule of the amo unts and timing o f Ar apahoe Aqu ifer-wa t e r frc m the Well that Englewood s hal l prod uc e for Sou t h Subu rba n. Sa iu s c hedu le may be modified upon two (2) we eks ·.r itten notice. 7 . In a ny year i n ·•hi c h En glewood ma ke s ·•ate r available to South Subu r ban u:1der ti-is .•.greement , South Subu rban ' s port i on of t he operat i on a nd ma intenance costs shall be ba s e d on the s ame p ercentage a s t h e ra tio of cons truct ion costs a t t r i bu t a ble to South Suburba n in paragraph 5 herein . Eng lewoo d sha ll by no t later than Fe b ruary 28th of the follow ing year p rov i de Soc~h Suburba n written no t ice o f t he operations and maint enance costs for the We lls a ttribut ab le to South Suburban, So u t h Su bur ba n s hall p a y to Eng l e wood such amount wit hi n thirty (30 ) d a y s of rece i vi ng sucn no t ice. 8, If Eng l e wo,d provides permanent water service to the Property to satisfy South Suburban's potable an d irrigation water needs, the option provision of this Agreement shall automat ically terminate unless previously exercised. By th is p a r ag raph En;lewood s hall not be deemed to have obligated the City to serve the Property , 9, The Parties shall as sist each o ther in obtaining a ny permits , approvals, or easements nec essary to accomplis h anct place into effect t h is Agreement. 10 . The invalidity or n nenforceability of a ny provision of this Agr eemen t shall not a i ..:e c t o r impair a ny other provis.ion unles s ma terial to the ,;>e r fo rm a ;,ce of a ny Party. The Parties agree that, i n addition to a ny ot her r emedies allowed by law, the provisions of this Agreem n·: may be enforced by speci fic performance i n a Court t f cr,m petent jurisdi ction and, in any jud icia l action the unsucces s f ul Part y agree s to pay all costs of such action as actually incurred by the successful Party, including attorneys• fees. The Pa r ties a greed tha t v enue for any action to enforce t his Agreement shall be the District Court in Arapahoe county . 11.
