DEPAR r MENT OF SAFETY SERVICES FOR LAW ENFORCEMENT ASSISTAN CE
FUNDS AND TH E COLORADO DEPARTMENT OF TRANSPORTATION, OFFICE OF
TRANS PORTATIO N SAFETY .
WHEREAS, the Englewood Department of Safety Services, has submitted on application to
the Colorado Deportment of Highways , Di vision of Highway Safety, for federal fund ing to
conduct a p rogram under the Law Enforcement As sistance Fund (LEAF ) for the preve ntio n
of drunken driving which has been approved by the Stale; and
WHEREAS , authority exists in the law and funds hove been budgeted, a ppropriated and
oth erw ise made ava ilob le and a suffi cie nt unencumbered balance thereof remains
&\'ailable for payment: and
WHEREAS, LEAF hos bee n established to provide fwids to aid in the prevention of
drunken driving end the enforcement of lows pertaining to driving under the influence of
alcohol end drugs within its jurisdiction; and
WHEREAS , the Department of Safety Services has established e qualified program
consistent .. ,th current Stale Highway Safety rules to coordinate efforts to prevent drunken
drivi ng and to en force laws pertaining to drivi ng under the influence of alcohol and drugs
wi thin ils juri sdiction j and
WHER ', '.AS , pursuant to Section 434404, C.R.S., the State is authorized to allocate LEAF
funds by contract to loc al authorities (cities and counties) to benefit the health and safr,ty of
person• in Colorado by the impl ementation of local programs develop ed by the l oca l
authoritie s for drunken driving prevention and law enforc ement improvements ; and
WHEREAS, the Englewood Depo,tment of ~:ofely Services has available the technical
abi lity to properly perform the project as desc ribed in the Application and to a ddress the LEAF
objectives of the Legi slature;
NOW, TH EREFORE , BE IT ORDAI NED BY THE CITY COUNC IL OF THE CITY OF
ENG LEWOOD , CO LORADO, AS FOLLOWS :

eppro ve d. Th e Contract ge n er all y contains the following :
I. The Engl ewood Department of Safety Se rvices appr•i ved Appli cation, th e LEAF
Contract Management Manual dated Augu st I , 1992, the LEAF Application Guidelines
dated July, 19 92 , the Stale Highway Safety Ru les at 2CCR 602 -1, and Attach ments A, B
and Care incorporated in the Cont ract by reference as term s and co ndit ions of th e
Contract. 1 ae Englewood Department of Safel y Services shall compl y with all ter ms
and condit'ons of th ese materials ,., th e perform ance of th e Co ntract. Th e Engl ewood
Department of Safety Services ac kn owledges thnt it hn s receive d copies of th e LEAF
Contract Management Manual, the Appli cntion Guidelines, and the State High way
Safety Rul es. The Englewood Department of Safety Services sh all co mp ly with all
tenns and condition s of thi s Con tract. In th e event of a co nfli ct. between the tenns of th e
Contract and the terms of the incorpor ated material s, the fo ll owi ng priority sh all be
used to resolve such con fli ct :

2. The Englewood Dep artment of Safety Services sh all carry ou t the program and perform
the a ctivities described in the approved Appli cation as summarized in Attachment A of
the Contract.
3 . Th e Englewood Departmen t of Safety Services shall submit quarterly r eports to the
State detailing the performance of the Contract aeconling to I.h e reporting criteria
described in Attachment B of the Contract.
4. Project Funding Provisions -The Eng lewoo d Safety Service s Department shall
perform the project work. The total budget amount authorized by the Contract for th e
actual costs of the project work is $53,800, which shall be paid as follows :
Th e State shall u se LEAF funds exclusively to pay for«% of the actual costs incurred
by the the Englewood Safety Services Department for the project work up to the State's
max imum share amount ofS24,000 (44% ofS53,800). Provided , however, that the State's
maximum share shall not exceed the amount of $24,000 for any reason, including if the
Englewood Safety Services Department voluntarily pays more than the minimum
match amount r equired of the Englewood Safety Services Department under the
Contract, unleH the Contract ii supplemented in writing to that effect prior to the
incurring of any cost in excess or the total budget amount.
Th e Englewood Department of Safety Services shall provide a minimum match share
of $29 ,800 (56 % of $53,800) either in payment of actual costs incurred for the proj ect work
or in the form of in-kind services which are directly related to the enforc ement of law s
pcrtaininr to driving under the influence of alcohol or other drugs as de scribed in the
project. It is anticipated that the Englewood Department of Safety Services may
voluntarily provi de either pa yme nt of actual costs or in -kind servic es exceeding its
minimum ma•.ch requi rement in ord er to establish th e pr ojec t on a perm ane nt ba sis,
provided that it is ex pressly understood that any such voluntary payment or services
sha ll not increase the State's maxim um share under the Contract. In addition , if the
Englewoo d Deportment of Safety Se rvice s fail s to provide the total amount of its
r.,;nimum match share the State's obli gation to pay its percentage sh are shall be
red,•ced in direct proportion to the extent of such failure , so that th e State's obligation
will be reduced $44 for each $56 (44%-56%) the Englewood Deportment of Safety Services
foils to pr o,ide.
If the Englewood Department of Safety Services incurs project costs which exceed
Attac h ment C to the Contract budgeL amount without fir st increasing that amount by
writ.ten contTect amendment, the Englewood Departm ent of Safety Services shall be
solel)' re spon sibl e for the payment of su ch excess cos ts . The State shore of the tota l
budget amoun t will be provided so lely from LEAF fund s . An)' obligation of the State
und er the Co ntract is contingent both upon LEAF funii . bei n g an iloble for the Contract

and upon th e Englewood Department or Safety Services provi cl ing its min imum share.
The St.ate will pay the Englewood Department of Safety Service, i"or the State's shore of
actual costs in curred on a monthly or quarterly ba sis , subject to pr io r review and
approval by the State of work performance and punuant to pay ment procedures
contained in the LEAF Contract Manual. Th e Engl ewood Depar t ment of Safety
Services shall ma intain an itemized acc ou nting of all billings and other r eco rd s to
s upport nll costs charged to the Englewood Department of Safety Services and shall
pr esent so me to the St.a te upon requ est.
The obligation of the Cont.rector for all or any part of the pay ment obligation s set out
h erein shall only extend to monies duly and lawfully approp ri at..-d for the purpose of th e
Contract by the Governing Body of the Englewood Department of Safety Services. The
En p,lewood Department of Safety Services h ereby represents and warrants that the
monies to pay for the Contractor's obligation s described h erein have been legally
appropriated for the purpose of the Contract.
The total budget amount of the Contract is $53 ,800 . The State and the Engl ewood
Department of Safety Services shall participate in the payment of this amount:
A . State's maximum share (from LEAF) S24 ,000 (44 %)
B. Enclewood 's share $29,800 (56%)
Total Amount $53,800 (100%)
5 . The effective dat.o of the Con tract shall be the dat• L~e Controller of the State of Colorado
approves the Contract, or such later date specified in the Contract. The term of the
Contract shall begin January I , 1993, and 1h11II t urminate on Detember 31, 1993 .
6 . Th e Englewood Department of Safety Serviceo agrees that any subcontracts enter ed
into by Englewood u u der the Contract must meet all applicabl e State and Federal
r equirement s and must be approved by the O/l'ice or Transportation Safety prior to
exec ution by Engl ewood .
7. a) Termination Due to l,Qa:,, of Funding. Th e parties recognize that the Englewood
De partment of Safety Services is to be paid, reimbursed, or oth erwise compensated
sol ely with certai n funds provided to the St.ate for the purpose of contracting for the
servi ces provi ded for herein . Therefore, the Englewoo d Department of Safety
Services ex pressly understands and agr ees that all its rights, dem -nds and
claims to compen sation aris ing und er the Contr act ere contingent l ,>on rec eipt of
such funds by the State. In th e event that such fu nd , or any part h eoeof are n ot
rece iv ed by the State, the State or the Engl ewood Depa rtment of Safety Services may

termin atio n. In tha t event, all finish ed or unfinish ed docum ents, data , st ud ies,
sur veys , drawings, maps, model s, photographs , and repo rts of other materia l
pr epa red by th e Engl ewoo d Department or Safety S ervi ces u nd er the Contract sh all ,
at th e opt io n of th e St.ale , beco me it s pr operty, and the Englewo od Departm ent of
Safe ty Se rvi ces shall be en ti tl ed to rece ive just an d equi table co mpensat ion for any
sn ti sfaclory wo rk co mpl eted on such doc uments and oth er mater ia ls .

Notw ith standing the above, the br eachi ng party s hall not be relievod of liability to
the non-breaching party for a ny damages sustained by the non -breaching pa rty by
virtue of a breach of the Co ntract by th e breaching party, and the State moy withhold

c) Term ination for Conveni ence. Either party moy term inate th e Co ntra ct at an y
time !hot it determ ines !hot the purpose of th e distribution of monies under the
Co ntract would no longer be serve,' by co,npletion of th e project. Such party shall
effe ct such tenninotion by giving written notice of tenninatio n to the other party
and s pec ifying the effective da te thereof, a t least 20 days before the effective da te of
such te rm inati on.
d) An y provision of the Coi:tract to the contrary notwithstanding, in th e event
term ination of the Contract becomes necessary , in th e State's sole disc retio n, to
comply with any court ord er co nc ern in g state personal service contracts generally
or th e Co ntract, s pec ifically, th e Contract may b, termi nated by the State
immeoiotely u pon giving of notice to Englewood without further obligation of the
S tate.
8 . The Engl ewo od De partmer t of Safety Services shall pe,f°o nn its duties as an
independent contractor and not as ao employee. Neither Englew ood nor any agent or
tmployee of Englewood shall be deem,d to be an agent or employee of th e State.
Englewood sha ll pay, when du e, all required employment compensation insurance in
the amounts r eq uired by law, an d shall be so lely res ponsibl e for the acts of Engle wood ,
its employeu and agents.

WHEREAS , pursuant to §43-4-404, C .R.S,, the State is au t hor ized to
allocate LEAF funds b 7 contract to local authorities (cities and counties)
to bene fit the he alth and safet7 of persons in Colorado b7 the implement a-
t i on of l ocal programs developed b7 the local authorities !or dru nken
driving prevention and law enforcement i mprovements; a nd
WHEREAS, the Con tractor has submitted a LEAF project fund i ng
Appli c a tion, which bas been approved b7 the State ; and
WHEREAS, the Contractor bas established a qualified pro1ra m,
con i stent with current State Highway Safet7 rules at 2CCR 602-1, to
coordinate ef f o rt s to prevent drun~e n d riving and to enforce laws pertai n -
ing o driving unde r the influence o f alcoho l and drugs within its juris-

comply with all terms and conditions of this Contract. In the event of a

The effective date of thh· contract shall be the date the Control-
the State of Colorado approves this contract, or such later date
specified herein. The term of th~ Contract shall begin Jsnuar:y 1, 1993,
&nd shall termin:.te on December 31, 1993.
6. The Contr~ct or agrees t h at ~ny subcontracts entered into by the
Contractor under this Contract mus ·t meet all applicable State and Federal
requ l rements and must be approved by the Office of Transportation Safety
prio r to execution b:y the Contractor.
7. a) Termination Due t o Loss of Funding . The parties hereto express-
ly recognize that the Contrac tor is t ~ be paid, reimbursed, or otherwise
compensated ■olel:y with certain funds providt!d to the State for the purpose
of contrac ting for the services provided for herein . Therefore, the
Contractor expressl:y understands and al'ref!s that all its rights, demands
and claims to compensation arising under this Contract ar e contingent upon
receipt of such funds b y the State . In the event that such funds ,pr an y
part thereof are not received by the St a te, the S t ate or Contractor ma y
immediatel:y terminate this Contract.

b) Termination tor Cay ■e, It, t hrou1h any cause , either party
shall fail to fulf ill in a timely and p :ro per manner the obligations under-
this Contract, or it either part , ■hall violate any ot the covenants,
a1ree ■ents or stipu lations ot this Contrac t , the non-breach i ng party ■hall
thereupon have the ri1ht to terminate thi n Contract tor cause by giving
written notice to the breaching party such termination and apec i fyin1 the
ettect i ve date thereof, at least thirty (30) days be fore the effective date
of such termina ti on . In that e ve nt, all finished or unfini ■hed documents,
data , studies, surveys, draw i ngs, maps , models, photo1raphs, and reports o f
other material prepare d by th~ Co ntracto r under this Contract shall, at the
option ot the State, become it ■ p ro perty, aud the Contractor shall be
entitled to receive just and equitable compensation for any satisfactory
work completed on such documents and other mater i als .
Notwithstanding the above, the breach i ng party ■hall not be
relieved of liability to the non-breaching party f or any daaagea Austained
b y the non -breachin1 par ty by virtue o f a breach of the Contract by t.he
breaching party, and the State may withhold any payments to the Contractor
for t he purpose of Getoff until such time a~ the exact amount of damages
due th~ Sta te from the Contractor is determined, if the Contractor is a
breaching party .

Contract at any time that it d etermines that the purpose of the distribu-
tion of monies under the Contract would no lon1er be served by completion
of the Project. Such party shall effect such t ,,rmination by 1ivin1 written
notice of terminat i on to the othe r party and specifying the effective dat.e
thereof, at least twenty ( 20) da) ~ be tore the effective date o f such A
teraination , •
d) Any provision of this Contract to the contrary notwi t hstanding,
in the event termination of th is ~ontrsct becor•es necessary, in the State's
sole discretion, to comply with a .l\y court order concernin1 state personal
service contracts generally or this contract, specifically, this contract
may be terminated by the State immedlately upon the givin1 of notice to the
Contrac t or withoJt further obligation of the State .
8. The Contractor shall adopt a resolution substantially in the form
presented by the State, which approves this Contract, obli1ates the
necessary local monies to pay for its ■hare of cos t s or in-kind services
and authorizes a s i gnatory to execute this Contract. A copy of such
resolution shall be attached to and made a p a rt of this Contract,
9 . The Contractor shall pe rform i t s duti~s hereunder as an independent
con t ractor and not as an employee. Neither the Contractor nor any agent or
employee of the Co n tra ctor sha ll be deemed to be an agent or employee of
the State. The Contractor sha ll pay, whe n due, all required employment
taxes and compensation (and show proof of such insurance) and unemploymen t
compensation insurance in the am ounts required by law, and shall be solely
responsible for the a cts of the Contractor, its employees_,nd agents.
10. The Spec ial Pr ovisions are attached hereto and hereb y made a part
hereof a s terms and condit ions of t hi s contract.
