CONTRACT
THIS CONTRACT, made this day of
19 __ , by and between the State of Colorado for the use and
benef i t of THE STATE DEPARTMENT OF TRANSPORTATION, here inafter
referred to as the State, and the CITY OF ENGLEWOOD, STATE OF
COLORADO , her eina fte r referred to as "the contractor " or "the
Local Agency •,
WHEREAS, authority exists in the law and f unds hav e been
budgeted, appropriated and otherwise made available, and a
sufficient unencumbered balance thereof remains available for
payment in Fund Number 400, Appropriation Code 010, and Contract
En c umbrance Number 931 -12; and
WHEREAS, required approval, clearance and coordinat i on has
been a i:compliohed frc,m and ·,,i th the appropriate agencies; and
WHEREAS, the State and Local Agency desire to cooperate in a
project for a feasibil i ty stu1y for the reconstruction of State
Highway (SH) 285 from Broadway to Unive rs ity in the city of
Eng l wood, Colorado , here i nafter referr ed to as "the work "; a nd
WHEREAS , the State and Local Agency desi r e to agree up on
certa in respon s ibilities with r ega rd t o the f un ding o f the wor k ;
a nd
WHEREAS , the parties have agreed that the Loca l Agen c y sha l l
be s o lely respons i ble f o r pe rfo rmance and completion o f the work ;
a nd

WHEREAS, the State deems it to be in the public interest t o
pr ovide SO\ of the funding for the ·Local Agency to perform the
work; and
WHEREAS, this contract is entered into by the State pursuant
to the provisions of SS29-l-203 , 43-2-103, and 43-2-144, C.R .S.,
as amended, and by the City of Englewood pu r suant to the
provisions of the Englewood Charter.
NOW, THEREFORE, it is hereby agreed that:
PROJECT PROVISIONS
1 . "'The work " under this contract shall consist of providi ng a
feasibility study to widen SH 285 from Broadway to University
in the city of Englewood, Colorado.
2 . The Local Agency, by its employees, agents or conadltant ,
shall be solely responsible for performance and completion of
the work. The State shall have no responsibil i ty for the
performance and completion of the work, anti shall incur no
liability or obligation resulting from ■uch performance.
3. The Local Agency shall perform the work in accordance with
t ,e State 's Standard Specifications for Road and Bridge
Co ns t r uction.
4 . The Local Agency shall be respons ible for the supervis ion of
t he ••o i:k .
5. Th e Local Ag enc y has es tima ted the total cost of the work to
be $30,000 .00. The St ate shall reimburse the Local Agenc y
for 50 \ of the 1.,c tual d i r ec t and indirect costs inv,rred by
t he Local Age ncy in the pe rformance of the wor k , prov i ded
t hat the amount expended f or the feasibility study shal l not

exceed $30,000 .00, unle ss such amount is increased by wr i tten
supplemental contract. The Local ,Agency will prepare and
submit mo nthly c harges for the actual costs o f the work per-
formed per month, until the work is complete, or unt il the
State has paid its maximum amount of $15,000 .00, whichever
occurs first, unless such amount is increased by written
s upplemental contract. Upon completion of the work t.o be
performed under this ~ontract, the Local Agency shall submit
a final recapitulation of the actual costs to the State and
final billing for the balance of the costs due.
6 . The Local Agency will prepare project charges in accordance
with the State's standard policies and procedures. The State
shall pay the 11111ount billed by the Local Agency within thirty
days of receipt of the bill, provided that the work is satis-
factorily performed and that the maximum amount of the
State's contribution of $15,000.00 has not been exceeded,
unless such amount is inc~eased by written supplemental
contract .
7. If the actual costs exceed the estimated costs, then an
adjustment in contract terms may be negotiated a nd
implemen ted by written supplemental contract. Any claims by
the Local Agency for S\!Ch an adjustment must be m,,de in
writing des c ribing the basis therefor prior to the Loca l
Agency's incurring of any cost to be covered in the
anticipated supplementa l contract . An y cost i ncurred by the
Loc al Agency without first providing such notice and
executing a supplementa l contract shall be deemed to be

c ove red by the compensation provisions of this contrac t.
8. During the performance of the ·wor :, the Local Agency shall
closely mc nitcr all coats incurred. The Loca l Agen cy shal l
monitor and record work costs to ensure that the Loc a l Agency
does not exceed the maximum contract cost amount stated
above, t,,r,•1 t o ensur e 1. 1·. t t he Local ,\gency is aware of the
actual costs being i nr•urred during the performance o l the
work and is ab l e to compl y with the provis ions here i n to
notify the State i n a t ime ly manner of any increase in work
costs which may result in the need for a supplemental
contract.
9. The amount of actual compensation shall be subject to review
and approval by the State as provided herein. Only project
costs incurred on or after the date first written above shall
be eligible for reimbursement by the State.
10. The State will provide liaison with the Local Agency through
the State's District Engineer, ·District 6, 2000 South Holly
Stree t, Denver, Colorado 80222. Said District Engineer will
also be responsible for coordi~ating the State's activities
under this contract.

to d o all or any portion of the proposed feasibility study .

The contract with the consultant s hall be preceded by an
acceptable proposal anq may not be executed or awarded unt il
the selection of the consultant and terms of the contract
shall have been approved by the State. All changes in th e
contract shall be by written supplementa l agreement and mu st
have pr ior approval of t he State. As soon as the co ntract
with the consultant has been awarded, one copy of the
executed contract shall be submitted to >.he State. Any
supplemental agreements shall be similarly subm itted . Any
consultant billings shall comply with the State 's
standardi zed consultant billing format. Ex,.mples o f: the
b i lling formats for the various methods of contract payment
are attached hereto and made a part hereof .
The State will review t !ie Study and notify the Local Ag e ncy
of those changes necessary to as~ure compl i ance with State
requirements. Said study shall be considered final when
approved and accepted by the parti es hereto.
E. The term of t his contract shall continue through the
completion a nd final acceptance of the work by the Local
Agency and conc urrence t here in by the State and recei?t o f
final St~te payme nt by the Local Agency .

G. This contract is intended as the com plete i ntegration of all
und erstandings between the partie s . No prior or
co ntempo raneous addition, deletion , or other amendment hereto
shall have any force or effect whatsoever , unless emb odied

herein by writing. No ,rnbslilquent novation, renewal,
addition, delet ion, or (l ther amendment l,ereto shall have any
force or effect unles~, embodied in a written supplemental
contract executed and approved pursuant to the State Fiscal
Rules.
H. To the extent that this contract may be executed and
performance of the obligations of the parti•q may be
accomplished within the intent of the contract, the terms of
this contract are se.verable, and should any term or provisio,1
hereof be declared invalid or become inoperative for any
n,ascn, such invalidity or failure shall not affect the
validity of any other term or provis ion hereof. The waiv.,,
of any bre~ch of a term hereof sha l l not be construed as a
waiver c.f any other term, or the same term upon subsequent
breach.
I. The contractor represents and warrants that it has taken all
actions that are necessary or that are required by its
p~ocedures, bylaws, or applicable law, to l egally authorize
the undersigned signatory to execute this ~~ntract on behalf
of the contractor and to bind the contractor to its terms.

Staff see ks Cou ncil approval of a Bill for an Ordinance authorizing the Mayor to sign a
contra ct with the Colorado Department of Transportation for a feas ibili ty study of U.S .
Hwy. 285 (:fampden) from Broadway \o University Blvd. This project w ill be jointly
fund ed by the Col orado Department of Transportation and the City of Englewood.
PREVIOUS COUNCIL ACTION
City Council approved the 1991 budget, which included $15,000 to conduct a stud y of U.S.
Hwy. 285 between Broadway and Santa Fe . These funds were matched by the Col or ado
Department of Transportati on.
BACKGROUND
The report on ti ? previous stud y wa s completed in May of 1992. The Colorado Department
of Transport ati o n has now asked us lo participate in a st ud y of th e rem ain ing p orti on of
.S. Hwy. 285, fr om Broad wa y to University Blvd . This ~:ud y was not anticipa ted in 1991
nor included in the budget fo r 1992 . Th e Colorado D,partment of ·rransport a ti on has
agree d to participate by match ing a City ~n ntributk,n of $15,000 for a total stud y bud ge t of
530,000 .
