Crow SUDGRANTEE AGREEMENT FOR THE 1992 ARAPAHOE COUNTY COIVIMUNITY DEVELOPMENT BLOCK GRANT PROGRAM This Ag reement is made and executed this day of , 1992, by and between . the Board of county commissioners ~e county of Arapahoe, State of Colorado, f or the Arapahoe County Hous ing Authority (hereinafter r ferred to as the County) and the CITY OF ENGLEIIOOD, a municipality in Arapahoe County' State of Colorado (hereinafter referred to as the SubGrantee or as the Unit of General Lo ca l Government) for the conduct of a Community De velo pment Block Grant (CDBG) Project for Program Year 1992 . I. Purpose The primary ob j e ctive of Title I of the Housing and Community Development Act of 1974, as amended, and of the Community Development Block Grant (CDBG) Program under this Title is the deve lopment of viable urban communities, by providing decent housing and a suitable living environment and expanding economic opportunities, principally for persons of low and moderate income . The project by the CITY OF ENGLEWOOD known as HOUSING REHAB ILITATION LOAN PROGRAM (the Project) has been categorized as a REHABILITATION project ACTIVITY and the SubGrantee will maintain documen~ation with the NATIONAL OBJECTIVE of HOUSING activities . The SubGrantee may proceed to incur ~osts for this project as of un less made contingent under Section II-F., Labor Standards, or Section II-G. , Environmental Reviews, below, and subject to the SubGran tee receiving an official 'Notice to Proceed' from the County . II. Work to be Completed by the SubGrantee Th e following pro vi sions outline the s c~pe of the work to be c om pleted. A. Pro ject Descript ion This project involves rehabilitat i on and remodeling of substandard owner- occup i ed housing units. The funding will be used pr im arily t o finance home repairs to ensure the health and safety of resid e nts by assisting in fu nding for r epa i rs necessary f o r t h e hou ses to meet the City codes and t h e r e quir ements o f Section 8 o f th e Federal Existing Housing Quality Standards . Secondarily , this project will help residents/owners maintain the attractive appearanc es of their homes and will prevent neighborhoods from deteriorating. B. $ 12,300 -Program Administratio r $ 180,000 -Housing Rehabilitation Loans These loaned proceeds will be due upon the death of the owner , the sale of house or the r•location of the owner. It is estimated that 15 loans will be made for qualifyi ng owne:-occupied residences. C. Timeline 1. Because this subgrantee agreement involves funds from a federal grant, the funding provisions of this subgrantee agreement, the federal grant and the federal statutes control rather than the provi s i ons of Section 24-91-l0J ,6, C,R,S , with regard to any publ i c work project. D. Expenditure Reatrictions -All CDBG funds that are approved by HUD for expenditure under the County I s grant agreement, i ncluding those that are identified for the SubGrantee's projects and activities, shall be allocated to the specific projects and activities described and listed in the grant agreements . The allocated tund•a shall be u11ed and expended only for the projects and activi ties to which the funds are identif ied. E. Agreement Chang•• -No :,reject er activity, nor the am o unt allocated therefor, may be changed without concurrence by the County and acceptance of the revised Final Statement by HUD, if required. Changes must be requested in writing and may not begi n until a modification to this Agreement is full y executed. F, Direct Project Supervision and Adllinistration -The SubGrantee shall be responsible for the direct supervision and adm i nistration of its respective project or activity. This task shall be accomplished through the use of the SubGrantee' s staff, agency and employees. Tli e SubGrantee 11hall be responsible for any injury to person.s or damage to property resulting from ·che negligent acts or errors and omi1111ions of its staff, agents and emp l oyees. Su bgrantee, within its legal ab ility to do so under the Constit ution of the State of Colorado and its home-rul e charter (i f Contractor is a home- ru l e municipalit y) and witho ut in any wa y or manner intending to wa i ve or waiving the defenses or limitations on damages provided for u nder and pursudnt to the Colorado Governmental Immunity Act (Sec. 24-1 0-101, et seq. c.R.S.), the Colorado Const i tution, its ho me -rul e charter or under the common law or th e laws of the United States or the State of Colorado, shall indemnify and s ave harmless the County against any and all da ma ges which are recovered under the Co l orado Governmental Immunity Act and redu ced to fina l judgement in a court o f c omp etent j ur isdiction by reason of any negligent act or omission by Subgrantee, its agents, off icers, or e mpl oyees, in connection with the per f ormance of this contract. G. Indemnity -Be c ause the SubG r antee i s respons ible for t.tie direc t supervision and administration of its proj e ct or ac t ivity, the County shall not be liable or responsible for cost overruns by the SubGrantee on any project or activity . The County shall have no duty or obligation to provide any addit iona l funding to the SubGrantee if its project or activi t y cannot be completed wi th the funds ellocated by the County to the subGrantee . Any c ost overruns ■hall be the sole responsibility of the SubGran tee. 1. The SubGrantee agrees that all funds allocated to it for an approved pro ject or activity shall be used solely for the purposes approved by the County. Said funds shall not be used Ior any non-approved purposes. 2. The SubGrantee agrees that the funds allocated for any approved project or activity ■ball be sufficient to complete said project or activity without any additional COBG funding. H. Insurance If the SubGrantee's project involves construction activities, any Contractor it uses for said act ivities shall be required to provide and maintain, until final acceptance by the SubGrantee of all work by such Contractor, the kinds and minimum amounts of insurance as follows: 1. Coverage to include : a. Wa i ver of Subrogation Additional Named Insured: All referenced policies and/or certificates of insurance subject to the following stipulations : insurance shall be a. Un derwr i ters shall have no rights of recovery subrogation against Arapahoe County or the SubGrantea; it being the intent of the parties that the insurance policies so effected shall protect the parties and be primary coverage for any and all losses covered by the described insurance . b . The clause entitled "Other Insurance Provisions" contained in any policy including Arapahoe County as an additional named insured shall rot apply to Arapahoe County or thB SubGrantee . c . The insurance companies issuing t he policy or policies shall have no recourse aga i nst Arapahoe County or the SubGrantee for payment of any premiums due or for any assessments under any form of any policy. d. Any and all deductibles contained in any insurance policy shall ba assumed by and at the sole risk of the contractor. 5. Certificate of Insurance: The Contractor shall not commence work under any contract funded pursuant to this agre em ent until he has submitted to the SubGrantee, r ece ived approval thereof, certi ficates of insurance showing that he has complied with the foregoing insurance requ i rements . The /"ubGrantee shal l also submit a copy of the Contractor's certificates of i nsurance to the County. 6 . Notwithstanding the provisions contained in this paragraph (H) sat forth herainabove , the County reserves t h e right to mod i fy or waive sa i d provis i ons for projects or activ itie s for which these provisions wou l d prove proh i b i t ive . The SubG r antee understands, howeve 1c , that th e deci s ion to waive or modify those provis i ons i s f ully wi t hin th e d i scretion of the County . I. Records -Th e subGrantee shall mainta i n a c.om plete set of books a nd r ec or ds docum enting i ts use of CDBG f u nds and its sup ervi s io n and a dmini stration of t he pro ject . The SubGrantee sha ll provide full a c cess t o t hes e books a nd r ecord s t o the 6 c ounty and the Secretary of HUD or h is designee, the Office ot Inspe ctor General and the General Accounting Otfice so that compli a nce with Federal laws and regulations may be contirmed. The SubGrantee further agrees to provide to the County upon request, a copy of any aud i t reports pertaining to the SubGrantee 's finan cial operations during the term ct this agreement. J . Reporting -The SubGrantee ~-~ll file all reports and other i nformat ion necessary to co ·,y wi th applicable Federal laws and r e gulat ions as required by the County and HUD. This shall include providing to the County the intormation naces ■ary to complete the Grantee Performance Reports in a time ly fashion . K. Tiaeline ■■ -The SubGrantee has submitted to the County, along with its proposal, a description of the vork to be performed, a budg et , and a timetable delineating the length of time needed for each project phase, it applicable, through the completion of the project. The SubGrantee shall comply wi th timetable for completion of the project. The SubGrantee understands that failure to comply vith the timetable may lead to a cancellation ot the project and a loss of all unexpended tunds, unless the County determines that there are extenuating circumstances beyond the SubGr antee'■ control and that the project vill proceed within a reasonable length of time. The timetable 's implementation ■hall begin when the county provi des written notification to the SubGrantee to proceed. L. Reimbursement for E:icpansae -The SubGrantee agrees that before t he Cou nt y can d i stribute any CDBG funds to it, the SubGrantee must submit to the County's Housing and Community Development Servi ces Div ision documentation in the form required by that Division which properly and f ully identifies the amount which the SubGrantee is requesting at that t im e. The county shall have ten (10) working days to review the request. Upon approval o f the request, the Co unt y will distribute the requested tunds to the SubGrantee or i rectly to the appropriate subcontractor or vendor as soon as possible. Such req•Jests shall not be s ubmitted more fre quently than once per month. M. Program Income -All program income d eri ved from the Ara pa hoe county Commu n ity De velopment Block G~ant Program rece ived by the Su bGrantee will be retained by t he SubGrantee and will be dispersed for i t s approved CDBG project activities before additiona l CDBG funds are requeeted from the County . Asset Kanag ■■ent -Any single parcel of real property under the SubGrantee' s con1:rol that was acquired or improved in whole or in part with CDBG funds in excess of $25,000 will either: 1. Be used for an eligible CDBG activity, as determined by the County, for a minimum of five (5) years following completion o f the SubGrantae•s project; QB 2. Be disposed of in a manner that results in the County's being reimbursed in tha amount of the currant fair market va l ue of the property le•• any portion of tha value attributable to expenditures of non-CDBG funds for acquisition of, or improvements to, the property. Reimbursement is not required after five (5) years following completion of the SubGrantee's project. o . State and County Lav Compliance -All responaibili ties of the SubGrantee enumerated herein shall ba subject to applicable State statutes and County ordinances, resolutions, and rules and regulations. P. Environm•ntal lleviev -The SubGr11ntae agrees that no CDBG fun ds will be legally obligated to any project activity before the County has completed the environmental review procad,xes, as required by 24 CfR Part 58 . Q. Subcontract ■ -If subcontracts are used on this pr~ject, the SubGrantee agrees that the provisions of this a g reement shall apply to any subcontract. R. Suspension or Termination -This agreement may be suspended or torminated by the County if the SubGrantee materially f ails to comply with any term of this agreement. L~g•l Liability and Raaponaibility The Pa rties recognize and understand that the County will be the governmental entity required to axecuta all grant agraament ■ received from HUD pursuant to the County's request ■ for CDBG funds and that it will thereby become and will be held by HUD to be legally liable and responsible for th• ovarall administration and performance of the CDBG programs, including the project or activity to be conducted by the SubGrantee. Accordingly, the SubGrantee agrees that as to its project or activity performed or conducted under any CDBG agreement, the County shall have the necessary administrative control required to meet HUD requirements. B. Performance and Compliance Koni toring -The County's s u pervi sory and administrative obligations to the SubGrantee pursuant to pa ragraph A above· shall be limited to the performarce of the administrative tasks necessary to make CDBG funds ava _lable to the SubGrantee and to provide a Monitoring Specialist whose job it will be to monitor the various projects funded with CDBG monies to ensure th at th _y comply wi th applicable Federal laws and regulations. c. Reporting to HUD -The County will be responsible for confirming the compliance of the SubGrantee' s project with applicable Fe deral laws and regulations. PREVIOUS COUNCIL ACTION Council a pproved an Intergovernment al Agreement wit h Arapahoe County effective June 1, 1991 by passage of Ordinance No. 37, Se ries of 1991. Thi s agreement allowed the City of Englewood to pa rticip a te in the Federal Communi ty Development Bl ock Grant Program administered by the D epartm ent of H o:1si ng and Urban Development for federal fisc al years 1992 throug h 1994. BACKGROUND Th e Comm un ity Deve lop ment Bl ock Grant Progra m provides grants to units of loca l gove rnmen t in both metropolitan and non-metro polit a n a reas to m ee t hou si n g and co m munity devel.:>pment needs. Th e primary objectiv e of th e CDBG Progra m is the deve lo pmen t of vi ab le urban com m unities by : 1) providing de cent housi ng and a s ui ta ble li v in g env iron ment; and 2) ex pa nding econo mi c o pportunities, principally for persons of low-a nd modera te-inco m e . The s ubgrnn tee ag-;·ee me nt d eta il s the res ponsib ilit ies of both the Co unt y a nd th e City for the 1992 CDBG monies. STAFF ANALYSIS The s igning of th e s ubgra ntee agreement w ill allow the City to receive it s s hare of th e i 992 Community Deve lopment Bl ock Gra nt funds, which is $192,300. T~.e f~ ,d s wi ll allow fo r th e continuatio n o f th e H o u s ing Rehab program whi ch has been in effect si nce 1977. FINANCIAL The City will recei ve $192,300 for fiscal year 1992 from th e CDBG program . There will not be a ny additional fin ancial b urden to the City.
