AN ORDINANCE APPROVING A CONTRACT BETWEEN THE CITY OF ENGLEWOOD
SAFETY SERVICES DEPARTMENT AND THE STATE OF COLORADO DEPARTMENT OF
TRANSPORTATION CONCERNING ffiGHWAY SAFETY GRANT .
WHEREAS, the City of Englewood, on behalf of the Englewood Department of Safety
Services, Police Division , has submitted an application to the State of Colorado Department of
Transportation, for federal funding to conduct a traffic safety project; and
WHEREAS, the matching funds for this project are included within the Department of
Safety Services Budget; and
WHEREAS, the State of Colorado requires the City to formally approve the Englewood
Departm•nt of Public Safety (402) Contract between the City and the Department of
Transportation by signature of the Mayor and the City Clerk ,
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUN ". OF THE CITY OF
ENGLEWOOD , COLORADO, AS FOLLOWS :
~-The Englewood Department of Public Safety (402) Contract generally contains
the following:
l. The City of Englewood Safety Services Department shall carry out the program ,
conduct all the activities and provide the services de scribed in the Scope of Work
attached to the Contract a s Attachment A.
2. In the performance of the work , the City of Englewood Department of Safety Services
shall comply with all applicable administrative procedures and contract
requirements conte.ined in the October l, 1990 Colorado Highway !:d'ety Contract
Management Manual.
3 . The City of Englewood Safety Services Department shall submit periodic and final
reports to the State according to the requirements of the Contract Manual.
4 . The City of Englewood Department of Safety Services shall comply with the budget of
thi s Contract as set forth in Page 3, of Attachment A. The City of Englewood Safety
Services Department shall be so' .ly responsible for all costs incurred in excess of this
budget amount.
5. The total estimated program costs shall be $288,265. Subject lo the conditions of
the Contract, the State and the City of Englewood Safety Services Department shall
participate in providing this amount as follows :
A. State share (federal funds)

The S;.ate'1 ■hare shall be compri ■ed entirely of federal funds made available to
the State. The State ■hare amount of the Contract shall not be uceeded
without the benefit or a written 1upplomental contract uecuted prior to the
performance of additional activitie■ or the incurring of additional cost■. If the
actual total program cost■ are le11 than the estimated total program costs a• a
result of the City of Englewood's failure to expend the estimated City's share, the
state's share ■hall be reduced proportionately unleaa a prior written
supplemental contract baa been executed which reduced the required City's
share. The City may increase the City's ■hare without further 1tate approval.
This increase shall have no impact on the state share. Proportional shall be
defined as the ratio of actual expenditures for both State and the City of
Englewood .
6 . The State shall reimburse the City of Englewood Safety Service, Department for the
accomplishment of the Contract exclusively from funds made available for the
Contract under the Highway Safety Act, Title 23, U.S.C. Section 402 . Such
reimbursement shall be only as provided in the Contract Manual. Such
reimbursemen shall be co r,ti ngent upon the contribution by the City of Englewood
Safety Services .iepartment of its participating share as provided herein, an~ shall
be contingent upon the continuing availability of federal funds under the Hi ghway
Safety Act, Title 23 , U.S.C. Section 402 , for the purposes hereof.
7. The term of the Contract shall begin on the effective date and 11hall terminate on
September 30, 1993 . The effective dnt.t of the Contract shall be the date the
required signature approval of the State Controller is obtained on the Contract, as
evidenced by the date first appearing above. The City of Englewood agrees that any
contract work performed or costs iucurred prior to the effective date shall not be
compensated under the terms of the Contract.
8 . The City of Englewood Safety Services Department agrees that any subcontract
entered into under the Contract shall meet all applicable state and fed eral
requirements and must be approved by the Director, Office ofTrans1Y1rtation Safety,
prior to execution . The City of Englewood ..hall not assign the Contn.':I. without prior
written approval of the State.
9 . a ) Termination Due to l.r.,ss of Funding. The parties hereto exprenly recog, .e the
City of Englewood Sr.fety Services Department is to be paid, reimbursed, or
otherwi se compe ;.,ated solely with federal funds provided to the State for the
purpose of contracting for the services provided for herein . Therefore, the City of
Englewood Safety Services Department expressly understands and agree s all its
rights, demands and claims to compensation arising under the Contract are
contingent upon receipt of such funds by the State. In the event such funds or
any part thereof are not received by the State, the State may immediately
te mm.,ate or am end th e Cont ract .
b) TP.rmination for Cause. If, for any cause, the City of Englewood Safety Services
liopartment shall fail to fulfill in a timely and propar manner its obligations
under the Contract, or if the City of Englewood Safety Services Department shall
violate any of the cov enants, agreements or stipulations of the Contract, the
Stt.!.e shall thereupon have the righ t to terminate the Contract for cause by
gi ·,ing wi itten notice to the City of Englewood Safety Services Depart1.1ent of such
termination and specifying the effective date thereof, at least 30 da ys before the
effective dat. of such termination. In that event, all finished or u nfinished
docu ments, data, studies , surveys , drawings , maps, models, photographs and
reports or oth er material prepared by the City of Englewood under the Contract
shall, at the option of the State, become its property, an~ the City of En •i,wood
Safety Servi ce s Department shall be en titled to r eceive just and equitabie
compensation for any satisfactory work completed on such docum ents and other
materi als.

Notwith1tandine the above, the City of Enelewood Safety Service, Department
1hall not be relieved of liability to the State for any damaee• 1u1tained by I.he
State by liability to the State for any damagea 1u1tained by the State by virtue
of a breach of lhe Contract by I.he City of Enelewood Safety Services Department
and the Stat.e m~y withhold any payments to the City ~f Englewood for the
purpoS<l of 1Jet off until 1uch time as the exact amount of damaee• due the State
from the City of Englew<»d Safety Service ■ Department is determined.
cl Termination for Convenier· e. The State may terminate the ContTBct at any time
the State determines tho pur-.x,■ea of the di1tribution of monie ■ under the
Contract would no longer be ■erved by completion of the Projecl The State shall
effect such termination by givine written notic• of termination to the City of
Englewood and specifying !ht effective date thereof, at least 20 days before the
effective date of such termination.
10. The Special Provisions attached to the Contract are made a part thereof.

WHEREAS , autho rity exi sts in the Law and Funds have been budget ed,
appro priate~ and otherwi se made a v ailable and a suffici ent
unencumbere , b ~l ance thereof remains available for paymen t in Fund
Nu.~h er 4 0 0 , Ap prop r i ation Code 3 03 , Contract En c umbra n ce Number 993 14 ;

WHERE AS , requ i red approval, clearance and coordination has been
acc omp lish ed from and with appropriate agencies; and
WHERE AS, t h e State is autho rized under Sections 43-5-401 and 24-
42 -10 3. C.R.S., as amended, to coordinate wi th the federal government
a nd o ther ent i ties to develop and implement plans and programs
inv olv ing all aspects and components of traffic safety in Colorado;
and
WH EREAS, the St ate has receive d approva l and fund ing for
imp l ement ation of i ts Fiscal Year 1993 Highway Safety Plan (HSP ) from
the U.S . Department of Transportation, National Highway Traffic Safety
Ad.~i nistra tion and Federal Highway Administration ; and
Wli ~REA S, the HSP contains programs and activities designed to
red uc e :h e f r equ e ncy and severity o f traffic crashes or i mprove the
o pera tional e ffic iency of exi sting traffic safety programs i n
Colorado ; a nd
WHEREAS, the Sta te determines whi ch agencies or en ti tie~ would b e
mos t a pp rop r iat e in complet i n g the objectives, conducting the
act ivities an d providing the services required by the HSP; and

WHEREAS, the Contractor has submitted an Appl i cation to condu ct

ertain activities approved in the HSP which has been approved by the
tate and which is incorporated herein to the extent consistent wit h
he terms of this contract: and
WHEREAS, the Contractor, a political subdivision of the State , has
the technical ability to properly complete the objectives and
a c t i vities described in Attachment A of this Contract; and
WHEREAS, it has been determined no State agency can reasonably
c onduct the activities and provi de the services required of the
Contractor: and
WHEREAS, this contract is exe cuted by the State under authori cy of
Sections 43-5-401 and 24-42-101, C.R.S., as amended, and is executed
by the Contractor under authority of Section 29-1-203, C.R.S., as
a.~en ded, and as authori zed by the formal reso lution attached hereto as
Attachment A: and
WH EREAS, the Cont r ac t or warran ts it has a ken all necessary steps
to ensure the i ndividual Contractor signatory b e low has the authority
to s i gn this Contract.
WH EREAS , a l State persona services contracts are subject to

Co orado Association of Publ ic Employees (CAPE) v. Department of
Personnel, CAPE v . Department of Highways, and CAPE v . Rege nt s of the
-nive rsity of Colorado:
~ow T"rlEREFORE, it i s hereby agreed as follows:
1. The Contractor shall carry out the program, conduc t all t he
activiti~s and provide the servi ces descri be d in the Scope of Work
attached her~to as Attachment A and deta i led in Attachment A. These
Attachments are attached hereto and are incorporated herein by this
r eference.
2. In the performance of the work, the Contractor shall comply
wi th all applicable adm i nistra t i ve procedures and contract
requirements contained in the October 1, 1990 Colorado Highway Safety
Cont ract Manage ment Manual, he re inafter referred to as the Contract
Man ual, whi ch is incorporated herein and made part hereof by
r eferrnce. Such procedur es and requi r ements are conditions of th is
cont ract.
3. The Contractor shall submit periodic and final reports to the
State accord ing to the requirements of tht, Contract Man ual and the
reporting criteria set forth in pag e 2 of Attachment A.
4. The Contractor shall comp ly with the budget for this contract
as set forth in page 3 of At tachm ent A. The Contractor shall be
solely responsible for· all costs incurred i n excess ,of this budge t
-ount.

5. The total estimated program costs shall be $288,265 . Subject

The State share shall be comprised ent irely of federal funds made
a vailable to the State. The State share amount of this Contract shall
not be exceeded without the bene fit of a written supplemental contract
executed. prior to the perfotmance of additional activities or th.a
incurring of additional costs. If the actual total program costs are
less than the estimated total program costs as a result of the
contractor's failu r e to expend the estimated contractor share, the
state's share shall be reduced proportionately un l ess a prior written
supplemental contract has been executed wh i ch reduced the required
contractor share. The c ontractor may increase the contractor share
without fur her state approval. This increase shall have no impact on
the state share. Proportional shall be defined as the ratio of actual
expenditur es for both State and c ontractor shares.
6. The State shall reimburse the Contractor for the
accomplishment of th i s Contract exclusively from funds made available
for this contract under the Highway Sa fety Act, Title 23, U.S .C.
Section 402. Such reimbursement shall be only as provided in the
Contract Manual. Such reimbursement shall be contingent upon the
c ontribution by the Contractor of its participating share as provided
here in, a nd shall be contingent upon the continuing availability of
federa l funds under the Highway Safety Act, Title 23, U.S.C. Section
402, for the purposes hereo f.
7. The term of this Contract shall begin on the effective dat e
and s h all terminate on Septe.'llber 30, 19 93 . The effective date of this
Contract shall be the date the required signature approval of the
State Controller is obtained on this Contract, as evidenced by the
date first a ppearing above. Contractor agrees that any c ontract work
p erformed or costs incurred prior to the effective date shall not be
comp~nsated under the terms of this Contract.
8. The Contractor agrees that any subcontract entered into under

b) Termination for Caus,; If, for any cause, the Contractor
shall fail to fulfill in a ti1o1e ly and proper manner its obligations
under this Contract, or if the Contractor shall vio late any of the
covenants, agreements or stipulations of this Contract, the State
shall thereupon have the right to terminate this Contract for cause by
giving written notice to the Contractor of such termination and
specifying t:,e effective da te thereof, at least 30 days before t :1e
effective date of such termination. In that event, all finished or
unfinished documents, data, studies, surveys, drawings, maps, models ,
photo graphs and reports or other material prepared by the Contractor
under this Contract shall, at the option of the State, become its
property, and the Contractor shall be e ntitled t o recei ve just and
equi table compen :;ation for any satisfactoiy work completed on such
documenL= and ccher materials. Any provision of this contract to the
contrary notwithstanding, in the event termination of th~s becomes
necessary, in the state's sole discretion, to comply with any court
order c on cerning state personal services contracts ~enerally or thcs E tract, specifically, this contract may be terminated by the state
ediately upon the giving of notice to contractor wit h out further
igation of the state.
Not withstanding the above, the Contractor shall not be relieved of
liability to the State for any damages sustained by the State by
virtue of a breach of the Contract by the Contractor, and the State
may wi thhold any payments to the Contractor for the purpo se of setoff
until such time as the exact amount of damages due the State from the
Contractor is determined.
c) Termination for Convenience . The State may terminate this
Contract at any time the State determines the purposes of the
distribution of moni es under the Contract would no longer be serv ed by
completion of the Project. The s•ate shall effect s uch termination by
giving written notice of terminat ion to the Contractor and specifying
the ef fe ctive date the·:eof , at least 20 d3yS before the effective date
of such termination .

PREVIOUS COUNCll. ACTION
Two prevtous contracts In 1991 and 1992 were approved by Council.
BACKGROUND
The contract and subsequl!nt ordinance are the result of a grant application
submitted to the Department of Highways , Division of Highway Safety, State of
Colorado, for Highway Safety project funds . '
The grant funding would allow the Department of Safety Services, Police Division to
continue the Traffic Safety Education Program which began In 1991 . State funds
would pay for the salaJy portion of the Traffic Safety Educatiofi o r.acer position that
has existed within the Traffic bureau on a full time basis since ~,arch, 1992. The
City of Englewood Is matching these funds by paying the benefits portion of the
Traffic Safety Education Officer and by paying the salary and benefits portions of five
tralllc officers and one traffic sergeant.
All of the above positions currently exist wlthln the department and the grant does
not requ!re the addition of new personnel or re-deploytnent of existing personnel.
The grant also provides 100% funding for a software package that provides more
comprehenstve accident and traffic now analysis. This sotlware will be shared by the
Department of Safety Services and the Traffic Engtnecrtng DMston.
The grant also provides 1~ funding fo r the purchase of a laser speed detection
devtc e to be used In the City's commuter corridor areas In an ~ffort t o reduce
accidents on those ,oadways . The laser ls to be p urchased aad us..-d on a t est basts
fo r the Division of Highway Safety.
STAFF ANALYSIS
The passage of this ordinance s h~uld have no long range Impact on other
d epartments. The contract Involves a monetary commttmmt on the part of both he
City of Englewood and the State of Colorado , and an ordinance Is required for
a ppr oval of the contract. The ordinance was prepared by the city attomey·s office ;,s
r equired by Article IX. Part 1, Home Rule Charter.
