WHEREAS, the Hilton South Haul wu conatnact.ed in 1980, within the Southgate Sanitation District and there wu eome question u to how much Oow the hotel would contril:ute to the Diatrict's system; and WHEREAS , pursuant to a 1980 A,reement with Hillen Hotels, it was stipulated that ahould the meuured nows from the Hilton lnn uceed in amount the now from 84 ainele-family residential unit., the Hilton Inn would purchaM aM~tional sewer taps; and WHEREAS, a study of the nows from the hotel by i,l',e,1rer & Associates in March of 1984 indicated that the nows from the haul were abo,,e the limit and additional taps were ne'!ded; and WHEREAS, ownership of the Property has changed, .,,,i disputes have developed between the Owner, Englewood and Southpte as to the amount of iw.ditional system development charges due under the Letter A,reementa; and WHEREAS, based on measured wastewater nows from the Property, Enelewood asserted a claim for appnmmataly $143,660.00 and Soulhpte userted a claim for $107,092.00, for the additional system development chal'll'!S owed to each of said entities; and WHEREAS, the partiH have acned to set.tie, compromiae and reeolve those disputes under the terms stated in the Settlement A,reement; NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD , COLORADO, AS FOLLOWS : lils;tim.l. The Englewood City Council hereby ap·;roves the Settlement A,reement between Southpte Sanitation District, Preferred Propertie•, a,.d the City ofEnelewood regardine the additionol tap fees and system development chal'II'!• for the Hilton South Hotel. Such Agreement generally contains u follows: 1. Preferred PropertiH qrees to pay the City of Enelewood the swn of $88,000 in full settlement of all claims for additional tap fees or system development charges for the Property under the Letter Agreement dated February 13, 1980. The unpaid balance of said $88,000 sball draw interest from the date thereof at the rate of 8~ per annum, with princil!Al and interest payable in 36 equal monthly installmenta of $2,757 .60 each, commencine on January 15, 1994, anrl continuing on the 5th day of each succeedinc month thereafter until paid in full . Preferred Properties may prepay in any amount at any time without penalty . 2 . Preferred Properties agrees to pay Southgate Sanitation District the sum of $38 ,950, in full aettlement of all claims for additional tap fees or sys tem -1 - development charp1 for tht Property. The unpaid balance ohaid '38,950 shall draw interest from the date herr,o( at the rate or St. per annum, with principal and interell payable in 36 equal monthly inllallmenta of $1,220.1115 each, commencinc on January 5, 1994 and continuinr on the 5th day ol each succeedinr month thereafler until paid in full . Preferred Properties may prepay in any amount at any time without penalty. Southpte waives and releases Preferred Properties from any obliption to construct a holding tank or to exte.id an 8 inch sewer line acrou Orchard Avenue. 3 . If Preferred Properties defaults in the payment of any install,• :. .. ~t due and owing, such default remains uncured in whole or in part 15 days aft.er written notice and demand for cure sent to Preferred Properties a1 pro>i ded in ihe Settlement Aj:reement. Preferred Properties e,preuly llll"ffS that Sou.th p tt1 0 claim i1 secured by the lien right■ provided in Section 32-1-1 001 (t) Q), 13 C.R.S . Preferred Properties' qreement and acknowledcm orA in tJ1· regr,rd is solely as to its own interest in the Property and is not inten,,t d by P lened Properties to bind Preferred Propertie1' lender or to encumbu or mpair any 11eCUrity intere1t in the Property for the use and benefit of 1aid lender. The relative priorities ot' Southpte's and Preferred Properties' lender'■ liens will be determined by applicable law and are not affected ht this Settlement Agreement. Ir Preferred Properties becomesa debtor punuant to 11 U.S .C. Section 101 et seq. before an uncured default exists, Southple and the City o( Englewood will each •• be entitled to assert as an unsecured claim the full ur1paid balance ofits • original claim, leas any portion of the unpaid balance of ;q tettlement amount which is allowed as a secured claim in the bankruptcy II ' <le<lings . Despite any contrary provision of the Settlement A,,.•eement, the recoune of Southpte and Englewood in the event or a default by Preferred Properties will be solely to the Property, end they will n ot have any right to assert a claim for the personal liability of Preferred Properties, its partners, ila employees or agents, or their partners. 4 . In consideration of the Settlement Agreement and of the supp ,:1 IIJld c~peration Southgate has extended to Englewood in connection with this matter, Englewood waives and release ■ Southgate m,m any and all liability or obligation Southgate may have to Engle wood for unpaid lip fees or ll)'Stem development charges attributable to the Property punuant to the Englewood Letter Agreement. Such waiver and releue i1 effective without reprd to whether Preferred Properties performs ila obligations to Englewood undeI· the Settlement Agreement. 5. All prior communications and representations of any kind concerning the matters addressed in the Settlement Agreement are me,ced in the Settlement Agreement. Nevertheless, while the Settlement Agreement resolves all issues arising out of the Exhibit B end C Letten, it does not address or control any other issues relating to sewer service to the Property aft.er the date of the Agreement. Specifically, nothinr contained in the Agreement limits the right (if any) of either Southgate or Englewood to r eassess the liability of the Property for system de velopment charges, or tap or other similar fees or charges at some time in the • future, provided that any such future a<\justments shall be for reasonable,• -2 - •• • • utility-bued cauaet only, pursuant to ordinance■ or rulet and nculationa applied uniformly and without unruaoaable diacrimination thrnupout the .. rvice r,Iea of the entity makinr t'1 e a,ijuatment. Additionally, neither Sou.thpte nor Englewood i1 aware of any claim ariaine <Jut of the provis ion of wastewater collection, transmission , and treatment ..,rvices for the Property which it may hav• aemn st the Property or its Owner at this time . Preferred Properties, Englewood and Southgate waive Md release any and all claims, demands, or causes of action, whether kn own or unknown , inc1uding without limitation claims on contr3ct or on ac rount, thnt aroae for any reuon prior to •he date of thi1 Settlement Agreement, except only claima in tort or for the disc .,.,ge of any substance prohibited by law, rule, reeuJation or order of any govern mental agency or authority having jurisdiction from being discharged from the Property into the ■ewer or collection systems of Southpta or Englewood ; however, neither Southpte nor En glewood is now aware of any ch claim or circumstance that would give ari&e to such a claim/ 6 . Should any one or more sections or provision s of the Settlement Acreement be judicially determined invalid or unenforceable, such judgment shall not al!'ect, impair or invalidate the remaining provisions of the Settlement Agreement, the intention being that the various sections and provi sions hereof are severable . 7 . The Settlement Agreement shall be governed, construed and enforced according to the laws of the State of Colorado. 8 . Each party executing the Settlemnnt Agreement warrants and represents that it has the full right, authority and power to enter into the Settlement Agreement and has delegated to its signatories the aulhority to sign on its behalf and to bind such party to the terms and provisions of L.\e Settlement Agreement. ~-The Mayor and Cit:1 Clerk are hereby authorized to sign and attest, respecti ve ly, the said Settlement Acreement for and on behalf of the City Council and the City of Englewood . Crow -4 - •· • •• • SETTLEMJ:JIT AGUZKENT This Settlement Agreement is made effective as of the day of November, 1993, by and between the City of Englewood , a Colorado Mun icipal Corporation ("ENGLEWOOD"), Southgate Sanitation District, Arapahoe and Do uglas Counties , Colorado a CJ',lasi-municipa l corpor ation and po litical subdivision of the State of Colorado ("SOUT HG A':'E"), and Preferred Properties Fund 82 , a California Liu,i ted Partnership ("OWNER"). RECITALS A. OW"'NEa is the cu=rent ow ner o f t h e real p rope rty described c•n Exh ibit A a ttached hereto and incorporated herein by reference, and hereina!r.e~ ca ll ed t~e "Property." B. ENGLEW<.'00 i s joint owner of and cperates a waste1,;ater treatment facility which serves t he Property . C. SOv"THG ATE owns and operates a wastewater collection and trarsmis sion sy~tem which also serves the Property . O. Whe n the Property was first illlproved, the tonier own er thereof entered into Letter Agreements with ENGLEWOOD and SOUTHGAT E regard i ng t!1e P"Y!!'ent of add i t i onal tap fees, or system development charge~. and, in the case o! SOUTHGATE , the possible construction of additi onal sewage fac i lities by the owner of the Property . Copies of sai d Letter Agreements are attached hereto as Exh i bits B (ENGLEWOOD) a nd C (SOUTHGATE). £. own ership of t h e Property has changed , and disputes have develoced between OWNER, ENGLEWOOD and SOUTHGATE as to the amount of additional s y stem dev elopment charges due under the Letter Agreements. Based on measured wastewater flows from the Property , EN GLEWOOD asserted a claim for approximately $14J ,660 .00 and SOUTHGATE asserted a claim for $107,092 .00, for the additional s y stem development charg es owed to each of said entities. G. The parties have agreed to settle, compromise and resolve those d i s putes under the terms stated in this Settlement Agreement . Further, SOUTHGATE waives and relehses OWNER from any obligation to construct a holding tank or to e~tend an 8 inch sewer line across Orchard Avenue as specified in the Exhibit C Letter Agreement. .L Default In Payment . If Ow"NER defaults in the payment of any installment due under Section l or Section 2 above, and such detault remains uncured in whole or in part 15 days after written notice and demand for cure sent to Ow"NER as provided in Section 6 below , the original amount claimed as stated in Recital F above, less any principal reductions previously pa i d to such party by OWNER, shall be immed_iately due and payable, in full, and the unpaid balance thereof will draw interest at the rate of 12 percent per annum from the date of the missed installment until paid. OWNER acknowledges and agrees that t ," defau lted party is entitled to exercise any and all remedies, in · •1d i ng wi thout limitation any and all lien r i ghts against the Pr .rty , as may bn available to it under applicable law . The relative pr i orities of SOUTHGATE'S and OWNER'S lander's liens will be determined by applicab l e law and are not affected by this Settlement Agreement . If OWNER becomes a debtor pursuant toll u .s .c . S 101 at seq. before an uncured default exists, SOUTHGATE and ENGLEWOOD will each be entitled to assert as an unsecured c laim the full unpaid balance of its origina c l a im stated in Recital F above, lass any portion of the unpaid balance of its settl ement amount which is allowed as a secured c l aim in t.~e bankruptcy proceedings. Desp it e any contrary provis io n of this Settlement Agreement, the recourse of SOUTH GATE a nd ENGLEWOO D in the event of a default by OWNER wil l be sol&ly to t h e Property, and they will not have any r ight to assert a c l aim for the personal liability of OWNER, its ~artners , its employees or agents , or their partners. h Englewood -So uthga te settlement • In cons i deration of th i s Settlement Agreement and o f the s upp ort and cooperati on SOUTHGATE has extended to :ENG LEWOOD in connection with this matter, ENGLEWOOD waives a nd releases SOUTHGAT E from any and all liability or obligation SOUTHGATE may have to E.'IGLL7'DOD for unpaid tap fees or system development charges attri butabl e to the Property pursuant to the ENG LEWOOD Letter Agreement (Exhibit BJ . Such waiver and release is ei'fective without regard to whether OWNER performs its obligati ons to ~N GLEWOOD under thi s Settlement Agreement. ~ Merger; scope or settlement. All prior commu n ications and representations of any kind concerning the matters addressed in the Exhibit B and C Lett er Agreements, including sa i d Letters , are marged into this Settlement Agreement . Nevertheless, wh i le this Settlement Aqreement res o lvas a l l issues ar i s i ng out o f the Exhibit Band C Letters, it does not address or control any other issues relating to sewer service to the Property after the date of this Agreeruent . Additional taps would need to b e acquired and appropriate fees paid should data indicate actual sewage flow s h igher than those projected .
