AN ORDINANCE AUTHORIZING A COOPERATIVE CONTRACT FOR THE
PRELIMINARY ENGINEERING CONSTRUCTION FUNDING OF PEDESTRIAN
WALKWAYS ALONG BROADWAY BETWEEN THE CITY OF ENGLEWOOD,
CO LORA DO AND COLORADO DEPARTMENT OF TRANSPORTAT ION .
WHEREAS, requiTed approval, clearance and coordination has been accomplished
from and with approprieLe agencies for preliminary engineering in order to con1tru ct
sid~wolks with handicap accessible curb cuts along the east side of Broadway from
Belleview Avenue to Pow e r-; Avenue in the City of Englewood; and
WHEREAS, the m•tching ratio for this Federal -aid project is 83% Federal-aid funds
to 17 % City of Englewood funds, it being understood that such ratio applies only to such costs
as are el igible for Federal participation, it being further understood that all non-
participating co sts are borne by th e City of Englewood at 100%; and
WHEREAS, the City of Englewood has estimated the total cost of the work and is
pre par ed to provide its share of the cost as evidenced by this ordinance which establishes the
Cit y's a uthorily to enter into such Contract; and
WHEREAS , the City of Englewood and the C..,lorndo Deportment of Tran sportation
agre e upon the divi sion of responsibili ties with regard to the proj ect; and
WHEREAS, the City of Englewood is adequately staffed and suitably equipped to
undt rtake and satisfactori ly complete portions of t.hc work; and
WHEREAS , the State certifies that such work can be more advantageously performed
by th e City of Englewood ;

I. Sl'AI.E COMM ITMENT S:
A . The State will administer the City of Englewood and Federal-aid share of the
project charges following the State's review and approval of such charges.
Charges inc urred by th e City of Englewood prior to the date ofFHWA
authorization for the proj ect will not be charged to the Project.

II. THE CITY OF ENGLEWOOD'S COMMITMENTS :
A . Preliminary e ngineering, design servi ces, preparation of construction plans,
special pro visions and estimates in accordance with the Slate's Roadway and
Br idge De sign Mnnuel s and Standard Specifications for Road and Bridge
Con struction . Said pl ans shall includ e details of any required detours to prevent
any int erfere nce of the constructi on work and to protect the traveling public . All
plan s produced shall be stamped by a Colorado Registered Professional
Engineer.
B . The City will be responsibl e for the plans being accurate and compl ete.
C . Th e City will be ·re spon sible to perform acquisition and relocation assistance for
the proi ect.
D . Th e City wi ll prepare a nd submit to the State monthly charges for costs incurred
re lative to th e projec t. Th e Ci ty will pre pare project charges in acc ordance with
th e State's standard policies, pr ocedures, and standardized billing form11 t ns set
fort h in the Contract. Charges incurred by the City prior to the date of FIIWA
authori zation of the proj ec t will not be charged to the project.
E . Th e City shall maintain all books, docum ents , pape rs , ac counting recor1 s e nd
other ev id ence perta ining to costs i nru rr ed and to make such materials availabl e
fo r in s pec tio n at all reasonable tim es during the contract period end for 3 years 1
fr om th e dote offin al payment U> the City . Co pi es of such r ecord s shall be
fu rn is h ed by the City if requ ested .
111. GE'I ERAL PROYlRIONS
A . Th e Ci ty has estim ated th e total cost of the preliminary engineering of sidewalks

perform ance of th e work shall be at no cost to the State. If the total actual cost of
performance of th e work exceeds $12,050.00, and additional Federal funds are
ma de av ai lab le for th e project, the City of Englewood shall pay 17% of all such
co sts eligi bl e for Fe deral participa tion an d 100% of all non -participating costs. If
the tota l act ual cos t of perform ance of the work is less than $12,050.00 , then th e
amounts of the City of Englewood and Federal-aid funds will be decreased in
accordance with the funding ratio des<.Tibed in the Conb·acL
C . The maximum amount payable to the City of Englewood under the Contract shall
be $10,000.00 (100% of the Federal Particip,ting Preliminary Engineering funds)
unl ess such amount is increased by a written supplemental contract

CON1RACT
TI-IlS CONTRACT, made this __ day of ----~ 19~ by and
between the State of Colorado for the use and benefit of TI-IE DEPAR1MENT OF
TRANSPORTATION, hereinafter referred to as the State, and the CITY OF
ENGLEWOOD, STATE OF COLORADO, hereinafter referred to as Englewood, or
contractor.
WHEREAS, authority ~xists in the law and funds have been budgeted, appropri-
ated and otherwise made av.,ilable and a sufficient unencumbered balance thereof
remains available for payment o f project and Englewood costs in Fund N umber 400 ,
Organization Number 9991 , Appropriation Code 010 , Program 2000, Function 3020,
Object 2312 1 P, Reporting Category 60-I0, Contract Encumbrance 1':umber 10488 [00) D
(Contract Encumbrance Amount 512,050.00); and
WHEREAS, required approval, clearance and coordination has been accomplished -
from and with appropriate agencies; and
WHEREAS, pursuant to Title I, Part A, Section 1007 (c) of the Intermodal Surface
Transportatio n Efficiency Act of 1991 , certain Federal funds have been and will in the
future be, allocated for the "provision of facilities for pedestrians and bicycles, acquisition
o f scenic easements and sceni~ or historic sites, scenic or historic high•.•,ay programs,
lanctscaping and o ther scenic beautification, historic preservation, rehabilitation and
operation of historic transport1tion buildings, structures or facilities (in,!uding historic
rail road facilities and canals), preservation of abandoned railway corridors (incl uding the
conversion and use thereof for pedestrian or bicycle trails), control and removal of
outdoor advertising, archaeologica l planning and research, and m iti )?a tion of water
p ollution due to highwav runoff."; and
WHEREAS, Federal-aid funds have been made available for a project, identified
as STE \1 395 -003 fo r preliminary engineering to construct sidewalks with handicap

accessible curb cuts along the east side of Broadway from Belleview Avenue to Powers
Avenue in the City of Englew :,od, Colorado, hereinafter referred to as the work ; and
WHEREAS, Englewoo I has submitted initial design data (D .O .H . Form 463),
dated February 14, 1994, to the State setting forth therein preliminary details, information
and estimates of cost of this work, which data has been approved by the State; and
WHEREAS, the matching ratio for this Federal-aid project is 83% Federal-aid
funds, to 17% Englewood fund s, it being understood that such ratio applies only to s uch
costs as are eligi bl e for Federal participation, it being further understood that all
non-parti cip~ting costs are borne b y Englewood at 100%; and
WHE REAS, Eng le wood has estimated the total cost of the work and is prepared
to provide its sha re of the cos t as evidenced bv an appropriate ordina nc e or resoluti on
dulv pa ssed and adopted by the authorized representatives of Englewood , a copy of
whicr is attached here to and made a part hereof; and
WHEREAS, sa id ordinance or resolution also establishes the authority under
which En glewood enter; into this contract; and
WHEREAS, this contract is executed by the State under authority of Sections
24-92-10 1, et seq ., 29 -1-2 03 , 43 -1-110, 43-1 -1 16, 43-2-101(4)(c) and 43-2-144 , C.R.S ., as
amended; and
WHEREAS, the parties hereto desir e to agree upon the division of responsibilities
with rega rd to this project; and

WHER EAS , the State ce rtifies that such work ca n be more advantageously
perfo rme d by Engle,vood .
NOW, THEREFORE, it is hereby agreed that :
I. STA TE COM'vlJT\,IENTS
A. The State will prov ide lia ison w ith Englewood through th~ State's Regi on
Transportation Director, Region 6, located at 2000 So uth Holl y Street ,
Dem·er, Colorad o 80 222 , 303 -75,-9251. Said Transportation Director will
be responsible fo r coo rd inat irg the State's activities unde ·h is contract.
Said Director will also issue a 'Notice to Proceed " to Englewood for
commencement of the work.
B. The State will aaminister the Englewood and Federal-aid funds for this
project in accordance with the following provisions.
Costs incurred by Englewood
The State will reimburse Englewood for the Federal-aid ~hare of the
project charges following the State's re view and appro,·al of such
charges. Charges incurred by Englewood prior to th,? date of
EMA authorization for the project will not be charged to the
project.
C. The State will review cons:ruction plans, special provisions and estimates
and will ca,,se Englewood to mai<e those changes necessary to assure
complian,~ with State. and FH\-\IA req uirements . Englewood will afford
the Sta'.e ample opp.:>rtunity to re view the construction plans, S!)<!cial
pro\':S ions and estimates, as changed and said plans shall be considered
fir,al when approved and accepted by the parties hereto. The final plans
are incorporated herein by this re fe rence .
11 . E:-:G LEWOOD COMM1™ENTS
A. Englewood will provi de :
1. Prel iminary engineering, design services, preparation of construction
plans, special pro,·isio r.; and estimates in accordance with the
State's Roadway and Brid ge Design Manuals and Standard Specifi-
cations for Road and Br idge Construction. Said plans shall includ e
details of any requ ired detours to prevent any interferenc~ of the
construc tion work and to protect the traveling public . All plans
produced shall be stamped by a Colorado Registered Pro fessional
Engin eer.
2. Desigr work sheets used in designing of the pr<>ject.
3. Construction s upe rvision by a Colo · ado Regis tered Professional
En gi P~er .
B. Englewood will comply with the following:
1. Englewood will prepare construction plan,; in accordance with the
requirements of Engi,:~ring Services Section 107, Preparation of
Construction Plans by Local Agency, aitat.hed hereto and made a
part hereof.
2. Englewood will be responsible for the plans being accurate and
complete.
C. Englewood will comply with the applicable provisions of the State's
approved Action Plan, including all Federal directives conta ined therein by
referen ce.
D. Englewood may enter into a contract with a co nsultant ta d o a ll or any
portion of the proposed preliminary e ng ineering and pre paration of
construction plans. In the event that Feder al-aid fund s provided herein are
to par ticipate in the cos t of work to be done by a consulta nt, the contract
shall comply with the requirements of Federal Aid Poli cy Guice (FAPG),
Till~ 23, Chapter I, Sub-chJ pter B, Part 172, Administration of Engineering
a.'.'ld 0-?S ign Related Service Contracts. The co n tract with the consultant
shall be preceded by an acceptable proposal and may not b e executed or
awarded until the se lection of the consultant and terms of the contract shall
!-.a ve been approved by the State and the Federal Highway Administration
(FHWA). All changes in the contract shall be b y w r itten sup p le mental
agreement and must have prior approval o f the State and FHW A. As soon
as the contra ct wi th the co nsultant has been awarded, 0 · ,e copy o.' the
executed contract s hall be submitted to the c· :'.e . Any sup pleme.:tal
agreements shall be si milarl y submitted . An y consultant b illings shall
comply w ith the Sta te's standardized consultan t billing format. Examples
of the billing formats for the various methods of contract payment are
a tta ched hereto and made a part hereof.
E. Engle\\'ood w ill be respons ib le for performing right-of-w ay acqu isition and
relocation assis tance fo r the p roject, as required by Section 2~-56-101 , et
seq., C.R.S . However, if the State determines that such performance by
Fnglewoorl will jeopardize or is jeopardizing distribution of federal
assistance funds, or that action by the State is necessar'.,' t•, comp!y with
fed!::ral poliq or procedures, then i,',e State, in its discretion, may perform
the acquisition and relocation assistance itself or may supervise and direct
Englewood in the performance of such acquisition and assistance. Prior to
taking such action , the State will provide written notice to Englewood of
the basis of such determination or action and will meet with Englewood
to discuss possible remedial measures. Prior to this project being
advertised for bids, Englewood will certify in writing to the State that all
right of way has been acquired in accordance with the applicable State and
Federal regulations, or that no additional right of way is requ ired .
F. Englewood will be responsible for obtaining the proper cleara nce or
, pprovul from any utility company which may become involved in this
project within thei, jurisdiction, by separate agreement betweer. •.nglewood
and the u tility, if necessary. Prior to thi s project being adverti,,,., '.:i, bids, -
Englewood will certify in writing to the State that all sue.\ ,:Jea rances have
been obtained.
G. In the event Englewood has engaged a cons ultant l.:>r the design of a major
structure, the Englewood /consultant contract shall contain the following:
J. Upon advertisement for the project for construction, the consultant
shall make available services as requested by the State to assist the
State in th e evaluation of construction and the resolution of
construction problems that may ar ise during the construction of the
project.
2. The consu lta nt shall review the constr uction contractor'; shop
drawings for conformance with the contract documents and
com pliance with the provisions of the State's publication, "Standard
Specifica ti ons for Road and l'ridge Construction", in connection with
th,s work .

H. Englewood will prepare and subm;_, to the State monthly charges for costs
incurred relative to the project. Englewood will prepare project charges in
accordance with the State's standard policies, procedures, ar:J standardized
billing format attached hereto and made a part hereof. C'narges incurred
by Englewood prior to the date of FHW A authorization of the project will
not be charged to the project.
L. Englewood shall maintain all books, documents, papers, accounting records
and o ther evidence pertaining to costs incurred and to make such materials
available for inspection at all reasonable times during the contract period
and for 3 years from the date of final pa yment to Englewood. Copies of
such records shall be furnished by Englewood if requested .
:vi . Englewood represents and warrants that it has taken all actions that are
necessary or requ ired by internal procedures and bylaws, and applicable
law, to properl y authorize the undersigned signatories for Englewood to
lawfully execute this contract on behalf of Engl ewood and to bind
Englewood to its terms.

100%. The performance of the work shall be at no cost to the State. If the
total actual cost of performance of the work exceeds $12 ,050 .00, and
additional Federal funds are made available for the project, Englewood
shall pa y 17% of all such costs eligible for Federal participation and 100%
o f all non-participating costs. If the total actual cost of performance of th e
work is less than $12,050 .00, then th e amounts of the Englewood and
Federal -a id funds will be decreased in accordance with the funding ratio
described herein .
C. The maximum amount pavable to the Local Agency unde r this co ntract
shall be 510,000.00 (100 % of the Federal Participating Preliminary
En gineering) unless such amount is increased by a written supplemental
contract.
D . Upon receipt of each bill from the State, Englewood will re mi t to the State
that amount billed. Should Englewood fail to pay moneys due the State
within 30 d ays of demand or within such other period as may be agreed
between ti,e parties here to, Englewood agrees that at the request of the
State, the State Treasure r may withhold an equa l amount from future
apportionments due Englewood from th e H ighwa y Use rs Tax Fund and
to pay s uch funds directly to the Sta te . lnteri!J1 fund s, un til the Sta te is
re imb ursed , shall be pavab le from State Highwa y Supplementary Fund
(400 ).
E. It is understood and agreed by the parti es hereto th at the to tal cost of the
work sta ted hereinbefore is the best estimate available ba s.c d on the d es ign
data as approve d at th e time of execu tion of this contract , and that such
cost is subject to revi sions agreeable to the parties prior to bid and award.
F. The parties hereto agree that this co ntract is contingent upon all funds
designated for th e proj ect herein being mad e available fro m Federal and
Englewood sou rces . Sh ould any o f these sources, either Fed eral, or Engle-

wood, fail to provide necessary funds as agreed upon herein, the contract
ma y be terminated by either party. Any party terminating its interest and
obligations herein shall not be relieved of any financial obligations which
existed prior to the effective date of such termination or which may occur
as a resul t o f such terminatio n .
G. Notw ithstanding any consents or approvals given by the State for said
plans, the State will not be liable or responsible in any manner for the
structural d esign, details or construction of any major structures that are
des igned w ithin the work of this contract.
H. Th e term of this contract shall continue thro ug h the completion and fin al
acceptance of thi s project by the State and Englewood.
I. During the performan ce of all work under this contrar•. the parties hereto
agree to r.-im _ol y with Title VI, of the Civil Rights Act of 1964, the sa li ent
points of "·~.ic h are shown in the Non-Discrimination Provisions attached
hereto and made a part hereof.
The Special Provisio ns and Appendix B attached hereto are hereby made
a part o f this contract.
K. This co ntract shall inure to the benefit of and be bindi"".g upon the parties,
th ei r successors, and assigns.

Al l plans shall be in accordance with the Department of
Highways Drafting Manual. (Copies a v ailable through
Department of Highways , Staff Des ign Branch or Bid Plans,
Room 117).
The State will prepare permanent type p olyester reproductions
of original drawings at a nominal charge when requested by
the Local Agency.
The Local Agency may, a t its option , purchase a ppro ved
standar d s ize sheets from the State . The purchase price of
s uch mater i als shall be the actual co st as in curred by the
State.

of the Department of Transportation relative to nondiscrimination in Federally
assisted programs of the Department of Transportation (Title 49, Code of Federa l

E. Sanctions for Noncompliance . In the event of the Contractor's noncompliance
with the nondiscrimination provisions of this contract, the State shall impose such
contract sanctions as it or the FHW A may determine to be appropriate, including,
but not limited to:
(1) Withholding of payments to the Contractor under the contract until the
Contractor complies, and/or;
(2) Cancella tion, termination or suspension of the contract, in whole or in part.
F. Incorporation of Provisions . The Contractor will include the provisions of
paragraphs A through Fin every subcontract, including procurement of materials
and leases of equipment, unless exempt by the Regulations, orders, or instructions
issued pursuant thereto. The Contractor.will take such action with respect to an y
subcontract or procurement as the State or the FHWA may direct as a means of
enforcing such provisions including sanctions for noncompliance; provided ,
however, that, in the event the Contractor becomes involved in , or is threatened
with, litigation with a Subcontractor or supplier as a result of such direction, th e
Contractor may request the State to enter into such litigation to protec t the
interest of the State and in addition, the Contractor may request the FHW A to
enter into such litigation to protect the interests of the United States.

DISADVANTAGED BUSINESS ENTERPRISE (DBE)
SECTION l. ~
It is the policy of the Colorado Department of Transportation that
disadvantaged business enterprises as defined in 49 CFR Part 23
shall have the maximum opportunity to participate in the
performance of contracts financed in whole or in part with Federal
funds under this agreement. Consequently, the DBE requirements of
49 CFR Part 23 apply to this agreement.
DBE Obligation
The recipient or its c ontractor agrees to ens·.1 re that disadvantaged
