WHEREAS, the City of Englewood, Colorado deairea the deaign and conatruction of th• improvementa to be enhanced to provide a higher level of wban design in the South Santa Fe Corridor; and WHEREAS, the Colorado Department of Tran,portation will construct the enhancementa to provide the standard State level of desiJn for lighting, noi&e walla, and landacaping for a portion of the project along South Santa Fe from Yale Avenue to Hampden Avenue; and WHEREAS, the State and the City of Englewood heve estimated the total a>lt oCthe work and Englewood is prepared to provide funds for the project; and WHEREAS, on January 20, 1994 the State Transportation Commission gave approval for the State to enter into a contract with the City of Englewood for the Project and thereby eccepting the City's funds for the costs of the work; and · WHEREAS, the City of Englewood shall reimbura• the State for all direct a,ata inc:urn,d by the State in the performance of the work ; and WHEREAS, the State estimates that the City of Englewood's share will not exceed a maximum amount of $93,400; and WHEREAS , the City Council es part of the 1994 Budget process approved funding of the&e improvements through the Public Improvement Fund Bucliet; NOW, THEREFORE, B.S: IT ORDAINED BY THE Cl'l'Y COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO, AS FOLLOWS: ~ The intergovernmental agreement between the Col orado D,partment of Transportation and the City of Englewood regarding funding for the con •truction of the enhancements for lighting, noise walls and landscaping on Colorado State Highway 85 • South Santa Fe from Yale Avenue to Hampden Avenue attached hereto as "Exhibit A" is hereby •ccepted and approved by the Englewood City Council. NOW, THEREFORE, i t is hereby agreed that: l . Th i s contr act establishes the general provisions for and defines certain responsibili ties regarding the constructi on of corridor improvements along Santa Fe Drive (SH 85) from Ya l e Aven ~e to Hampden Avenue in the city of Engl ew ood , hereinafter referred to as "the work", as s pecifica l l y described in Exhi bit A, which is a ttached he r eto and i ncorporated here i n as terms and condi tions of t hi s c ontra ct. 2. The Stat e will provi de t he prelimin ary engineering tor the work, i ncl uding the preparat i o n o f constructi on plans , s pe cificati ons, and est imates in ac c ordance wi th t h e St a t e 's Ro a dw3y Des ign Ma nu a l and Stan dard Sp -··cifi cati ons f o = Road a n d Bridge Con s truction . Tho State will a ffo rd -2- the Local Agen.:y ample opportun:'t :,-to review the construction plans, special provisions, and estimates . The State will provide final assembly of construction plan s, special pr.·o ·ri sions, estimates and construction contract documents. The State will advertise the call for b ids and award the construction contract(s) to the low responsible b idder(s). 3 . The State will provi de construction engineering during the construction· of the work. Said construction engineering will include fie l d and office angin,tering, inspection and mat erial testing, tr~ffic control, and the supervision of the construction of thi~ project . The State will inform the appropriate juri ,;diction of any construction contract modifications resulting from the construction engineering . On completion of the work, the State wi l l schedule a final inspection of the work with th~ construction con•:ractor and the appropr iate jurisdiction . Based upon that inspection, the State will indic-:.te in writing its concurrence or non-concurrence of the satisfactory performance of the work. Performance of the work in accordance w:Ch the plans and specifications will be deemed to l:',e satisfactory . Upon satisfactory performance of the work, the State will effect contract close out procedure~., including advertising for and settlement of claims. 4. 5 . The Local Age ncy s h all reimburse the State for all direct costs incurred by the State in the performance of the work. Th e State estimates that such costs will not exceed S93,400.00. The Local Agency's cost shall not exceed a maximum amount of $93 ,400.00, provided that if t h e total cost actually incurred by t 'le State i n performing the work ex~eeds $93,400 .00 , t h en the parties shall s upplement this contract t o provide for the Loca l Agency to re imburse the State for t h e addi tional cost . The State s ~all prepare monthly billings of incurred direct costs relative to the wor k . The State's monthly -3- billings ~o the Local Agency will be based on actuaJ. costs incu.rred for the work performed during th• prev:i.oua ~onth. Open satisfactory perfor.nance and completion of the work, the State shall submit a final recapitulation of the work costs to the Local Agency and a final billing for th• bal ance of the work costs due to the State from the Local Agency. Within 30 days of receipt of each bill from the State, the Local Agency shall remit to the State the ~ount billed. Interim funds , until the State is reimbursed, s hall be payable from the State Highway Supplementary Fund (400). 6. The State shall maintain all books, documents, papers; accounting records, and other evidence pertaining to costs incurred on the project and shall make such materials a v ailable for inspection at all reasonable times during the project period and for three(3) years from the date of final payment by the Local Agency to the State'. Cc,pies of such records shall be furnished at the request of the Local Agency for the Local Agency's permanent records. The State will provide liaison with the Local Agency through the State's Regi on Transportation Director, or his designee(s), Region 6, 2000 South Holly Street, Denver, Colorado 80222. Said Region Transportation Director or his designee wiE also he responsible for coordinating the State's activities · this contract. The City Manager of Englewood, o~ Jis/her designee(s) shall be the ,,rincipal r ,sentati1e.e (s) of the Local Agency in all matters relating to this_ contract. 8. This contract may 'not be amended except in writing by ~he mutual agreement of the parties in a manner consistent with all applicable laws and regulations. No rights may be waived except by an instrument of writing signed by the pa~ti es charged with such waiver. 9. Ail of the covenants a r.d provisions hereof shall inure to the benefi t of and be binding upon t he parties, their successors and ass igns. -4- 10. This agreement shall be contingent upon all .funds needed for the project being made available from State and Local Agency sou rces as applicable. Should either of the sources fail to provide all of the necessary funds as agreed upon hereunder for the project, this agreement may be ter:ninated by either party with respect to the project. It is expressly understood and agreed that ,1nfot·~·=ent of the terms and conditions of this contract, and all rights of action relating to such enforcement, slall be strictly reserved to the Local Agency and the State, a'3d nothing contained in this contract shall give or allow a n y such claim or right of action by any other or third person on such contract. It is the express inten tion o f the Local Ag e ncy and the State that any person ot.ile ;. t.Jnn the Local Agency or the State rece iving services. or be~efits under this contract shall be deemed to be an incidental beneficiary on ly. 13 . The laws of the State of Co l orado and rules a · t regulations issued pursuant thereto shall be P.r plied in the interpretation, exec~tion , and enforcement of this contract. Any provision of this contract whether or not incorporated herein by reference which provides for arbitration by a ny extra-judicial body or person or which is other~ise in conflict with said laws, rules, and regulatio ns shall be considered null and void. Notuing contained in a ny provision incorporated herein by refere nc e wh ich p u rport s to negate this or a ny other speci a l provi sion i n whole or in part shall be valid or -5- enforceable or available in any action at law whether .by way of complaint, defense, or otherwise. 14. At all times during the performance of this contra~, the Local A~ency shall strictly adhere to all applicable federal laws, rules, and regulations that have been or may he ~ga f ter established. 15 . The s i gnator~es aver that they are familiar with §18-8-301, et seq., C.R.S. (Bribery and Corrupt Influences) and SlS-8-401, et seq. (Abuse of <Public Office) and that no violation of such provisions is present. 16. The signatories aver that to their kn?vledge, no state employe,, h as any personal of bene!ici-.l interest whatsoev ar in the service or property described herein. 17. The Local Agency represents and warrants that ·it has taken all actions that are necessary or that are required by its pro=edures, bylaws, or applicable lav, to legally authorize the undersigned siqnatory ·to vxecute th.is contract on behalf of the Local Agency and to ~ind the Local Agency to its terms. -6- IN WITNESS . They will also be responsible for repaintin11 t'1e steel columns on the ex isting noise barrier at Dartmouth and Santa Fe from the exist1n11 d rk brown to the tan, if they desire . Any subsequent noise barrier built by COOT will be painted tan. LIGHTING, SIGNALS SIGN POST$ AND HOV STRUCT URES e ·· The poles for lighting, signals, and HOV lane designatior structures will be upgraded as shown in Attachment B. Decorative bases and lights wiU enhance the polu. ~ decorative bases on light and signal poles will be installed only if they will function with a breakaway pole at locations requiring breakaway polas, ie ., areas not protected by jersey ·barriers . The Cities will pay for any costs over COOT 's standard fixture [galvanized pole/cobra head at $ 1,500 uchl and standard lighting plan on the side of th• road. After the light poles are Installed, the Cities will be responsible for paying any maintenance or replacement as part of their ongoing maintenance agrnment· with Public Service. As part of this agreement, the Cities should get credit for any re imbursements from private insurance companies in case of comsion . Public Se rvice Company will charge the appropriate jurisdiction for any cost to replace the light poles , bulbs , and electrical wiring. It is understood that the lights will be replaced at night and a lane c losure w ill probably be required . COOT understands that Public Service may have to close a lar.e during off pak daylight hours if the repair of underground i! electrical wiring is required . COOT will make known to Public Service Company that they will be required to give COOT 24 hours notice before closing down a lane of traffic. COOT w ill replace any HOV or signal poles if necessary and charge the Cities for any costs over and above our normal costs for st~ndard signal poles and HOV sign structures less any rei m bursement from pri vate insurance companies in case of collision . COOT w ill install the round metal sign posts painted dark green . 5 LANt:, ;APING LANDSCAPING Landscaping 'Nill be placed along both sides of Santa Fe and in the median . Tree and shrub beds will be daveloped in the median. The trH beds in the median will be protected by jersey barriars and the shrub beds in the median will be protected by a curb and opo1ed aggregate edging . Sae Attachment C for a plan which shows where the tree and sh rub beds will be located in tha madian. Any areas requiring paving (such as noses of the me dian identifying the tum lanesJ will consist of exposed aggregate. See Attachment C t,:,r ·, plan which shows where landscaping will be located along the east and west sides of Sant• Fe from Yale to Union. COOT w;Jf install the landscaping in the median . on the herm along the east side of Santa Fe Dr ive an d in nodes (including entryways to the Cities) along the west side of Santa Fe Drive as funds become availablo which is anticipated to be not later than the end of 1996. ·rhe Cit ies will pay for any entry features (ie .. signageJ to their communities. The Cities will provide the water for the landscaping and will maintain the irri gation system and landscaping after it is installed and maintained by the Contractor for one year . Any maintenance of the la r dscaping on the side of the road can be conducted during daylight ou rs . Any maintenance of the .medians can be conducted during off peak daylight hours . If any lane closures are required for maintenance of the median, they will be done during oH peak hours. J,YALL GRAPHICS Transportation graphics will be integrated into tha retaining walls at Oxford and Belleview [SH Attachment OJ . While COOT will pay for the graphics to be installed on the walls facing the Oxford/Santa Fe and Belleview/Santa Fe intersections, Englewood will purchase the reusable graphic form liners at a cost of S33, 118 for the walls facing the Navajo/Oxford intersection. COOT will need t o manufacture additional panels for the Oxforci/Santa Fe intersection along with purcha sing the used panels being manufactured for Englewood at the Navajo /Oxford intersection . NOISE WALLS A decorative panel (See Attachment El will be added to the top of the existing and future noise walls in the corridor. COOT will pay the extra cost to manufacture and install a decorative panel over a standard panel for the ex isting barrier in the northwest quadrant of Dartmouth/Santa Fe . PREVIOUS COUNCIL ACTION City Council, as part of the 199 .. budget process, approved funding of these improvements through the Public Improvement Fund budget. BACKGROUND City Council and staff are interested in .upgrading the appearance and function of the Santa Fe Corridor. The Cities of Sheridan and Littleton have joined with Englewood to request and fund upgrades to this h.:.ghl} visible corridor. STAFF ANALYSIS Staff has reviewed this contract and recommends Council approval of this Bill. PROS AND CONS OF OPTIONS REVIEWED Santa Fe is a major entrance to the city limits of Englewood . These upgrades to lighting, signals, paint schemes and wall graphics will improve the image of our City . However, these cannot be installed without a financial commitment. .• FINANCIAL IMPACT In the 1994 Budget, $86,000 was allocated for this project through the Public Improvement Fund . The actual contract amount is $93,400. Adequate funds to cover the $7,400 shortfall are available in th e Publi c Im provement Fund balance .
