AN ORDl!..ANCE APPROVING AN INTERGOVERNMENTAL CONTRACT BETWEEN
'!'HE CITY OF ENGLEWOOD, COLORADO AND THE ENGLEWOOD PUBLIC SCHOOLS
FOR ENGLEWOOD PUBLIC SCHOOL"S VEHICLE MAIN'l'ENANCE .
WHEREAS, the City of Englewood and the Englewood Public Schools desire ID enter
inlD an intergovernmental agreement whereby the City of Englewood shall provide the
Engl ewood Public Schools with vehicle maintenance;
NOW, THEREFORE, BE J'l' ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD, COLORADO, AS FOLLOWS :
5£wlm..l. The City Cou."cil of the City of Englewood, Colorado hereby approves the
entering into a contract with the Englewood Public School's for the maintenance of the
Englewood Public School's vehicles. The terms of such contract are generally as follows :

The City of Englewood, Colorado shall perform the following services:
The City of Englewood shall perform all necessary repain and
maintenance on the vehicles owned by the Englewood Public Schools ID th e
Englewood Publi c School's satisfaction, and the Englewood Publi c Schools
shall pay to the City of Englewood for such services the sum of Thirty-Five
Dollars ($35.00) per hour, in addition ID the cost to the City of Englewood of
any parts or outside vendor charges plus Twenty percent (20%) handling
fee .
The City of Englewood will proceed with the performance of the services called
for in Ps,agraph No . 1 on January 1, 1994, and the Contract shall terminate on
December 31, 1994 .
Some m ain tenance of the Englewood Public School's vehir.les shall be
perfonned by the City of Engl ewood acco rding ID a schedule to be made by the
F nglewood Public Schools and approved by the City of Englewood as pert of this
egre•ment, an d shall include work requested by the Englewood Public Schools
or work identified by Englewood during inspection of the vehicle .
The City of Englewood shall repair any vehicles of the Englewood Public
School s delivered to the City of Englewood for that purpose in a good,
workmanlike man ner.
Th e City of Englewood and the Englewood Public Schools agree not to: r efu se to
hire, discharge, promote, demote or d1scriminate in any matter of
compensation; performance, service s or otherwise, against any person
otherwise qualified solely because of race, creed, sex, color, national origin or
ancestry .

F . This Contract may not be modified, amended or otherwi se altered unleu
mutually agreed upon in writini by the partie,.
G . The City of Englewood by and through ita employees and agents ■hall be
considered for all purposes of the Contract, to be independent contracton and
not employees of the Englewood Pubhc Schools.
H . The Englewood Public Schools by and through its employee ■ and agents shall be
considered for all purposes of the Contract, to be independent contracton and
not employees of the City of Englewood.
I . The City of Englewood shall not asaign or tranafer it■ interest in the Contract
without the' written consent of the Englewood Public School~. Any unauthorized
assignment or transfer shall render the Contract null, void and of no effect as
to the Englewood Public Schools.
J . Th e Englewood Public Schools shall not asaign or transfer its interest in the
Contract without the written consent of the City of Englewood . Any
unauthorized assignment or transfer shall render the Contract null, void and
of no effect as to the City of Englewood.
K . The City of Englewood shall be re sponsible for the professional quality,
techni cal accuracy, timely completi on and the coordination of the repairs
under th e Contra ct. The City shall , without additior.al compensation, correct or
revise any errors, omission s , or other deficiencies in its services related to the
Contract.
L . Eith er party of the Contract may terminate the Contract by giving to the other
party 30 day s notice in writing with or without good cause ahown . Upon
delivery of such notice by the Englewood Public Schools to t..'ie City of Englewood
and up on ex piration of the 30 day period, the City cf Englewood shall
discontinue all servic es in connection with the performance of the Contract . A.~
soon as practicable aft.er receipt of notice of termination, the City of Englewood
shall submit a statement, showing in detail the services performed under the
Contract t o th e date of termination . The Engl ewood Public Schools shall then
pay the City of Englewood promptly that proportion of the prescribed charges
which the sen•ices actually performed under the Contract bear to the total
services called for under the Contract, less such p•yments on account of the
charges as have been previously made .
M . Th e t erms and conditions of the Contract shall be binding upon each entity, its
su cc esso rs and as sign s.
N . Nothing herein shall be co nstrued as creating any personal liability on the part
of any officer or agent of any public body which may be party hereto, nor shall it
be construed as giving any rights or benefits hereunder to anyone other than the
Englewood Public Schools and the City of Englewood.

Intergovernmental Contracts -Vehicle Maintenance
Attache d are previous reports regarding fleet maintenance liability . CIRSA has not
been able to locate a source of bridge insurance .
This is a '2llllQJ1 issue. It is recommended the agreements be approved if: (a) it i,;
felt liability exposure is minimal and (b) we want to promoli intergovernmental
cooperation .
On the other hand, it is recommended the agreements be ~ if there is any
discomfort :sbout our potential exposure . In addition , we should notify Sheridan we
are discontinuing service .
I recommend approval of the agreements . It appears the liability el<'.)OSure tc, the
City is no greater than any other activity we conduct.
