Elati Stree t, Englewood, CO . 80110 (hereinafter referred to a:; "the Contractor"). · · · WHEREAS , autho rity ex ists in the Law and Funds have been budgeted , appropriated and otherwise m:Jde avail able an d a suffici ent unencumbered balance thereof remains ava il ;ible for payment in Fund Nu mber 403 , Appropri ation Code 3n4 , ORGN 9816 , Cont ract Encum brance Numbe r 9585 , and FEIN# 840 000583-F; and WHEREAS , req uire<. _,roval , clearance and coordin at ion has been accom plish ed from and with approp ri ate agencies ; and WH EREAS , th e Leg islaiure has crea ted the La w Enforcement Assistance Fund (LEAF) for the .evention of dru nken driving (4~-401 through , 3-4-404, CRS , replacement edition); and WHEREAS, LEAF has been estab lished to provi de funds to aid in the prevention uf drunken drivin g and th e enforcement of laws pertaining to driving under the influence of alcohol and drugs; and WHEREAS , pursua nt to §43-4-404 , C.R.S .. the State is authorized to allocate LEAF funds by contract to local authorities (cities and counties) to benefit the health anci safety of persons in Colorado by the implementation of local programs developed by the local authorities for drunken driving prevention an d law enforcement improvements; and WHEREAS, the Contractor has subm itted a LEAF project fund ing Ap 0 plication , which has been approved by the State; a nd WHEREAS , the Contractor has established a qualified program , consi stent with current State High way Sa fety ru les at 2CC R 602-1, to coo rdinate efforts to pre ven t drunken driving and to enforce laws perta ining to driving under t: ,e influence of alco hol and dru gs with in its ju ris diction ; and WHEREAS , the Contractor has ava il ab le the techni cal ability to properly perform the proj ~~'t as described in the Approved Application and to address the LEAF objectives of the Leg is lature ; and WHEFt EAS , this Contract is ex ecuted by the State under authority of29-1-203 , d3-1-106, 43-4-402 and 403 . anj 24-4 2-1 03 CRS . and by the Contractor under sections 29-1 -2 03 and 30-11-101 , 31-15-101 .S or home ru le charter, as app licable , and the .attache d resolut ion . Page 1 of 7 pag es • NOW THEREFORE , it is hereby agreed as follows : 1. The Contractor's Approved LEAF Application, the LEAF Contract Management Manual dated August 1, 1992 and LEAF Application Guidelines dated July , 1992, the State Highway Safety Rules at 2CCR 602-1, and Attach ments A, B and C are incorporated herein by this reference !IS terms and cond itions of this contract . The Contractor ac kn owledges that it has received copies of ti,e LEAF Contract Management Man•Jal , the Application Guidelintjs , and the State Highway Safety Rules . Th Contractor shall comply with all terms and conditions of this Contract. In the event of a conflict between the terms of this Contract and the terms of the incorpc,rated materials , the following priority shall be used to resolve such conflict: A. State Highway Safety Rules ; then B: LEAF Contract Management Manual and Gu:deli r.es ; then C. This Contract ; then D. Attachments A, B, C, in ti1 at order; then E. Approved Application. 2. The Contractor shall carry out the program and shall perform the activities which are specificall~ described in the Approv ed App li cation and are generally described in Attachment A (collectively , '~he project"). 3. The Contractor shall submit quarterly reports to the State detailing the performance of this eoritract according to the reporting c .tteria described in Attachment 8 . 4 . &eject Funding Provisions The total budget amount authorized by this Contract for the actual costs of the project wor1< is $60 ,050 , as described in Attachmerit C. The State and the Contractor shall participate in the payment of this total budget amount, as provided herein . A. State 's maximum share (from LEAF) B. Contractor's share TOTAL AMOUNT $20,000 (33%) $40,050 (67%) $60,050 (100%) The State shall use LEAF funds exclusively to pay for 33% of the actual costs incurred by the Contractor for the project wor1< up to the State's maximum share amount of $20 ,000 (33% of $60 ,050). Provided , however, that the State's maximum share shall not ex ceed the amount of $20,000 tor ·any reason , including if the Contractor voluntarily pays more than the minimum match amount required of the Contractor under this contract , unless this contract is supplemented in writing to that effect prior to the incurring of any cost in excess of the total budget amc,.t ;i:. The Contractor shall provide a minimum match share of $40,030 (67% of $60 ,050), either in paymer;t of actual costs in curred for the project wor1< or in the performance of in-kind services on the project, which reimbursemP.o1t be directly related to the erforcement of laws pertaining to driving under the inf11Jence of alraohol or other drugs . • Page 2 of 7 rages It is anticipated that the Contractor may voluntarily provide either payment of actual costs or in-kind services exceed ing its minimum match requirement in order to establish the project on a permanent basis , provided that it is express ly understood that any such voluntary payment or services snail not • incre Ase the State's maximum share under this contract. In add ition, if the Contractor fails to provide the total amount of its minimum match share the State's ob li gat ion to pay its perce ntage share shall be reduced in direct proportion to the extent of such failure , so th at the State's ob li gation will be reduced $33 for t.ach $67 (33%-67%) the Contractor fails to prov ide. Upon notice from the State, the Contractor shall repay the State any amount that was paid by the State and that a subsequent audit determines the Contractor exceeded the State's percentage of obligat ion under this contact . If the Contractor incurs project costs wh ich exceed the Attachment C budget amou nt without first obta ining an approval in that amount by written contract amendment, the Contractor shall be solely responsible for the pa yment of such excess costs . The Sta te share of th e tota l budget amount will be provided solely from LEAF funds . Any obligation of th e State unde r th is C1Jntract is con ti ngen t both upon LEAF funds being available for this Contract and upon the Con tra ctor providing its minimum share . The State will pay the C M tractor for the State's share of actual costs incurred on a month ly or quarterly basis , sub;'!:: :o prior review and approval by th e State of worll performance and purs uan t to pa yment procedures conta ined in the LEAF Contract Manua l. The Contractor shall mai ntai n an itemized accounting of all bi llings and other re..:ords to support all costs charged to the Contract and • shall present same to the State upon reques t. The obligation of the Contractor for all or any part of the paym1:1nt obligations set out herein shall only extend to monies duly and lawfully appropriated for the purpose of this Contract by the Governing Body of the Contractor. The Contractor hereby represents and warrants that the monies to pay for the Contractor's obligations described herein have already been legally appropriated by the Governing Body for the purpose of this Contract. 5. The effective date of this contract shall be the date the Controller of the State of Colorado approves th is contract , or such later date specified herein . The Contract shall begin ·January 1, 1996, and sh all term inate on December 31 , 1996. 6. Th e Contractor agrees that any subcontracts entered intJ by the Contractor under this Contra ct mu st meet all app li cable State and Federal requ irements and must be approved by the Office of Tran sp ortation Sa fety prior to exe~tion by the Contractor . Pag e 3 of 7 Pages • 7. •> Iimnioatioo Que tg I ass of E11oding The parties hereto expressly recognize that the Contractor is to be paid, reimbursed, or olhetwise compensated solely with certain funds provided to ttie State for the purpose of contracting for the services provided for herein . Therefore, the Con- ►or expre ssly understands and agrees that all its rights, demands and claims to compensation arising undP.r this Contract are contingent upon receipt of such funds by the State . In the event that such funds or any part thereof are not received by the State , the State or Contractor may immediately terminate th is Contract. b) Ieanioatico for Cause . If, through any cause , either party shall fail to fulfill in a timely and proper manner the obligations under this Contract, or if either party shall violate any of the covenants , agreements or stipulations of this Contract . the non -breaching party shall thereupon have the right to · term in ate this Contract for cause by giving written notice to the breaching party such termination and specifying the effective date thereof, at least thirty (30) days before the effective date o, such termination. In that event, all finished or unfi 11ished documents , data , stud ies , surveys , drawir,gs , maps . models, photographs, and reports of other material prepared by the Contractor under this Contract shall , at the option of the State , become its property , and the Contractor shall be entitled to receive just and equ it ab le compensat ion for any satisfactory work completed on such documents and other materials . . Notwithstand ing the above , the breaching party shall not be relieved of liab ility to the r.on-b reaching party for any damages sustained by the non-breaching party by virtue of a breac h of the Contract by the breaching party , and the State may withhold any payments to the Contractor for the purpose of setoff unti l such tim e as the exact amount of damages due the State from the Contractor is determined , if the Contracto r is a breaching party . • c) Ieonioalioo for Gcoveoieoce . Either party may terminate this Contract at any time that it determines that the purpose of the distribution of monies under the Contract would no longer be seived by completion of the Project. Such party shall effect such termination by giving written notice of tem,ination to the other party and specifv 1q the effective date thereof, at least twenty (20) days before the effective date of such terminatiu 8. The Contractor shall adopt a reso l. .ubstantially in th!! form presented by the State , which approves this Contract , obligates the necessary local monies to pay for its share of costs or in-kind services and authorizes a signatory to execute th is Contract. A copy of sucb resolution shall be attached to and made a part of this Contract. 9. The Contractor shall perform its duties hereu nder Gs an independ ~nt contractor and not as an employee. Neither the Contractor nor any agent or employee of the Contractor shall be deemed to be an .igent or employee of the State. The Contractor shall pay , when due , all requ ired employment taxes and compensation (and show proof of such insurance) and unemployment compensation insurance in the amounts required by law, and shall be solely responsible for the acts of the Contractor, its employees and agents . 10 . Collin• ---~ L-18-96 : To increase and improve the enforcement of the laws pertaining to alcohol and drug related traffic offenses within the City of Englewood by performing the activnies described in the Approved Application and summarized below . 2 3 • A Provide officers through out the term of this contract to perform DUI enforcement duties and activnies within the City of Englewood as stated in the Approved Application . Conduct at least two sobriety checkpoints or saturation patrols during 1996 . This can be in cooperation with a nearby agency or solely by the Englewood Police Department. Make all reasonable efforts to increase the DUI alcohol and drug relatfld arrests within the City of Englewood by 20% fr om the 1995 level. COLORADO DEPARTMENT OF TRANSPORTATION ---•~• LEAP CONTRACT ATTACHMENT B------~~~• L-lP-96-Englewood Police Pepartment 1 ). Each quarter the Contrdctor shall submit a report to tht: Office of Transportation Safe ty in accordance with the LEAF Contract Management Manual . The Quarterly Reports will state all activity accomplishments as requ ired by Contra ct Number L-18-96 during the reporting period. The Englewood Police Department is encouraged to use the LEAF ~oftware package when comp ili ng data and submitting the requ ired rEpr 1s. Starting in 1997, all rec ip!ants will be requ ired to use the software so th.it the State can bette r manage this prog ra m. 2). No payme~t for cos t in curred during the reporting period will be reimbursed by the Office of Tra nsportation Safety if such Quarterly Reports are not current. 3). Upon completion of all LEAF activity the Engl ,wood PolicEl Oepartmer.t will subm it a Final Report in accordance with the LEAF Contract Manag emen t Manua l. RECOMMENDED ACTION Scaff seeks Counc ,I support for a bill for an ordinance approv ing the law Enforcement Assistan ce Fund (LEAF ) cont ract L-18-96, enabling the City of Englewood to enter into a contract with the Colorado State Department of Transportalion , wh ich grants the Cily money to be used by the Depa rtme nl of Sa fety Services for DUI de tection and enforcement. BACKGROUND , ANALYSIS, AND ALTERNATIVES IDENTIFIED The proposed ordinance would all ow 1he Departmenl of Safely Servi ces to accept LEAF grant money for use in the de1ection and apprehension of DUI drivers within the City of Englewood. The Englewood Police, in accordance with stat e motor vehicle laws, and with the preservat ion of life and property in m ind, actively investigates DUI violation s with 1he intent of removi ng drunken drive rs from 1he City's slreets.
