WHEREAS, the City of Englewood ha1 been servicing the City of Sheri dan's vehicles since Deumber, 1992; and WHEREAS, the City of Englewood and the City of Sheridan desire the renewal of the agreemeat whereby Englewood provides Sheridan wi th vehicle maintenance; NOW , THEREFO:U:, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD , COLORADO, AS FOLLOWS : ~-The intergovernmental agreement between the City of Sheridan and the City of Englewood, Colorado for vehicle maintenance, attached as "Exhibit A", iB hereby accepted and approved by the Englewood City Council . The Mayor iB authorized lo execute and the City Clerk lo attest and seal the Agreemeat for and on behalf of the City of Englewood , Colorado. Introduced, read in full, and passed on first reading on the 15th day of April , 1996. Published as a Bill for an Ordinance on the 18th d&y of April , 1996. The City of Enclewood, Colorado shall perform the followinJ services: The City of En,lewood shall perform all neceuary npaira ud maintenance 011 the vellicles owned by the City of Sheridan to the City of Sheridan'• satimcti011, and the City of Sheridan ahall pay to the City of Englewood ior such services the sum of thirty-four Dalian ($34.00) per hour, in addition to the cost to the City of Englewood of any parta or outaide vendor charges plus Twenty percent (20%) handlinJ fH . 2. The City of Englewood will proceed with the performance of the services called for in Para,raph No . 1 OD January 1, 1996 and the C011tract shall terminate OD December 31 , 1996 . Some maintenance of the City of Sheridan's vehicles shall be performed by the City of En,lewood according to a schedule to be made by the City of Sheridan and approved by the City of Englewood u part of this agreement. and shall include work requested by Sheridan or work identified by Englewood during inspection of the vehicle . 4 . The City of Englewood sball repair any vehicles of the City of Siloridan delivered to the City of Englewood for that purpose in a good . workmanlike manner . 5 . The City of Englewood and the City of Sheridan agree not to : refuse "' hire, discharge, promote, demote or discriminate in any matter of compensation; performance, services or otherwise, against any person otherwise qualified solely because of race, creed, se1, color , national origin or ancestry. 6 . This Contract may not be modified , amended o· otherwise altered unleu mutually agreed u pon in writing by the parties. 7 . The City of En,lewood lhall be rapolllible for the proli,uional quality, technical eccurac:y, timely completion and the ooordination of the rwpain under the Contract. The City lhall, without additional campeuation, correct or reviH any erron, omiuiona, or other deficienciea in its oervic:es related to the Contract. 12 . Either party al the Contract may terminate the Contract by giviq to the other party 30 da11 noti<:e in writin1 with or without good came lhown. Upon delivery of such notice by the City of Sheridan to tha City of i:n&Jowocd and upon upiration of the SO day period, the City of En,lowood lhall diacootinue all services in connection with the performance of the Contract. NJ IC)0ft u practicable after receipt of notice of termination, the City of En,lewood lhall submit a statement, showing in detail the servicel performed under the Contract to the date of termination. The City of Sheridan shall then pay the City of Englewood promptly that proportion of the preacribed charps which the services actually performed und er the Contract bear to the total services called for under the Contract. less such payments on account of the charps u have been previously made. 13 . All notices and commwucations under the Contract to be mailed or delivered to the City of Englewood shall be to the followin1 address : Director of Public Works City of Englewood 3400 South Elati Street Englewood , Colorado 80110 All n otices and commwucntions pertaining to the Contract shall be mailed or delivered to the City of Sheridan at the following address : City of Sheridan 4!01 South Federal Boulevard Englewood . Colorado 80110 14. The terms aod conditions of the Contract shall be binding upon each City, its successors and assigns . 15 . Council apprnved similar fleet ma intenance agreements wi1h Ille City of Sheridan for 1993 , 1994 and 1995. RECOMMENDED ACTION Staff seeks Council approval of a bill for an ord in ance authoriz ing the Mayor to sign an lntergovem,nental Anreement with the City of Sheridan for fleet ma intenance . BACKGROUND , ANALYSIS, AND ALTERNATIVES IDENTIFIED The City of Englewood has been servicin g City of Sheridan vehicles since December , 1992 . The agency continues to provide basic maintenance , su ch as oil changes and lube jobs, but brings more complex jobs to Englewood 's Servicenter. The City of Sheridan has been satisfied with Ille services provided by Eng lewood and is interested in continuing our WOlking relationsh ip at the revised hourty rate of $34 .00 per hour. FINANCIAL IMPACT Throughout 1993 , 1994 , and 1995 , !he Servicenter Garage took on the additional workload of servicing Sheridan 's fleet ve hicles . This has been accompli shed wi1hout add ing addltional staff. Income from the Cilv of Sheridan helps defray the cost of provid ing fleet maintenance services to all Englewood departmen t:: _,nn,atl\d 1996 revenue • $16 ,000 .00 .
