AN ORDI NANCE AUTHORIZING AN INTERGOVERNMENTAL CONTRACT
BETWEEN THE STATE OF COLORADO DEPARTMENT OF
TRANSPORTATION (COOT) AND THE CITY OF ENGLEWOOD , COLORADO
PERTAINING TO REPLACING WATER ~WNS IN WITHIN THE LIMITS OF
THE PROJECT KNOWN TO COOT AS "BELLEVIEW NORTH".
WHEREAS, with the proposed street improvementa in the Colorado Depa. 'ment of
Transportation's "Belleview North" Project or South Windermere Street,
Englewood's water mains will become inacce11i bl e du e to Jepth of future irrade.; and
"WHEREAS, the c:urrent proj ect will provide an opi,ortunity for relocatin( and
incr<!asing the size of the existing potable and r aw water mains; and
WJIT REAS , the propos ed project consists ofupsizing the existing 27" raw wate_r
main to a 36" main and upsw.ng the existing 16" potable water main to a so• main;
and
WHEREAS, the Con tract amount of $244 ,240, to be paid by the City, is a fixed
amoun\: inclusive for en gin eerin g, materials and lab or;

C O N T R A C T
THIS CONTRACT, made this day of , 1996, by
and between tt,e State of Coloradc, for the use and benefit of 'l'HE
DEPARTMENT o~· TRANSPORTATION, herE ,inafter referred to as the State,
and the CIT:! OF ENGLEWOOD , STATE l)F COLORADO, hereinafter referred
to as t!,-: contractor or Local Ag•mcy,
WHEREAS, authority exists in the law and funds have been budgeted,
appropriated and otherwise milde available and a sufficient
unencumbered balance thereof rerAains available for payment in Fund
NW!lber 400, Program 2000, 'Function 3020, Object 2312 lP,
Originating Unit 6061, Project NW!lber 10061 00 D, (Encumbrance
Amount $0); and
WHEREAS , required approval, clearance and coordination has been
accomp lished from and with appropriate agencies; and
WF.EREAS , the State anticipates reconstruction of South Windermere
Streec , from West Be ll eview Avenue to West Tufts Avenue in
Eng l ewood, Colorado, under State Project No. F.B 0852-075 which i,
f i.n ded with State and Federal -Aid funds; and
WHEREAS, the State's project causes modification of approximately
two-hundred eighty linear feet (280 LF) of 20-inch water line and
three-hundred forty linear feet (340 LF) o f 27-inch water line
within West Layton Aven u e; and nine-hundred sixty-four linear feet
!964 LF) of 16-inch watEr line, three-hundred fourty linear feet
(34 0 LF ) of 1 2-inch water l.:.ne, one-thousand sixty-three linear
feet (1063 LF ) of 10-inch water line, and si>,-hundred ninety linear
f eet (69 0 LF) of 4-ir.ch water line within South Windermere Street ;
and the Local Age ncy desires to increase the size and quantity by
consolidating these fac i lities, all of which are hereinafte1·
referre<i to as 11 the work "; and
WHEREAS, the State and Local Age ncy consider. it to be in their
mutual interest to cooperate in the project; and
WHEREAS, the State agrees to install the water li~es and a ll
re lated appurt enances for repla~lng / upgrading the e xi sting water
lines; a nd
WHEREAS , the Local Agency will re imbur se the State for the costs
t hat are attributable to the increased size and quantity of
p roposed water lines; and
WP.ERE AS , the parties have agreed that design and construction of
t~e State's pro je ct shal l be modified to provide for inclu s~on of
~e work desired by the Local Agency; and
WHEREAS, the Local Agency has subl'litted plans and specifications
for t he desired vork to the State setting forth therein final
design information for this wo r k which data has been approved by
the State; and
WHEREAS, the State has estimated the total cost of the work and the
Local Agency is prepared to provide funding for the increased size
and quantity of proposed water lines for the work as evidenced by
an appropriate ordinance or resolution duly p~ssad and adopted by
the authorized representatives of the Local AgenC!' a copy of which
is attached hereto and made a part hereof; and
WHEREAS, said ordinance or resolution also establishes the
authority under which the Local Agency enters into this contract;
and
WHEREAS, the purpose of this contract is to define the respective
responsibilities of the parties here to for the work, wh ich is to be
completed in con junct ion with State Project No . HB 0852-075 ; and
WHEREAS, this contract is executed by the State under authority of
Sections 29-1-203, 43-1-110, 43-1-116, and 43-2-144, C.R.S., as
amended; and
NOW, THERE. ·•RE , it is hereby agreed that:
A. This contract establishes the general provisions for and •
defines certain responsibilities reg·.rding the design and new
construction for the consolidation of w;,,ter lines with in South
Windermere Street and West Layton Avenue in Englewood ,
Colorado, ( "the work") as specifica lly rte scribed in the plans
and specif.'.cations for the work which is incorporated herei:1
(Exhibit A) and made a part hereof by reference.
B . The pai ties have agreed to a. fixed amount of $244,240.00
(Ex hibit Bl as the cost of the work, including preliminary
engineering . Within 30 days after completion of the w~tk to
be performed under thi s contract and acceptance thereof by the
State, Federal Highway Administration (FHWA ) and the Local
Ag~ncy; the Local Agency will remit to the State a lump sum of
$244,240.00. Wo rk performed in conformance wi th the final
plans shall be deemed acceptable. The Local Agency shall not
unreasonably wit 'hold final acceptance of the work. Until the
~tate is reiu.i:lursed, inter~m funds shall be pay:1bl~ from State
Highway Supp e mentary Fund (400).
c . The State will provide liaison with the Local Agen cy
throu -i1 1:..b e St.ate' s Region Transportation Director, Region 6,
locat , ,! at 2000 S. Holly Street, De nver CO 80222. Said
Region Transportation Director wil l a lso be respons i b :e for

D. It is understood and at 1d by the parties hereto that the
total cost of ~he work a ~ated hereinbefore is the best
estimate avail&.b.e baaed on the design data as approved at the
time of execution of this contract, and that such cost is
subje=t to revisions agreeable to the parties prior to bid and
award. Following award of the construction contract(s), no
further revisions in design data or cost estimate shall be
made except by agreement in writing between the parti es.
E. The parties hereto agree that this contract is contingent
upon all funds des i gnated for the work herein being made
available from Loc~l Agency sources. Should the Local Agency
fail to provide necessary funds as agreed upon herein, the
contract may be terminated b~· either party . Any party
terminating its interest and ob.t.igations herein shall not be
relieved of any financial obligations which existed prior to
the effective date of such termination or which may occur as
a result of such termination . After the State's constructicn
contract for the work has been awarde d and fully executed,
this contrac: may not be tetininated until the work is complete
and f i nal bills are paid in full.
ARTICLE II
GENE RAL PROVISIONS
A. The Local Agency will provide the preliminary engineering for
the work, including the preparation of construction plans and
specifications in accordance with the State's Roadway Design Man ual
and Standard Specifications for Road and Bridge Construction ;:.nd
the Local Agency's "Technical Specifications". The State will
afford the Local Agency ample opportunity to review and approve the
estima:e . The State will provide final assembly of construction
plans, special provisions, estimates and ct,nstruction contract
docu,,ents. The State will establish appropriate Disadvantaged
Business En terprise (DBE ) goals for the construction contract(s).
The State wil l advertise the call for bids and award the
construction contract(s) to the low responsible bidder(s).
B. The State wil l provide construction engineering during the
construction of the work. Said construction engineering will
include f i eld and office engineering, inspecti,,n and material
testing, traffic control, and the supervision of the construction
of this project. Th e State will contact the Local Agency prior t o
work for approval of a ny construction contract modifications
resulting from the construction engineering. On completion of t he
wo rk, the State will schedule a final inspection of the wor!: wi:h
t he cons cruct ion contracto r and the Local Agency. Based up nn that
i nspectio~, the Loca l Agen cy will indicate in writing its
concurrence or no n -con currence of the satisfactory performance of
the work. Performance of t he work in accordance with the plans and
specifications will be deemed to be satisfactory. Upon
sati sfactory perfo rmance of the work, the State will affect
contract close out proc, 1u rea , i.n cluding advertisj •.1 g for and
zettleme11t o f cl a im8 .
c. The State sh&ll aaintain all books, docU111ents, papers,
accounting records, and other evidence pertaining to costs incurred
for the worx and ah&ll aake such materials available for inspection
at all reasonable times during the project period and for three (3)
years from the date of final payment by the Local Agency to the
State . Co pies of such records shall be furnish•d to the Local
Agen cy upon request.
D. The Local Agency will maintain and operate the improvements
c onstructed under this contract, at its own cost and expense during
t heir u3eful life and will make ample provision for sur.h
maintenance each year. Such maintenance and operations shall be in
accordanc e with all applicable statutes and ordinances, and
regulat ions promulgated thereunder, which define the Local Agency's
obligation to ma intain such impro•,ements.
E . ·rne term of this com:ract, except f,..,r the provis .ons regarding
maintenance , shall continue through the completion and final
acceptance of this project by the State, FHWA and Local agency .
The covenants with regard to maintenance of the improvements
c on structed un der this contract sha l l remain in effect in
perpetui t y or until such time as the Local Agency is , by law or
o therwise, relieved of such resp•)nsibility.
F . Dur i ng the perf ormance of a l l work unde r t hi s cont r act, the
parties hereto agree to comply with Title VI, of the Civi l Rights
Act o f l ~64 , the 3alient point s o f which a.re shown in the
Non -Discri minat i on Provisi ons attach ed hereto and made a part
hereof.
G. Th i s contract shal l i nure to the benefit of and be binding upon
the parti es, their successors, and assigns.
H. Th is contract may be terminated as follows:
(a ) Term i nat i on for Cause. If, through any cau se , the Loca l
Agency shall fa il to fulfill, in a timely and proper manner,
its obligat i ons un de r this contract, or if t h e Loca l Age ncy
shall vio l ate any of the covenants , agreements , or
st i p u lations of this contract , the State shal l thereupon have
t h e right to terminat e thi s contr:ict for cause by giving
w:_ it t e n notice to the Loc a l Agency o f such termination and
speci f yi n g the e f fectiv e date thereo f, at least five (5) days
befo r e the effecti ve date o f such termi nation . In that e v ent
that t he contract Ls termi n ated for cause the Lo cal Agen c y
s hall reimb u rse the State ~~y expe nses i n c u rred by the State
unde r :.h e contract in a l ump sum paym:nt made w~thin thi rty
(30) d a ys o f t h e termination .
No cw :.ti1 standin g a bove, t he Local Agency shall not b e r el i eved
of liabili ty t o t h e St ate for any damages s u stained by the
St a te by v i rtu s o f any breach o f the cont ra ct b y the Local
Agency.
If after s uch te rm ination it is determi ned , f o r any reason,
that t he ~oc~l Age ncy was no t in d efa ult, or tha t the Loca l
Ay t.-:.r y ' s a c tion /i::act i nn was ex cusa b l e, s u ch terminatio n s hall

be treated as a termination f.or convenience , and the rights
,,nd obligati ons of! the parti .u aAal l be the same as it the
ccntract had bean terminated for convenience, as described
het<!in.
(b) Terminacion for Convenience. The Stat e may terminate
this contract at any time the State determines that the
purpo ::l es of the distri bution of tunds under the contract would
no longer be served by comp letion of the project. The St ate
sha~l e ffe ct such termination by g iving written notice of
termi nation to the Local Agency and s pecifying the effecti vll
date thereof, a t least twenty (20) days before the ~r f ective
date of such termination.
I . Notwithstanding anything herein tot~~ contrary, the parties
understand and agree that all t enns and conditions of this contr~ct
and a ttachments hereto which may require continued performance o r
compliance beyond the termination date of the contract shal l
survive such termination date and shal l be enforceable by the State
a'S provided herein in the event c f such fa ilure to perform or
c om ply by the Local Agency .
J . This contract is sub j ect t o such modifi cation s a s may be
r~quired by changes in federa l or State law, or their impleme nting
r s'Jll lations. An y such required modification s hall automatically be
incorporated into and be part of this contract on the effective
date of such change as if fully set forth herein. Except as
provided above, n o modifi cation of this con~ract shall be e ffective
unless a greed tr in wr iting by both parties in an amendmen t to th i s
contract that i.s properly executed and approved in accordance with
applicabl e law.
K. To the extent that this contract may be e x ,ecuted a nd
performance of the obligations of the parti es may be accomplished
within t h e int ent of the contract, the terms of this contract are
severable , and should any tenn or provision here of be decla red
invalid or become inoperative for any reason, such invalidity or
failure shall not affect the validity of a ny ct.her tenn or
provision h~~~~=. Th e waiver of a ny breach of a term hereof s h a ll
not r~ constru Pd a s a waiver of any other term, or the same term
urvn subsequent breach .
This contract is intended as the complete integra..i.on of a ll
unde r standings between the parties. No prior or contemporaneous
add ition, deletion, or othe r amendment here to shall have any for c e
or effect whatsoever , unles s em!:)o died herein by writing. No
sub '3equent. novati..on, r:'!:1e wal , uddition, delet ion, or c:.!:~=

At Bill McCo•.mick 's request I have reviewed CDOT's legal descriptions for seven ~Is along
South Winde rm«e Street for the Navajo Truck Route . All descriptions mathematically close and
all areas wen · correctly computed to the nearest square foot. I did however find a number of

BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
• W ith the proposed stre ot improvements in the State's Windermere Project, Englewood 's water
ma ins will become inaccessible due to depth of future grades. The current project will provid e
an opportunity for upgrading and upsizing the existing potable and raw water ma ins . It is
proposed that th e exi sti ng 27' raw water line will become a 36 ' ma in and the existing 16'
potab le water mai n wi ll be ups ized to a 30" main .
Prec ise ly, 280' of 20 " and 340' of 27' water li ne within West Layton Ave . and 964' of 16', 340'
of 12', 1,063 ' of 1 o· and 690' of 4' water line within S. Windermere St. wil l be replaced with
250 ' of 30 ", 300' of 36" with in W. Layton Ave . and 1,110' of 8', 905' of 30' and 927' of 36"
water line within S. Windermere St.
FINANCIAL IMPACT
The contract amount is a fix ed a mount inclusive for eng ineering, r,,ate ri als and labor ..
The co ntract amount is $244 ,240 to the State for funding materials and labor to upsize and
exte nd both w ater li nes. The Water Fund budgeted approxi mately $272 ,000. for this project.
