AN ORDINANCE AUTHORIZING A PIPELINE CROSSING AGREEMENT
ENTITLED "PIPELINE CROSSING AGREEMENT -MILE POST: 7.76" AT
KENYON AVENUE WITH THE UNION PACIFIC RAILROAD COMPANY.
WHEREAS, in 1954 the Englewood City Council authorized a "Pipe Line Crossing
License No . 21178 Agreement" between The Denver And Rio Grande Western
Railroad Company and the City which allowed the City to install a 16" cast iron
sanitary sewer pipeline at West Kenyon Avenue across the existing railroad Right-
Of-Way; and
WHEREAS, the Englewood City Council approved a "Utility Protection
Agreement" pertaining to modifications for the Southwes t Corridor Light Rail
Project, between RTD and the City with the passage of Ordinance No. 43 , Series of
1997;and
WHEREAS, due to the Southwest Corridor Light Rail Project, the 1953/1954
Agreements need to be modified because the location of the heavy rail railroad tracks
have been changed requiring additional encasement of the existing sanitary sewer
pipes; and
WHEREAS, at the time of construction the Union Pacific Railroad Company
(UPRR) formerly the Denver and Rio Grande Western Railroad Company, entered
into "Right Of Entry Agreements" with the contractor and RTD; and
WHEREAS, the Union Pacific Railroad now wishes to revise their Agreements
with the utility line owners to reflect those modifications;
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF ENGLEWOOD, COLORADO, AS FOLLOWS :
Section 1. The City Council of the City of Englewood , Colorado hereby authorizes
the Pipeline Crossing Agreement between Union Pacific Railroad Company and
the City, a copy of which is marked as "Exhibit 1 -Pipeline Crossing Agreement -
Mile Post: 7.76" -Kenyon Avenue, attached hereto .
Section 2. The Mayor and City Clerk are hereby authorized to sign and attest said
Pipeline Crossing Agreement on behalf of the City of Englewood .
Introduced, read in full , and passed on first reading on the 20th day of April , 1998 .

TiilS AGREEMENT is made and entered into as of the day of 199 _,
by and between UNION PACIFIC RAILROAD COMP ANY, a Utah corporation (hereinafter the Licensor) and the
CITY ENGLEWOOD, a municipal corporation of the State of Colorado to be addressed at 3400 South Elati Street,
Englewood, Colorado 8011 O(hereinafter the Licensee).
IT IS MUTUALLY AGREED BY AND BE1WEEN THE PARTIES HERETO AS FOLLOWS:
ARTICLE 1 -LICENSOR GRANTS RIGHT
In consideration of the covenants and agreements herein contained to be by the Licensee kept, observed and per-
formed, the Licensor hereby grants to the Licensee the right to construct and thereafter, during the term hereof. to
maintain and operate
one underground 16-inch pipeline crossing for conveying sanitary sewer only
(hereinafter the Pipeline) in the location shown and in conformity with the dimensions and specifications indicated on
the attached prints dated January, 1997 and marked Exhibit A-1, A-2. Under no circumstances shall Licensee
modify the use of the pipeline for a purpose other than conveying sanitary sewer, and said pipeline shall not be used
to convey any other substance, any fiber optic cable, or for any other use, whether such use is currently technologically
possible, or whether such use may come into existence during the life of this Agreement.
ARTICLE 2 -CONSTRUCTION, MAINTENANCE AND OPERATION
The grant of right herein made to the Licensee is subject to each and all of the terms, provisions, conditions,
limitations and covenants set forth herein and in Exhibit B, hereto attached.
ARTICLE 3 -IF WORK IS TO BE PERFORMED BY CONTRACTOR
If a contractor is to do any of the work performed on the Pipeline (including initial construction and subsequent
relocation or substantial maintenance and repair work), then the Licensee shall require its contractor to execute the
Licensor's form Contractor's Right of Entry Agreement. Licensee acknowledges receipt of a copy of Contractor's Right
of Entry Agreement and understanding its term, provisions and requirements, and will inform its contractor of the need
to execute the Agreement. Under no circumstances will Licensee's contractor be allowed onto Licensor's premises
without first executing the Contractor's Right of Entry Agreement.
ARTICLE 4 -INSURANCE
a). The Licensee, at its expense, shall obtain the insurance described in Exhibit B-1, hereto attached. The Licensee
will also provide to the Licensor a Certificate of Insurance issued by its insurance carrier confirming the existence of
such insurance and that the policy or policies contain the following endorsement:
Union Pacific Railroad Company is named as an additional insured with respect to all liabilities arising out
of the existence, use of any work performed on or associated with the 'Pipeline' located on Railroad right of way

This Agreement shall take effect as of the date first herem written and shall continue in full force and effect until
tcmrinated. as herein provided.
ARTICLE 6 -CANCELLATION CLAUSE
Effective upon the installation of the Pipeline and commencement of the use thereof. that certain agreement Audit
No. S21l78, dated September 20, 1954, betWeen the Denver and Rio Grande Western Railroad Company and the City
of Englewood. and/or their predecessors, as extended. renewed or supplemented (if applicable), covering the subject
Pipeline at the same location., shall be terminated.; PROVIDED , however that such temrination shall not affect any of
the rights or obligations of the parties to said agreement, as extended, renewed or supplemented (if applicable), which
may have accrued, or liabilities, accrued or otherwise, which may have arisen prior to such temtinarion.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of the date first herein
written.

Section l. I.IMITATION AND SUBORPINATION OF RIGHTS GRANJ'ED.

a) The foregomg grant cf right is subject and su.OOrdinate to the prier and ccniirnllng right and obligation of the Licensor to
use and maintam its entire property including the right and power of the Licensor to construe:. :naintcrin. repcm. renew, use,
operate. change. modify or relocate railroad trades. signal. c.:ommunicdion. fiber optics, or other wirelines, pipelines and other
facilities upon. aiong or ac:'OSS crny or ail parts of its property, ail or crny of which mcrr be freely done at crny time or times by the
Licensor.
b) The foregoing grant is aiso subject to all outstanding superior rights (including those in favor of licensees and lessees of
the Licensor's property, and others) end the right of the Licensor to renew and extend the sc:me, and is made without covenant of
title or for quiet en1oyment.
Section 2. CONSTRUCTION. MAINTENANCE AND OPERATION.
a) The Pipeline shall be consm.ic:ed. operated. maintained. repaired. renewed. modified and/or reconstruC:ed by the
Licensee in strict c::::niormitywith Union Pacific Railroad Co. Common Stcnc:iard Spee.ficaticn 1029 adopted November 1949,, and
all amendments thereof and suppiements thereto. whic..!.i. by this reference is hereby made a }:c:rt h ereci. except as mcrr be modified
and approved by the Licensor's Vice P:-esident-E.-igmeering Services. In the event suc..'1 Spec-.fication c::milic:s in crny respect with
the requirements of any federai. state or :nunic:pal law or regulation suc!:l requirements shd govern on all points of conilict. !:mt
in all other respec:s the Spee.iication shall apply.
b) All work performed on property of the licensor in connec!ion with the c onsrruC::cn. mc:intenance. repair. renewcri.
modificction or rec::::nsrrudon of the Pipeline shall be done to the satisfac:ion of the licenser.

Prior to the commencement oi arrv work in connec:ion with the construction maintenance. :eoair, renewal. modification
locction. reconstruction or removcl of the Pipeline where it passes underneath the roacl::ed end trccic or trccks of the Licensor.
the Licensee shall submit to the Licensor plans setting out the method and manner of handling the work. including the shoring and
cri.bbing, if any, required to prated the licensor's operations. and shall not proceed with the work until suc.'1 plans have been
approved by the Vice ?resident-E.-igineenng Services of the Licenser and then the work shc:il be done to the satisfaction of the Vice
President-E..-igineering Services or his authorized representative. The Licensor shall have the right. if it so elects, to provide suc!:l
support as it may deem necessary for the safety of its tracl: er trade; during the time of construc:ion. maintenance. repair. renewal.
modification. relccction. reconstruction er removal of the Pipeline, and in the event the !.:censor provides such support. the
licensee shall pay to the Licensor, mthin fifteen (15) days after bills shall have been rencered thereicr. all expense incurred by

adjacent surface of the ground.
Section 3. NO'TICEOFCOMMENCEMENTOFWORK.
If an emergency should arise requiring immediate attention the Licensee shall provide as much notice as practicable
to Licensor before commenc.ng any work. In all other situations. the Llcensee shall notify the Licensor at least ten ( 10) days (or
suc.'1 other time as the Licensor may allow) in advance of the commencement of any ;vork upon property of the Licensor in
connec:ion with the consm.ic:ion. maintenance, repair. renewal. modification. reconstruc:ion relocdion or removcl of the Pipeline.
All such work shall be prosecuted diligently to completion.
Section 4. LICENSEE TO BEAR ENTIRE EXPENSE.

Section 10. lNDEMNITI.
a) As used in this Section. ''Licensor" includes other railroad companies using the Licensor's property at or near the location
of the Licensee's installation and their officers, agents, and employees; "Loss' includes loss, damage. claims. demands. actions,
causes of action. penalties. costs. cmd expenses of whatsoever :lC!Ure, including court costs and attorneys' fees. which may result
from: (a} injury to or death of persons whomsoever (including the Licensor's officers, agents. and employees. the Licensee's
officers, agents, and employees. as well cs any other person); anci/or (b) damage to or loss or destruction of property whatsoever
(including Licensee's property, damage to the rcadbed. tracks. equipment. or other property of the Licensor, or property in its care
or custody).
b) As a major inducement and in consideration of the license and permission herein granted. the Licensee agrees, to the
full extent permitted by law, and without waiving the privilege, immunities, and limitations of liability in the Colorado Governmental
Immunity Aa, 24-10-101 ec.seq., as amended. to indemnify and hold harmiess the Licensor from any Loss which is due to or arises
.from:
1. The prosecution of any work contemplated by this Agreement including the installation. construction.
maintenance, repair, renewal. modification. rec::nstruction. relocation. or removal of the Pipeline or any part
thereof; or
2. The presence. operation or use of the Pipeline or contents escaping therefrom.
except to the extent that the Loss is caused by the negligence of the Licensor.
Section 11. REMQVAL OF PIPE LINE UPON IERMlNATION OF AGREEMENT
Ai. the termination of this Agreement howsoever, the Licensee shall. at Licensee's sole expense, remove the
Pipeline from those portions of the property not occupied by the roadbed and track or tracks of the Licensor and shall restore. to
the satisia:ction of the Licensor, such portions of such property to as good a condition as they were in at the time of the construction
of the Pipeline. If the Licensee fails to do the foregoing, the Licenser may do such work of removal and restoration at the cost and
expense of the Licensee. The Licensor may, at its option. upon suc..'1 termination. at the entire cost and expense of the Licensee,
remove the portions of the Pipeline located underneath its roadbed and track or tracks and restore such roadbed to as goca a
condition as it was in at the time of the construction of the Pipeline. or it may permit the Licensee to do such work of removal and
restoration to the satisfaction of the Licensor. In the ENent of the removai by the Licensor of the property of the Licensee and of the
restoration of the roadbed and property as herein provided. the Licensor shall in no manner be liable to the Licensee for any
damage sustained by the Licensee for or on account thereof. and sue.Ii removal and restoration shall in no manner prejudice or
impair any right of action for damages, or otherwise, that the Licensor may have against the Licensee.
Section 12. WANER OF BREACH.
The waiver by the Licensor of the breach of any condition. covenant or agreement herein contained to be kept observed.

the rights herein granted. whether voluntary, by operation of law, or otherwise, w;thout such consent in wrtting, shall be absolutely
void and. at the option of the Licensor, shall terminate this Agreement
Section 15. SUCCESSORS AND ASSIGNS.
Subject to the provisions of Section 14 hereof. this Agreement shall be binding upon and inure to the benefit of the parties

Original railroad crossing agreements were approved in 1953/1954. The original project
agreement , the Utility Crossing Agreement with RTD , was passed as Council Bill #49 on June
2 , 1997.
RECOMMENDED ACTION
• Council approval by Ordinance of the Pipe Line Crossing Licenses for the right-of-way at
Kenyon and at Yale.

BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIED
The original Pipe Line Crossing License allowed Englewood to install sanitary sewer pipes
across the existing railroad right-of-way. As of part of the Southwest Corridor Light Rail
Project , the location of the heavy rail railroad tracks has been modified requiring additional
encasement of the existing sanitary sewer pipes. The railroad crossing licenses need to be
modified to reflect these changes.
FINANCIAL IMPACT
RTD will be funding the Crossing License Agreements .
