Mayor Love presiding called the meeting to order and asked that the invoca- tion be given by o. F. Reeg of the Grace Lutheran Church. The Mayor asked for roll call. Upon the call of the roll, the following persons were present: Councilmen Allen, Braun, Fullerton, Hanson, Kreiling, Rice, Love. Also Present: City Manager Dial, Administrative Assistant Malone, City Attorney Esch, City Clerk Beausang. Absent: None. The Mayor declared a quorum present. 641-2 CONSIDERATION OF MINUTES OF PREVIOUS MEETING COUNCILMAN FULLERTON MOVED, COUNCILMAN HANSON SECONDED, THAT THE MINUTES OF THE ORGANIZATIONAL MEETING HELD JANUARY 6, 1964 BE APPROVED AS CORRECTED. Upon the call of the roll, the vote resulted as follows: Ayes: councilmen Rice, Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Absent: None. The Mayor declared the motion carried. 641-13 CITIZEN APPOINTMENTS TO VARIOUS BOARDS AND Ca.MISSIONS Water and Sewer Board The Mayor announced that two citizen's terms were expiring on February 1, 1964, namely, Mr. Robert Frantz and Mr. Herman Oliner. He stated that both had indicated a desire to serve. ' COUNCILMAN BRAUN MOVED, COUNCILMAN ALLEN SECONDED, THAT MR. ROBERT F. FRANTZ BE APPOINTED TO A SIX YEAR TERM ON THE WATER AND SEWER ADVISORY BOARD. Upon the call of the roll, the vote reaited as follows: Ayes: Councilmen Rice, Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Absent: None. The Mayor declared the motion carried and Mr. R. Frantz appointed to the Water and Sewer Board for a term ending February 1, 1970. COUNCILMAN KREILING MOVED, COUNCIIMAN ALLEN SECONDED, THAT MR. L. L. BROWNEWELL BE APPOINTED TO THE WATER AND SEWER ADVISORY BOARD FOR A SIX YEAR TERM. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Rice, Kreiling, Hanson, Braun, Allen, Love. Nays: Councilman Fullerton. Absent: None. The Mayor declared Mr. Parkinson appointed to the Planning and Zoning Commission for a four year term ending February 1, 1968. Board of Adjustment and Appeals The Mayor announced that Bill Clayton's term was expiring and that he was willing to serve. He also called the Council's attention to a reconmendation that he be reappointed to the Board of Adjustment and Appeals from the Board of Adjustment and Appeals. COUNCILMAN RICE MOVED, COUNCILMAN HANSON SECONDED, THAT MR. WILLIAM A. CLAYTON BE APPOINTED TO A FOUR YEAR TERM ON THE BOARD OF ADJUSTMENT AND APPEALS. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Rice, Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Absent: None. The Mayor declared Mr. William A. Clayton appointed to the Board of Adjustment and Appeals for a four year term ending February 1, 1968. Public Library Board The Mayor announced that the terms of Mra. Betty Wolfe and Dr. Gleichman were expiring and that neither had expressed the deaire to serve another term. He reported that he had received a verbal recommendation that Mr. Tim Sullivan and Mrs. Frances Delmont had been received. COUNCILMAN BRAUN MOVED, COUNCILMAN RICE SECONDED THAT MR. TIMOTHY D. SULLIVAN AND MRS. FRANCES DEutONT BE APPOINTED TO THE PUBLIC LIBRARY BOARD FOR A FOUR YEAR TERM. Councilman Fullerton asked that both appointments not be made at one time. COUNCILMAN BRAUN AMENDED, COUNCILMAN RICE AGREED TO THE AMENJ»tENT, THAT THE NAME OF MRS. FRANCES DELMONT BE STRUCK FROM THE MOTION. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Rice, Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Absent: None • The Mayor declared the motion carried. COUNCIUL\N FULLERTON MOVED, COUNCIUL\N KREILING SECONDED, THAT MR. CLARANCE DAANE BE APPOINTED TO THE LIBRARY BOARD. COUNCILMAN BRAUN MOVED, COUNCILMAN RICE SECONDED, 'nlAT THE NAME OF CLARANCE DAAHE BE STRICKEN FROM THE MOTION AND THAT OF MRS. FRANCES DELMONT INSERTED. The question on the amendment was called for. Councilman Kreil~g asked the residence of Mrs. Delmont. He was told it was the 4600 block South Bannock. Councilman Kreiling suggested that an appointment be made from the northeast area of town. Councilman Fullerton spoke further of his opinion that the northeast Bnqlewood area was being exempted from consideration for appointments. Councilman Braun and Rice objected to this statement and pointed out that Messrs. Frantz and Clayton were both fran that general area. The Mayor commented that it is laudable for a councilman to desire that his area be well represented on the various boards and commissions of the City. The question was called for on the amendment. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Rice, Hanson, Braun. Nays: Councilmen Kreiling, Fullerton, Allen, Love. The Mayor declared Mr. Clarance Daane appointed to the Public Library Board for a four year term ending February 1, 1968. Election Commission The Mayor announced that Mrs. Vranesic was not willing to serve another term on the Election Conunission. COUNCILMAN RICE MOVED, THAT MRS. DOROTHY RC»lER BE APPOINTED TO THE ELECTION COMMISSION FOR A FOUR YEAR TERM. THE MAYOR DECLARED THE MOTION LOST FOR WANT OF A SECOND. The Mayor reviewed that Mrs. Romer had served as an Election Judge in both the City and County elections and was also active on the Citizens Library Board which was very active until it was disbanded. Discussion ensued. COUNCILMAN RICE MOVED, COUNCII.MAN BRAUN SECONDED, _THAT MRS. DOROTHY ROMER BE APPOINTED TO THE ELECTION COMMISSION FOR A FOUR YEAR TERM. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Rice, Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Absent: None. The Mayor declared Mrs. Dorothy Romer appointed to the Election Commission for a four year term ending February 1, 1968. Board of Trustees Firemen's Pension Fund . The Mayor announced that the term of Russell Woods, Jr. on the Firemen's Pension Board expires February l, l964. Discussion en•ued as to whether this appointment needed to be a member of the City Council. Councilman Fullerton asked if R. G. Woods, Jr. would serve if eligible. The City Attorney stated that he did not know of the legal organization of the Board of Trustees of the Firemen's Pension Board. He expressed the belief that the Council does not have an appointment to the Board. The Mayor asked that the matter be tabled until information could be secured as to the Board's membership and who was eligible to serve. Parks and Recreation Commission The Mayor announced that Mr. L. L. Brownewell's term was expiring on the Commission as of February 1, 1964, and did not feel that he should continue. COUNCILMAN HANSON MOVED, COUNCILMAN FULLERTON SECONDED, THAT COUNCII.MAN TYMER RICE BE APPOINTED TO THE PARKS AND RECREATION COMMISSION FOR A FOUR YEAR TERM ENDING FEBRUARY l, 1968. Councilman Braun reminded the Council that the composition of the Parks and Recreation Conunission was that of the appointment by the School Board of two members, and the appointment by the City of two members~ with the four members appointing three citizens to the Commission. He pointed out that it was intended that one or more from the School Board as well as from the City be members of the Board or City Council. Accordingly he pointed out that the appointments of those board should be for tenure rather than a term. The question was called for. Upon the call of the roll, the vote resulted as follows: Ayes: Councilmen Kreiling, Hanson, Fullerton, Braun, Allen, Love. Nays: None. Abstaining: Councilman Rice. Absent: None. The Mayor declared Councilman Tymer Rice appointed to the Parks and Recreation Commission for a four year term ending February 1, 1968. Minut~e of January 20, 1964 641-20 RELATING TO ENGLBWOOD FLOOD CONTROL DAM Councilman Braun spoke of the great possibility of the Englewood Flood Control Dam failing in the same manner as a California Dam did recently. He deplored the situation where this matter has been often discussed but no action taken. He reviewed the efforts to clarify title to the dam and establish routine maintenance by the City. Be recalled the information and documents which he had discovered in a review of the re c ords in Washington, D. C., which definitely set out that the project was completed by the Corps of Engineers as a Public Works under the title of Bnglewood Flood Control Dam with no question as to ownership or right to maintain. The City Attorney reviewed the long history of negotiation on the ownership of the Dam and stated that the present owners of the area are eight or more in number and deny the City has any right to ownership and that upon their acquisition of the land a diligent search did not reveal any such ownership or cloud. Discus- sion ensued. Councilman Rice asked if it is not proper to determine the City's interest for ownership and thereby its liability. The Mayor directed that the City Attorney provide full information as to the City's liability and a legal opinion on the advisability of trespassing to main- tain the Dam and related structures. 632-72 RELATING TO SALE AND DEVELOPMENT OF PARK AREA The City Manager introduced the subject by stating that there were four areas set forth in the Agenda for the sake of consideration that the order might logi- cally be altered. The City Attorney suggested that the consideration of entering into a contract and that of calling for an election be conducted simultaneously. He reported that a bill for an ordinance had been prepared setting forth in its text the contract and a call for an election. Mr. Richard Wohlgenant and Mr. Alex Holland were present to represent Mr. Von Frellick. The contract was discussed in considerable detail relating to the amount of the down payment and the other considerations besides that of the $10,000 paYlJent to the City. Mr. Alex Holland reported that through payments and the exercise of options with others interested in the party as well as the payment to the City an excess of $110,000 will be paid on the various contracts before the end of 1964. He stated that it is intended that the closing be as soon as possible but it can be as late as December 31, 1965. The City Attorney led the discussion of the contract and presented a map of the area under sale and the reservation of a site of 175 foot by 233 foot upon which the existing City Hall is located and may be expanded. Councilman Braun discussed and expressed his objections to the reservation placed upon the retained area. Discussion ensued. The Mayor commented that the retention of this parcel of land was a safety factor to assure the Council that it would have municipal office housing. The City Attorney referred to the calendar of actions prepared which set forth the schedule for passage of the bill for an ordinance authorizing the contract as well as calling for an election to ratify the actions of the Council. The date of the election would be Tuesday, April 7th, if the schedule is followed. Councilman Kreiling discussed the use of the park facilities during the period of negotiations and procedures before the closing of the land. The Mayor sunmarized by stating that construction scheduled and development of the land will be ao arranged that the park facilities may be continued until replaced. Mr. Bolland confirmed that this ~as the intention of the development but that the exact details on this and many other areas needed to be clarified. The City Manager spoke as to the retention of land as being his idea and would offer the possibility of expansion of the City Hall upon the present site if it appeared to be in the best interests of the City. Discussion ensued as to the sufficiency of the site, eapecially under the reservation made in the contract. Mr. Holland asked that the Council act on the proposed bill if at all possible and that a two week delay to determine if Mr. Von Frellick '#'Ould agree would in his opinion be more disastrous than striking one or more of the reservation clauses. Messrs. Burt and Eachon spoke as to the need to have as great a common area between the two developments as possible and urged the abandonment of the present site rather than pursue further the possibility of enlargement and remodel- ing. The Mayor asked the Clerk to read the bill for an ordinance as introduced by Councilmen Kreiling and Braun. A BILL FOR PEOPLE'S ORDINANCE NO. 1, SERIES OF 1964 AH ORDINANCE APPROVING A PROPOSED CONTRACT FOR THE SALE BY THE CITY OF ENGLEWOOD 'I I ,1 I !I I I I Minute• of January 20, 1964 TO NEW ENGLEWOOD COMPANY OF THE REAL PROPERTY C<»CMONLY KNOWN AS ENGLEWOOD CITY PARK AND OTHER ADJOINING REAL PROPERTY FOR A PRICE OF $1,000,000, UPON CERTAIN TERMS AND CONDITIONS SPECIFIBD THEREIN, SUBJECT TO THE APPROVAL AND RATIFICATION BY A llAJORITY VOTE OF nIE PEOPLE OF THE CITY OF ENGLEWOOD, AND CALLING A SPECIAL ELECTION FOR THE APPROVAL AND RATIFICATION THEREOF. * * * BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO: ARTICLE I Section 1. Contract of Sale. The following proposed contract of sale be- tween City of Englewood and New Englewood Company is hereby approved, subject to the approval and ratification by a majority vote of the qualified elections of the City of Englewood: CONTRACT OF SALE THIS AGREEMENT, dated , 1964, between the CITY OF ENGLEWOOD, a municipal corporation, hereinafter called "Seller," and NEW ENGLEWOOD COMPANY, a Colorado corporation, hereinafter called "Purchaser," W .! T N E S S ,! T H: 1. Seller agrees to sell and convey and Purchaser agrees to purchase and pay for the real and personal property described in Exhibit A, such property being hereinafter referred to as "the Pr:-emises." The Premises are sold and the same shall be conveyed subject to all the matters stated in such Exhibit. 2. (a) The purchase price shall be $1,000,000, payable in the following manner: (i) $10,000 upon execution of this contract of sale, receipt of which is hereby acknowledged, and (ii) the balance, adjusted as set forth in section 5, shall be paid at the closing of title. (b) Seller agrees that the entire purchase price received by Seller after cloaing adjustments shall be segregated from other city funds and devoted exclusively to the acquisition and development of parks and playground facilities for the use of residents of Englewood. 3. (a) Purchaser shall at its own expense obtain (i) a preliminary title commitment of The Title Guaranty Company showing the status of record title to the Premises and (ii) if Purchaser shall so elect, a survey of the Premises. Seller agrees that Purchaser and its agents may go on the Premises at all reason- able times prior to closing of title for the purpoaea of making a survey, con- ducting soil tests or for making other on-site inapections, provided such opera- tions do not materially interfere with Seller's present use of the Premises. (b) If Purchaser shall assert the existence of any encumbrance, encroachment, defect in or objection to title, other than those set forth in Exhibit A hereof, which shall render title unmarketable and which Purchaser does not waive (all of which are herein called "defect• of title"), written notice of such defects of title shall be given to Seller. Seller shall be entitled to an adjournment of the closing date for a period of fifteen day• (or such longer period as may be agreed upon) in which to remove or cure all such defects of title. Seller shall use diligent efforts to render title marketable, except as set forth in Exhibit A. If Seller shall fail to render title marketable, subject to such matters, on or before sue~ adjourned closing date, Purchaser may elect either to waive the de!Pcts of title or to terminate this agreement. If this agreement shall be so terminated that portion of the purchase price theretofore paid shall be returned to the Purchaser and neither party shall thereafter have any further liability to the other, unless Seller shall have failed to use diligent efforts as above provided. Title shall for all purposes of this agreement be considered unmarketable unless such title insuror shall be willing to issue its policy of title insurance on payment of the usual premium for auch insurance, subject only to the matters set forth in Exhibit A. 4, (a) The closing date shall be set by Purchaser's delivering a written notice to Seller specifying the time when and the place within the City and County of Denver or the City of Englewood where the cloaing of title shall take place. Such closing shall be not more than fifteen day's after the date of delivery of the notice but Purchaser shall have the right from time to time by notice so given to extend the closing date for a period not exceeding in the aggregate an additional fifteen days. In no event shall the closing date be aet for a date later than December 31, 1965. (b) All payments for water, gas, electricity, telephone service and other services furnished to the Premises and accruing before the closing shall be paid by Seller and all such services thereafter furnished shall be paid for by Purchaser. 246 Minutes of January 20, 1964 6. If Purchaser shall default in performing the terms of this contract on the part of Purchaser to be performed, the initial payment made pursuant to section 2(a) shall be retained by Seller as liquidated damages and both parties shall be relieved and released of and from any further liability hereunder. The right to retain such amount shall be Seller's only right against Purchaser hereunder and no action may if any circumstances whatever be brought or maintained acjlnst Purchaser or any of its officers, shareholders and directors for specific performance, for payment of any greater amount or for any other relief. 7. If before the closing of title all or any part of the Premises shall be taken in condemnation or under the right of eminent domain, or if proceedings for that purpose shall be pending or threatened, Purchaser may by written notice to Seller elect to terminate this agreement with the effect described in section 3 (b). If not so terminated this agreement shall remain in full force and effect notwithstanding such condemnation or taking. In the event there shall be no adjustment of the purchase price and Seller shall upon the closing of title pay to Purchaser all sums of money collected by Seller by reason of such condemnation or taking. In addition Seller shall assign to Purchaser all unpaid awards and other payments arising out of such condemnation or taking and all rights against the condemning authority. Seller shall not voluntarily compromise, adjust or accept any amounts payable by reason of such occurrence without Purchaser's prior written consent. a. Seller agrees that the general warranty deed to be delivered at the clos- ing to convey the Premises shall contain the following covenants by the Seller: (a) A covenant that no improvements other than surfacing for parking purposes, sidewalks, or landscaping shall be placed upon the north thirty feet of the Retained Parcel, as described on Exhibit A. (b) A covenant that no structure shall be erected or maintained on the Retained Parcel, as described on Exhibit A, of a height greater than two levels above the established grade of South Bannock Street. The foregoing cevenants shall run with and burden the land in the Retained Parcel as described on Exhibit A (being a rectangular parcel 233.5 feet in depth and 175 feet in width fronting on South Bannock Street) and shall run with and benefit the conveyed Premises for and -during a period of 60 years running from the date of the deed conveying the Premises. 9. Subject to the provisions of this section, Purchaser agrees that after closing of title and completion of the construction of improvements upon the Premises and upon certain other lands adjoining the Premises it will convey or cause co · be conveyed ·~o ·'Se~ler .real .property upon .which i• located ~from 2,000 to 4,000 automobile parking spaces and Seller agrees to accept such conveyance. The area to be conveyed will be designated by Purchaser and the real property interests may be divided in any lawful manner. Such conveyance (a) shall provide that the conveyed property shall be devoted by Sellar to free public short-term parking purposes for at least 60 years, (b) shall be made under circumstances that will relieve the Seller during such period of any financial burdens in con- nection with the repair, maintenance, lighting, striping or cleaning of the con- veyed property, (c) shall reserve to Purchaser rights to run public utility lines and similar services through the conveyed property and the right to use up to five percent of the area of the conveyed property for uses connected with the uses of the property being retained by Seller, (d) shall provide for continued rights of access, egress and easements by the public generally into and over the conveyed property, and (e) shall include such further provisions as shall be deemed appropriate and reasonable by counsel for Seller and counsel for Purchaser so that the properties of ecah can be operated efficiently and in cooperation with the other. 10.
