Home My WebLink About2023 Resolution No. 0071 RESOLUTION NO. 7 SERIES OF 2023 A RESOLUTION AUTHORIZING THE PURCHASE OF THIRTEEN FORD POLICE INTERCEPTOR UTILITY VEHICLES UNDER THE TERMS OF THE STATE OF COLORADO PRICE AGREEMENT #171217, AMENDMENT CONTRACT #176658 WITH SILL-TERHAR MOTORS, INC. WHEREAS, Section 4-1-3-1(C) of the Englewood Municipal Code 2000 allows for the purchase of commodities, supplies, and equipment under any general bid or purchase contract of the United States Government, State of Colorado or other governmental jurisdiction at the prices, terms and conditions contained therein, when, in the opinion of the City Manager, costs available to the City through such agreement are deemed to be the lowest and best price available to the City; and WHEREAS, the City of Englewood Police Department requires replacement vehicles; and WHEREAS, the Public Works Department has determined that the following vehicles will be needed: twelve (12) 2022 Ford Police SUV Interceptors (marked) for $44,734.00 per unit; and one (1) 2022 Ford Police SUV Interceptor (unmarked) for $44,404.00; and WHEREAS, the City, as a municipality, has the opportunity for a limited time to take advantage of the pricing offered by the State of Colorado Price Agreement #171217, Amendment Contract #176658, which is currently allowing local jurisdictions to take advantage of the pricing structure negotiated by the State through the cooperative bidding process; and WHEREAS, the funds for this purchase of all thirteen (13) units are part of the Capital Equipment Replacement Fund (CERF) as the units are either due or past due for replacement; and WHEREAS, purchasing thirteen (13) units would bring the total purchase cost with Sill-TerHar Motors, Inc. to $581,212.00, which is sufficiently funded by the 2023 CERF budget of $1,878,195.00. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO, AS FOLLOWS: Section 1. The Englewood City Council hereby authorizes the purchase of thirteen vehicles from Sill-TerHar Motors, Inc. in lieu of the internal competitive bid process, by using the State of Colorado Price Agreement #171217, Amendment Contract DocuSign Envelope ID: 1FD4086A-3804-441A-9910-640874F9C46F 2 #176658 for a total amount of $581,212.00, as outlined in the Price Agreement, attached hereto as Exhibit 1. Section 2. The Mayor, Mayor Pro Tem (in the Mayor’s absence), and/or City staff are hereby granted the authority to take all actions necessary to implement the provisions of Section 1 above. PARTIES This Amendment (the “Amendment”) to the Original Contract shown on the Signature and Cover Page for this Amendment (the “Contract”) is entered into by and between the Contractor, and the State. 2. TERMINOLOGY Except as specifically modified by this Amendment, all terms used in this Amendment that are defined in the Contract shall be construed and interpreted in accordance with the Contract. 3. MODIFICATIONS The Contract and all prior amendments thereto, if any, are modified as follows: A. Commencing on the effective date the Exhibit C (3) price list shall be in effect. All references to Exhibit C, Exhibit C (1) and Exhibit C (2) shall also reference Exhibit C (3). B. Commencing on the Amendment Effective Date the term of the Contract is extended to September 30, 2023. 6. LIMITS OF EFFECT AND ORDER OF PRECEDENCE This Amendment is incorporated by reference into the Contract, and the Contract and all prior amendments or other modifications to the Contract, if any, remain in full force and effect except as specifically modified in this Amendment. Except for the Special Provisions contained in the Contract, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Amendment and any of the provisions of the Contract or any prior modification to the Contract, the provisions of this Amendment shall in all respects supersede, govern, and control. The provisions of this Amendment shall only supersede, govern, and control over the Special Provisions contained in the Contract to the extent that this Amendment specifically modifies those Special Provisions.
