The forego in g easemer.t is granted according to and subjec t to the tem1s and conditions of
that cenain Co ntract dated January ZS, 200 2, enti tled CO NSTR UCTI ON AND MAINTE , ANCE
AG REEM ENT FOR PEDESTRJA N/BIKE P . .\TH AT BIG DRY CREE K, between Grant or and
Grant ee and is made subjec t to and up on the fo ll ow ing express condi tions:
I. These case ments are su bject to existing interests in the Described Prem ises to
who msoeve r belon gi ng and of whatsoe ve r nature and any and all extensio ns and ren ewal s
thereof, including but not limi ted 10 und erground pipe line or lines, or any type of wire line
or lines, if an y.
2. An y and all cuts and fills, exca va tions or embankmen ts necessary in th e cons tru cti on ,
maintenance , or future alt eration of said box cul ve ns , re creation al trail and maintenan ce
access shall be made and mai nta ined in such manner, fom1 and extent as will pt'ovide
adequa te drainage of and from th e adjoi ni ng lands and premises of the Grant er; and
wherever an y suc h fill or em bankm ent shall or may obstruct th e natu ral and pre-ex ist in g
drain age from such lands and premises of th e Grantor, th e Gran tee shall construct and
maintain such cu lvens er drains as may be requisit e D preserve suc h natural and pre-
ex istin g dra ir,age, and sha ll also wherever neces;ary , co nstruct extensio ns of existing drai ns,
cu Ivens or di tche s through or along the premises of th e Granter, such ex tens ions to be of
a~eq uate sec tion al dime nsions to preserve the present flowage of drain age or oth er waters,
and of materia ls and workmanship eq uall y as go od as th ose no w ex istin g.
3. Grantee sha ll bear th e cos t of remo va l, reloca tion or reconstructio n of an y and all
right of way fences , telephone or telegra ph pole s, ut il iti es or oth er facili ties , the rem ova l,
relocation or reco nstruction of which may be ne cessary by reaso n of th e use of th e
Described Premises fo r the purposes se t fonh above.
4. Grantee on behal f of it self, its succe ssors and as signs , cove nant s and agrees not to
const ru ct, with out th e prior written co nsent of Gra ntor, an y additional structures on or
within the easement herei n gran ted.
5. The Grantee or it s co ntrac tor(s) shall teleph one Grantor's Communica tion etwo rk
Co ntrol Ce nter at (800) 53 3-289 1 (a 24 hour num ber) to de tem1in e if fibe r opt ic cable is
bu ri ed an ywhere on the De sc ri bed Premises : and ·if so. the Grant •·t or it s contractor(s) wi ll
con tact th e Te lccoiT.munications Company(ie s) in volved, and m:. ·e arrange me nt s with th e

6. If during th e constructio n or sub seq uent maintenanc e of th e Trai l, soils or ot her
materials considered to be envimnmc nt all y co nt aminated are exposed, Grant ee will
immed iate ly notify Gra nt er. Detem1ina1ion o f soi ls contaminati on and ap plicab le disposa l
procedure s th ereof. will be made onl y by an ag ency ha vi ng the cap aci ty and authority to
make such a dctem1in at ion. Grantee will ha ve the op ti on at Gran tee 's ow n cos t, expense
and re spo nsib il ity to manifest, remove and safely dispose of sa id cont aminated soi ls in

En vi ronm ent al Laws, or inspection or inquiry by gove rnm ent al auth oriti es charged with
enfo rci ng Enviro nm ent al La ws with res pect to Grant ee's us e of th e Ease ment or Trail.
Gran te e shall use ~e t:t effo rt s to pro mptl y re spond to any releas e of oil or hazard ous
sub stances on or fro m th e Ease ment or Tra il. Grante e shall give Grantor imm ed iat e
not ice of all me~.s ures undert ake n on behalf of Gra nt ee to in ve stiga te, re medi ate, res pond
to or otherwise cure such release or violation.
8. If th e Trail or th e Ease ment Area , or an y part thereo f, shall at any time cease to be
used by said Grant ee fo r recrea ti onal trai l purp oses. or should the Trail be co nve rt ed to
any other use whatsoe ver. or should Grant ee ~ve r charge a fee to use th e Trail , or should
th e Grant ee fa il 10 perfo m1 any of the co nd itio ns herei n ex pressed, th en and in any such
eve nt , all the ri ght , titl e, int erest , benefi ts and enjo yment of said Grant ee, in and to said
premises . for any purp oses whatsoever , shall im medi at ely ce ase. In that even t Grant or,
it s successors and assigns, may , at its or th eir opt io n, at any time re -enter, retake and hold
sai d desc rib ed land s and prem ise s as o f the ~resent es tate of said Gran te r wi tho ut
co mpens at ion to sa id Grant ee or any oth er perso n who msoe ver, for impro ve ments or

9. Grant er does not warrant its titl e 10 the Desc ri be d Premises nor undertake to defe nd
th e Grant ee in th e peacea bl e posse ssio n. use or enjoyment thereof; and th e grant he rei n
made is su bj ec t to all outs1an ding ri ght s or int eres t of oth ers , includin g th e tenant s and
li censees of th e Gran tor.

a condi tio n of the gra nt made here in, it is ag reed that any transfer o f th e Bi g Dry Creek
drainage res ponsi bi litie s, recreat io nal tra il or the concrete box culvens by Grant ee must
includ e the same obli gations fo r mainten ance . repai r, replaceme nt or rem ova l provided
fo r here in or the oblig atio ns wi ll rema in the re sponsibi lity and fina ncia l li abilit y of
Grant ee .
11. Grant ee shall not use th e pedes1ria111bi ke pat h or any port io n of the "Described
Prem ises" or pe rmi t ii 10 b~ used exce pt for th e usua l and ordina ry purpo ses of a non-
motori ze d rec reati onal trail or for maintaining the trai l, fencing , overhead protection and •
drainage improvements , and it is exp res sly under sto od and ag reed that such purpo ses
shall not be deemed 10 include th e us e by Grantee or by othe rs of th e "Described
Premises ", for the consm1c1ion and maintenance of elec tri c power line s, gas, oil or
gaso li ne pipeline s; or for an y ot her use exce pt as pro vided he rein.
12. Grantee sha ll , al its O\\ n cost and ex pense , make adjustments wi th ind ustries or
oth er les sees of Granter fo r buildings or improve ments that may have 10 be reloca ted ,
recons tru cted or de stro yed by reason of th e cons 1ruc1i on and maintenanc e of said bridge on
said premi ses .
13 . Grant ee acc ep ts th e Trai l and Easemeut Area AS IS , WHERE IS and WITH ALL
FA UL TS LA TE NT OR PA TENT . Gran tor hereb y disclaims an y
representations or warranty , whether express or implied, as i> the design
or condition of the Trail or Easement Area, its merchantability or fitness
for an y particular purpose (including recreational uses), the conformity
of the Trail or Easement Area for its intended uses, or the quality of title
to the right of way or any improvements. Grantor shall not be liable to
Grantee for any damages (including without limitation , incid ental or
consequential damages and damages resulting from strict liability in tort)
with respect to the design , condition, quality , safety , nErchantability , or
fitness for any particular purpo s:'s of the Trail or Easement Area.

appurt enan ces thereunto belongi ng to Grant ee fo r publi c us e and enjoyment for the purposes

BACK GROUND, ANALYS IS, AN D ALTERNATIVES IDENTIFIED
Th e development of th e Big D ry Creek Pedes trian/Bik e Tra il bega n ii' 1993. Th e City of Englewooci, th e
Cit y of Li llleton, th e So uth Suburban Park s and Rec rea ti o n Distric t and th e Sou th Suburban Park
Founda ti on have b ee n partn ers in this project. The bike trai l throu gh Bel l ev iew Park was compl eted in
1998. The nex t phase for constru c tion is th e sec ti on fr om Windermere l o Sa nta Fe, w hic h is l o b e
CG .11pl e1ed in th e year 2002 . Th e p roposed Bi g D ry Creek bike tra il/pa th fr om Windermere to San ta Fe
rey u ires a tra il benea th th e B, SF ri ght-o f-way. BN SF is w illi ng l o gran t an ease m ent l o th e City of
Englewood to all ow fo r co nstru cti on of th e trail across th e ri ~ht -of-way.
