WHEREAS, the Englewood Envuonmental Foundation was form ed to Niiow,lho,bmdena
which would otherwise be aB&umed by the City of Englewood, Colorado in oonnection with
the environmental remediation. land uae plannin1 and preparation I'm redeftlopment of the
Cinderella City shopping center; and
WHEREAS , the Englewood Envuonmental Foundation .:•• formed to provide oupport for
the redevelopment and enhancement of the City's commercial environment and ia a separate
and distinct corporation; and
WHEREAS, the City Council encouraged the Englewood Envuonmental Foundation to
conclude ne1otiationa with Trammell Crow as the residential developer for $5 million dollare
by the passage of Resolution No. 100, Series of 1999; and
WHEREAS, the City Council of the City ofEnslewood, Colorado supported the final
agreement for sale or property from the Englewood Envuonmental Foundation to Trammell
Crow for the CityCenter by the pasaage of Resolution No. 4, Series of 2000; and
WHEREAS, the Salo Agreement between Englewood Environmental Foundation and
Trammell Crow Residential requires Trammell Crow Residential to submit ite final site
plan to City Council and to requeat a resolution from City Council approving the final Bite
plan; and
WHEREAS , by the pa10Bge of this l!eeolution the Englewood City Council approves
Trammell Crow Residential CityCenter site plan and recommends that the Enslewood
Environmental Foundation proceed with the prop erty ,ale to ':"nmmell Crow Residential;
and
WHEREAS, the ~rojact includes 438 unite in two buildinp with the Eaat building
containins 227 unite and the West building containing 211 unite, both buildings will be
three etorieo high with an additional 28,999 square feet of firat-floor reta\l 1pace in the two
buildings;
NOW, THEREFORE , BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ENOLEW'JOD, COLORADO , THAT .
~-The City Council of the City of Englewood , Colorado, hereby finde that the
final site plan submitted by Trammell Crow Residential for Alexan at CityCenter, conaiating
of 29 sheets (Cl-as modified by the revised Sta tement of Veated Rights preeented on April 3,
2000 -through Co , Li through Lo, A3 .0l through A3.08 and A4 .0l through A4.l I,
hereina. '\er called the "Site Plan'), aimpliea with and ia conaiatent with the l!:ns[awood
CityCem ,r PUD and the Design Standards included therein and haa been apprond by the
City Manager (or his deeignee) in accordance with the PUD .

a. Prior to Trammell Crow Reaidential's purchaee of the subject property, the
Cit) and Trammell Crow Reaidential will enter into a Memorandum of
Undmtanding (MOU) concerning interpretation of the Building and Fire

b. Construction drawings for the property must comply with the applicable
Construction Codee, u they may be clarified in the MOU.
c. Construction drawinla for the property muat aatiafy the written commente
dated March 29, 2000 from tbe Building Division of the City .
d. The WHt wall of the parking atructure on the weat paroel of the property
ahall, at tho developer's option, either (i) be painted to match the stua:o
portion of the west apartment building or (ii) be decorated with public art
selected and applied under a process aimilar to the process cum,ntly
underway for the nearby Wal-Mart property, and if the developer electe
option (ii) the developer will contribute up to $60,000 for deaign and
installation of such art and the City will match ouch contribution. Cw) or an
option mutually agreed to by the parties.

Ladies and Gentlemen:

This letter is provided to TCR Mountain States Properties, Inc. and its affiliates ("TCR")
in response to your requests for certain information and to confirm certain representations and
undertakings by the City of Englewood concerning your above-referenced development (the
"Project").
I. Bµjldioa Code. The City is considering adopting the 1997 Unifonn Building Code
to replace the 1994 Code now in use . The earliest the City expects to adopt the 1997 Code is
July of 2000 . The version of the Code that is in effect at the time you first submit an application
for building permit(s) will be the version applied throughout your construction period .
Accordingl y, if you desire to have the cuncnt 1994 Code apply, you may submit, and the City
will accept, an application for building permit based on a site plan only . No fee will be charged at
the time of application and permits will not be issued until .: .. ,::-plete plans arc submitted and
permit fees paid. If you submit such an application before we adopt the I 997 Code (which could
talc~ effect as early as May 23, 2000), your Project will be governed by the 1994 Code
throughout construction, permitting and issuance of ccrtific1tcs of occupancy, unless you
specifically request that we apply the 1997 Code instead. In either case, the Project will be
permitted and completed entirely under one version of the Code and neither you nor the City will
be able to select provisions from each version . In addition, no later than April 28, 2000, the City
will enter into a memorandum of understanding with you, to be prepared by your architect, your
general contractor, and the City's building department, setting forth certain agreed interpretations
of items under the 1994 Code. The starting point for this memorandum is the letter from your
architect to the City's chief building official dated on or about February 2, 2000 .

2. Timely Review and Approva:. The City and each department, agency, and
consultant involved in review and approval ofTCR's Site Plan, the lot line adjustment of the
property, building permits and all other pennits and approvals relating to the Project acree to
review and approve all aspects of the Project in compliance: with the schedule allacbed hcmo as
Ellbilili.A, Accordingly, all City departments, officials and ouuide cor.sultants that review
construction doc waents for purposes of issuing building pennits (including without limitalion the
building department, its outside plan reviewer, fire department, utilities departments, and public
works department) have reviewed your Site Plan submitted FebnJllrY 24, 2000 and have provided
all comments in writing to EEF and you on March 10, 2000. Fu11her, if you submit your final
revised Site Plan by March 27, 2000, the City Council will car.sider it for final approval on
April 3, 2000. It is the City's desire that construction of your Project be well underway when
the City hosts a national conference on light rail facilities in OctoM 2000. Accordingly,
comments and markups on your construction documents will be returned to you within three
weeks from the time you submit your initial set of construction documents and within two
weeks after you submit any subsequent revisions. Revisions that satisfy comments previously
made will not be subject to different or further comments, and items accepted without comment
in one submittal will not be subject to comment in later revised submittals . Construction
documents that conform to the approved Site Plan will be approved.
3. fuiancio& Public Improyemen(S. The City acknowledges that it is a condition of
closing under the Agreement for Purchase and Sale and Redevelopment of Residential Property
dated February 10, 2000, as amended (the "Contract"}, between TCR and the Englewood
Environmental Foundation, Inc . ('EEF") that EEF demonstrate to TCR the financial capacity of
EEF or the City to cwule •s, on a schedule reasonably acceptable to TCR, the public
improvements required or dppropriate for the opening of the Project Tne City agrees to
com?lete phase one of such public improvements ,vi thin the time provided in such schedule if
EEF fails to tim.!y complete su·h improvements. The City will not impose or pennit
imposition of any speci al r.ssessment or other charge or fee against your property for the
purpose of paying or reimb ursing for construction of these improvements.
4. Vested Rjd)ts . The City agrees that your Site Plan constitutes a "site-specific
development pla.'1" under Colorado law and that upon approval by the City Council of your Site
Plan, you will have vested rights for yow-property as specified on the Site Plan. The City will
publish such notices and take such further action as may be required by Colorado law to establish
such vested property rights (as provided in C.R .S. § 24-68-l0!ff) after approval of your Site
Plan.
5. RTD Improvements The City will cause the RID station and all related
improvements and facilities adjacent i; ·ereto to be completed by July 14, 2000, and will not

impose or permit impcsition of any assessment against your Property for the purpose of paying
or reimbursing for conslrUCtion of the same.
6. flriilla. The City will cause EEF to adopt a parlcing management plan that
provides for short term parlcing for at least five spaces located in front of the Project leasing
office on the north side ofEnglewood Parkway .
7. lltilili=-The City bas the capacity, facilities and water supply necessary to
provide full water, storm sewer and sanitary sewer services to the Project for up to 463
apartment units and the re1Bil, commcn:ial and live/work space shown on the Site Plan at the time
when the Project requires such services .
8. No Hjpdrancc . The City will cooperate with and assist you and EEF in expediting
the design, approval, permitting, development and occupation of the Project. The City is not
aware of any facts, circumstances or legal issues that could result in hindnnce or delay of the
Project.
9. Condomjnjum . The City understands that in order to provide for separatr
ownership of the commcn:iaI/retail space and the residential rental units by two different owners,
the Project will be designed as a condominium, with all the residential units together comprising a
single condominium "unit" under your ownership and the commercial/retail space being one or
more sepanuc condllminium units to be owned by the retail developer selected by EEF . The
City agrees that the Englewood ordinances governing conversion of existing propertie. to
condominiums will not apply to the initial construction of the Project, since it is being designed
as a condominium from the outset
10. No Bus Traffic. The City will not permit Englewood Parkway , Galapago and
Inca Streets adjacent to the Project to be used for any regular full-size bus service . Local shuttle
or circulator vehicles with a capacity of14 seated passengers or less may eventually use these
streets .
11 . Vacating Easements. The City will cooperate with EEF and you to expedite
vacation or termination of utility =ments across your property that are not required for the
Redevelopment Project
12. Pennit and Development Fees . The permit fees, tap fees and other fees , co~1s
• and assessments imposed by the City on your Project will not exceed those set forth in the
