A RESOLUTION APPROVING THE GOLF COURSE RESTAURANT
CONCESSIONAIRE AGREEMENT BETWEEN THE CITY OF ENGLEWOOD AND JOQ
CORP .
WHEREAS, JOQ Corp . had been aelected u the conceuionaire to operate the Ensl-ood
Golf Counie Clubhouae Rutaurant;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD , COLORADO , THAT:

AGREEMENT
THIS AGREEMENT, hereinafter called "Leue", made and entered into this 15th day of
January, 1996, by and between the CITY OF ENGLEWOOD, a Colorado municipal
corporation, heninafter referred to as "City", and JOQ CORP., hereinafter referred to as
"Concessionai'!"c·,
WITNESS1':TH:
WHEllEAS, the City owns certain real property which is knOWD as the Englewood
Municip~J Golf Course, hereinafter called "Go lf Course", and located in the Cit"/ of
Sheridan; and
WHEREAS, City and Concessionaire desire to enter into a lease for the management of
the restaurant and lounge located at the Englewood Municipal Golf Course;
NOW, THEREFORE, for and in consid eration of the mutual covenants hereinafter
appearing and of the payment of the monies hereinafter set forth, the parties hereto agree ns
follows :
Sl:ci!w...L STATEMENT OF INTENT.
T'ne purpose of this Lease to pro,ide snack bar, grill and bar ser"ices to the golfing
public and a quality, full-se rvic e restaurant facility offering breakf'\St, lunch and
dinner for 1;roup meetings , service clubs and informal e,•ening dining.
~ GRANT .
The City hereby leases to Concess ionaire the portion of its golf clubhouse prese~tly
used as its restaurant concession, toge ther with the im pro\'ements thereon. located at
2101 West Oxford Avenue, Sheridan , Colorad o 80110, for the purposes of serving food
and beve rages, including alcoholic beve rages , and for locating optional vending
machines to be used in the pur;eyance of food , snncks or soft drinks. and
Concess ionaire hereby leases from the Ci!:y th e Leased Pre mises and im provements
therein.
Smilm..a -DEFINITIO N OF PREMISES.
The "Leased Premises" as referred to herein is defined to be the golf clubhouse
resta urant and lounge which is owned by the L'ity of Englewood, Colorado. See
Exhibit "A". Proposed food and beverage operations shall also be allowed on the goll
course. Nothing herein gives Conc essionaire any right to int erfere \\;_th or
participate in the operation of th e Golf Course as a golf course, i .e . fairways and
greens . Pro Shop, and all other golf co urse ope rations .
~-TERM OF AGREEMENT.
Th.is LeMe shall not be effective until Conce111ionaire bu obtained a liquor license to
diapense alcoholic beverages punuant to C.R.S . 12 .. 7-101 et. seq. From the date of
signature until the liquor license ii authorized by the proper officials, this Lease
shall be considered an Option to Lease that may not be terminated by either party,
except that if the liquor licenBe ii not granted and in operation on or before March I,
1996, the City may terminate this Option to Lease. The City hereby grants to
Concessionaire the right to hold the Leased Premises punuant to the terms of this
Lease for a term of five yean commencing on Janum-y 15, 1996, the date of this Lease,
and ending on January 15 , 2001 , unless the term of the Lease is tenninaood as
hereinafter provided.
~ USE OF THE PREMISES.
Concessionaire shall have the right t.o possession of the Leased Premises for the
purpose of serving food and/or beverages, including alcoholic beverages, for
consumption on the golf coune. However, nothing in this Lease shall be construe<! to
authorize that which is prohibited under United States, State or local law, ordinance,
code or regulation. The Leased Premise• shall be used by the Cone<>ssionaire for the
purveying of alcoholic beverages, as the same may be authorized by and regulated
under the Colorado Llr,uor Code, C.R.S . 12-47-101, et seq., and for the operation of a
restaurant. Concesnionaire shall operate the Leased Premises in a careful, safe,
quiet, orderly, and businesslike manner. Concessionaire shall not use or permit the
premises to be used for any purpose that is prohibited under the laws of the United
States, statutes of the State of Colorado, or ordinances, regulations or codes of the City
of Englewood or the City of Sheridan.
Concessionaire shall provide food and/or beverages including alco1:iolic beverages
on the gol f course through the use of sheds, a cart or a combination thereof. Shed
design shall be approved by the City Manager or his designee . Use of n cart shall not
interfere with the operation of the golf course . Service to the golfers on the course
shall be reviewed by the City Manager or his designee every six (6) months.
Entertainm ent of any nature that Concessionaire proposes <in the premise.5 shall be
subject to prior approval by the Englewood City Manager or his des ign ee , which
approval shall not be unreasonably withheld . If the City ~.etermin•s any
entertainment to be objectinnablP.1 City shal! no tify Conr essionaire in writing thereof
and Concessionaire shall terminate said entertainment immediately .
~ EXCLUSIVE RIGHT TO USE PREMISES .
City hereby grants to Concessionaire the exclusiv e right to 11se tile Lensed Pr emises to
operate a restaurant and to purvey alcoholic bev erages. The City shall n ot operate
any vending machine, dispense food, snacks or beverages \,;thout the express
approval of Concessionaire on the Leased Premises.

SmlmL7. MENU.
The Conceuionaire shall provide an attractive menu for breakfast, IIIDch, and
evenin( meal• liaring meal items, beverages available and current pricing. Menm,,
pricing and changt·s to mer us or pricing of menu items shall be reviewed and
approved by the Cit;• Manager or his designee .
~-HOURS OF OPERATION .
,, ; Frorn Apri i 1st through October 31st of each year, the Concessionaire shall
operate the ro•ta urant focility ,-ven (7) days per week and during these months
s hall be open each day to serve meal • to the public from one-half hour before
dawn and shall remain open until ot least 10 :00 p.m.
b) Duriog the months of November 1st through Marcil 31st of each year, the
Concessionaire shall operate the restaurant facility seven (7 ) days per week
and during these months shall be open each day to serve meals to the public at
dawn and shall remain open until at least 8 :00 p .m.
c) Haun of operation may be modified with written approval from the City
Manager or hi s designee.
d ) Sunday cl osing at 8:00 p.m . is permitted . Nothing herein shall be construed as
prohibiting the Concessionaire from being open for other hours in addition to
those stated in paragraphs "a" and "b" above. Restaurant may close on
Chri stmas Day.
e ) Concessionaire agreee to cooperate with the Golf Course Manager in
schedU:ing golf meetings and events that involve use of the grill, weeting room
an d ~ room . In the event of any disagreement, the matter •1iall be
refe rred to th e City Manage r or hi s designee.
f) ~WJl,'TENAN CE , REPAIR AND REPLACEMENT .
1 . Th e City shall be responsible for the cos t of mainten ance, r,\pairs and
r~placement of the stove and oven, deep fat fryer, sinks, cab inets,
dis hwashe r, fr eezer, walk-in cooler, bar re fri ge ra tion, a..'ld s nack bar
coo ler unless such cost is du e to negligence or oth er ne ts by
Co ncessionaire or empl oyees of Co ncessionaire .
2 Th e Co nc essionaire shall be res ponsi bl e fo r repairs and/or repl ace ment
of ligh bulbs , furniture, smaa appliances, di shes, glasses, silve rware,
and oth er equipment an d mi scellaneo us cooking pots, pans and ut ensils.
g ) Concessionaire and or the City may temporarily close the restaurant fa cility
fo r cle ani ng, construction and main tenance under a mutuall y agreed ·.1 pon
schedu le.
~RENT.
a) Concessionaire shall pay rent to tho City in accordance with the following
schedule:
1. Effective on the date that Concessionaire begins business operation and
until the date that a liquor license ia issued and effective , the
Concessionaire will pay rent to the City in an amount equal to twelve
percent (12%) of gross so.lta (excluding sales tax}. Said rent shall be paid
on the 10th day of each month for sales made in the preceding month .
2 . Commencing on the first day of the month after the liquor license beco mes
e ffective, the Concessionaire shall pay monthly rent as follows :
$l.500.ll!lper month for the months of November, December, January,
February and March: and ~r month for the months of April ,
May, June, July, August, September and October.
The afo resaid fixed rent payments sho.11 be paid each month, in advance,
on the first day of each month or m the first Monday of each month if the
first day falls on Saturday or Sunday.
A peno.lty foe of $10 .00 per day or part thereof oho.JI be charge<! for each day
or part thereof that the rent is past due, until 12 :00 midnight on the 14th day
past due. If the rent payment is not received by midnight on the 14th day
pas t due, the Concessionaire shall be in violation of the terms of this
Agreement, and subject to termination .
b ) In addition to the fixed monthly rental as specified in this Section , the
Concessionaire shall pay an amount equo.l to twelve pe rcent 12% of all gross
sales, including a ny revenu e deriv ed from catering services originating fr om
the restaurant, in excess of$240,000 per co.Jendar year, payab le on or before
April 1st of each year.
c} For purposes of this Lease only the follo wing s h all be excluded from gro ss
sales : (n) all so.J es tax which is b ,th collected by the Concession aire and
remitted by the Co ncessionaire to any government or governm ental agenc~·;
nnd (b } the amount of any r efund or credit actually made or given by
Concessionaire for a sale, the amount of which sale had been included by
Concessionaire in Co ncessionaire's gross sales. For purpo ses of this Lease,
and except as provided above. "gross sales" s hall mean (a) the gross amount
received by Concessionaire fro m all sales made on the Lensed Premises tmd
golf CJurse, including sales made from vending machines owned, leased or
opcmt,d by Co n cession aire; anrt (b) all ch ar ges rendered by Con cessionnsse for
services, on the Leased Premises, including services pe rfo rm ed on or within
th e Golf Co urse; e nd (c) the gross ru.,ount received by Concessionaire from any
other source of income derived fro m the busin ess conducted on the Leased
Pr emi ses and golf cou rse. Al ong with t:,e pe rcentage payment, Concessionaire
shall send to City a statem ent which shall set forth the gross sale s for the year
and the authorized deductions. if any , th crefrc,m .
d ) Wh en the City meeting is an official bu si ness me e ting with a meal , there
should be no set -up charge; an official City meeting without a meal shall be

charged a set-up fee. IC the meelinr i• an unofficial meetinf, with or without a
meal, the aet,.up fee can be charged.
For clarification, an official meeting i• a meetinr called to conduct official
buainesa of the City.
Sl:l:liwLlll. UTILITIES.
City shall provide all utility costs for operation with the e,cception of restaurant
telephone . Concessionaire shall be efficient in the use of utilities.
~ JANITORIAL SERVICE AND TRASH REMOVAL.
City shall be responsible for the r ensonable c •s t of trash removal and janitorial
service for the Leased Premises except for ti-, kitchen , area behind the bar, office area
and storage areas.
Sl:!:!iJm.12.. PARKING FACILITIES.
a) The existing parking facility adjacent to the Restaurant concession
(hereinafter called "parking facility") shall be open for use by Con cessionaire
and its customers; such right of use of the said parking facilities shall be non-
exclusive right. City shall mark three parking spaces of the parking facility to
indicate that they are reserved for use by Concessionaire .
b) City shall at its own expense maintain the parking facility, which shall
include snow removal when necessary .
~ SIGNS.
The City and the Concessionaire shall share proportionately in the cost of
in stallation and maintenance of a sign or signs at a location{s) and containing
language that is mutually agreeable.
Swiwl.li. PHYSICAL FACILITY AND EQUIPMENT.
City agrees to provide space, fixtures , equipment and furniture for an equipped
kitchen, bar, loun ge area, grill, snack bar and two dinin g/meeting r oo ms.
Concessionaire agrees not to move existing partitions separating dining area and
meeting room without the written permission of the City Manager or hi s designee.
~ ADDITIONAL FAC ILITIES AND EQUIPMENT.
Concessionaire shall have the right to install additional facilities and equipment
with the consent of the City Manager or hi s designee. Cost for same shall be by
mutual agreem ent of the parties.
SJrilm...16. SECURITY
Co ncessionaire is responsible for the obtaining of theft ins urance cove ring all food,
liquor, and other suppli es and personal property of Concessionaire. Such policies
shall co ntain no ri ght of subrogati on against th e City . Concessionaire shall provid e
n co py of the policy to the Ci ty Manage r or his des ignee.

SadimLU-PERSONNEL.
a) Concessionaire aball at ita own expense employ such qualified penonnel as
may be ~eces• •ry for the concesaion operation and shall require all personnel
to be clenn, poEte, nnd courteous in their transactions with the public.
b) Concessionaire shall give personal supervision and direction to the operation
of the concession and , when absent, keep competent J)f>tsonnel in ch&J'ge .
c) City shall not be responsible for the wages or salaries of any employee or
representative of Concessionaire, nor for any debts, liabilities or other
obligations of Concessionaire .
d ) Neither the Concessionaire nor the employees who perform services pursuant to
the Agreement shall be considen.>d employees, servants or agents of the City of
Englewood as a result of the performance of services under the Agreement.
e) Violence and acta prohibited by law committed by Concessionaire or employees
of Concessionaire shall cause immediate termination of the Lease .
Sli:1:tilm...l.. LICENSES AND PERMITS .
Concessionaire, at its own t:2J)ellSC, shall secure any and all licenses and permits for
food service s and purveyance of alcoholic and non-alcoholic beverages.
Concessionaire agrees to promptly initiate an application and obtain a Hotel and
Restaurant Liquor Licenfte ;>ursuant to C.R.S . 12-47-101 et seq. Concessionaire shall
have the responsibility of the enforcement of all liquor laws and regulations on the
pre mises .
Concessionaire shall reimburse the City for all license fee s it has paid to Sheridan
and the State of Color ado.

Concessionaire sh ell kee p all con cess ion are as in a cl ean and sanitary conditi on at
all ti mes and shall comply with all state, co unty and city health laws relating to the
dispensing of fo 1d and bevera ~es.
Swi.lm..2Q . INSURANCE/IND EMNI FICATION .
a ) Co ncessionai re agr ees to furni sh to City a perform ance bond in the amount of
Fi fty Th ousand Dollars ($5 0,000 .00 ) guaranteein g fa ithful pe rform ance by
Co nce ssionaire of all terms, cove nants, and conditi ons he rei n contai ned and
co mpliance with applicable City ordinances. Said bond shall be fu rnis hed as of
the date of ex ecution of this Le as e.
b) Co nc essionaire s hall at Co ncession ai re's ow n ex pense kee p in full (11 rce and
effec t during the term of this Lease s tatut ory Workm en's Co mpensati on
coverage .

c) INDEYNJFICATION. Conceuionaire agreea to indemnify and bold
harm)-the City of Engl-ood, ils offlcen, employ-., inauren, and 1elf-
in1urance pool, from and ap.inll 1111 li•bility, claims, and demanda, on
account of i.ajury, lou or damage, of any kind whataoever, which anae 01 ,l of or
are in any manner connected with concessionaire, if filch iltjurv. Jou, or
damage is caused in whole or in part by the act, omission , or other fau!t of
co nc essionaire, or any officer or employee of concessionaire. Conr..essionaire
agrees to investigate, handle , resJ?Ond to, and to provide defense fo ,· any such
liability, claims, or demand s at the sole expense of concessionair!, and agrees
to bea,-•II other costs nd expens es related theret o, including co'"1"t costs and
attor11ey fees, wheth er or r:.ot 11ny t1 11ch liabHity, claims, or rl c,mands alleged are
gr01m dless, false, or fr audulent.
d l INSURANCE .
1. Concessionaire is to procure and maintain, at its own cost, a policy or
policies of insurance sufficient to insure against all obligations assumed
by Concessionaire pursuant to thi s Lease .
2 . ConcessiooN.re shS.:! procure and co ntinuously maintain the minimum
insurance coverages listed below , with the forms and insurers acceptable
to the City of Engl ewood . In the case of any claims-made policy, the
necessar. retroactive dales and extend ed reporting periods shall be
procured to maintain such continuous coverage.
(a) General liability and errors and omissions in surance with
minimum lim its of ONE HUNDRED FIITY THOUSAND
DOLLARS ($150,000.00) per each person and SIX HUNDRED
THOUSAND DOLLARS ($6 00 ,000.00) per encb occurrence, plus
an additional amoun t s uffici ent to pay related attorn eys' fees and
de fense costs .
(b) Liquor Legal Li ability Insur ance , with minimu m limits of
$500,000.00 for injury or d>ath of any one person; $1 ,000,000.00 for
injuries or death occurring as a rer.ult of any one accident;
$50 ,000.00 fo r property damage ; and $500,000.00 for products
li ability. A certificate evidencing said insurance polici es s hall
be kept on file with the Cle rk of the City and shall have a provi sion
that the same shall not be altered, amended , or canceled without
fir st giving written notification thereof u, the City thirty days prior
th ereto . Concessionaire furth er agrees to indemnify the City fo r
any claims brought again st the City because of or on acco unt of
Co nc essionaire's operation .

3 . Fire and E:rte:,ded Covenp Insurance shall be provided by the City on
the Club House building, and extended buildings included in Leased
Premises, only. Concessionaire shall be solely responsible for securing
and paying for insurance coverage on those improvements and contents
belonging to Concessionaire located in or on the Leased Premises.
Concessionaire hereby expressly waives any cause of action or right of
recovery which Concessionaire may hereafter have against City for any
loss or damage to Leased Premises or to any contents or improvements
thereto belonging to either party, caused by fire or explosion.
4 . The policies required above shall be endorsed to include the City of
Englewood and the City of Englewood's officers and employees as
additional insured. Every policy required above shall be primary
insurance, and any insurance carried by the City of Englewood , its
officers, or its employees, or carried by or provided through any self.
in aurance pool of the City of Englewood, shall be excess and not
contributory insurance to that provided by Concessionaire.
5 . The certificate of insurance provided to the City of Englewood shall be
completed by the concessionaire's insurance agent aa evidence that
policies providing the required coverages, conditions, and minimum
limits are in full fon:e and effect, and shall be reviewed and approved by
the City of Englewood prior to commencement of the Agreement. No other
form of certificate shall be used. The certificate shall identify this
Agreement and shall provide that the coverages afforded under the
policies shall not be canceled, te, 'llinated or materially changed until at
least 30 days prior written notice ha., been given to the City of Englewood .

A certified copy of any policy shall be provided to the City of Englewood at
its request.
6 . The parties hereto understand and agree that the parties are relying on ,
and do not waive or intend to waive by any provis ion of this Agre ement,
the mon etary limitations (presently $150,000.00 per person and $600 ,000.00
pe r occ urrence ) or any other rights, immunities , and protections provid ed
by the Co lorado Governmental Immunity Act, C.R.S . 24-10-101 et seq., as
fr om t ime to time amended, or otherwise avai lable to the parties, their
offi ce rs, or their employees.
A certificate evidencing said insurance policy shall be kept on fil e with
the City Cl erk of the City and shall have a provision that the same s h all
not be altered, amended, or cnnceled without first giving written
notific ation thereof t o the City thirty days prior thereto. Concession a ir e
further agrees to indemnify the City for any cl aim s brought against the
City bec ause or on account of Co ncessionaire's operati on .

~-FIRE OR NATURAL DISASTERS .
In the event fire or natural disaster renden the Club Ho111e and its conceNion
facilitil!I inoperable, the Conceaalonaire shall be rel eased from the terms of
co mpensation to be paid the City until such time aa the Club Ho111e and its conceasion
facilities are declared open and operable by the City. If in the event such con cession
facilities are not open and operable within II period of •.hirty (30) days from the time of
s uch disaster, Conceaaionaire has the right to tern,;;.,ate its contract and Le ase with
the City under Section 24 , Termination of Lease, contained herein.
~ TENA."1' RECORDS .
Concessionaire shall kee p and maintain compl ete o.nd accurate records and
accounts of its business on a calendar ye ar bas is. A monthly report shall be
generated providing a breakdown ,,f "gross sales" into the following categori es:
Restaurant Operation s,
Catering Operations,
Bar Operations .
Such records shall be maintained in accordance with generally accepted accounting
principles and shall be audited ..r.nually by an in dependent accountant certified in
the St..,te of Colorado. The r ecords shall clearly show Concessionaire's gross sales,
as defined in Section 9(c) of this Agreement, including proceeds from all entering
activities. Gross sales shall be divided in restaurant operations, cate ring ope.ra tions
and bar operations. Such reco rds and accounts, including all s al es tax reports that
Concessionaire furnishes to any government or governmental age ncy shall be made
available for inspection at any r easonable tim e upon requ est of the City, the City's
a uditor, or other a uthorized re presentative, and a copy of such annual nud it ,
including all written comments and recommendations of such independent
ar,-ountant, shall be furni shed to the City Clerk within 90 days of the close of the fiscal
Y"ar being so a udited . Concessionai re shall at this time pay the additional rent as
s p,'Cified in Section 9(b) of this Agree ment along with a se parate sl,tement fro m t he
auditor stating the gross sales of Concessionaire .
~-TERM1NATION OF LEAS E.
a ) This Lease may , at any t ime, be te rminated by either partY upon nin ety (90) duys'

b) The parties may te rminate the Lease by giving thirty (30) days ' writte n notice of
a violation of paragraphs 5, 7, 8, 9, JO , 11 , 12, 13, 14, 15, 16, and I 7.
c) Violation of paragraphs 18, 19, 20, an d 21 shall be gro unds for immediat e
te rmination of the Leas e.

DELIVERY AND REMOVAL UPON 't'ERMINATION .
Conceuionaire will deliver the premiHa at the termination of thia Leue in u good
o~ndition and state of repair u when received, OJ<cept for ordinary wear and tear or
1011 or damage ca111ed by an act of God . Upon termination, Conceuionaire 1hal1
have the r .,cht to remove any 1uppliea or penonal property belonging to or in1ta1led by
the opera'.or, subject, however, to any valid lien or claim which City may b,ve for
unpaid fees . Provided alao that if aaid removal ca111e1 any damuge to the premises,
said Concessionaire will repair the aame in a proper and satisfactory manner at its
own expense.
All liquor licenaes shall be transfem,d to tho City of Englewood . At no time shaU
Conc essinnaire terminate, alter or surrender the liquor license without approval of
the City f Englewood . The Concessionaire shaU be subject to injunction to pr event
surrender or injury to the liquor licenoe . Upon termination, the attached Pow e r of
Attorney aha11 be operative and lhall allow t~e t,'ity to operate the establishment
pursuant to law. In the event the liquor license is transfem,d to the City of
Englewood, the City shaU pay the Concessionaire ~2,500 .00 less any offsets nUowed by
the prior provisions of thia Agreement.

All notices, demands and communications hereunde r shall be personally served or
given by certified or registered mail, and:

'l'his Lease, together with the ellhibita attached hereto:
A . Contains the entire agreement between the parties; and

approving the Golf COUfse Reatourent Concessionaire Agr11ment between the City of
Englewood end JOO Corp.
BACKGROUND, ANALYSIS, AND ALTERNATIVES IDENTIFIEI>
The Golf Course hes provided a restaurant concnsion et the exir:ting clubhouse since
1982. The current concessionaire, Woody's Club, has operated the restaurant facility
since 1988. Their lease agreement terminated at the end of 1995. A temporary tease with
Woody's Club will allow for service until a new concestioneire takes over. Bid Requests
were distributed to twenty-three interested vendors . Seven proposals were received • Five
bids were accepted, one was a no bid, end or,, did not rneet the bid requirements .
CONTRACT : Even thour,h the contract was developed to provioe fairness and equality for
both the Concessionaire and the City of Englewood, many elementt of the current contract
were changed that increased be!'lefits to the City and the patrons of the restaurant. Are ,,s
that were adjusted included : A 90 day termination clause for both parties, better finan •;ial
reporting on the part of t he new ct>ncessionaire, better control of janitorial functions of the
entire facility , increased accountability for stetting conc erns , better customer 11rvice l o the
golfing public , incraesed hours of service, etc.
The d~velopment of the contract received input from the golf staff . the City Attorr.ey ' s
otf i~e. the Public Works Deportment , the Finance Departr!'lent , the Purchasing Dei,artment ,
and the users of the restaurant facility . We did receive a fow concern~ about some
inc lus ions in the contract, however, this was the most bids r'!Ceived f,;r the rest aurant
concessio n si nce its incep t ion. The only ite m in the contract that bidders wern allowed to
adjust was the Percentage of Gross and the amount where that perce ntage would begin to
apply .
The propoHd egreement provides for I fun 11rvlce resteurent offering breekfa ■t, lunch and
dinner. The lease agreement will extend for • flv1 year period without any extension
options.
SELECTION PROCESS :
Interview Committn • The intervi1w committee WN creeted to provide I wide
range of diver ■e input. Nine representatives ware on the committee. The Director of Parks
and Recreation w11 included during the actual interviews but was not part of the Interview
comminee. Two member ■ of the Finance Department were represented. The Finance
Department monitors the financial reporting, the auditing process, the financial
requ irements of the contract , and the revenue commitments to the City. Also , the only
item on the contract that could be chenged wn the "-centage of Gross and the amount
that the percentage to begir .. We therefore felt it was important to include both the Chief
Accountant and the Director of Financial Services in the decision making. Beceuae of their
c,ngoing involvement with the reataurent conce11ion1ire , both the Golf Maneger end the
Go 11 Superintendent were included on the interview committeo. They also-• able to
provide insight on behalf of the golfing public and the users of the rest1ur ■nt facility . The
Golf Manager coordinated the interview process . Chuck Ecterty, Difector of Public Works ,
represe nt ed the Public Works Department . The Maintenance Division of the Public Works
Department provides all maintenance and janitoriel functions It the Goll Course Clubhouse.
Tha Buyer Ill from the Procurement Division, who developed the Request for Bids and
managed the bid process , also served on the interview committee. Carolyn Armstrong ,
from the Par ks and Recreation Commission , served on the committee. Cerolyn not only
represented the Parks and Recreation Commi11lon , but 1he manages the concession
contract at Cherry Creek Reservoir. Tom Vandermee represented the Safety Services
Division . Tom is also a golfer end frequents the restaurant regular1y. He provided Input
from an independent perspective. Brian Yaklich, Owner and Operator of LePeep's
Restaurant in Englewood , served on the comminee . Brian provided in1ight from the
position of an ac t ual restaurant owner. He also serves c;n the Career Service Boord .
Interview PrD · -,ss -A ll five vendors that submined an ■ccept~ble bid were
intervi ewed . The ir,terview process allowed th irty 130) m inutes for each vendor. The
vendor had the opportunity to g ive a f ifteen (151 minute presentation and then fifteen (151
minutes were allocated for questions a, .d answers. Evaluation criteria was developed to
grade each interviewee (Included in packet). The evaluation criteria included financial
cons ideretions, customer service elements, presentation and bid proposal , menu and
pricing , marke ting plans end Professional Anributes. The Professional Anributes Included
intangible elements such as positive anitude, innovation and creativity, mob ~tio n,
commitment , etc. Each category wes based on • p,,1n t ncale . The s1 :~e fo~r (41 question s
were as ked to aach v endor. T he panel was allowec 10 ask for clarification , follow up , or
address an issue on any information prosided . At tho , •Jmpletion of the interview process ,
the scores from the committee were totaled. The CufTlminee recommended JOQ Corp .,
who received the highest score from the gradi ng system .

over fifteen yeers experience aervlng the golfing community et Raccoon CrHk, Foothills
Golf Courae and The Maadov.'I Golf Course. They currently maintain e e1aff that h11 be en
with them anywhere from two (2) years to fiftHn (15) years each. Recommendations
(Enclosed Memo) were very r,ositive from pest employers end Golf Courses contected .
JOO Corp . wes the only blduer that had extensive experience operating I full service
restaurant thet cate•s to the golfing community .
JOO Corp . did not present the highest financial percentage of gross. They committed to
twelve (121 percent of Gross over two hundred and fony thousand dollars ($240,0001 .
This is the current commitment from the existing contract. We feel this is an amount that
is attainable without any adjustments to the contract in the future. F.ven though th1i1
percentage requirement was not the highest, their aAsurance of custom er service and
quality could provide the larger amount of revenues over the length of the co11tract . We
fee l JOO's commitment to customer service issues, commitment to the local golf clubs ,
commitment to da il y restaurant users . and commitment to maximizing revenues for both
JOO Corp. and the City of Englewood, will be a successful 1rr1ngem~nt for the future of
our restaurant operations .
Staff will be meeting with the Parks and Recreation Commission on Thursday, January 11,
1996, to discuss staff 's recommendation to City Council.

JOO Corp is a Colorado Subchapter S Corporation that was
established in April, 1994. Julie Quinlivan, an Englewood native,
is President and Treasurer of the Corporation and Jack Quinlivan is
Secretary. Both will be actively involved in the food and beverage
service operations. .Julie will devote all of her time and
expertise to the operation. Jack, because of his existing
commitment to the concession operation at Raccoon Creek Golf
Course, wi ll assist whenever necessary. Rae-Trev Management
Corporation , of which Jack is President and Treasurer and Julie is
Vice-Pres ide nt and Secretary, has held the con,,eseion lease at
Raccoon Creek since 1989 and it has been very ben~ficial to both
the Course and t he Corporation . There will also be another key
e mploy ees who, along with Julie , wi l l con centrate primarily on the
hiring and training of additional professional staff, instit ut ing
inventory and cos t controls, ordering, booklceeping, an.d promoting
and coordinating special events . These key people will r.~ve had an
extensive background in concession services with a great deal of
emp ll asis on the pubEc go'..fer as well as ■pecial e vent s
c oo=dination.
We have sev eral dedicated e!!'.ployees interested in ·these ventures
with u s . The key employees we will select to assist us with the
dai_y man agement wi ll be from a pool that consists of: Lynne
Thor:,p s on, who presently is a Manager a nd bartender at r .t.o'Q's
Pub, and who has worked with and for us for the last 15 years ;
Miche l le Stevens wh c oversees the operation at Raccoon Cree;: and
a ls o ooens r.t .o'O 's Pub on weekends off-season, has worked fo r us
for the lase 6 years; Lou Barricklow, who opens Raccoon creek
during golf season and waitresses at r.t .o'Q's Pub, has worked for
us for 12 years; Mary Botsford, who works a t Raccoon Creek as
opener and c loser, overseei ng the operation year-round, has worked
for us for 6 years; Michel Pufpaff, our present night ba·. ~ender
and supervisor at r.t .o 'O's Pub previously managed The Buffal ,, Rose
i n Golden, and has worked for us for 18 months; Jack Convi :.l e is
our kitchen supervisor at r . t . c,' O's Pub and has also wori<ed at
Raccoon Creek for the past 2 years . As you can s e e, staff longevity
an d dedication is key to successful organi zat i ons . We have been
successf u l greatly due to empl oyees like those mentioned above.

license as all background information is already in place (in

As stated earlier, Rae-Trev Management Corporation currently
manages the conceasions (Creekside Green Cafe) at Raccoon Creek
Golf Course as it has for the past 7 years. Raccoon Creek Golf
Course is located at 7301 W. Bowles Avenue, Littleton, CO 80123.
Jeff Carpenter, Director of Golf, can be contacted at 973-4653.
Currently at Raccoon Creek the annual gross sales exceed
$15 0 ,000.00 in a facility that only seatr. 48 guests with limited
banquet space in the cart barn area. On-co1.1r ,1e concession carts
and a bi\rbecue set-up on the 10th Tee, as wt:1: .. s a large patio,
are key to the success of the operation. r.;;.e-Trev holds the
current liquor license with Jack Quinlivan as Manager .
Julie had been employed by Foothills Pa~k and Recreation District
from 1986 to 1994, starting her emplovment as th~ Manager at the
Foothills Golf Course Restaurant. She was ·.,·emoted to Food

At that time the Food Services for Fo <;thi l ls District grossed ov er
$700,000 a nnually with profits in exci,ss of $50 ,000. Specifically ,
Foothills Golf Course Restaurant grossed approx. $275,000 a nd The
Meadows Restaurant grossed approx. $3 75,000, and Clemen t Park
grossed apprcx, $50,0 00. It should be noted that the Clemen t Park
Facil ity is a seasona l operation dependent upon users of the
lighted ball fields. Also, the major differe.ce between the two
restaurants, which should be mentioned, is the amount of banquet
and special events that we-·e held at The Meadows because of the
size and scope of the Facility. The Meadows is capable of handling
a n event for 150 people, as well as the public golfers at the same
time. The Foothills can only accommodate 100 people including the
gol•~~s at ~ne time.

In addition to the da i '. 'f golf oriented operat ion, there would be
s ome emphasis on tournament packages, La.dies' and Men 's Club
f un ~ti~ns, as we las outside meetings and special events that can
be s c~edu l ed. This being a public facility, we will be able tA
accom~odate a wide range of outside needs, above and beyond t:_W
golfer, whene er possible. There are many contacts to be made,
such as servi~e organizations, realtor groups, insurance agents,
and othe~ loca l groups, that are anxi ously awaiting a new space to
meet. Off-se a son events and banquets , such as Christmas parties
a nd spo rts banquets, could be key t o the Facil ity also because of
the need to service the community. Again, since we have a n on-
go i ng working knowledge of this type of operation, there are many
advant a g es we bring to T~e City.

Along with accommodating the public golfer on a daily basis and
offering them wh1,t they need and want, we wi.11 meet other needs of
this key group. Through enticing tc,un~r.ient packages we will be
able to accommodate larger groups of golfers and, while assisting
them with having a most memorable experience at this Facility, they
are a captive group willing to ■pend more dollars than the average
golfer. We have attached a couple of existing tournament
application~ and trust they will bP-a guide to follow .
Realizing that the golfer is our main focus at Englewood Municipal
Golf Course, "'e will, of course, accommodate them fi,·st and hope to
never inconvenience them . This is possible while accommodating
various other groups at the same time. Breakfast meetings and even
all-day seminars are very possible. Many evening event s of
appropr i ate size and even weekend dinners and receptions are
workab!e as well. Off-season events, such as sports awards
banquets, wedding receptions, rehearsal dinners, and holiday
parties wil: be very successful . Word-of-mouth advertising will be
key to our success and we will also take advartage of printing our
availability on as much printed material as possible, such as our
me nus a::\d brochures, and even fliers we could possibly put out in
other City facilities.
One otl-er area we may consider tapping is the •off-season " card
p l ayers . We know many times groups that may golf together "on-
season• look for excuses to gather, and bridge or pinochle are very
pop u lar games wi th bo th me n and women, y oung and old. If space is
made a v ai l a b le, tr.ey tend to freely spend s o me dollars on a nice
lunch . T!::~s allows them s ome social time while the Facility
be nefits t o o.

As stated earlier, customer service and satisfaction is critical to
the £ucces s of this operation. There will be a responsible person
on duty at all times to handle any situation that may develop. We
need to have the attitude that the customer is clways right, and rl o
anything in our power to satisfy them. We be~ieve that handling
situations as they arise, in a timely fashion, is most i10::,ortant.
We will gladly welcome suggestions and constructive criticism
anytime, and we will periodically use comment cards to see how we
are doing in our customers' eyes. Collection and monitoring of
custom,;,r fe,,dback will only enhance our service to them. We have
also found special event evaluation forms to be invaluable.

The fellowing are clarifications in response t o questions asked at
tr:e rr,anda:ory walk t hrough on Nov ember 2 2, 1995.
It is t he intent the new concessionaire begin
by mid January, 1996 -Fe bruary 1, 1996 at tr:e
l a test.
Section 4:
There is no provision in the agreement for
extensions to the five y e a r period.
Section 18:
The liquor license fees a r e determined by
the Ci ty of Sheridan a nd the Sta te o f
Colorado. You need to check with them.
The agreement wi~h tr.a current concessionaire
expires December 31, 19 95.
Section 5 -second paragraph:
Concessionaire s hall provide food and /or
beverages including alcoholic beverages on
the golf course t hrough the use of ■beda,
a cart or a c ombi nation thereof. SHED desig~
shall be approved by the City Ma nager or his
designee (the word i.ng SHED applies to the
des:gn of a new shed which might be
c on s~ruct.ed ) .

a performance bond in the amount of $50,000 .00

The "Leased P:::-emises" as referred to herein
is de:ined to be the golf c lubhouse restaurant
a nd l ounge which is owned by the City of
Enalewoo d , Colorado. See Exhibit "A".
Proposed fooc a.,d beverage operations shall
also be a llowe d ~n the golf course . Food is
pot allogg in the conference room or other
areas of the c lubhou s e; however, if f ood is
allowed i n t!le fu ture , the concessionaire would
have the option t o provide it.

shall cause immediate termination of the
Lease.
The televisions and the satellite are the
property of t he current c onc essi onai re . T.1ere
is not a requirement to maintain such a srstem.
If t he new c oncessionaire desire.: to hav,.! these,
it will be the concessionaire• s respons !.bili ty.
The City of Engle~ood provides the equ ipment
(i e: stoves, oven, r efrigerator, coolez~.
fre e .er anc ice machine.) The concession~ir~
provides al l k i tchen ware (ie: dishes, silver
ware, s mall appliances, pots and pans ).

equal to twelve percent (12t) of all gross sales
