execut ion of a le ase/purchase agreemem ·,v1th Municipal Services Gr ou p . In c. Staff further
recommends City Council authorize and approve a resolution Increasing the fire d ivision
budget by S29,404 from the General Fund Balance lo cover the 199 1 annual cost of the
lease /purchase agreement.

City of Englewood, Colorac'.o , ("Lessee"), a body corporate and politic existing

~IHERFAS, Lessor desires to lP.ase the F.quiprent, as hereinafter defined, to
Lessee and Lessee desires to lease the F.qui prent fran Lessor subject to the
tenns and conditions of and for the ?JrP(lse set forth in this Lease; and
-WHEREAS, Lessee is authorized under the Constitution and laws of the state
of Colorado to enter into this F.quii:m,nt Lease/?urchase Agreement for the
purposes set forth herein;

provide Lessor with current financial statemants, budgets, proof of

relating to the ability of the Lessee to continue this Lease as may be
requested by the Lessor.

current porticn of the I.ease Term. Rental Payments shall be payable by Lessee

notice will not waive the r i ght of t:ie Lessee to continue this Lease nor will
Lessee be in default provided the Lessee has included the cbligation to make

Section 4. 02 • Temli.nation o f Lease term. The Lease Torm will tenninate

(a) '!he expiration o f the Original Tenn or any Renewal Term o f this
Lease and t he nonre newa l of this Lease in the event of nonappr ors i nt ion of

(b) the c.xercise by lessee of the cption to ;:,.irchase the Equii:xrent

Lessor hereby covenants to provide Lessee, during the : ,,ase Term,
with the f',quir,rent; Lessor shall not interfei:e with such quiet use and
enjoynent during t.'>e lease Term so long as lessee is not in default pursuant
to th.is Lease •
.Lessor shall have the right at all reasonable tines during business hours
-to Emter into and upon the property of Lessee for the purpose of inspecting
the Equiprent.

Section 6 .01. Rental Payrrent s t o Cons t itut e a CUrrent L'<pen se of Lessee.
Lessor an d Les see understand and int end that t.oe obligation of Lessee t o pay
Rental Payrrents hereunder shall constitute " current expense of Lessee and
shall not in MY •,:ay be construed to be a debt of Lc!sse'i! in contravention of
any aP.JliCable constitutional or statutory lWtation o r requireirents
concerning the creation of incle,'-,tedness by Lessee , nor shall anything
contained herein constitute a pleclge of t!1e general tax revenues , funds or

Section 6.02. Pavrent of Renta l Pavr-ents , Lessee shall pay Rental

In the event the Lessor or its Assignee does oot receive rental payments
within such period of tir.e, then and in such event, a 'Iwenty-five cbllar
($25.00) late charge will be assessed p lus finance charges based on a
perrentage of the outstanding principal balance, equal to the lesser of
eig!iteen percent (18'1.) per rum1m1 or the highest interest rate legally
allowabl e under the laws of the State.

availeble for Rental Payr.ents fran other sources, Lessee may tenninate this
lease at t.'ie end of the th<>..Il current Original. Tenn o r Renewal Term u;,on

In the event o f the return of any of the Equi!Ofrent, Lessee will pre~e
the F.quipo-ent f.or shipping, pny the c'.eli very cost, and return to Lessor the
maintenance records and other c'bcurrents oovering such F.quip.ent.
ARTICLE VII
TITLE 'J'O !:X:JUIPl>!Eln'; PERSCW\L PROPERTY ; SEX:lJR.ITY lNI'EREST; LANDLORD'S W1\IVER
section 7 .01. Title to the Equiµrent. During the tenns of this Lease,
title to the El.j\llµrent and an, and all additions , repairs, replaccn-ents or
l!Cdifications will be transferred to Lessee; proviced, ha.ever, that in the
event this Leese is tenninated by reason of the cx:currence of an event
d!!scrihed in subsection 4 .02 (a), (c ) or (d); title to the Equiprent will be
-transferred to the Lessor. Lessor shall not have any right , title or interest
in the equi,r.ent or any additions, repairs, replac:en-ents or rrodifications
thereto except 1".S e."Pres~ly set fort.'1 in t.'lis Lease. In the event of default
as set fort.ti in section 13 .02 or nonappropriati on as set forth in Section
6 .06, Lessee will reasonably surrender title and possession of the equiprent
to !.essor.
Section 7. 02. Personal Prg,ertv. 'I'he F.quii:r,ent is, and shall at all

Section 7 . 03 . 5ecuri ty Interest . To secure the J?ayrre nt of all Lessee's
obliaations W1cler this Lease, Lessee grants to Lessor a security interest,
constituti.nq a first lien on all aci.ditions, nttach."'l'.?nts, nccessions and
subst itutions to or for the F.quipn-ent and any p r oceeds of the Cqui;:rrent .

11".INTEW\!CE; MOOIFIC!\TION; TAXES; INSURANCE AND cm-IER OiARGES
Soction 8 . 01. Maintenance of Equi;m,nt by Lessee. Lessee agrees that at
all tines during the I.ease Term Lessee will, at Lessee's ,;,,,n cost ar,d expense,
maintain, preserve and keep the F,qui!Jrent or cause the Equiµrent to be
r...aintained, preserved 11nd kept in good repair, working o::der and condition and
that J.essee will fran tine to ti.Ire make or cause to be mare all necessary and
prq,P.r repairs, replacements anrl renewals. Lessor shall have ro
responsibility in any of these matters or for the making of ir.p<overents or
-a~itions to the f ·<u.·:ooent. If requested by le.<" ~, Lessee will enter into a
:!lai.ntenance contrcct for the Equir,,man• with the Vendor, so long as expense
thereof is reasonabl<!, in the sole c'escretion of Lessee.
Section 8.02. l'oc.ificat ion or ~.lteration of ¥erent. Lessee sha.11 have
the privilege at its a-m cost 11nd expense of making substitutions, additions,
n:xiifications and i.r.,,rovements to the Cqu iprrent, Md the s'U!e sha.1 1 be the

Equipment Lease Purchase Agr et in cnt: and
WHEREAS , the City Council of the City of Englewood , Colorado , has taken the
necessary steps under applicable law to arrange for the acqu is it ion or su ch equipment under
the Equipment Lease/Purchase Agreement :
NOW, THEREFORE , BE IT RESOLVED, by the City Council of the Ci ty of Englewood ,
Colorado , as follows:
~ That the Equipment Lease/Purchase Agreement between Municipal A Services Group, Inc., as lessor , and the City of Englewood , Colorado, as Lessee , for the
-lease/purchase or certain equipment Is hereby approved .

authorized to sign and allcst the Equipment Lease /Purchase Agreement \\1th Municipal
