(CS 8224) authorizing the Cit~, to proceed with this project; WITNESSETH L The term 11 Licensee " shall include enployees , agents and contr actors of Li censee . 2 . The term "property" as used here in refers to real proper ty and includes easenents , rights o f wa y , and other Burlington int erests in l and and may sometimes be r eferred to herein as "r dilroad prope r ty ." 3 . Bu rlington, by these presents, without warran t i ng title or interest , and sub ject to the covenants hereinafter set forth , does hereby aut ho r ize Licl:!nsee , its successors and assigns, to: a . Excavate and only excavate , move and ranove earth, dig and move ground coveri ng and debris , to construct the im proved outlet structure for the West Harv a r d GJlch Storm Sewer bet'-""'n South Rarita n Stree t and the South Pl a tte River o utle t structure just north of west Yale Avenue , at Milepost 6 .40 a s shown on Exhibit A attached hereto and incorporated here in b y reference . b . Licensee , pri or to t he beg inn i ng of any excavation whatever , shall construct a stu r d y security fence at least 6 feet tall a nd sufficient to prevent e n try by persons , inclooi ng inadvertent t r espasses , and said fence shall canplete ly enclose a ny and all excavation . c . Lice nsee shall indem ni fy and save hatmless Burlington, i ts officers , employees and agents , against any and a ll cla ims , d'l!nages , act ions or cause s o f act i on and expense to which it or they may be s ub jected by re ason o f Licensee 's installation bei ng located with in and across the property of Burlington or by r eason of any work do ne or an iss i on made by Li cens ee , its agent s employees , i n connection with t he construction , operation , mOOificat ion , replacement, maintenance , repair or ranova l of Li ce nsee 's insta llat i on. 5 . All >,0 rk authorized by this Li cense s hall be performed by the Li cens ee at no expense to B.J rlington and , except as otherwi se set for t h herei n , Li censee shal l O\oKl arU ma intain its installa tion thereafter . 6 . '!'he rights and privileges gr anted in t his License are subject to prior t19reenents , licenses and conveyances , recorded or unrecorded , and it sha ll be the Licensee 's sole r esponsibility to determi ne t.he e xistence of any rights , us es or i nsta llat i ons conflicting wi th the Li cens ee 's use of Burlington 's property hereu~de r and to r eso l ve any conflict . 7 . Licensee shall canply with all applicable la~, and ordinances and all rules, regulations and requ irenents of any goverrrnental authority pranulgated thereunder controlling e nv irormental standards and conditions o f the prenises . If , as a result of the Li censee's occupancy of the prenises and its opera tions hereunder, any such law, ordinance , rule, regulation is violated , Licensee shall protect , ve ha tmless , defend and indemnify Burlington fran and agai s t any penalties , fines, costs and expenses including legal fees and court costs incurred by City , caused by, r esulting frCJn or connected with such violation or violations.
