A RESO LUTI ON APPROVING AN AGREEMENT WITH CI NDERMAK ASSOCIATES RffiARDING
EXTENSION OF LEASE COOCERNING PARKING Wf ADJACENT TO CINDERELLA CITY .
WHEREAS , pursuant t o People 's Ordinance No. 1, Series of 1964,
Ci t y of Englewood sold certain r eal property to the New Englewood Company ;
and
WHEREAS , pursuant to said agreement , the City wo uld agree to
parking on certain portions of said property for at l east 60 years; and
WHEREAS , it is the desire of the current owne r of Cinde r ella City
to extend the parking period over a portion of the pr operty to November 3 ,
2068; and
WHEREAS, th" par ti es desire to amend and clarify other portions o f
said agreement;
NCJf/, lliEREFORE , BE IT RESOLVED :
Section 1. That the City of Englewood , Colorado, by and through its City
Counc il, approves of that contract titled Agre.,menL Cl arifying and Amending
Deed Provisions , c onsisting of 17 pages , including Exhibit "A" and Exhibit
"B", attached hereto , -.nich entire agreement is incorporated herein by
reference . The Mayor is hereby autho ri?.ed to sign for and i n behalf of the
City of Englewood and the Directo r of Fina nce ex off i cio City Clerk-Treasurer
t o attest the same .

I. PREMISES
A, on o r about April 7, 1964 , the qu a lified e lectors of the City
adopt ed Peopl e's Ordi nance No. l , Series of 1964 , ("Ordinanc e No. l ")
authorizing the City to co nvey to New Engl ewood Company , a Colo rado
co rpo r a t i on , a cer t ain parcel of realty in Exhi bit A attached hereto,
autho rizing the City , subsequently , to accept a reconveyance of a c ertain
portion of sa id realty s ubject to certain conditions s et for t h in Ordinance
No, 1.
B. The provisions of Ordinance No. l wer e , and have been , fully
implemented , and on or a bout November 3 , 1968, the City acce pted a
reconveyanc e of a portion of that realty by deed ("Deed ") from Capital
Alliance Company , a gene ral partnership, and New Englewood , Ltd ., a limited
partnershi p , "'11ich Deed is recorded in Book 1807 comme ncing at page 713 of
the records of the Cl e r k and Recorder of the County. of Ar a pahoe , Sta t e of
Co lorado .
C. Ord i nance No . 1 requi r ed that the realty de scri bed in the Deed be
devo ted to free p.Jblic short-te rm parki ng for a period o f at l east sixty
{60) y ea r s . Both Ordi nanc e No. l and the Deed rese rve d to t he granters ,
the i r s uccessors and assigns, the right to use up to five pe rcent {Si) of
the pa r cel reconveyed to t he City for any use connected with the uses b~111y

mad e of that por tion of the realty descri bed in Exhibit A hereto not
reconveyed to the Ci ty.
D. The term "free public s ho rt-t e rm parking" wa s not defined in
Ordinance No. 1, but the provisions of the Deed defined s uch term to mean,
inter alia, that no person s ha ll be permitted to pa rk upo n the reconvcycd
parcel for a period longer than three (3) hours , which defin it 'on ha s nev er
be en approved by a vote of the City's elec tors . In addition , the provisions
of the De ed authorized the City and the granters, their successors or
as signs , to inc re ase or decrease such parking time limits .
E. Owner is the present owner of a portion of the realty described on
Exhibit A her eto, bu t not conveyed t o the City by the Deed, and is the
s uccesso r i n interest , under Ordinance No. 1 and the Deed, to New Englewood
Compa ny, Ca pital Alli a nce Company and New Englewood , Ltd ., for the purposes
of all rights and obligations a ris ing out of either s uch inst ruments.
F'. CMner desires to further exercise its reserved rights to muke us ,~
of not 1ror e than five pe rcent (5%) of t he area of the r ealty reconveyed to
the Ci ty by the Deed by using no t rrore than one (1) ac r e thereof upon which
to erect a structure for a use, or uses , connected with the uses ma de of t he
structure pres ently existing upon that portion of the realty desc ribed in
Exhibit A which ha s not been reconveyed to the Cl ty.
G . City and Dwner ag r ee that the provisions of this agreement titled
"Agreement Ci ar ifying and Amending Deed Provisions ''. is intended to apply t o
that :eal property desc ri bed in Exhibit B attached he r eto and by thi s
refe r ence made a part hereof , whi c h r eal property i s a port i on of that re,ol
prope rty described in the Deed and not the entire par ,el described in 11 ,c
Deed.
H. The City in t ends and the Owne r agrees and consents that Llie ,c .. ,

property to the east of So uth Elati Street shall be bound by the terms of
the Deed and not by the terms of thi s agreement.

II • AM EN DMENTS
Based upon the foregoing consi de rations , the parties he reto mutually
agree that with respect to that real property described in Exhibit B,
.:i ttac hed hereto and by t his re [e renc~ made a part he r eof , the Deed ancJ
agreement dated November 3 , 1968 and r ecorded in the records of t he Cl e r k
and Recorder of Arapahoe County , State of Colorado, s ha ll be amended as
fo llows :
A. That parag r aph l. "Parking Covenant" shall read as follows as
app lied to the premise s de scribed in Ex hibit B:
"1. Parking Covenant . (a) Grantee covenants and
agrees with Grante rs that the Prem i ses shall be devoted to
free public sho rt-term parking t e rminating Noveniler 3 ,
2068 . The te rm "free public short-te rm parking" shall
mean: (i) that no payment s hall be required of pers on s
parking; (ii) that neither party may limit or de ny the
parking right, except that i t may be denied to any pers on
who pe rsi sL 1:ntly v iolate s the rul es and reg ulations he re in
des cr i bed ; (i ii ) that no pe r son (i ncluding pa rties hereto)
s ha ll be perm itted t o park in t he Premises for a period
l onger than ten and one -half (10-l/2) hours and that no
overnight par k ing sha ll be allowed , provided tha t Grantee ,
acting by and through its legally authorized o ffi c ials , and
Granters (or the i r successors or assigns), may from t ime t o
time enter into ag reements increasing o r decreasing the
parki ng ti me l i mits that sha ll const i tute fr ee public
short-term pa r ki ng fo r one o r mor e specified areas within
the Premi ses as de:,c r lbed in Ex hibit B, or for all of such
Premises, and defining the manner anj P;,tent of enforcement

C. With r es pect to that real prope r ty not described in Exhibit B, the
agreement be tween the pa r ties as found in the Dee<, dated Nove1rber 3, 1968 a11u
reco rded in Book 1807 comme nci ng at page 713 of the records of the Cl erk <111 <1
Recorder of Arapahoe Co unty , State of Colorado , shall remain in full force
and effect ,
III . CI.ARIFICA'rION S
A. It ls recognized by the parties hereto that Owner has the right to
use not nnre than five percent (5%) of the total s urface area ot tlm r cdl Ly
descr ibed i n th•. Deed under paragraph 2 of the Deed, for us~s connected with
the uses made by Owner of the parcel cetalned by them ; that the total surfac,•
area subject to such right equals approximately 1. 7 acres; and that Owner has
utilized, or is in the process of utilizing, approximately .63 acres thereof
for the purpose of the erection and construction of additional parking
facilities .
B, City agrees that OWner has the right to make use of not rore ;:>.an an
additional one (1) acre of the parcel descr i~ in the Deed, under paragra ph 2
of the De ed, for the purpoE.e of erecting a structure, or structures ,
physically connected to the structure presently existing upo n the r ea lty owned
by o.ner (which structure is popularly r e ferred to as "Cinderella City"), for
us e as a facility for retail sales and services.
C. The parties hereto ac kno1<1ledge that i nsofar as the covenan ts
contained within the O.,ed are covenants runn ing with the land, pursuant to
paragraph 5 of the Deed , any successors or assigns of Owner, including any
tenants of the property described on that porti on of Exhibit A whi ch has not
been reconveyed to the City, shall hav e the benefits of any covena nts
benefiting the owner thereunde r and the Owner may grant rights to such
tenants, provided no such grant Is inconsistent with the terms of the Deed.
D. The amendrr.,mts set forth In paragraph II , A throu~h c , maJ i.Je

thereto shall be governed, exclusively, by the terms and provisions of the
ori ginal Deed unless , 0,1 or before January 1 , 1986, the °'1 ner shall complete
construction of the struc ture , or stru ctur es , whi c h sha ll conta i n a 111ini111urn ul
One Hundred Ten Thousand (110,000) square feet and sha ll, by that da te , be
available for occupancy by u department store or stores , not present ly a
tenant i n Cinderella City , it being understood that ti.~ issuance of an
occupancy ce rtificate by the City of Englewood fo r the entire One Hundred 'l'ell
Thousand (110 ,000) square feet and the recording of a copy thereof , s hall be
concl usive and irrebuttable ev idence of the sati sfac tion ot th is condition.
E. Except to the extent that the provisions of the Deed are clarified
or amended , as set forth above, tl1e parties hereto conf irm and ratify all
other provi sions o f the Deed.
