WHEREAS , pursuant t o People 's Ordinance No. 1, Series of 1964, Ci t y of Englewood sold certain r eal property to the New Englewood Company ; and WHEREAS , pursuant to said agreement , the City wo uld agree to parking on certain portions of said property for at l east 60 years; and WHEREAS , it is the desire of the current owne r of Cinde r ella City to extend the parking period over a portion of the pr operty to November 3 , 2068; and WHEREAS, th" par ti es desire to amend and clarify other portions o f said agreement; NCJf/, lliEREFORE , BE IT RESOLVED : Section 1. That the City of Englewood , Colorado, by and through its City Counc il, approves of that contract titled Agre.,menL Cl arifying and Amending Deed Provisions , c onsisting of 17 pages , including Exhibit "A" and Exhibit "B", attached hereto , -.nich entire agreement is incorporated herein by reference . The Mayor is hereby autho ri?.ed to sign for and i n behalf of the City of Englewood and the Directo r of Fina nce ex off i cio City Clerk-Treasurer t o attest the same . Sect i on 2 . The provisions of Ordinance No. l wer e , and have been , fully implemented , and on or a bout November 3 , 1968, the City acce pted a reconveyanc e of a portion of that realty by deed ("Deed ") from Capital Alliance Company , a gene ral partnership, and New Englewood , Ltd ., a limited partnershi p , "'11ich Deed is recorded in Book 1807 comme ncing at page 713 of the records of the Cl e r k and Recorder of the County. of Ar a pahoe , Sta t e of Co lorado . C. Ord i nance No . 1 requi r ed that the realty de scri bed in the Deed be devo ted to free p.Jblic short-te rm parki ng for a period o f at l east sixty {60) y ea r s . Both Ordi nanc e No. l and the Deed rese rve d to t he granters , the i r s uccessors and assigns, the right to use up to five pe rcent {Si) of the pa r cel reconveyed to t he City for any use connected with the uses b~111y I mad e of that por tion of the realty descri bed in Exhibit A hereto not reconveyed to the Ci ty. D. The term "free public s ho rt-t e rm parking" wa s not defined in Ordinance No. 1, but the provisions of the Deed defined s uch term to mean, inter alia, that no person s ha ll be permitted to pa rk upo n the reconvcycd parcel for a period longer than three (3) hours , which defin it 'on ha s nev er be en approved by a vote of the City's elec tors . In addition , the provisions of the De ed authorized the City and the granters, their successors or as signs , to inc re ase or decrease such parking time limits . E. Owner is the present owner of a portion of the realty described on Exhibit A her eto, bu t not conveyed t o the City by the Deed, and is the s uccesso r i n interest , under Ordinance No. 1 and the Deed, to New Englewood Compa ny, Ca pital Alli a nce Company and New Englewood , Ltd ., for the purposes of all rights and obligations a ris ing out of either s uch inst ruments. CMner desires to further exercise its reserved rights to muke us ,~ of not 1ror e than five pe rcent (5%) of t he area of the r ealty reconveyed to the Ci ty by the Deed by using no t rrore than one (1) ac r e thereof upon which to erect a structure for a use, or uses , connected with the uses ma de of t he structure pres ently existing upon that portion of the realty desc ribed in Exhibit A which ha s not been reconveyed to the Cl ty. That parag r aph l. "Parking Covenant" shall read as follows as app lied to the premise s de scribed in Ex hibit B: "1. Parking Covenant . (a) Grantee covenants and agrees with Grante rs that the Prem i ses shall be devoted to free public sho rt-term parking t e rminating Noveniler 3 , 2068 . CI.ARIFICA'rION S A. It ls recognized by the parties hereto that Owner has the right to use not nnre than five percent (5%) of the total s urface area ot tlm r cdl Ly descr ibed i n th•. Deed under paragraph 2 of the Deed, for us~s connected with the uses made by Owner of the parcel cetalned by them ; that the total surfac,• area subject to such right equals approximately 1. 7 acres; and that Owner has utilized, or is in the process of utilizing, approximately .63 acres thereof for the purpose of the erection and construction of additional parking facilities . B, City agrees that OWner has the right to make use of not rore ;:>.an an additional one (1) acre of the parcel descr i~ in the Deed, under paragra ph 2 of the De ed, for the purpoE.e of erecting a structure, or structures , physically connected to the structure presently existing upo n the r ea lty owned by o.ner (which structure is popularly r e ferred to as "Cinderella City"), for us e as a facility for retail sales and services.
