WHEREAS, the Divis i on of Highways and the City of Englewood (local agency ) have heretofore entered into a Master Agreement for projects on the Federal Aid Urban System, dated Decembe r 31, 1974, hereinafter referred to as t h e Maeter Agre e me n t ; a n d WP.EREAS, Federal Ai d Urban System Funds in the amount of One Hundred Ninet y -Two Thousand ($192,000.00) Dollars have been made a vai l ab l e for an Urban System Pro- ject identified as M-73 5 4 (3) for preliminary engineering design, plans, specifica t ions and estimates on Dartmouth Avenue from Zuni Stree t to U.S. 85 with the City of Engle- wood j uri sd i c tion ; a n d WHEREAS, t he C i t y of Englewood has anticipated the tota l cost of prel i mi nar y eng ineering and design to be Two Hu ndre d S i x t y Tho u sand ($2 60 ,00 0.00) Do l la r s, a nd is prepared to ma t c h said F ede ral Aid F u n ds wi t h said City's share i n t h e am oun t of Si xt y-Se v e n Thou sand S i x Hundred ($67,600.00) Dol l ars. System Projects for Fiscal Year 1975-76 is 74.00% Federal-Aid Funds to 26.00t Local Agency Funds, it being understood that such ratio applies only to such costs as are eligible for Federal participa- tion, it being further understood that all non-participating costs are borne by the Local Agency at 1001; and WHEREAS, the Local Agency has estimated the total cost of said Design and Construction to be $260,000.00 and is prepared to match .· ... ••• • • • said Federal-Aid Funds with its share in the amount of $67,600.00 as evidenced by an appropriate ordinance or resolution duly passed and adopted by the Local Agency, a copy of which is attached hereto and made a part hereof agraExhibit "A"; and WHEREAS, said ordinance or resolution as shown in Exhibit "A" also e stabl i she s the authority under which the Local Agency e nte rs into this Agr eeme nt; and WHEREAS, this Agre em e nt is executed by the Division under .. authority of T i tl e 43, Article 2, Section 144, CRS 1973, as amended; and ... , 'I ~-.... , "' WHEREAS, the part i es hereto desire .to agree upon the division. of responsibilities with regard to this Urban System Project • NOW, THEREFORE, in consideration of the above, and the mutual covenants set forth h e reinafter, the Division and the Local Agency do hereby covenant and agree as follows: 1. The Division will provide liaison with the Local Agency through the Division's District Engineer, District VI, located at 2000 South Holly Street, Denver, Colorado 80222. Said District Engineer will also be responsible for coordinating the Division's activities under this Agreement. 2. The Local Agency will furnish to the Division such data as may be available which is per- tinent to the survey and design of this Pro- ject. 3. The Division will provide Preliminary Engineer- ing and Design and will have the responsibility for insuring that such Preliminary Engineering, De s i gn, and the Preparation of Plans, Specifi- cations, and Estimates are all in accordance with the Division's Design Manual and Standard Specifications. --·-....... . (2) ~· ... • •• - , • • 4. The Division will afford the Local Agency ample opportunity to review the Plans, Specifications, and Esti mates prepa red pursuant to this Agree- ment. Said pla ns shall be consi6ered final when approved and nccepted by the Local Agency; until and unless eithe r party notifies the other party in writing to t he contrary. S. The Local Agency will be responsible for acquir- ing, at its own cost and expense, any additional rights of way required for t~e completion of the ·'' Project, as well as any necess~ry temporary con- struction easements and/or easements for detour during construction. All right of way_ acquisition shall be in accordance with the applicable State and Federal r eg ulations. 6. The Local Agency will be responsible for obtaining proper clearance or approv~l from any utility company which may become involved in this Project, by separate agreement, if necessary. 7. The Division wil l provide final assembly of Plans, Specification s , and Contract Documents, advertise the Call for Bids, and upon concurrenc~ by the Local Agen c y, aw ard the construction contract(s) to qualified bidder(s). 8. The Division will be responsible for the super- vision, with periodic inspections by the FHWA, of the construction of the Project, which shall include, but not be limited to, field and office engineering, inspection and materials testing, nd traffic cont ro l through the Project area. 9. Upon completion of construction of the Project, the Local Agency will maintain and operate, at :ts own cost and expense, all portions of the .. . . • • • • improvement that lie within its jurisdiction in a manner satisfactory to the Division and FHWA, and will make ample provision for such main- tenance each year. Such maintenance and opera- tions shall be in accordance with all applicable statutes and ordinances, and regulations pro- mulgated thereunder, which define the Local Agency's obligation to maintain streets and street fixtures. 10. After completion of construction, the Division I ·-and FHWA will make periodic inspections of the improvements constructed on the Project under this Agreement to verify that such improvements are being adequately maintained under the pro- visions of Paragraph 9. above. 11. The Division will administer the Federal-Aid Funds for this Project in accordance with the I provisions of the Master Agreement. Interim funds, until the Division is reimbursed, shall be payable from State Highway Supplementary Fund (2001), provided such monies are available from that Fund. Costs incurred by the Division for the performance of any work under this Agreement or relative to the administration of this Agreement shall be charged to the Project • ' 12. During the c ourse of the Project, the Division· will bill the Local Agency monthly for its share of the incurred costs. It i s understood and ag r e e d by the parties hereto that t he amount of mon e y stated hereinbefore is b ased on the best estimate available at the time of execution of this Agreement, and that such sum is subject to revision dependent upon the acceptable bid and award under Paragraph 7 • . a b o v e . By i n dicati ng i ts concurrence in such a ward at the Aw ard Confe rence, the Local Agency, acti ng by o r through its Ci t y Counc il , or duly autho ri z ed r e presen tati ve thereof, agrees to p rovi de a d di tional matc hi ng funds if required to c o mp lete the c o n structi on of this Project. The provision in Parag r aph 15. above does not, • however, alter or n ega te the Local Agency's option • • • • to accept or reject any or all bids at the time of the Award Conference. 17. The parties hereto agree that this Agreement is contin9ent upon all funds neede~for the Project hereunder bein9 made available from Federal and Local Agency sources. Should these sources, either Federal or Local Agency, fail to provide necessary funds as agreed upon herein, this contract may be terminated by either party. Any ' party terminating its interest and obligations , ... ,, herein shall not be relieved o(any financial obligations which existed prior to the effective date of such termination . This Agreement, when accepted and approved by the Local Agency and the Division, shall become a supplemental part of the Master A9reement, and shall inure to the benefit of and be binding upon the parties, their successors, and assi9ns. Financial obligations of the State of Colorado, payable after the current fiscal year, are contingent upon funds for that pur- pose being appropriated, budgeted, and otherwise made available. COllfliance with Regulations. The Contractor wli comply with t e Regulations of the Department of Transportation relative to non- diacrimination in Federally-assisted programs of the Department of Transportation (Title 49, Code of Federal Regulations, Part 21, hereinafter referred to as the "Regulations"), which are herein incorporated by reference and made a part of this contract. 8. Nondiacrimination. The Contractor, with regard to the work performed by him after award and prior to completion of the contract work, will not discrimi nate on the ground of race, color, or nat i onal origin in the se- lection and retention of Subcontractors, in- cluding procurements of materials and leases of equipment. The Contractor will not parti- cipate either directly or indirectly in the discrimination prohibited by Section 21.5 of the Re gu lation s , i n cl ud i n g e mployment practices when the cont r act covers a pro- gram set forth in Ap pe ndix C of the Regulations. c. Solicitations for Subcontracts, Including Procu r em e nts of Mater i als a nd Equi~m c nt. I n all sol ici tatlons --ei t her b y competitive bidd i ng or negotiation made by the Co ntractor for work to be performe d under a subc ontrac t, in- cluding procurements of materials or equipment, each potential Subcontractor or supplier shall be notified by the Contrac tor of the Con- tractors' obligations under this contract and the Regulations relative to nondiscrimination on the ground of race, color or national origin. D. Information and Reports. The Contractor will provide all information and reports required by the Regulations, or orders and instructions issued pursuant thereto, and will permit access to their books, records, accounts, other sources of information, and their facilities as may be determined by the Division or the FHWA to be pertinent to ascertain compliance with such Regulations, orders and instructions. In the event of the Contractor's noncompliance with the non- discrimination provisions of this contract, the Division shall impose such contract sanctions as it or the FHWA may determine to be appropriate, including, but not limited to: (1) Withholding of payments to the Con- tractor under the contract until the Contractor complies, and/or: (2) Cancellation, termination or sus- pension of the contract, in whole or in part. F. Governor's Executive Order. The Contractor will take all affirmative actions necessary and appropriate to implement, not only the letter but also the spirit of, the policy of equality of opportunity as enunciated in the Constitution and the laws of the State of Colorado and as construed by the courts to prevent discrimina- tion because of race, creed, color, sex, national origin or ancestry. G. Inco~oration of Provisions. The Contractor will include the provisions of Paragraphs A through G in every subcontract, including pro- curements of materials and leases of equipment, unless exempt by the Regulations, orders, or instructions issued pursuant thereto. The Contractor will take such action with respect to any subcontract or procurement as the Division or the FHWA may direct as a means of enforcing such provisions including sanctions for noncompliance; provided, however, that, in the event the Contractor becomes involved in, or is threatened with, litigation with a Subcontractor or supplier as a result of such - direction, the Contractor may request the Division to enter into such litigation to pro- tect the interests of the State of Colorado and the Division, and, i n add ition, the Contractor may request FHWA to enter into such litigation to protect the interests of the United States~
