D:U~ectoro) Mro Meurer pointed out that tlJ:J report showed the plan and alternates for proper li.ft stations necessary to overcome terrain problems in construction of the systemo It w~s explained, both by Mro Frantz and Mro Babcock, that the City, while certainly not giving unfavorable consideration to the application, is still not in a position to commit itself for sewer service beyond the ser-rice area now under canmitment inasmuch as the arrangements for naw bonds and ~"ederal Aid have not been completed for construction of the addition to the Englewood Sewage Planto After the discussion» it was un:ierstood by all present that completion of the arrangements .. for the new sewage plant addition would have to be made before the City could take action to obligate itself further for sewer serviceo Mro Walter Fo Imhoff, Asato Vice~President$ Coughlin and Campa..~y, Investmsnt Bankers~ and Mro Barnie Ko Breeden, Jro of Peters, Writer & Chris'censen, Inco, ware present to discuss the results of their findings as regards the requremants of the City of Englewood for a bond issue for the purpose of financing the construction of an addition to the City Sewage Treatment Planto Mro Imhof£ read and lead discussion on the following report: IOCQUGHLIN AND COMPANY I INCo Investment .Bankers m;Nvm, COLORADO ENGLEWOOD, COLORADO Sl!;WER IIBVENU,1!; BONDS After careful consideration it is determined that the City will be unable to issue first lien sewer revenue bonds, since the provisions of the 1952 ordinance authorizing the original sewer revenue bonds sets forth an earnings test hich cannot be met at this timeo Our findings show that the net revenues for 1957~ the year to be used in the earnings test, is $93 1 0S6o The net revenue required under the earnings test is a min.Un.um of $111 1 .547 o Mq we suggest, therefore,, that the City consider the issuance of second lien sewer revenue bonds secured by the net earnings of the sewer system after pay- ment of debt ssrvice on the 1952 and 1954 issueso We make this recommendation, firstly» because the earnings test connot be met, and secondly, we find that the credit of Englewood would justify a favorable rate of interest on revenue bonds even though this issue would be a second lieno Also, we note that by using projected earnings, based on current earnings of the system., we can show the investor ·t.hat the system 'Will return in excess of l 1/2 times tha debt se~ vice requirements after operation and maintenanceo Normal revenue issues are required to have this 1 1/2 times coverage to assure sufficient investor interest!'> In order to clearly state the projected earnings of the system in future years» an engineering fi.zm should be retained to prepare a feasibility report for a sewer revenue bond issue of $460 1 0000 This report should indicate the number of customers expected o;;er the life of the bonds, the earnings to be expected fran thase custoraers, and the operation and maintenance required to service the system during the period coveredo Inasmuch as we must recommend a second lien, we should also mention that re= tirement of the 19.52 Series bonds maturing in 1983 will not be necessary, and in this way the City can maintain its reserve of approximately $1000 1 000 over and above the $40 1 000 required for a reserve fundo Computation for Earnings Test 1951 Sewage Disposal Plant Fund $100,316 Sewage Disposal Reserve for Capo Addo Fund 8 1 200 Sewer Districts Fund 18~040 Gross Income $1268S56 Operation & Maintenance 33,500 Net Revenue $ 93,o56 Maximum Annual Requirement., 1952 Issue* Maximum Annual Requirement, 1954 Issue Maximum Annual Requirement, 1959 Issue Maximum Annual Requirement, All Issues Earnings Requirement Amount of Net Revenue Required $ 37,585 5,680 311100 $ 74136> lo5 $ll1,547 *Assuming $65"000 of bonds maturing 1983 are retired immediatelyo'' = 3 '-" Mro Imhoff stated that.& in view of the facts, reflected in their s·~udy,, they would recom . mend that sewer revenues be increased $25,ooo annually, by an increase in the sev:age treatment rates and chargeso He indicated that, this i.r:ould probably not be mandatory for the second lien bonds, but. that it would tJe favorable both to the City and the bond.holderso Mro Imhof!, representing the cc;nbined firms of Cough1in and Company» Incoh Peters9 Writa1· & Christensen» Inco; Boswo1th, suilivan & Coo and Boettcher and Company, then offered a pro= posal to the City for the preparation and financial services in connection with the issuance of $460,ooo second lien bondso The proposal assumed that the Charter Amendmsnt relating to the issuance of revenue bonds would carry sucessfully at the November 31 959 election, and would by this assumption guarantee to purchase approximately $460,000 second lien bonds at rates mutually agreeable to the City and the above fir.ms, all a condition of the proposalo In the discussion following$ the Board requested that the proposal be revised relative to the matter of the Char~er Amendment 1hich would authorize the private sale of bonds, as a condition of the proposal, inasmuch as tre failure of the Charter Amendment to carry would create a situation wherein a call for bids for the sale of bonds would be require do The Board also requested that the proposal be amended to provide that8 should the entire project be abandonedi the City would be under no obligation under this proposalo It wa s further requested,. due to the question of how much money the Federal Governmen-li might have available for their grant to the City» that the amount of the proposed issue be set at $$00,000 rather than $460.~000o The proposal was revised by llro Imhoff and Mr o Breeden to incorporate the above requests» by changing the amount from $46o,ooo to $500,000 and by addition of a final paragrapho (See copy of proposal~ as revised1 attached, as a part of these minutes9) After some f'ur·~her discussion, which made it clear tha~li the City of Englewood not be bound by this particular proposal, Robohm moved 11 Kreiling~ seconded, That the Water and Sevrer Board recommend to City Council that the propoaa.1., presented by Mro Imhoff and Mro Breeden, as revised, be accepted;
