The meeting was called to order by Chairman Frantz at 8:10 Po Mo
Members Present: Brownel\"ell, Frantz, Kreiling, McCabe, Hobohrn, Scott

Mro Walter Fo Imhoff, Aasto Vice=-President, Coughlin and Company, Investment Bankers, appeared
and presented a proposal to the City for the preparation and financial services in conne c~
t1on with the issuance of up to $7$0,000 of water bondso (See copy of proposal., attached, as
a part of these minuteso)
In the discussion, it was detennined by the .Board that, since inmediate recommending action
was not required, and that some further time was needed to gather additional information
relative to the acquisition of the reservoir lands, the matter would be tabled temporarily o
Mro Babcock, Utilities Director,, stated that, for the benefit of both the Board and
Mro Imhoff, he wished to report that the feasibility report, relative to economic qualifica=
tions of the City for sewer revenue bond financing, had been received from Mro Dale Ho Rea,
Consulting Engineer, just prior to this meeting and that there had been no time for stuey of

A!ter sone discussion, in which it was brought out that this feasibility report would need
thorough study and would, no doubt, be a factor in arriving at proper sewage treatment rates,
now under study, it was the opinion of the Board and so ordered by the Chainnan, that there
would be a special session of the Water and Sewer .Board held at 9:00 Ao Mo, November 14, 1959 ,
in the office of Mro Shivers, Legal. Counsel, for the purpose of discussing and taking recom=
mending action on the adjusting of sewage treatment rates to meet Seiler bond requirements
as detennined through the feasibility report and recommendations of the bonding houseo
Mro Babcock was asked to meet with Mro Rea and Mro Imhoff prior to the November 14th speci al
session tor the purpose of making a detailed study of the report for clarii'ication at that
maetingo ·
It was also felt that consideration of the proposal presented by Mro Imhoff relative to water
bond financing could also be given at that time o
The following memorandum from Mro Rudd, City Manager to Harold Ho Babcock, Utilities Director
was presented and read:

RENEGOTIATION OF TAP FEl!. SCHEDUI.J:. IN SOUTH ARAPAHO!!. roNTRACT
The Council had knowledge last night of the
approaching date for renegotiation in this matter and
the members of the Council are well agreed that there
should be immediate negotiation through the Water lioard
and with the South Arapahoe people so that any taps
within the near future will be charged at the renegotiated
rateo I am writing a letter to Bob Leev as a representa=
five of the South Arapahoe District, to the effect that
the City is exercising the option to renegotiate the fee
schedule as of November 8th and that the Water and Sewer
Board will be in fair position to open the negotiations
at the November 4th sessiono
Tbe Council passed tl':e ordinance which provides
tor fixing treatment fees by resolution so tlw.t this
matter can also be approached immediately and a new
resolution drawn if possible within sufficient time to
apply to the new sewage treatment billso
It was clearly indicated b'".f the City Council
that the Water Board proceed "full steam ahead 11 on all
of the matters mentioned in the two memorandums to you
todayo

Mro Babcock presented a proposed Amendment to the Connectorus Agreement between the
City of Englewood and the South Arapahoe Sanitation Districto
.Mro Babcock pointed out that the original contract was subject to renegotiation on or
about November 8~ 1959, and that the proposal for amendment included an increase in the
head tap fee tor residential taps and installs separate rate schedules for other class-
ifications of properties such as Commercial, Industrial, Schools, Hospitals, Trailer
Courts9 etco which 'Here not set forth in the ori ginal coutracto
The proposed amendment was studied thoroughly by the Boani with corrections being made
in spelling of certain words and changes made in some of the rate s originally proposedo
(See copy of corrected proposed amendment, attached, as a part of these minuteso)
After some further discussion,

Robohm, seconded, That the Water and Sewer Board transmit the proposal for amendment
to the Connectore s Agreenent between the City of Englewood and the
South Arapahoe San.Ltation District, as coITected, to City Council.P
recommending that the City renegotiate said contract on the basis
of the proposal, subject to any revision necessary for proper legal

Mro Babc ock presented a proposed revision in Rate Schedules For Water Serviceo He explained
that., prior to July 1, 1958, at which time the cuITent water rate schedules became effective.I>
the City of Englewood water rates were based on the same rates as were being charged by the
City of Denver until April 1 1 l9.S2o Tha Water Department policy, relative to metered service,
was also based on the Denver policy, at least in parto This policy restricted flat rate
billing to not more than three residential units on one service lineo In establishing City
of Englewood rates and charges for water service, effective July l» 1958,
tm paragraph relating to applicability under Rate Noci 1 1 Flat Rates, did not restrict
the flat rates, reading as follows:
"APPLICABILITY:
Applicable only to residential consumers actually taking service at the schedule
rates as of July 1st, 19.SBo 11
The proposed revision, if adopted, would change this paragraph to read as follows:
"APPLICABILITY:
Applicable only to consumers who may take water service under fiat rates,
as of July 1 1 1958, where water service, used exclusively for residential
purpose s, is supplied to less than four family unitso (For four fQlllily units
and more» see Rate Noo 2o )"

The City Council, during the session last
night, considered officially the recommendation from
the Water Board that the.re be definite action to pro=
cure the necessary land at the proposed reservoir site
and they adopted and approved the movement in every
senseo It was asked by the Council that the Water and
Sewer Board, with the assistance of Mark Shivers as the
special consultant, proceed with the task of binding
and tying up all of t!le needed land as soon as possibl.eo
I use this means of bringing this to the Water Board 1 s
attention at their November 4th sessiono
You may recall that the movement to set up
the necessary documentation for additional bond money
was okayed by the Council at a former session with the
idea that the various details of such movement be
accomplished through the Water Board and the consultant~
It would seem logical. that the money....,.raising move.11Ent
l!.hould be made as soon as possible so as to place us in
position to paJ' for land options and purchases within a
reasonable timeo

the program for procurement of the Dad Clark Gulch Reservoir siteo

Mro Babcock pointed out that a thorough search has failed to reveal the exist ence of
a DistributorVs Contract bet ween the City of .lmglewood and Mro DeLue, although such an
agreement did exist bet ween the City of Denver and Mro DeLue prior to purchas e of the
Clarkson main by the City of Englewood fn>m the City of Denvero
Mro Shivers, Counsel, stated that the City would be unable to accept this private line
since it is located outside tha city limits and indicated that he would cont a c t Mr o
Leonard Campbell, attorney for Mro DeLue 9 to discuss the possibili ty of the formation
of a district which could assume ownership of this private line and create an organizat ion
with which the City of Englewood could enter into a Distributor's Contracto
Mro Babcock reported that there exists an easement agreemant, in ei'f'ect9 between the City
and the South Englewood Sanitation District for a lS inch sanitary sewer l ine through
the Water ~partment land along Big Dry Creek in the vicinity of the filter planto
Recently the City has granted the South Arapahoe Sanitation District an easement for
a 42 inch trunk sewer l~ through the same areao
Mro Babcock inquired of the Water and Sewer Board Counsel, the procedure for cancellling
the original easement granted to South 1nglewood Sanitation District~
Mro Shivers, Counsel, stated that the South Arapahoe Sanitation District should be re·=
quired to obtain the release for the original easemento
Mro Babcock presented and read a letter from the Colorado Central Power Company, dated
August 13, 1959, in which the Power Company listed their interests in the .McBroom Ditch
for which they woulu expect to re c eive full reimbursement in too event of a sale of sameo
Mro Babcock was requested, by the Board• to contact Mr" Lee Jones of the Poser Company,
reJ.ative to justification of some of the items in the proposalo

when we turned over to the City the plans and specifications for
the conduits» tl.ie completion of the plans and specifications for
Meadow Creek Reservoir have been hela in abeyanceo
I shall appreciate it if you will call this to the attention
of the Water Board and the relevant City authorities and advise
us what we should do in connection with this uncanpleted contracto

Mro Babcock reported on the annual meeting of the McBroom Ditch Company 1 held November 2 1 1959 1 stating that there was no important official business transacted other than the
election of officers in which the existing Board., as well as of1'icers of the Board,
were all re~lectedo
After a short discussion on the matter of advertising for bids for co nstruction of the
proposed addition to the sewage treatment plant11

the City proceed to advertise, as soon as possibleb for bids
for construction of the proposed addition to the sewage treatment

A short discussion was held relative to the possibility of changing the regular meeting
date of the Water and Sewer Board to some date other than the first Wednesday of each

It was felt that action to confirm this change, if still agreeable9 could be taken at the
special session to be held Saturday, November 14, 19590
There being no further business to come before the Water and sewer Board» the meting was

tion and construction of a reservoiro We further understand thAt an amount of bonds in
the approximate amount of $750,000 must be issued to fin~nce this project and thAt should
lower cost result, that fewer bonds may be issuedo In connection with this proposed issue
we submit the following proposal for your consideration under which we will act as finAn-
cial consultants and in an advisory capacity:
I 0 We will have prepared under the direction and supervision of Tallmadge and Tallmadge,
the necessary legal proceedings required by law as follows:
A0 All ordinances, etcetera, necessary to authorize the bonds, together
with complete instructions for adoptiono
Bo Upon issuance of the negotiable bonds, we will furnish to the purchaser
and to the City a complete executed transcript of proceedings and the
final unqualified approving opinion of the above ... ~entioned bond attorneys,
certifying to the legality of the bond issue.
II 0 In cooperation with your officials, we will prepare a mutually satisfactory plan of
financing, designed to bring th~ lowest possible rate of interest o
III 0 We will furnish the bonds ready for signature, printed on stock with steel engraved

IV. We will prepare a Financial Summary, enabling prospective bidders to familiarize them~
selves with your financial situation and the resources of the City o
Vo The publications of sale notices, ordinances ;:ind nny other printing . costs are to be
assumed and paid by the City o ·. ·
Vlo We will aITange for publication of notice of your intent to sell bonds and will
circularize the above-mentioned Financial Summary to the end that all interested parties
will be given an opportunity to bid. We reserve the right to submit a b~ for these bonds
at the time of sale o
VIIo For all of the foregoing services, we are to be allowed and paid a fee according to
the following schedule: for the first ~250 1 000 -~11.00 per thousands; for the second
$250 1 000 -$8.oo per thousand; for the next $250 1 000 -$7.50 per thousanda
The above fee is based on each $1,0CX) bond issued by the City and the above schedule will
be applied to each block of bonds sold and should more than one block of bonds be necessary,
to complete the project, the above rates will apply to each individual bond issue o This
fee is to be payable after the bonds are issued and the proceedings received by youo In
the event the project is abandoned no charge for services rendered by us up to th~t time
will be madeo

ANENIMENT TO CONNEC TOR'S AGREENENT
THIS .AMENI1-IENT, made and entered into by and between the CITY OF ENGLEWOOD,
acting by and through its duly authorized Mayor and City Clerk, hereinafter referred
to as City, and roUTH ARAPAHOE SANITATION DISTRICT , ARAPAHOE COUNTY, COLORAOO, here-
inai'ter referred to as District;
WHEREAS, on the 8th day of November, A ~Do, 1957 , the City entered into a
Connector •s Agreement with the District concerning the connection of the District
sewer collection facilities to the City•s sewage sys tem, and;
WHEREAS, said agreement provided f or certain tap fee charges for a period of
two (2) years from date hereof, at which time this fee shall be renegotiated, and
thereafter shall be renegotiated biennially on the anniversary date of this Agree-
ment , and;
WHEREAS, the 8th drty of November, A .on~, 1959,, is the first biennial dateo
NOW, THERE.FURE, IN CON SIDERATION of the premises and of the mutual covenants
of the parties hereto, it is agreed as follows:
lo That Paragraph 5 of said Connector's Agreement is hereby amended to
read as follows:
The District specifically agrees that all service connections which
are made to the District's sewer line at ~ny time are subject to
the supervision and inspection by the City~ and that all such in-
stallations shall conform to the same standards as required within
the City limitso
It is further agreed that there will be a head tap or connection fee for
future plant expansion charged by the City to the District or its assigns ~
for each tap made within the District, after November 8, 1959, based on
the following schedule:
