RECOMMENDATION: Consider ordinance amending Municipal Code sections on boards and commissions PREVIOUS COUNCIL ACTION: 2022: City Council directs the City Attorney's Office to review Englewood Municipal Code from beginning to end and propose revisions to code to comprehensively review Englewood Municipal Code to ensure it reflects current City practices and applicable law, and to propose revisions for clarity and ease of understanding. This ordinance arises out of the resulting "Code Clean-Up Project". February 3, 2025: City Council considers first Code Clean-Up ordinance amending Municipal Code to align provisions on special funds with current City practice February 10, 2025: City Attorney presents study session on Municipal Code Clean-Up Project SUMMARY: Large sections of the current Englewood Municipal Code (“EMC”) were drafted and adopted in 1985, and significantly unchanged since that time. In the last 40 years, however, Englewood City government and operations have evolved and improved with technology, legal changes, and operational best practices to meet the needs of the City. City Council directed the City Attorney’s Office to comprehensively review Englewood Municipal Code to ensure it reflects current City practices and applicable law, and to propose revisions for clarity and ease of understanding (the "Code Clean-Up Project"). As part of this project, City recommends revisions to Title 2 describing City Boards and Commissions as follows: ●Re-organize and re-number the Title to create 2 chapters: Chapter 1 with a single section for each board, and Chapter 2 with general policies applicable to all boards. Currently, municipal code provides a separate chapter and often multiple sections for each board, which makes code unnecessarily long and unwieldy. ● Combine separate sections for a single board into a single section. ● Revise language and formatting to be consistent among all boards. Page 28 of 2454 ● Some boards provided for 2-year terms for their chair and vice chair, while others provided 1- year terms. For consistency, revise chair and vice-chair terms to 2 years for all boards. ● Board of Adjustment and Appeals: It was omitted previously from Title 2 and Title 2 amended to include it, mirror provisions of Charter, and reference duties elsewhere in code. ● Add duty to BAC to monitor ballot authorized tax-funded improvements, upon request of Council (as BAC is currently doing for the 2023-approved sales tax projects). ● Eliminate duplicate provisions from each board's individual chapter, and instead combine them into single sections in the new Chapter 2, so that they are clearly uniformly applicable to all boards as follows: 1. Creation of rules and subcommittees. 2. No compensation for service, but costs due to service are reimbursable. 3. Quorum is majority of then-appointed members. 4. Board members serve at the pleasure of Council, and may be removed--like appointed-- by Council majority vote. Specifically notes that removal may be appropriate for excessive absenteeism, violation of law, or violation of City employment policies. 5. Chair and vice-chair have a 2-term limit (or 4 years total) for that role. ● Codify the language from appointing resolutions that: boards can elevate an alternate member to a voting member to fill an unexpired term (otherwise, Council appoints to fill vacancies), and members continue to serve until their successor is appointed. COUNCIL ACTION REQUESTED: Adopt ordinance amending Municipal Code sections regarding City Boards and Commissions FINANCIAL IMPLICATIONS: None anticipated CONNECTION TO STRATEGIC PLAN: Governance: Clear and concise Municipal Code provisions is efficient, effective, and accountable OUTREACH/COMMUNICATIONS: The City Attorney's Office provided the proposed ordinance to, and requested comment and input from, the City Clerk's Office which oversees boards and commissions, and to each board and commission staff liaison. INTRODUCED BY COUNCIL SERIES OF 2025 MEMBER A BILL FOR AN ORDINANCE AMENDING ENGLEWOOD MUNICIPAL CODE TITLE 2 BOARDS AND COMMISSIONS TO ALIGN WITH CHARTER, REVISE FOR CLARITY AND EASE OF UNDERSTANDING, AND PROVIDE FOR CONSISTENCY AMONG BOARDS WHEREAS, large sections of the current Englewood Municipal Code (“EMC”) were drafted and adopted in 1985, and significantly unchanged since that time; and WHEREAS, in the last 40 years, Englewood City government and operations have evolved and improved with technology, legal changes, and operational best practices to meet the needs of the City; and WHEREAS, City Council directed the City Attorney’s Office to comprehensively review Englewood Municipal Code to correct typographical errors, remove obsolete dates, ensure it reflects current City practices and applicable law, make gender silent to reflect the makeup of today’s work force, and to propose revisions for clarity and ease of understanding; and WHEREAS, as part of this project, City staff identified necessary updates to municipal code Title 2, Boards and Commissions, to re-number and consolidate various code sections, move various provisions such as quorum, removal and appointments to apply to all boards under general policies rather than described for each individual board, implement consistency among various boards, and codify provisions in board appointment resolutions regarding appointments and alternates; and WHEREAS, City Council desires to amend Englewood Municipal Code to update these provisions. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO, AS FOLLOWS: Section 1. Amendment of Title 2. The Election Commission shall consist of the City Clerk, who shall be a member ex officio of the commission, and four qualified electors of the City. No more than two members of the commission shall be from any one Council district of the City. The Commission shall elect a chairperson from its membership. Appointments of qualified elector members shall be made by the City Council, for four-year terms in January of the year in which the appointment expires for a four year term to expire on February 1 four years hence. 2-1-2: Quorum. A simple majority of the duly appointed members of the commission shall constitute a quorum for the transaction of business. In the absence of a quorum, such members as are present may adjourn from time to time until a quorum is present. 2-1-2: Chapter 2 Public Library Board. A. 2-2-1: Appointment and Terms. The Public Library Board shall consists of nine members appointed by City Council from citizens-at-large with overlapping terms of four years. The City Council shall make appointments to fill vacancies for the unexpired terms. The City Manager shall appoint a member of the library staff to be an ex officio nonvoting member of the board. B. 2-2-2: Organization and Meetings. The Public Library Board shall convene at least monthly once in each calendar month for the transaction of such business as may regularly come before it. A record of each meeting shall be maintained by kept and placed in the office of the City Clerk for public inspection. All regular meetings of the board shall be open to the public. A simple majority of the duly appointed members of the commission shall constitute a quorum for the transaction of business. In the absence of a quorum, such members as are present may adjourn from time to time until a quorum is present. To Pprepare and submit to the City Council a master plan for the development and maintenance of a modern library system. 2B. To Rrecommend to the City Manager an annual capital expenditure budget for library purposes, and to assist the librarian in estimating anticipated revenues and the sums necessary to maintain and operate the library during the ensuing year. 3C. To Ccooperate with any public or private agency in obtaining space, facilities, property or library services, subject to the approval of the City Council. 4D. To Rrecommend to the City Council the adoption of rules and regulations for the use of the library as the board may deem expedient. 5E. To Rrecommend make recommendations to the City Manager proper for supervision, care and custody of all property of the library, including rooms or buildings constructed, leased or set apart therefor. 6F. To Aadvise the City Manager, when requested by him, in the selection of a Library Director librarian and such other library employees as may be deemed necessary. 7G. To Aadvise the Library Director librarian in the administration of such gifts of money or property or trust as may be granted to and accepted by the City Council for library purposes. 8H. To Aassess the needs of the community and based thereon, to make recommendations to the City Manager and the City Council pertaining to general public policies relating to the operation of the library. D.2-2-4: Reports to Council. At the close of each year, the Public Library Board shall make a report through the City Manager, to the City Council showing the condition of its trust during the year, the sums of money expended, and the purposes of the expenditures; the number of books and periodicals on hand, the number added during the year, the number retired, the number loaned out, and such other statistics and information and such suggestions as the board may deem of public interest. A copy of the report shall be filed with the State Librarian. 2-1-3: Chapter 3 Water and Sewer Board. 2-3-1: Board Established. A. Make-up of the Board. There is hereby established a Water and Sewer Board consistsing of the Mayor of the City, two Council Members selected by the City Council and six members appointed by the Council from qualified electors, serving six overlapping terms of six years, except that the Mayor and Council Members shall serve during their tenure as such. The City Manager shall appoint aA representative from the City administration shall be appointed by the City Manager to serve as an ex officio, nonvoting member. Council Members on said board shall serve during their tenure as such Council Member. All members of the Water and Sewer Board shall be subject to removal by the Council. The Council shall make appointments to fill vacancies for the expired terms. B. 2-3-2: Powers and Duties. The Water and Sewer Board shall exercise such authority, and it shall have such powers and duties as are vested in it by the City Charter, and such other and further powers as may be delegated to it from time to time by ordinance or resolution. A simple Page 32 of 2454 majority of the duly appointed members of the commission shall constitute a quorum for the transaction of business. In the absence of a quorum, such members as are present may adjourn from time to time until a quorum is present. 2-1-4: Chapter 4 Parks and Recreation Commission. A. 2-4-1: Commission Established; Membership and Terms. The There is hereby established a commission of the City of Englewood, to be known as the Parks and Recreation Commission. The said commission shall consists of nine persons to be appointed by the City Council to staggered four-year terms. Ttwo members shall be under the age of eighteen (18) years when appointed, and instead shall serve one-year terms. The City Council shall designate four members of the commission to serve until February 1, 1990, and three members to serve until February 1, 1992. The two additional members under the age of eighteen (18) years shall be appointed for terms to expire on June 1 in the following year. All members except those members under the age of eighteen (18) years, when appointed, shall be appointed for terms of four years. Current members of the commission shall not have their terms affected hereby. 2-4-2: Organization and Meetings. A. In March of every other year, the Parks and Recreation Commission shall select its chairperson and vice chairperson for two year terms. The chairperson and vice chairperson shall be entitled to enter into all discussions of the commission and to vote on all questions before the commission. The chairperson shall be the presiding officer and shall have such other and further duties as may be designated by the rules and regulations of the commission. When the chairperson is absent, the vice chairperson shall serve as the presiding officer. B. Four (4) members of the commission shall constitute a quorum for the transaction of business. In the absence of four members, such members as are present may adjourn from time to time until a quorum is present. B. 2-4-3: Powers and Duties. The Parks and Recreation Commission shall have the following powers and duties: 1A. Advise City Council in all matters pertaining to recreation. 2B. Act as a sounding board of the community and gather and assess the facts and data necessary to make sound recommendations to the City Council in providing recreation services. The commission, with the approval of City Council, may form committees made up of commission members as well as citizens as needed to research programs that call for extensive time and discussion. These committees will be advisory only to the Parks and Recreation Commission. 3C. Review the annual parks and recreation budget as submitted from the Department of Parks and Recreation to the City Manager and make recommendations to City Council if the commission deems necessary. 4D. Adopt rules and regulations for the conduct of the commission meetings and duties of its officers and committees. E. Meet monthly or as necessary. 2-1-5: Chapter 5 Planning and Zoning Commission. 2-5-1: Commission Established.There is hereby established a City Planning and Zoning Commission consists consisting of nine members, appointed by the City Council, who shall be citizens-at-large with overlapping four-year terms. The City Manager shall appoint an administrative officer to be an ex officio, nonvoting member Page 33 of 2454 of the commission. Citizen-at-large members shall be qualified electors, residents of the City at least one year immediately prior to the date of their appointment, and shall hold no paid office or position in the City administration. Citizen-at-large members of said City Planning and Zoning Commission shall be appointed for four year terms. All members of the City Planning and Zoning Commission shall be subject to removal by the appointing authority. The appointing authority shall make appointments to fill vacancies for the unexpired terms. 2-1-6: Chapter 6 Englewood Local Liquor and Marijuana Licensing Authority 2-6- 1: Licensing Authority Established. [text of section not amended] 2-1-7Chapter 7 - Englewood Retirement Pension Plan Board 2-7-1: - Retirement Board. [text of section not amended] 2-1-8 Chapter 8 Englewood Sustainability Commission. A. 2-8-1: Commission Established; Membership Terms. The There is hereby established a Englewood Sustainability Commission consists , to be composed of nine (9) persons appointed by the Englewood City Council . All commission members will be appointed to overlapping terms of two years. The City Council shall make appointments to fill vacancies for unexpired terms. 2-8-2: Organization and Meetings.A. In November of every year, the Englewood Sustainability Commission shall select its chairperson and vice chairperson for a one-year term. The chairperson and vice chairperson shall be entitled to enter into all discussions of the commission and to vote on all questions before the commission. The chairperson shall be the presiding officer and shall have such other and further duties as may be designated by the rules and regulations of the commission. When the chairperson is absent, the vice chairperson shall serve as the presiding officer. B. A simple majority of the duly appointed members of the commission shall constitute a quorum for the transaction of business. In the absence of a quorum, such members as are present may adjourn from time to time until a quorum is present. B. 2-8-3: Powers and Duties. The Englewood Sustainability Commission shall have the following powers and duties: 1A. AdviseBe advisory to the City Council in all matters pertaining to sustainability issues facing the City. 2B. Act as a sounding board of the community and gather and assess the facts and data necessary to make sound recommendations to the City Council related to sustainability. The commission, may form committees made up of commission members as well as citizens as needed, to research programs that call for extensive time and discussion. This committees will be advisory only to the commission. C. Adopt rules and regulations for the conduct of the commission meetings and duties of its officers and committees. 3D. At a minimum meet quarterly. 4E. Partner with City staff to develop and implement programs and services that increase citizen commitment to and responsibility in issues relating to sustainability. 2-1-9:Chapter 9 Cultural Arts Commission. Page 34 of 2454 A. 2-9-1: Purpose. There is hereby created a The Cultural Arts Commission, . The purpose of this commission is to provides for ongoing systematic planning for the development of cultural arts activities within the City and to implements an Arts Plan for the City of Englewood. 2-9-2: Definitions. When used in this title, the following words or phrases shall have the following meanings: Arts Community: Persons who create art or who have served on arts organization boards, either advising or governing, or who are involved in arts education or arts administration and shall include representatives of businesses or other organizations with an interest in promoting the arts. Arts Plan: The plan established by the Englewood Cultural Arts Commission for the City of Englewood. Commission: The Englewood Cultural Arts Commission. B. 2-9-3: Composition and Membership. The Cultural Arts Commission consists shall be composed of seven members, who shall be appointed by the City Council to and shall serve staggered three-year terms for a period of three years. Commission members shall be drawn from who actively create art or who have served on arts organization boards, either advising or governing, or who are involved in arts education or arts administration, including representatives of businesses or other organizations with an interest in promoting the arts. active participants in various aspects of the arts community. 2-9-4: Terms of Members. The term of office of the members first appointed to the Cultural Arts Commission shall be three members for a term of three years, two members for a term of two years, and two members for a term of one year. Thereafter, all subsequent appointments shall be for a term of three years. 2-9-5: Compensation. A. The members of the commission shall serve without compensation. B. Reasonable expenses directly related to performing the duties of the commission shall be allowed. C. 2-9-6: Powers and Duties. The Cultural Arts Commission shall have the following powers and duties: 1A. Set priorities for the implementation of the Arts Plan, including an annual review of the plan. 2B. Plan and coordinate the implementation of the Arts Plan in cooperation with the community. 3C. Promote access and support for a variety of cultural arts programs to all populations and sections of the City. 4D. Initiate, sponsor, or conduct, in cooperation with other public or private organizations, programs to further the development and public awareness of, and interest in, the cultural arts including, but not limited to, the goals and objectives of the Arts Plan. 5E. Apply for and accept gifts, grants, funds, contributions and bequests in furtherance of its the purposes of this article from individuals and public and private entities, agencies, foundations, trusts, corporations and other organizations or institutions. 6F. The commission shall submit to City Council, no less than annually, a summary of activities and a progress report in addition to any other matters of concern to City Council. 7 G. Such other powers and duties as are appropriate in carrying out the purposes of this Section Chapter and as set forth in reports or recommendations adopted by City Council. Page 35 of 2454 2-9-7: Appointment of Officers and Adoption of Rules. A. The commission shall organize, adopt administrative rules and procedures and elect from its members such officers as it shall deem necessary to accomplish its purposes. Officers of the commission shall be elected for two- year terms. B. The chairperson may appoint such standing or special committees from the membership of the commission as the commission shall determine necessary or useful in carrying out its purposes and powers. The purpose, term and members of each committee shall be determined by the chairperson. 2-1-10:Chapter 10 Code Enforcement Advisory Committee. A. 2-10-1: Purpose. The Code Enforcement Advisory Committee is established as an advisory committee to the City Council, to regularly reviews the activities, services, and regulatory processes established within those sections of the Englewood Municipal Code enforced by the Code Enforcement Unit of the Police Department, and to provides recommendations to the City Council for updates and modifications to those services and regulatory processes. B. 2-10-2: Composition and Membership. On and after January 1, 2020, Tthe Committee consists will be comprised of seven (7) citizen-at-large members appointed by City Council to overlapping two-year terms, who shall be citizens-at-large. The City Manager shall appoint one (1) member of city staff to serve as the staff liaison, and one (1) member of the police department staff to provide technical information regarding the regulatory processes subject to review by the Committee; . At the Manager's discretion a single individual may provide both services to the Committee. One (1) member of the City Council shall serve as a non voting Ccouncil liaison to the Committee. 2-10-3: Terms of Members. Members will be appointed to overlapping terms of two years. The City Council shall make appointments to fill vacancies for unexpired terms. 2-10-4: Compensation. A. The members of the Committee shall serve without compensation. B. Reasonable expenses directly related to performing the duties of the Committee shall be allowed. C. 2-10-5: Powers and Duties. The Code Enforcement Advisory Committee shall have the following powers and duties: 1A. Conduct a comprehensive review of those sections of the Englewood Municipal Code regulating domesticated animal welfare and control, non-domesticated animal control, environmental pollution, graffiti, noise, outdoor storage, snow and ice removal, trash and litter, grass and weeds, trees and shrubs, and wood burning. The City Council may, at their discretion, direct the Committee to review other chapters of the Englewood Municipal Code intended to prevent or abate situations that are deemed detrimental to the health, safety and welfare of the community as provided primarily in Title 15 of this Code. The Committee shall make recommendations to the City Council for the addition, deletion and revision of these provisions of the Englewood Municipal Code. 2B. Review the processes, procedures and administrative functions of the Code Enforcement Unit of the Englewood Police Department. Make recommendations to the City Manager‘s , or his/her designee, for improvements. 3C. Seek input from members of the community regarding enforcement priorities of the Page 36 of 2454 Code Enforcement Unit to utilize the resources provided in a manner that meets the needs of the community. Develop community education efforts to inform the community about code enforcement initiatives and regulations. 4D. Act as a conduit of communication between the City Council, Manager, and the community, and gather and assess the information necessary to make sound recommendations to the City Council for service delivery. Provide written reports and/or recommendations to the City Council regarding the responsibilities set forth in subsections A, B, and C above through the City Council liaison as needed. Make annual written recommendations to all stakeholders, as needed, but no less than annually. 2-10-6: General Rules. A. The Committee shall organize, adopt administrative rules and procedures and elect from its members such officers as it shall deem necessary to accomplish its purposes. Officers of the Committee shall be elected for one-year terms. No officer shall serve in the same capacity for more than two (2) consecutive terms. B. The Chairperson may appoint such standing or special subcommittees from the membership of the Committee as the Committee shall determine necessary or useful in carrying out its purposes and powers. The purpose, term and members of each subcommittee shall be determined by the chairperson. DC. The responsibilities of the Committee shall not extend to directing or interfering with the work of any officer or employee under the City Manager, either publicly or privately. 2-10-7: Reserved. 2-1-11: Board of Adjustment and Appeals. A. Composition and Membership. The Board of Adjustment and Appeals consists of seven members appointed by City Council for overlapping terms of four (4) years, Members shall be qualified electors, residents of the City at least one (1) year immediately prior to the date of their appointment, and shall hold no other office or position in the City Administration, boards, commissions, task forces, or committees. B. Powers and Duties. The board shall have those powers and duties as assigned within specific sections of this Code and by other applicable law. 2-1-12: Chapter 12 Transportation Advisory Committee. A. 2-12-1: Purpose. The Transportation Advisory Committee is established as an advisory committee focused focuses on transportation issues in the City of Englewood. The Transportation Advisory Committee shall at all times seeks to promote close cooperation between the City Council, other City boards and commissions, City departments, individuals, businesses, institutions and agencies concerned with transportation related activities to the end that all such groups within the City needs to be considered and coordinated in order to secure the greatest public welfare. In all deliberations, the Committee shall try to recognize the relationship between transportation and economics, energy, safety, land use, neighborhood integrity, environmental quality and emergency response times; and shall consider transportation access to health care, employment, education, housing, business and commerce and recreational Page 37 of 2454 facilities. B. Composition and Membership. The Committee consists will be comprised of five (5) members appointed by City Council, and three (3) ex-officio staff members appointed by the City Manager serving . 2-12-3: Terms of Members. Members will be appointed to overlapping terms of four (4) years. The City Council shall make appointments to fill vacancies for unexpired terms. 2-12-4: Compensation. A. The members of the Committee shall serve without compensation. B. Reasonable expenses directly related to performing the duties of the Committee shall be allowed. C. 2-12-5: Powers and Duties. The Transportation Advisory Committee shall have the following powers and duties: 1A. Act as a conduit of communication between the City and the community, and gather and assess the information necessary to make sound and consistent recommendations to the City for transportation studies, mitigation strategies and transportation improvements. 2B. Review, monitor and suggest recommendations for City transportation matters including, but not limited to: streets and highways, bus and rail service, provision for the needs of the mobility impaired, bicycle and pedestrian traffic; transportation system management and residential permit parking within the City. 3C. Make recommendations regarding the allocation of funds for capital expenditures related to roadway and transportation improvements. 4D. Review, monitor and recommend changes to municipal ordinances intended to prevent or abate situations that are deemed detrimental to the health, safety and welfare of the community as provided primarily in Title 11 of the Municipal Code. The Committee shall make recommendations to the City Council for the addition, deletion and revision of ordinances. 5E. Review, monitor and recommend changes to the City Transportation Element of the Comprehensive Plan, the City Transportation Action Plan and the Traffic Calming Policies and Procedures Manual. 6F. Review and suggest recommendations for placement and enforcement of warning, regulatory and guide signs on City streets. 7G. Perform such other duties as may be referred to the Transportation Advisory Committee by the City Council. D. 2-12-6: Appointment of Officers and Adoption of Rules. A. The Committee shall organize, adopt administrative rules and procedures and elect from its members such officers as it shall deem necessary to accomplish its purposes. Officers of the Committee shall be elected for a two-year (2) term. No officer shall serve in the same capacity for more than two (2) consecutive terms. B. The Chairperson may appoint such standing or special sub-committees from the membership of the committee as the committee shall determine necessary or useful in carrying out its purposes and powers. The purpose, term and members of each sub- committee shall be determined by the Chairperson. 2-1-13. Chapter 14 Budget Advisory Committee. Page 38 of 2454 A. 2-14-1: Purpose. The Budget Advisory Committee (BAC) is established by Council and the City Manager to advises the City on the development, implementation, and evaluation of the annual City Budget. Participation in Budget Advisory Committee is an opportunity not only to advise on the prioritization of how City tax dollars are spent, but also to advise policymakers in their decision-making process in an open and transparent process. B. 2-14-2: Composition and Membership. BACThe Committee consists will be comprised of five (5) members appointed by City Council to overlapping three-year terms. The City Council may also appoint up to two (2) of its members to serve as non-voting liaison(s) to the BAC. Such liaison(s) shall serve in a non-voting capacity. 2-14-3: Terms of Members. Members will be appointed to overlapping terms of three (3) years. The City Council shall make appointments to fill vacancies for unexpired terms. 2-14-4: Compensation. A. The members of the Committee shall serve without compensation. B. Reasonable expenses directly related to performing the duties of the Committee shall be allowed. C. 2-14-5: Powers and Duties. The Committee shall organize, adopt administrative rules and procedures and elect from its members such officers as it shall deem necessary to accomplish its purposes. Officers of the Committee shall be elected for one-year (1) terms. No officer shall serve in the same capacity for more than two (2) consecutive terms. B. The chairperson may appoint such standing or special sub-committees from the membership of the Committee as the Committee shall determine necessary or useful in carrying out its purposes and powers. The purpose, term and members of each sub-committee shall be determined by the chairperson. 2-14-7: Reserved. 2-1-14:Chapter 15 Englewood Historic Preservation Commission. A. 2-15-1: Purpose. The Englewood Historic Preservation Commission is established as focuses an Advisory Committee focused on preserving the aesthetic, historical, architectural, and geographic heritage of the City. B. 2-15-2: Composition and Membership. The Commission consists will be comprised of seven (7) members appointed by City Council to overlapping four-year terms. Preference for appointments shall be given to at least . At least two (2) members should be recommended by the Englewood Historic Preservation Society or similar community organizations. 2-15-3: Terms of Members. The term of office of the members first appointed to the Englewood Historic Preservation Commission shall be four (4) members for a term of three (3) years, and three (3) members for a term of two (2) years. Thereafter, all subsequent appointments shall be for a term of four (4) years. 2-15-4: Compensation. A. The members of the Commission shall serve without compensation. B. Reasonable expenses directly related to performing the duties of the Commission shall be allowed. C. 2-15-5: Powers and Duties. The Englewood Historic Preservation Commission shall have the following powers and duties: 1A. Promote and encourage voluntary participation in designating, preserving, protecting, enhancing and perpetuating those structures, sites and districts which reflect outstanding elements of the City's cultural, artistic, social, economic, political, architectural, history and other heritage. 2B. Foster civic pride in the beauty and accomplishments of the past. 3C. Promote and encourage the use of outstanding historical or architectural structures, sites and districts for the education, and welfare of the people of the City. 4D. Promote and encourage voluntary participation in the continued private ownership and utilization of such buildings and other structures now so owned and used, to the extent that the objectives listed above can be attained under such a policy. 5E. Promote and advise City Council on Historic Preservation. 6. Perform those duties as assigned by ordinance and municipal code, including in Title 16 Chapter 12. 2-15-6: Appointment of Officers and Adoption of Rules. A. No member of the Commission may personally appear as an applicant, proponent, opponent, interested party, witness or representative of any action before the Commission. Chapter 2: GENERAL POLICIES 13 TERM LIMITS FOR BOARDS AND COMMISSIONS 2-213-1: Term Limits for Boards and Commissions. [text of section not amended] Chapter 13A GENERAL POLICIES 2-2-213A-1: Authority of City Council to Appoint Non-Voting Alternate Members and Youth Members. Appointment of non-voting alternate members and youth members to any standing body established by this Title 2: 1. A. The City Council may is hereby authorized to appoint non- voting alternate members and youth members to any board, commission or committee established by this Title. Appointment of alternate and youth members may be within the same Resolution appointing regular members to such boards, commissions or committees, or may be by separate Resolution or regular motion. B.2. Alternate members are permitted to vote when serving in the place of a regular member not in attendance at such meeting. C.3. The City Council may choose not to fill or to continue any alternate or youth positions not provided for within the specific enabling legislation of a board, commission or committee. 4. The intent of this Section is to provide the City Council with the greatest possible flexibility in assuring broad participation in boards, commissions and committees, and to allow the City Council to meet the current needs of such established bodies and the community. D. Any board may appoint an alternate member to fill an unexpired term of a voting vacant member position, after providing to the City Clerk notice of its intent to do so. Otherwise, City Council shall make appointments to fill vacancies for unexpired terms. 2-2-3: Quorum. Unless specifically provided otherwise by Englewood Charter or municipal code, a simple majority of then-appointed members of each board, commission or committee shall constitute a quorum for conducting business. In the absence of a quorum, present members may adjourn until a quorum is obtained. 2-2-4: Procedures Applicable to all Boards. A. Removal. Unless specifically provided otherwise by Englewood Charter or other applicable law, all members of boards, commissions, task forces, and committees (collectively “board”) serve at the pleasure of City Council, and may be removed upon majority vote. Page 41 of 2454 13 Removal also may be appropriate for excessive absenteeism, or violation of applicable laws or City employment policies including defamation, harassment of City staff. B. Term expiration. Despite the expiration of any term, members shall continue to serve until their successor is appointed by City Council. D. Compensation. All members shall serve without compensation, but a member may be reimbursed for reasonable expenses incurred in connection with their authorized duties for the board. E. Sub-committees. The chairperson may appoint such standing or special subcommittees from the membership as the board shall determine necessary or useful in carrying out its purposes and powers. The purpose, term and members of each subcommittee shall be determined by the chairperson. F. By-laws, Rules. Every board may organize and adopt administrative rules, procedures, and by-laws that are not otherwise in conflict with Englewood Charter, municipal code, or applicable law. G. Officers. 1. Each board shall elect a chairperson and vice chairperson from its membership. Unless otherwise provided in this Title or their board appointment terminates, they shall serve two-year terms or until a successor is elected. Each board may elect from its members additional officers for two-year terms as it shall deem necessary to accomplish its purposes. No officer shall serve more than two (2) consecutive terms in a single position. 2. The chairperson and vice chairperson may participate in all discussions of the board and vote on all questions. The chairperson shall be the presiding officer and shall have such other and further duties as may be designated by the rules and regulations of the board. When the chairperson is absent, the vice chairperson shall serve as the presiding officer. Section 2. General Provisions Applicable to this Ordinance The following general provisions and findings are applicable to the interpretation and application of this Ordinance: A. Severability. If any clause, sentence, paragraph, or part of this Ordinance or the application thereof to any person or circumstances shall for any reason be adjudged by a court of competent jurisdiction invalid, such judgment shall not affect, impair or invalidate the remainder of this Ordinance or its application to other persons or circumstances. B. Inconsistent Ordinances. All other Ordinances or portions thereof inconsistent or conflicting with this Ordinance or any portion hereof are hereby repealed to the extent of such inconsistency or conflict. C. Effect of repeal or modification. The repeal or modification of any provision of the Code of the City of Englewood by this Ordinance shall not release, extinguish, alter, modify, or change in whole or in part any penalty, forfeiture, or liability, either civil or criminal, which shall have been incurred under such provision, and each provision shall be treated and held as still remaining Page 42 of 2454 14 in force for the purposes of sustaining any and all proper actions, suits, proceedings, and prosecutions for the enforcement of the penalty, forfeiture, or liability, as well as for the purpose of sustaining any judgment, decree, or order which can or may be rendered, entered, or made in such actions, suits, proceedings, or prosecutions. D. Safety Clauses. The City Council hereby finds, determines, and declares that this Ordinance is promulgated under the general police power of the City of Englewood, that it is promulgated for the health, safety, and welfare of the public, and that this Ordinance is necessary for the preservation of health and safety and for the protection of public convenience and welfare. The City Council further determines that the Ordinance bears a rational relation to the proper legislative object sought to be obtained. This Safety Clause is not intended to affect a Citizen right to challenge this Ordinance through referendum pursuant to City of Englewood Charter 47. E. Publication. Publication of this Ordinance may be in the City’s official newspaper, the City’s official website, or both. Publication shall be effective upon the first publication by either authorized method. F. Actions Authorized to Effectuate this Ordinance. The Mayor is hereby authorized and directed to execute all documents necessary to effectuate the approval authorized by this Ordinance, and the City Clerk is hereby authorized and directed to attest to such execution by the Mayor where necessary. In the absence of the Mayor, the Mayor Pro Tem is hereby authorized to execute the above-referenced documents. The execution of any documents by said officials shall be conclusive evidence of the approval by the City of such documents in accordance with the terms thereof and this Ordinance. City staff is further authorized to take additional actions as may be necessary to implement the provisions of this Ordinance, and has authority to correct formatting and/or typographical errors discovered during codification. G. Enforcement. To the extent this ordinance establishes a required or prohibited action punishable by law, unless otherwise specifically provided in Englewood Municipal Code or applicable law, violations shall be subject to the General Penalty provisions contained within EMC § 1-4-1.
