Intergovernmental Agreement (IGA) to continue providing sustainability program services to the
City of Sheridan
RECOMMENDATION:
Staff recommends that Council approve an ordinance authorizing an intergovernmental
agreement (IGA) with the City of Sheridan to continue providing sustainability program services.

SUMMARY:
In 2023, the Cities of Englewood and Sheridan established an intergovernmental agreement
(IGA) to time and cost share sustainability program services. This updated IGA extends the
partnership, updates costs, and provides further clarity through ought.
ANALYSIS:
In 2023, the Cities of Englewood and Sheridan joined together via an IGA to time and cost
share sustainability program services. This includes the time and cost share of a full=time
employee (FTE) Sustainability Program Manager, with 20% of their time spent at Sheridan and
the remaining 80% at Englewood.

The updated IGA before council has the following updates from the original IGA:
Extends Sheridan’s participation through the end of 2028.
Clarifies that annual payment increases will not exceed 5% per year (rather than 5%
total over the agreement).
Adjusts Sheridan’s payment amount to the City of Englewood.
Adds a clause under Article I addressing adjustments in cost share if a new
Sustainability Program Manager is hired at a higher or lower pay rate.
Duties of the City of Sheridan Payment
1. Sheridan agrees to pay Englewood a fixed sum for each year of this Agreement totaling
$26,024
a. Beginning in 2026 the amount paid to Englewood may be increased annually to
reflect any increase in salary and benefits for the Sustainability Program
Manager under Englewood’s classification and compensation system. Any
increase in payment shall not exceed 5% per year and shall require the written
approval of both Cities. Any increase in payment shall further be subject to
annual appropriation by each City Council, consistent with Article III, Section 3.
b. Pay rates above are based on the classification and compensation policies of the
City of Englewood. Should the pay of the Sustainability Program Manager
change more than five percent, either higher or lower than this pay schedule, the
City of Englewood shall provide the City of Sheridan with data supporting the
modification, which the Cities shall mutually agree to in writing.
2. Set Off - In addition to any other rights Englewood has under this Agreement to
indemnification or recoupment, Englewood agrees that Sheridan is entitled to set off any
amounts it may owe Englewood under this Agreement against such claims for indemnity
or recoupment.
3. Location and Times – Sheridan will determine the location and times of the work of the
Sustainability Program Manager.
4. Direction – The Englewood Deputy City Manager shall serve as the supervisor for the
Sustainability Program Manager, but Sheridan shall provide direction specific to projects
and initiatives performed for Sheridan as identified in Article II, Section 2 of this
Agreement.
5. Communication - Sheridan, represented by the City Manager or individual appointed by
the City Manager, will communicate with Englewood, represented by the Deputy City
Manager, on a monthly basis to discuss any questions or challenges about the services
being provided under this Agreement, as well as being available on an as needed basis
for any issues that may arise.
Duties of the City of Englewood
1. Sustainability Program Manager hours – The Englewood Sustainability Program
Manager shall provide 8 hours of direct services to Sheridan on a weekly basis.
2. Sustainability support services- The Englewood Sustainability Program Manager will
receive support from Englewood in performing duties for Sheridan, which may include
but are not limited to:
a. City Manager’s Office Intern support;
b. Graduate student support;
c. Administrative support from the Englewood Finance and Information Technology
Departments; and
d. Guidance from the Englewood Deputy City Manager.

3. Communication – Englewood, represented by the Deputy City Manager, will meet with
Sheridan, represented by the City Manager, to discuss any questions or challenges
about the services being provided under this Agreement, as well as being available on
an as needed basis for any issues that may arise.
4. Sustainability program management - All support services provided by Englewood will
provide Sheridan with overall support for the development of a sustainability program
which includes, but not limited to:
a. Engagement of City of Sheridan staff members related to sustainability
programs;
b. Engagement of the City of Sheridan community related to sustainability
programs;
c. Implementation of the City of Sheridan sustainability plan;
d. If desired by the Sheridan City Council, establishment of a City of Sheridan
sustainability committee, board, or commission; and
e. Measuring and monitoring of sustainability projects and measures.
COUNCIL ACTION REQUESTED:
Staff requests that Council consider approval of an ordinance continuing the IGA with the City of
Sheridan for purposes of continuing the partnership for time and cost sharing sustainability
program services.
FINANCIAL IMPLICATIONS:
Via this IGA with Sheridan, Sheridan will pay the city $26,024 for the green business services
annually, which includes their portion of both the total position’s salary and benefits.
CONNECTION TO STRATEGIC PLAN:
The sustainbility services time and cost shared with Sheridan help advance all the goal areas
found within the Sustainability section of the strategic plan, which includes:
Water Protection
Built Environment and Infrastructure
Natural Environment
Waste & Recycling
Sustainable Business and Green Workforce
Climate Action
Energy
It additionally helps advance projects found within the Transportation section, specifically those
found in the Connected and Clean Transportation goal.
OUTREACH/COMMUNICATIONS:
The Sustainability Program Manager (SPM) works closely with both internal and external
stakeholders at both the Cities of Englewood and Sheridan. This includes duties such as
coordination with internal departments on increasing efficiencies and sustainability practices;
working and meeting with residents to discuss their sustainability desires for Englewood; and
future planning on topics such as resiliency, sustainability-related infrastructure needs, and
more. The SPM also serves as the Sustainability Commission liaison for the City of Englewood.

AN ORDINANCE AUTHORIZING A SECOND AMENDED INTERGOVERNMENTAL
AGREEMENT BETWEEN THE CITIES OF ENGLEWOOD, COLORADO AND
SHERIDAN, COLORADO FOR THE PROVISION OF SUSTAINABILITY PROGRAM
MANAGER SERVICES.
WHEREAS, Article XIV, Section 18(2)(a) of the Constitution of the State of Colorado
and C.R.S. § 29-1-203 authorize governments to cooperate and contract with one another to
provide any function, service, or facility lawfully authorized to each; and
WHEREAS, in 2023, the City of Englewood and the City of Sheridan entered into an
Intergovernmental Agreement to share the services of Englewood’s Sustainability Coordinator,
later retitled Sustainability Program Manager; and
WHEREAS, the Cities amended the Agreement in 2024 to update compensation and
classification of the position; and
WHEREAS, the Parties now desire to enter into a Second Amended Intergovernmental
Agreement to extend the term of the arrangement and update the Sustainability Program Manager’s
pay schedule and cost-sharing provisions; and
WHEREAS, the Englewood City Council finds that extending this Agreement serves the
public interest by advancing sustainability goals and leveraging shared resources.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF ENGLEWOOD, COLORADO, AS FOLLOWS:
Section 1. The City Council of the City of Englewood, Colorado hereby approves the Second
Amended Intergovernmental Agreement between the City of Englewood, Colorado and the City of
Sheridan, Colorado for the provision of Sustainability Program Manager services, a copy of which
is on file with the City Clerk, in the form substantially the same as that attached hereto.
Section 2. General Provisions
The following general provisions and findings are applicable to the interpretation and application
of this Ordinance:
A. Severability. If any clause, sentence, paragraph, or part of this Ordinance or the
application thereof to any person or circumstances shall for any reason be adjudged by a court of
competent jurisdiction invalid, such judgment shall not affect, impair or invalidate the remainder
of this Ordinance or its application to other persons or circumstances.

B. Inconsistent Ordinances. All other Ordinances or portions thereof inconsistent or
conflicting with this Ordinance or any portion hereof are hereby repealed to the extent of such
inconsistency or conflict.
C. Effect of repeal or modification. The repeal or modification of any provision of the
Code of the City of Englewood by this Ordinance shall not release, extinguish, alter, modify, or
change in whole or in part any penalty, forfeiture, or liability, either civil or criminal, which shall
have been incurred under such provision, and each provision shall be treated and held as still
remaining in force for the purposes of sustaining any and all proper actions, suits, proceedings,
and prosecutions for the enforcement of the penalty, forfeiture, or liability, as well as for the
purpose of sustaining any judgment, decree, or order which can or may be rendered, entered, or
made in such actions, suits, proceedings, or prosecutions.
D. Safety Clauses. The City Council hereby finds, determines, and declares that this
Ordinance is promulgated under the general police power of the City of Englewood, that it is
promulgated for the health, safety, and welfare of the public, and that this Ordinance is necessary
for the preservation of health and safety and for the protection of public convenience and welfare.
The City Council further determines that the Ordinance bears a rational relation to the proper
legislative object sought to be obtained. This Safety Clause is not intended to affect a Citizen right
to challenge this Ordinance through referendum pursuant to City of Englewood Charter 47.
E. Publication. Publication of this Ordinance may be by reference or in full in the
City’s official newspaper, the City’s official website, or both. Publication shall be effective upon
the first publication by either authorized method. Manuals, Municipal Code, contracts, and other
documents approved by reference in any Council Bill may be published by reference or in full
on the City’s official website; such documents shall be available at the City Clerk’s office and
in the City Council meeting agenda packet when the legislation was adopted.
F. Actions Authorized to Effectuate this Ordinance. The Mayor is hereby authorized
and directed to execute all documents necessary to effectuate the approval authorized by this
Ordinance, and the City Clerk is hereby authorized and directed to attest to such execution by the
Mayor where necessary. In the absence of the Mayor, the Mayor Pro Tem is hereby authorized to
execute the above-referenced documents. The execution of any documents by said officials shall
be conclusive evidence of the approval by the City of such documents in accordance with the terms
thereof and this Ordinance. City staff is further authorized to take additional actions as may be
necessary to implement the provisions of this Ordinance, and has the authority to correct
formatting and/or typographical errors.
G. Enforcement. To the extent this ordinance establishes a required or prohibited
action punishable by law, unless otherwise specifically provided in Englewood Municipal Code
or applicable law, violations shall be subject to the General Penalty provisions contained within
EMC § 1-4-1.

SECOND AMENDED INTERGOVERNMENTAL AGREEMENT BETWEEN THE CITIES OF
ENGLEWOOD, COLORADO AND SHERIDAN, COLORADO FOR THE PROVISION OF
SUSTAINABILITY PROGRAM SERVICES
This Intergovernmental Agreement (“Agreement”) is made and entered into this ____
day of _______________, 2025, (the “Effective Date”) by and between the City of Sheridan, a
Colorado home rule municipality of the State of Colorado (“Sheridan”), and the City of
Englewood, a home rule municipality of the State of Colorado (“Englewood”) and
collectively referred to as the (“the Cities”).
RECITALS
WHEREAS, Article XIV, Section 18(2)(a) of the Constitution of the State of Colorado, and Part
2, Article 1, Title 29, C.R.S., encourages and authorizes intergovernmental agreements; and
WHEREAS, Sections 28-1-203 and 29-1-203.5, C.R.S., authorize governments to cooperate
and contract with one another to provide any function, service, or facility lawfully authorized
to each; and
WHEREAS, the Cities have a partnership in shared programs through intergovernmental
agreements; and
WHEREAS, the City of Englewood included sustainability goals in the 2020 version of its
strategic plan; and
WHEREAS, the City of Englewood created the Englewood Sustainability Commission in late
2021; and
WHEREAS, the City of Englewood hired a Sustainability Coordinator in early 2022; and
WHEREAS, the Sustainability Program Manager is responsible for implementing the City of
Englewood’s adopted Sustainability Plan;
WHEREAS, in 2022, the City of Sheridan expressed an interest in developing a sustainability
program and contacted the City of Englewood relative to sharing the services of the City of
Englewood Sustainability Coordinator; and
WHEREAS, in February of 2023 the City of Englewood approved the Intergovernmental
Agreement with the City of Sheridan for the Provision of Sustainability Program Services; and
WHEREAS, in 2024 the City of Englewood adjusted the compensation and title of the
Sustainability Coordinator to Sustainability Program Manager after a comprehensive
Classiflcation and Compensation study of the organization;

WHEREAS, the Parties desire to amend the previous Agreement by increasing the amount
paid to the City of Englewood for shared use of the Sustainability Program Manager and
extending the term of the Agreement.
WHEREAS, an updated IGA between both Cities is being pursued to I) extend the initial term
due to program success and II) to update as well as provide clarity on the Sustainability
Program Manager’s pay scale and structure.
AGREEMENT
NOW THEREFORE, in consideration of the mutual covenants and agreements herein, and
for other good and valuable consideration, the sufficiency and receipt of which is hereby
acknowledged, the Parties hereby agree as follows:
The recitals set forth above are incorporated into this Agreement and shall be deemed to be
terms and provisions of this Agreement, to the same extent as if fully set forth in this section.
Article I: Duties of the City of Sheridan
1. Payment –
a. Sheridan agrees to pay Englewood a flxed sum for each year of this Agreement,

Article III: Terms of Agreement
1. Term – The initial term of this Agreement is from the Effective Date until December 31,
2028, or until terminated by the Parties. This Agreement may be extended upon
mutual agreement of the Parties in writing and subject to annual appropriation of
funds by both City Councils.
2. No Multi-Year Fiscal Obligation- All flnancial obligations of the Cities under this
Agreement are subject to the annual appropriations of funds by their own governing
body. Nothing in this Agreement shall constitute a debt or multi-year flscal obligation
of Sheridan or Englewood within the meaning of Article X, Section 20 of the Colorado
Constitution (TABOR).
3. Termination- This Agreement may be terminated by either Party at any time, with or
without cause upon a Party providing no less than thirty (30) days of written notice to
the other Party. Should Sheridan terminate the Agreement, it shall compensate
Englewood for all services provided until the day of termination. The City Councils of
the Cities shall have the authority to immediately terminate this Agreement upon
flnding that the public interest requires such termination.
Article IV: Notice
Any notice, demand, or request required by or relating to this Agreement shall be given by
personal delivery, by facsimile, or sent by registered or certifled mail, postage prepaid, to
each Party at the addresses set forth herein.

Article V: Miscellaneous Provisions
1. Governmental Immunity - This Agreement is not intended and shall not be construed
as a waiver of the limitations on damages or any of the privileges, immunities, or
defenses provided to, or enjoyed by the Cities, their employees and volunteers, under
federal or state constitutional, statutory or common law, including but not limited to
the Colorado Governmental Immunity Act, Section 24-10-10 I, C.R.S., et seq., as may
be amended.
2. No Third-Party Beneflciaries - Nothing in this Agreement shall be deemed to create
any third-party beneflciary or beneflciaries or create a right or cause of action for the
enforcement of its terms, in any entity or person not a Party to this Agreement.
3. Amendments - No change, amendment, or waiver of any of the terms or provisions of
this Agreement shall be valid or binding unless the same has been approved in writing
by both Cities.
4. No Assignment. This Agreement may not be assigned by either Party.
5. Severability. In the event that any of the terms, covenants or conditions of this
Agreement, or their application, shall be held invalid as to any person, corporation,
or circumstances by any court having competent jurisdiction, the remainder of this
Agreement, and the application in effect of its terms, covenants, or conditions to
such persons, corporations, or circumstances shall not be affected thereby.
6. Governing Law. This Agreement shall be governed by and construed in accordance
with the laws of the State of Colorado. Venue will be proper in Arapahoe County,
Colorado.
7. Complete Agreement. This Agreement embodies the entire agreement of the Cities.
There are no promises, terms, conditions, or obligations other than those contained
herein; and this writing supersedes all previous communications, representations, or
agreements, either verbal or written between the parties.
8. Execution by Counterparts. This Agreement may be executed in multiple
counterparts, each of which will be deemed an original, but all of which will
constitute one agreement.
IN WITNESS THEREOF, the Cities have executed this Intergovernmental Agreement for the
purposes of sustainability program services as of the day and year written above.

SUBJECT: Electrical, Instrumentation, and Controls Contract Renewals
DESCRIPTION:
Staff recommends renewal of five (5) on-call contracts to support Electrical, Instrumentation,
and Controls (EI&C) improvements at the Allen Water Treatment Plant (WTP) and remote water
system facilities.
RECOMMENDATION:
Utilities staff is seeking City Council approval for five (5) contract renewals with five (5) on-call
contractors in the distinct field for EI&C improvements at the City of Englewood’s (City) water
system facilities, including the Allen WTP and remote sites.
The Water and Sewer Board recommended Council approve the five (5) EI&C renewals during
its September 9, 2025 meeting.
PREVIOUS COUNCIL ACTION:
September 16, 2024 – City Council approved a series of contract renewals with
contractors in three (3) distinct fields for programming and EI&C improvements at the
City's water system facilities, including the Allen WTP and remote pump stations.
September 18, 2023 – City Council approved a Task Order on the Contract for Services
(CFS) CFS-22-29 EI&C on-call with M. Gilmore Electric, LLC to furnish and install a new
Allen-Bradley Variable Frequency Drive at the Allen WTP.
August 21, 2023 – City Council approved a series of contract renewals with contractors
in three (3) distinct fields for programming and EI&C improvements at the City's water
system facilities, including the Allen WTP and remote pump stations.
September 6, 2022 – City Council approved a series of contracts with contractors in
three (3) distinct fields for programming and EI&C improvements at the City’s water
system facilities, including the Allen WTP and remote pump stations.
SUMMARY:
In 2020, Utilities completed a comprehensive Master Plan for the water system, which identified
several needs to address aging infrastructure, single points of failure, and areas of risk. The
plan included significant improvements in EI&C systems at the Allen WTP and remote pump
stations. Staff has identified projects for 2025 and 2026 that include upgrades to main and
emergency power systems, installation of Instrumentation and Controls (I&C) equipment,
Variable Frequency Drive (VFD) replacements, and Motor Control Center (MCC) replacements.
This work requires coordinated efforts among electricians, integrators, and programmers, with

electricians ensuring an adequate power supply and wiring to the I&C equipment. Integrators
are responsible for procuring, starting up, configuring, and calibrating the I&C equipment.
ANALYSIS:
The proposed renewals include three (3) competitively selected Contracts for Services (CFS)
with electrical contractors and two (2) Professional Services Agreements (PSA) with I&C
consultants. Renewals are recommended due to each firm’s strong institutional knowledge,
demonstrated successful performance, and technical expertise in the municipal water and
wastewater sector. Staff recommends this package of five (5) contracts, as each is necessary to
form a coordinated approach to EI&C improvements planned in 2025 and 2026.
City procurement policies allow for four (4) one-year renewal terms for new contracts following

While these on-call contracts establish maximum values, they do not guarantee work to any
contractor or discipline. Task orders will be issued on a project-by-project basis, with proposals
evaluated individually. In awarding task orders, the City will also consider each contractor’s
current workload to ensure adequate capacity and priority for City projects.
COUNCIL ACTION REQUESTED:
Motion to approve the following contracts and agreements:
Contract for Services renewal, CFS-22-28, with Power Solutions Group LLC for on-call
electrical services in an amount not to exceed $500,000.
Contract for Services renewal, CFS-22-29, with M. Gilmore Electric, LLC for on-call
electrical services in an amount not to exceed $500,000.
Contract for Services renewal, CFS-22-30, with McDade-Woodcock, Inc., for on-call
electrical services in an amount not to exceed $500,000.
Professional Services Agreement renewal, PSA-22-93, with Huffman Engineering, Inc.
for Instrumentation and Controls services in an amount not to exceed $250,000.
Professional Services Agreement renewal, PSA-22-92, with Timber Line Electric and
Control Corp. for Instrumentation and Controls services in an amount not to exceed
$250,000.
