5. Regular Agenda
(a) Approval of Ordinances on First Readi ng
(i) A recommendation fr o m the City Manager's Office 10 adopt a bill for an
o rdinance approving an amendment to the Agreement and Sublease with the Museum o f Outdoor Arts
(MOA) was considered. Mayor Burns noted that thi s item was continued from last week
Director Simpson said he was going to keep hi s presentation ve ry minimal and he would be available for
queslions and answers. He explained that 1hi s amendment amends the origi nal contracl wi1h the Museum
of Outdoor Arts and lhe City of Englewood to accommoda1e an additional 3000 sq uare feel o f space. This
amendment. he said. was requested as a res ult of us not going forward wi1h the o riginal direc 1io n of usi ng
the David Taylor Dance Theater as part of lhe c uhural s pace within the Civic Center building. Mr.
Simpson advised 1hat thi s amendment also provides MOA wilh 1he full responsibi li1 y for the lobby and
gallery space and the cos1 of that . They will al so be assuming lhc costs for the restroom facili1ies and th e
amendment provide, 1hem some opportunity for limi1ed use of the Ci 1y's c uhural arts space ... up 10 90 days

Mr. Garrett said it was hi s understanding that these types o f documents had to be publocl y a,aolable. Mr.

Mayor Burns said he has talked to C at y Att o rney Brotzman about thi s somewhat. He a sked Mr. Brotzman
if it is necessar y to go d o wn to look at documents. City A1torney Brotzman said it depends. that under the
new proposed regulations yo u would ha ve to go down and look at them . He pointed out that the Museum
could always send us anything the y like. whenever the y like. that there is no prohibition. in reverse. that
they can ·1 send it to us .
Mayor Burns asked City Attorney Brotzman what the law is no w. as he understands it. Mr. Brotzman
advised. as he understands it. no w if you make the request . it is public . He said he wou ld need to qualify
that a little bit. He explained that that is under the old regulato o ns and no body is operating under the o ld
regulations. everybody is operating under the new regulati o ns. which allows for a time period to go int o the
c harity and revie" them. Yes. he said. those are the new regulations and they are proposed. but e verybody
ha s been operating under them for the past year.

wanted to relay my thoughts concerning the Museum of Outdoor Arts . I
totally support the addendum to the contract that was previously approved by
City Council. I welcome the MOA with open arms and feel that their
contribution can not be equaled in any other manner.

AN OIIDOIANCE AUTHORIZING THE ACCEPTANCE OF AN AMENDMENT TO
THE AGREEMENT AND SUBLEASE BETWEEN THE MUSEUM OF OUTDOOR
ARTS (MOA), THE ENGLEWOOD ENVIRONMENTAL FOUNDATION, INC. (EEF)
AND THE CITY OF ENGLEWOOD, COLORADO (CITY).
WHEREAS , the City Council of the City of Englewood has designated
approximately 15,000 square feet of space on the second floor of the Englewood Cine
Center for cultural uses ; and
WHEREAS, in an effort to activate and energize CityCenter Englewood and to
provide for a unique character to the development, the City has explored opportunities
for cooperation with cultural organizations at CityCenter; and
WHEREAS, the primary tenant for this area is the Museum of Outdoor Arts : and
WHEREAS , the Englewood City Council authorized an Agreement and Sublease
between :MOA. EEF and the City by the passage of Ordinance No. 68, Series of 1999;
and
WHEREAS . additional space has become available and the parties wish to enlarge
the amount of space available to the Museum of Outdoor Arts for sublease: and
WHEREAS , the passage of this proposed Ordinance will finalize an amendment to
the Sublease and Agreement between the City of Englewood , the Englewood
Environmental Foundation. Inc. and the Museum of Outdoor Arts expanding the space
and clarifying uses :
NOW , THEREFORE. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF
ENGLEWOOD. COLORADO , AS FOLLOWS :
Sectjon I . The acceptance of the Amended Agreement and Sublease between the
City of Englewood, Colorado, Museum of Outdoor Arts and the Englewood
Environmental Foundation, Inc. for space at the Englewood Civic Center. attached as
"Attachment 1", is hereby accepted and approved by the Englewood City Council .
Sec•jon 2. The Mayor is authorized to execute and the City Clerk to attest and seal
the Amendment to the Agreement and Sublease for and on behalf of the City of
Englewood , Colorado .

AMENDMENT TO GOVER.l'IMENT AL AGREEMENT A1'1D SUBLEASE
WHEREAS, the City of Englewood, Colorado (hereinafter referred to as "CITY"), the
Englewood Environmental Foundation, Inc. (hereinafter referred to as "EEF"), and The
Museum of Outdoor Arts (hereinafter referred to as "MOA") entered into a
.. Governmental Agreement and Sublease·· on November 22 , 1999. Concerning the
agreement and sublease of certain premises in the Civic Center Building located at 1000
Englewood Parkway.
WHEREAS , the panics wish now to amend that agreement to reflect subsequent changes
in the availability of space and agreements for mutual use of that space.
THEREFORE the following sections shall now read as follows :

I.I Demised Premises. In consideration of the rents , covenants and
agreements herein reserved and contained on the pan of MOA to be performed, CITY
does hereby sublease and demise unto :vtOA the space to be located in the Civic Center
Building as shown on Amended Exhibit D attached hereto and incorporated herein by
this reference , located at 1000 Englewood Parkway, Englewood, Colorado. which
premises (hereinafter called "Demised Premise s") are also known as "Museum Spac e".
The Demised Premises contains approximately ten-thousand (10,000) square feet of
rentable space as shown on Amended Exhibit D.
ARTICLE Ill
CONPIJIO'w OF PREMISES
3.3 Restroom Improvements. The restroom improvements as shown on
Amended Exhibit D, as required by the CITY·s Building Code, shall be improved by the
CITY and MOA in accordance with the CITY'S plans . Englewood agrees to pursue
such improvements through the CITY 'S contractor. MOA shall not be responsible to
expend more than one-third ( 1/3) of the cost of such improvements in an amount not to
exceed Forty Thousand Dollars.
ARTICLE xvm
SHARED USE OF CULTURAL SPACE
18.l Shared use or CITY'S Cultural Space. The City agrees to allow MOA to use
the CITY'S cultural space (the approximately 4000 square foot area adjacent to the
MOA space on the second floor of the Civic Center). The CITY will have the exclusive
right and responsibility for the scheduling of the space and will have first priority for its
use . The second priority for scheduling will be programs that are jointly offered by the

CITY and MOA. The third priority for scheduling will be for MOA programs, for which
MOA will be permitted a maximum of ninety separate uses at no charge to MOA. MOA
may schedule use of CITY'S cultural space, subject to availability, in excess of its
maximum ninety uses, provided that MOA pay the CITY the swidard rental rate for any
such uses. A '"use" being defined u a scheduled clus or meeting for a specific space for
a specific period of time. For example, a six week art class meeting once every week for
a set number of houn will be six separate uses, while one six-hour seminar in one area
will be one use.
11.2 Noa-Competitive asa1e or CITY'S Cultural Space. The City and MOA
~ that the City's usage of the City's Cultural Space will not directly compete with
duses and programs off'ered by MOA.
11.l Use ofMOA Space by CITY. MOA agrees, subject to availability, to
permit use of its conference room and studio space by the CITY for CITY purposes . This
use shall be at no charge to the CITY . MOA funher agrees to permit public access to its
gallery space, as indicated on Exhibit D, during their regular hours of operation .
11.4 Cooperation in Program Planaia1-The CITY and MOA agree to cooperate in
planning cultural programs and events for the Civic Center building and CityCenter
Englewood.

COUNCIL GOAL AND PREVIOUS COUNCIL ACTION
On November 22 , 1999 City Counc il approved Ordinance 68 authoriz ing an agreement and sublease with the
Museum of Outdoor Arts (MOA) for approximately 7000 square feet of space in Civ ic Center for operat ion of
programs of the Museum .
RECOMMENDED ACTION
Staff recommends Council approval of a Bill for an Ord inan ce approvi ng this amendment to the agreement with
MOA.
BACKGOUND
Following approval of the MCA agreement, the City and David Tay lor Dance Theatre (OTOT) jointly determined that ,
due to structural issues, the Civ ic Center space proposed for their use was not v iable. The absence of the David
Taylor Dance Theatre on the second floor resutted in a request from MOA to expand their space to approximately
10 ,000 square feet to accommodate MOA space needs that were to be met through shared usage with DTDT and to
allow for expanded restroom facilities to meet code requirements .
Based on direction from City Council to staff provided dunng study sessions of December 20 . 1999 , January 10 and
February 7 , 2000, staff has prepared a contract amendment incorporating t he foll owing changes:
Approximately 4000 square feet remain available for the City to util ize for cul tural purposes .
MOA will assume full responsibility for the lobby /gallery , which will be open to the publ ic during their
hours of operation.
The City will have the exclusive right and responsib ility for scheduling of th e City 's cultural space and will have
first priority for its use . MCA programs may util ize th is space , without charge . for a max imum of 90 uses
annually. MOA uses beyond 90 annually would be at the City 's standard rental rate for the space .
The City has the right to utilize , without charge but subject to availability , MOA's gallery , studio space and e conference rooms.

Non-competition language and agreement between the parties to cooperate in schedul ing of events and
programs for the City 's cultural space have been added .
FINANCIAL IMPACT
Financial impacts to the City are limited to the additional in-kind contribution for building services that are
proportional to the increase in the space allocated to MOA. A financial benef it to lhe C ity is MCA's agreement to pay
for the total cost of the public gallery space , as under the prior agreement MOA, the City and DTDT would share this
cost equally .

Subject Continuance of Amendment Approval

As per the City Council vote on 3-6-00, The Museum of Outdoor Arts
Is respectfully requesting a speclal meeting to vote on the approval
of the amendment to the Governmental Agreement and Sublease.
A vote at this time Is crltlcal as both the City and the Museum must
adhere to strict deadllnes to successfully complete the space on
schedule and on budget. Addltlonally the Museum must commit to
substantial dollar expenditure this week. This expenditure Is
predicated on amendment approval.
Although we still have had no reasonable explanation as to why this
Information Is needed, the Museum, In an act of good faith, and to
accomplish our mutually beneflclal goals, Is providing copies of Its
1997 and 1998 IRS-990 forms (1999 has not been flied) as requested
by City Councll. These documents are no longer public record and
contain prlvlleged, and confldentlal Information, any disclosure or
distribution of this Information Is prohibited. Thank you.
