Mayor Burns staled that be initially ealalaiaed the idea of calling a special meeting tonight himldf,
having been called on Tbunday at the offlc:c by Council Members Waggoner and Vonniuag. They urged
him to go ahead with the special mcctiDg in order to dilCIID the Cindcrdla City matter. Council was
previously scheduled for a lludy IIClsioll taaip& at the Englewood Golf CGune to meet the new vendors .
However, Mayor Bums aid that be felt it was approprillc, illllelld, to meet in the Council Chambers,
bccaulc that is when: the llakeholdcn and other people who were at lut week · 1 lludy IIClsioll on
Cinderdla City knew that Council was going to dilCUII the matter ftutbcr. Abo, in order to have a
reading. be said, the meeting muat be held in the City, and, therdorc, tonight 's meeting is being held in
City Hall when: the meetings are uawJy held, ID everyone: will know when: they are . AIIO, it gives
Council an opponunity to voce becaUle it is a special meeting.

(a) The first, he staled, is approval of a resolution indicating the direction of Englewood
City Council for the rede\'clopment of the Cinderella City site. He explained that this RSO!ution basically
says that the Englewood City Council desires to set fonh their intention to direct staff to pursue the
rede\'clopment of the Cinderella City site, to include, but oot be limited to, 400,000 square feet of
entenainment and retail development.
The resolution was assigned a number and read by title :

MAYOR BURNS MOVED, AND IT WAS SECONDED, TO APPROVE AGENDA ITEM !I (a) -
RESOLUTION NO. 42, SERIES or 1996.
Mayor Bums asked if there was any discussion .
Council Member Waggoner remarted that Council received a letter, in their packet today, that essentially
reads the last therefore of the resolution just introduced . One of the statements in that letter, he said, is
that this resolution clearly cndoncs a power center at the Cinderella City site while this conccpl is
supposedly still under review . Aoothcr says that, should the City later favor a variation of this a>necpt,
passage of this resolution would put the City :it risk of future lawsuits where none existed before. Council
Member Waggoner asked the City Attorney to respond, asking if this would lock us into 400,000 square
feet or retail at Cinderella City, and whether passage of this resolution puts us at risk of future lawsuits.
City Attorney Brotzman answered tbat, with this resolution, Council is directing staff to pursue the
negotiations for 400,000 square feet . It can be plus or minus 400,000 square feet. that is optional. He
said the answer to the question or will it open us up to 1110R lawsuits is. oot any 1110R than wc currently
bave right now . He opined that, if they can auc us now, they can auc us in the future, this won 't do
anything one way or anodlcr as to the lcga1 i11SUCS .
Council Member Hathaway asked for clarification of the difference between this resolution and the motion
she made last Monday.
Mayor Bums said he thinks that motion is history .
Council Member Hathaway utcd she is just auious, becaUlc the only thing that is diffcrmt in here is that
it is oot limited to 400,000 square feet or entertainment and retail . In other wonk. we could add a cultunl
center or anything else, she said.
Mayor Bums responded that he was conccrncd about her motion last week bClcaulc Council bad said they
wanted more input from staff and 1110R diacuaion after last wect 's meeting . He said that he did not know
she was going to make her motion and said she c:augbt him olf guard.

Mayor Bums said Council told everyone that they would be meeting apin tonight on this issue. Council
received a letter last week from Equitable, be recalled, which expreSICd their peat concern and distress at
what we have been doing and looking at the agreement with them apin and giving us a deadline. He
thought that, since many of the people here tonight were here last week, they knew we were going to IDCld
again tonight. Mayor Bums said be felt this would give Council a cbancc to dilCUIS and express opinions,
since Ibis is not a night for public comment, and Council would be Ible to disc:uss their coocems and,
therefore, have their diSCUllion, having received a lot of public input and cliscuaion u well . He advised
that the otber reason be called the meeting -. not only that be thought it wu a good idea, but because
two members of Council exprasly llked him to do II). He llated that be allO lpOllc to Council Member
Lauri Clapp on Friday, and she allO urged Council to go ahead with the meeting tonight. He aid that,
since Council Member Hathaway bad made the molioas before to go ahead, be thought she would be in
favor .
Council Member Hathaway aid she does not have a problem with that, but that the problem she bas is
putting it in a special meeting session, where there is no opponunity for public input, panicularly after it
was published that Council would be doing a fonnal vote on the ls•. She aid it would not be a problem
for her to vote for it, its just that IIIOII of the calls she bas rcceiwd expressed dilUal that it wu being
done u a special meeting.
Mayor Bums llated that most of the calls be bas bad in the last week have been about 80 pen:cnt to IIIO\-e
ahead, very strongly to move ahead, which wu another reason why be called the meeting.
Council Member Habenicht llated afficially her procest that we are having lhese COlllidered at a apeciaJ
meeting. She thinks. for one thing. u Council Member Hathaway llated, it precludes public comment,
and it wu put on the agenda for the Is•. at which time there would be opportunity for public C0111111C11t.
She aid she does no( w any .-i for rushing into IO!Detbing at the expeme of the public'1 lbility to
come and speak to Council, and that is, to her, extremely problemllic. Rapondin1 to Mayor Bum's

and there will be more public meetings after that, both before tbc Plaooioa Conuniaion and the Council .

A RESOLUTION SUPPORTING A LIGHT-RAIL STATION AT THE RE-DEVELOPED
CINDEREu.A. CITY SITE.
WHEREAS, it ia the dnire of the Englewood City CoUDcil to eet forth their delire to
aupport a light rail station at the re-developed Cinderella City lite; and
WHEREAS , the development of a light rail station at the re-developed Cinderella
City lite will be a culmination of intersovernmental cooperation and a peat deal of work by
the Mayor and Council; and
WHEREAS, the conatruction of the light rail station at the re-developed Cinderella
City lite will provide another means of acce88 to the lite; and
WHEREAS, the development of the light rail station at the re-developed Cinderella
City lite will provide acceu to an alternative method of tranaportation which ia neceaary to
eaee traffic conpation; and
WHEREAS, the development of the light rail station at the re-developed Cinderella
City site will be a benefit to the citiz.ens of Englewood and to the public at large;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF ENGLEWOOD, COLORADO, THAT:
The Englewood City Council desires to eet forth their intention and directa staff to
pursue a light-rail station at the re-developed Cinderella City site . City staff as directed by
Council will take all nec:elllllll'Y ateps to work with RTD in the development of a light-rail
station including acquiring property, remediating any hazardous aubatanc:ea, demoliahing
any structures aa neceaaary or required, providing engineering eervic:ea and coordinating
with the development and planning pl"OC888 for the remainder of thia site.

Mayor Bums said Council told everyone that they would be meeting again tonight on this issue . Council
ru:eived a letter last week from Equitable, he recalled, which expressed their great concern and distress at
wbal we have been doing and looking at the agreement with them again and giving us a deadline . He
i.ght that, since many of the people here tonight were here last week. they knew we were going to meet
apin tonight . Mayor Bums said he felt this would give Council a chance to discuss and express opinions.
since this is not a night for public comment, and Council would be able to discuss their concerns and.

action taking place. She said she bas asked a number of questions of our lcgal counsel and our City
Manager and they have all been a,pied to Council. She felt tbcrc is a lot of information there that Council
may, or may not, have had . She rclatcd that it bas been called to her attention, by someone outside of the
City Council, wbic:b she said just blows her mind, that tbcrc is an earlier agn,cmcnt with Equitable in

Attorney Brotzman whedlcr she is correct in believing that the vote this evening docs not approve Skip
Miller's concept. his blueprint at this time. Rather, the vote just approves retail/entertainment. City
Attorney Brotzman responded that Council Member Clapp is a,rrcct, and that Council will be directing
staff to pursue negotiations for 400,000 square feet or entertainment and retail development.

allegations in tbcrc of possible liability, be said. which aJUld be discussed at the appropriate time with our
