He Slated that Council ~y authormd lhe City lo apply for Fodcnl funds under the: lnlcrmodal
Surface Transponation Efficiency Act (ISTEA) on February 7 , 1994 . The City will benefit from
SR.tl00 .00 in Federal panicipation in this project . The City will be required to proviclc: a 2CW, match ,
totaling $2,000.00 for design of this projccl. Although funds for this project were RO( budgeted in 1994.

1. Englewood will prepare construction plans in accordance with the
requirements of Engineering Services Section 10'7, Preparation of
Constructian Plans by Local Agetv:y, attached hereto and made a
put hereof.
2. Englewood will be responaibJe fm the plans being accurate and
complete.
C. Englewood will comply with the applicable provilions ol the State's
approved Action Plan. including all Federal directives contained therein by
reference.
D. Englewood may enter into a contract with a coosultant to do all or any
portion of the propoaed preliminary engineering and preparation of
construction plans. In the event that Federal-.id funds provided herein are
to putidpate in the am ol work to be done by a coasultant, the contract
shall comply with the ~ ol Federal Aid Policy Guide (FA.PG),

H Englewood will prepare and submit to the State monthly charges for costs
incurred relative to the pro;ect. Englewood will prepare project charges in
acmrdance with the State's standard policies, procedures, and standardized
billing format attached hereto and made a part hereof. Charges incurred
by F.nglewood prior to the date of FHW A authorization of the project will
not be charged to the pro;ect.
L F.nglewood shall maintain all books, doc:umenls, papers, accounting records
and other evidence pertaining to C'OSls incurred and to make such materials
available for inspection at all reasonable times during the contract period
and for 3 years from the date ol final payment to Englewood. Copies ol
such records shall be furnished by F.nglewood if requested.
M. Englewood represents and warrants that it has taken all actions that are
necessary or required by internal proc.dures and bylaws, and applicable
law, to properly authorize the w,denigned signatories for Englewood to
lawfully execute this contract on behalf of F.nglewood and to bind
Englewood to its lerma.

100%. The performance of the work shall be at no cost lo the State. If the
total actual cost of performance of the work exceeds $12,0SO.OO, and
additional Federal funds are made available for the pro;ec:t, F.nglewood
shall pay 17% of all such costs eligible for Federal participation~ 100%
of all non-participating costs. If the total actual cost of performance of the
work is less than $12,0SO.OO, then the amounts of the F.nglewood and
Federal-aid funds will be decreued in accordance with the nmding ratio
described herein.
C. The maximum amount payable lo the Local Agency under this contract
shall be $10,000.00 (100 % of the Federal Participating Preliminary
Engineering) unless such amount is increased by a written supplemental
contract.
D. Upon receipt of each bill from the State, F.nglewood will remit lo the St.ate
that amount billed. Should Englewood fail to pay moneys due the State
within 30 days of demand or within such other period • may be agned
between lhe parties hereto, F.ngwwood agrees that at lhe request of lhe
State, lhe State Treuuffl' may withhold an equal alNUlt &om future

with the nondiscrimination provisions of this contract, the State shall impose such
c:ontract sanctions as it or the FHW A may detennine to be appropriate, including,
but not limited to:
(1) Withholding of payments to the Contnctor under the a:intnct until the
Contractor complies, ar.v:J./or;
(2) Cancellation. termination or suspenaion ol the contnct, in whole or in part.

Englewood, Colorado, hereinafter referred to as the work; and
WHEREAS, the Local Agency has submitted initial design data (D.O.H. Form 463),
dated February 17,_ 1994, to the State setting forth therein preliminary details, information
and estimates of cost of this work, which data has been approved by the State; and
WHEREAS, the matching ratio for this Federal-aid project is 80% Federal-aid
funds to 20% Local Agency funds, it being understood that such ratio applies only to
such costs as are eligi'ble for Federal participation. it being further understood that all
non-participating costs are bome by the Local Agercy at 100%; and
WHEREAS, the Local Agercy has estimated the total cost of the work and is
prepared to provide its share of the cost as evidenced by an appropriate ordinance or
resolution duly passed and adopted by the authorized representatives of the Local
Agency, a copy of which is attAched hereto and made a part hereof; and
WHEREAS, said ordinance or resolution also establishes the authority under
which the Local Agercy enters into this cantract; and
WHEREAS, this rontract is executed by the State under authority of Sections

B. The State will administer the Local Agency and Federal-aid funds for this
project in accordmce with the foUowing provisions.

The State will mmburse the Local Agency for the Federal-aid share
of the project charges following the State's review and approval of
such charges. Charges incurred by the Local Agency prior to the
dale of FHW A authorization for the pro;ect will not be charged to
the project.
C. The State will review c:onstruction plans, special provisions and estimates
and will cause the Local Aptty to make those change ne:::esnry to assure
compliance with Stale and FHW A requirements. The Local Agency will
afford the State ample opportunity to review the construction plans, specw
provisions and estimates, as changed and said plans shall be considered
final when approved and ac:ceplled by the parties hereto. The final plans
are incorporated herein by this reference .

B. The Local Agency will comply with the following:
1. The Local Agency will prepare construction plans in accordance
with the requirements of Engineering Services Section 107, Prepara-
tion of Construction Plans by Local Agency, attached hereto and
made a part hereof.
2. The Local Agency will be responsible for the plans being accurate
and complete.
C. The Local Agency will comply with the applicable provisions of the State's
approved Action Pw\, including all Federal directives contained therein by
referesice.
D. The Local Agency may enter inlo a contrac_t with a consultant to do all or
any portion of the propoeed prelimiNry ~ and preparation of
construction plans. In the event that Federal-aid funds provided herein are
to participate in the cost of work to be done by a consultant, the contract
shall comply with the requirements of F«teral Aid Policy Guide (FAPG),
Title 23, Chapter I. Sub-chapter B, Part 172. Administration of Engineering
and Design Related Service Contracts. The contract with the consultant
shall be Jn('tdeei by an acceptable propoeal and may not be executed or
awarded until the 1election of the consultant and lenns of the contract shall
have been approved by the Stalt and the Federal Highway Administration
(FHW A). All ~ in the a,ntract lhall be by written supplemental
agreement and must haw prior approval of the State and FHW A. As IOOn
as the contract with the consultant has been awarded, one copy ol the

However, if the State determines that such performance by the Local
Agency will jeopardize or is jeopardizing distribution of federal assistance
funds, or that action by the State is necessary to compiy with federal policy
or procedures, then the State, in its di!cretioa. may perform the acquisition
and relocation assistance itself or may supervise and direct the Local
Agency in the performance of such acquisition and assistance. Prior to
taking such action,. the State will provide written notice to the Local
Agency of the basis of such determination or action and will meet with the
Local Agency to discuss poesible remedial measures. Prior to this project
being advertised for bids, the Local Aguw:y will certify in writing to the
State that all right of way has been acquired in~ with the
applicable State and Federal regulations, or that no additional right of way
is required.
F. The Local Agency will be responsible for obtaining the proper clearance or
approval &om any utility company which may becocne involved in this
pro;ect, by teparale agreement between the Local Agew:y and the utility,

D. 'The maximum amount payable to the Local Agerv:y under this contract
shall be $8,000.00 (100% of the Federal Participating Preliminary F.ngineer-
ing costs) unless such amount is increased by a written supplemental
contract.
E. Upon receipt of each bill from the State, the Local Age,v:y will remit to the
State that amount billed. Should the Local Agetv:y fail lo pay moneys due
the State within 30 days of demand or within such other period as may be
agreed between the parties hereto, the Local Age,v:y agrees that at the
request of the State, the State Trusurer may withhold an equal amount
from future apportionments due the Local Agerw:y from the Highway
Users Tax Fund and to pay such funda directly lo the State. Interim funds,
until the State is reimbursed, shall be payable from State Highway
Supplementary Fund (400).
