dated February 17, 1994, to the State setting forth therein preliminary details, information
and estimates of cost of this work, which data his been approved by the State; and
WHEREAS, the matching ratio for this foederaHid pro;ect is 80% FederaHid
funds to 20% Loal >.prey funds, it being understood that such ratio applies only to
such costs as are eligible for Federal participation. it being further understood that all

8 . The Local Agency will comply with the following:
1. The Local Agency will prepare construction plans in accordance
with the requirements of Engineering Services Section 107, Prepara-
tion of Construction Plans by Local Agency, attached hereto and
made a part hereof.
2 . The Local Agff'cy will be responsible for the plans being amuaw
and c:omplew.
C. The Local Aptv:y will comply with the applicable provisimw of the State's
approved Action Plan, including all Federal directives cont.ained therein by
reference .
D. The Local Agency may enter into a contract with a consultant to do all or
any portion of the proposed preliminary engineering and preparation of
construction plans. In the event tNt Federal-aid funds provided herein ue
to participatir in the cost of work to be done by a consultant, the contract
shall comply with the requirements of foederal Aid Policy Guide (FAPG),
Title 23, Chaptirr I, Sub<haptirr B, Part 172, Administration of Engineering
and Design lwlawd Servia C.ontracts. The contract with the consultant

However, if the State determines that such performance by the Local
Agency will jeopardize or is jeopardizing distribution of federal assistance
funds, or that action by the State is necessary to comply with federal policy
or procedures, then the State, in its discretion. may perform the acquisition
and relocation assistance itself or may suPftVi5e and direct the Local
Agency in the ~ of such ac:qwsition and &stance. Prior to
taking such action. the State will provide written notice to the Local
Agency of the basis ot such determination or action and will meet with the
Local Agency to discuss pcmible mnedial measures. Prior to this prqect
being advertised for bids, the Local Agency will certify in writing to the
State that all right of way has been acquired in ~dance with the
applicable State and Federal regulations, or that no additional right of way

State that amount billed. Should the Local Agency fail to pay ~ due

request of the State, the State Treasurer may withhold an equal amount
from future apportionments due the Local Ag«v:y from the Highway
Users Tax Fund and to pay such funds directly to the State. Interim funds,
until the State is reimbursed, shall be payable from State Highway

In compliance with Title VI of the Civil Rights Act of 1961 and with Section 162(a) of the
Federal Aid Highway Act of 1973, the Contractor, for itself, its assignees and successors

E. Sanctions for Noncompliance. In the event of the Contractor's noncompliance
with the nondiscrimination provisions of this contract, the State shall impose such
contract sanctions as it or the FHW A may determine to be appropriate, including,
but not limited to:
(1) Withholding ol payments to the Contractor under the contract until the
Contractor complies, and/ or;
(2) Cancellation. llemunation or aaspension ol the contract. in whole or in part.
F. Incorporation of Proyisicg. The Contractor will include the provisions of
paragraphs A through Fin every subcontract, including procunment ol materials
and leases ol equipment, unlell exempt by the Regulations, orders, or instructions

A . Preliminary engineerin1, deaign services, preparation of construction plans,
special provi1ion1 and eatimate1 in accordance with the State's Roadway and
Bridge Design Manuals and Standard Specification• for Road and Bridge
Construction . Said plans shall include details of any required detoun to prevent
any interference of the con1truction work and to protect the travelinr public. All
plans produced 1hall be stamped by a Colorado ftesiltered Profeuional
Engineer.
B. The City will be rnponsible for the plans bein1 accurate and complete.

WHEREAS, Englewood has submitted initial design data (0.0.H. Form 463),
dated February 14, 1994, to the State setting forth therein preliminary details, information
and estimates of cost of trus work, which data has been approved by the State; and
WHEREAS, the matching ratio for trus Federal-aid project is 83% Federal-aid
funds, to 17% Englewood hmds, it being understood that such ratio applies only to such
costs as are eligible for Federal participation. it being further understood that all
non-participating costs are bome by Englewood at 100%; and
WHEREAS, Englewood has estimated the IOtal a»t ol the work and is prepared

8 . The State will administer the Englewood and Federal-aid funds for this
project in accordance with the following provisions.
Costs incumd by F,nalcwood
The State will reimburse Englewood for the Federal-aid share of the
project charges following the State's review and approval of such
charges. Charges incurred by Englewood prior to the date of
FHW A authorization for the pro;ect will not be charged to the
project.
C. The State will review construction plans, special provisions and estimates
and will cause Englewood to rNke those change necessary to asaure
compliance with State and FHW A reqwmnents. Englewood will afford
the State ample opportunity to review the canstruction plans, speciAl
provisions and estimates, as changed and said plans shall be considered
final when approved and accepted by the parties hereto . The final plans
are incorporated herein by this reference .

B. Englewood will comply with the following:
1. Englewood will prepare construction plans in accordance with the
requirements of Engineering Services Section 107, Preparation of
Construction Plans by local Agency, attached hereto and made a
part hereof.
2. Englewood will be responsible for the plans being accurate and
complete.
C. Englewood will comply with the applicable provisions of the State's
approved Action Plan, including all Federal directives contained therein by
reference.
D . Englewood may enter into a contract with a consultant to do all or any
portion of the proposed pttlimiNry engineering and preparation of
construction plans. In the event that Fec»ral-aid fw'lds provided herein are
to participate in the cost of work to be done by a consultant, the contract
shall comply with the requimnen1s of Federal Aid Policy Guide (FAPG),
Title 23, Chapter I, Sub-chapter IS, Part 172, Administration of Enginemng
and Design lwI.ted Servu Contracta. The contract with the consultant
shall be preceded by an acceptable propoul and may not be executed or
awarded until the selection of the CONUltant and lfflnl of the contract lhall
have been approved by the Staa and the Fed«al Highway Administration

Englewood will jeopardize or is jeopardizing distribution of federal
assistance funds, or that action by the State is necessary to comply with
federal policy or procedures, then the State, in its discretion, may perform
the acquisition and relocation assistance itself or may supervise and direct
Englewood in the performance of such acquisition and assistance. Prior to
taking such action, the State will provide written notice to Englewood of
the basis of such determination or action and will meet with Englewood
to discuss possible remedial measures. Prior to this pro;ect being
advertised for bids, Englewood will certify in writing to the State that all
right of way has been acquired in accordance with the applicable State and
Federal regulations, or that no additional right of way is required.
F. Englewood will be responsible for obtaining the proper clearance or
approval from any utility company which DYY become involved in this
project within their jurisdiction. by separate agreement between Englewood
and the utility, if necessary . Prior to this pro;ect being advertised for bids,
Englewood will Cfftify in writing to the State that all such clearances have
been obtained.
G . In the event Englewood has engaged a consultant for the design of a major
stNctutt, the Englewood/consultant contrKt shall contain the following:

H. Englewood will prepare and submit to the State monthly charges for costs
incurred relative to the project. Englewood will prepare project charges in
accordance with the State's standard policies, procedures, and standardized
billing format attached hereto and made a part hereof. Charges incurred
by Englewood prior to the date of FHW A authorization of the project will
not be charged to the project.
L. Englewood shall maintain all books, documents, papers, accounting records
and other evidence pertaining to costs incurred and to make such materials
available for inspection at all reasonable times during the contract period
and for 3 years from the date of final payment to Englewood. Copies of
such records shall be furnished by Englewood if requested .
M. Englewood represents and warrants that it has taken all actions that are
necessary or required by internal procedures and bylaws, and applicable
law, to properly authorize the undersigned signatories for Englewood to
lawfully execute this contract on beh&1f of Englewood and to bind
Englewood to its terms.

H. The term of this contract shall continue through the completion and final

I. During the performance of all work under this oontract, the parties hereto
agree to comply with Title VI. of the Civil Rights Act of 196&, the salient
points of which are shown in the Non-Discrimination ProYilions attached

Nondiscrimination Provisions:
In compliance with Title VI of the Civil Rights Act of 1964 and with Section 162(a) of the
Federal Aid Highway Act of 1973, the Contractor, for itself, its assignees and successors
in interest, agree as follows:
A . Compliance with Ruµlations. The Contractor will comply with the Regulations
of the Department of Transportation relative to nondiscrimination in Federally
assisted programs of the Department of Transportation (Title 49, Code of Federal
Regulations, Part 21, hereinafter referred ID u the "Regulations"), which are herein
incorporated by reference and made a put of this contract.
B. Nondiscrimination. The Contractor, with regard to the work performed by it after
award and prior to completion of the contract work, will not discriminate on the
ground of race, color, sex, mental or physial handicap or national origin in the
selection and retention of Subcontractors, including procurement of materials and
leases of equipment. The Contractor will not participate either directly or

E. Sanctions for Noncompliance. In the event of the Contractor's noncompliance
with the nondiscrimination provisions of this contract, the State shall impose such
contract sanctions as it or the FHW A may determine to be appropriate, including,
but not limited to:

(1) Withholding of payments to the Contractor under the a>ntract until the
Contractor complies, and/ or;
(2) Cancellation, terminltion or suspension of the contract. in whole or in part.

CITIZEN OF THE YEAR FOR 1994 . ~ ~
WHEREAS, Dr. Jess Gerardi served as band director for the Englewood ~ r
Public Schools from 1963 to 1988, during which time hr conducted both jwuor and
senior high school marching bands, concert bands, jazz ensembles, and orchestras; and
WHEREAS , Dr. Gerardi's famous Englewood High School Pirate marching band has appeared
nationwide, including two trips to the Portland Rose Festival where they won the sweepstakes trophy
both times, and two unprecedented trips to march in the Pasadena Tournament of Roses Parade; and
WHEREAS , Dr. Gerardi also served as assistant principal at Flood Middle School in Englewood
from 1990 to 1993 ; and
WHEREAS , in addition to his former duties with the Englewood Schools, Dr. Gerardi has served
as the Director of Entertainment for the Denver Broncos Football Club since 1968; and
WHEREAS . Dr. Gerardi has received numerous teaching honors, including being named to the
Colorado Bandmaster's Hall of Fame, being named Director of the Year by his honorary band fraternity,
and being named to the Colorado Music Educators' Hall of Fame by the 1200 member Colorado Music
Educators Association; and
WHEREAS , Dr . Gerardi, through his many ears of l,eadership to the youth and service to the
commwuty of Engliewood , has proven himself to be a trul outatanding citizen;

of support for the development of mass transportation prqects, including
Resolution 1980-11: A resolution endorsing plans for RTD to build a light-rail system; and
Resolution 1989-74: A resolution proclaiming the City's continuing concern for early
completion of mass transit facilities along the Santa Fe Corridor; and
Resolution 1990-16: A resolution supporting H.B. 1174. in concept. relating to mus
transportation pro;ects; and
Resolution 1990-87: A resolution supporting DRCOG Draft S .B . 208 and for placing the
Southwest Transit Corridor in first priority for canstruction ot a fixed
guideway mus transit system; and
Resolution 1992-46: A resolution supporting the Regional Transportation District's decision
to pursue construction of the metro area connection transit corridor
utilizing an alignment from Awvia Campus to 1-25 and Broadway;
and
WHEREAS, RTD recommended a 73 mile network ot autmnatied rapid transit in 1975;
and
WHEREAS, the Santa Fe Boal Eo,rimomeotal Jmpert SWernent wa approved in
1978 fer widening the highway from four to six lanes and reNrYirlg 30 Net ot right-of-way

WHEREAS, RTD has chosen Light Rail Transit as the preferred alternative for a mass
transit systan adjacent to South Santa Fe Drive; and
WHEREAS, the Southwest Corridor Light Rail project has completied a lengthy
federal process and is in line to receive Federal financial assistance; and
WHEREAS, with Federal assistance, the Southwest Corridor light rail construction
can be completied with no new taxes assigned to the prqect; and
WHEREAS, Englewood City Council Members and Englewood employees have been
updated about, and involved with, the Southwest Corridor Study from its inception;
NOW, nlEREFORE, BE IT RESOLVED BY TiiE CITY COUNCIL OF TiiE CITY OF
ENGLEWOOD, COLORAOO, IBAT:
Sectioo 1 The City COW\cil of the City of Englewood supports, and has supported
for approximately 20 years, the development of a mass tnuwt adjacent
to South Santa Fe Drive.
Sectioo 2 The improvements being made an South Santa Fe Drive by the
Colorado Department of Trarwportation will improve South Santa Fe's
tradition a one of metropolitan Denver's moat important transportation
corridors -a tradition that will only be enhanmd by RTD's commitment
to construct maa transit along this corridor.
Sertioo 3 The decision to extend the Ught-Rail service aree reftecta proactive and
long-tam planning.
Sertioo 4 The City Council of the City of Englewood supports RTD's dec:iaion to
CXJllltruct Light-Rail adjacent to South Santa Fe Drive.
