This Agreement is aade and executed this day of ,

The following provisions outline the scope of the work to be
completed.
A. Englewood family salt sy!ficiancy pascription -The
SubGrant•• will undertake to partially fund a Family Self
Sufficiency Administrator, administrative expenses and
fees to other referral agencies for the Family Self
Sufficiency program. -··
e. Housing B•b•bilitatign Loan Prgqram Projact p91cription -
Thia project involves rehabilitation of substandard
owner-occupied housing units. Th• funding will be used
primarily to finance ho•• repair• to ensure the health
and safety of resident• by aaaiating in funding for
repair• necessary for the hou••• to •••t the City cod••
and the requirements of the Section 8 Federal Existing
Housing Quality Standards. Secondarily, this project
will help reaidenta/ownera aaintain the attractive
appearance• of their homes and will prevent neighborhoods
from deteriorating.

III. Responsibilities of tbe SubGrantee
A. Federal compliance -The SubGrantee shall take all
actions that are appropriate and required of it to comply with
the applicable provisions of the grant agreements received
from the U. s. Department of Housing and Urban Development
(HUD) by the County. Th••• include but are not limited to
compliance with the provisions of the Housing and Community
Development Act of 1974 (ACT) and all Rules and Regulations,
guidelines and circulars promulgated by the various federal
departments, agencies, administrations and commissions
relating to the CDBG Program. More specifically, the
SubGrantee and the County shall each take all required actions
to comply with the provisions of 24 CFR Part 570, Title VI of
the Civil Rights Act of 1964, Title VIII of the Civil Rights
Act of 1968, Section 104 (b) and 109 ot the Housing and
Community Development Act of 1974, 24 CFR Part 85, Subpart K
of HUD'• Uniform Administrative Requirement for Grants and
Cooperative Agreements, the regulations applying to minority
business enterprise, 24 CFR 570.904, the lead based paint
regulations 24 CFR 570.608 and 24 CFR 35, and with 0MB
Circular A-87, Cost Principles tor State and Local
Governments. Attached hereto as Exhibit A and incorporate
herein by this reference is a sumaary of provisions associated
with the coaaunity Developaent Block Grant Pr09raa which shall
be followed by the SubGrantee unless it is determined to be
inapplicable. Additionally, in accordance with 24 CFR Part
570, no eaployee, official, agent or consultant of the
SubGrantee shall exercise any function or responsibility in
which a conflict of interest, real or apparent, would arise.

discontinuance of COBG funding for any reason. Because this
subgrantee agreement involves funds from a federal grant, the
funding provisions of this subgrantee agreement, the federal
grant and the federal statutes control rather than the
provisions of Section 24-91-103.6, C.R.S. with regard to any
public work projects.
D. BXpenditure Restriction• -All CDBG funds that are
approved by HUD for expenditure under the county'• grant
agreement, 'including those that are identified for the
SubGrantee•s project• and activitiea, shall be allocated to
the specific projects and activities described and listed in
the grant agreements. The allocated funds shall be used and
expended only for the project• and activities to which the
funds are identified.
E. A9reaaent Cban9ea -No project• or activities, nor the
amount allocated therefor, aay be changed without concurrence
by the County and acceptance of the revised Final Statement by
HUD, if required. Changes aust be requested in writing and
may not begin until a modification to this Agreement is fully
executed.
r. Direct •rojects 8uper,iaion a11d Adainiatration -The
SubGrantee shall be responaible for the direct auparvision and
administration of its respective projects or activities. This
task shall be accoapliahad through the use of the SubGrantee '•
staff, agency and aaployaea. The SubGrantee shall be
reaponaible for any injury to parsons or daaage to property
resultir19 froa th• negligent acts or errors and omissions of
its staff, agent• and aaploy-•. Subgrantaa, vi thin its legal
ability to do ao under the Constitution of the State of
Colorado and its hoaa-rula charter (if Contractor is a hoaa-
rule aunicipality) and without in any var.or aanner intandir19
to waive or vaivinq the defenses or l itationa on d ... g••
provided for under and pursuant to the Colorado Govarnaental
1 .. unity Act (lac. 24-10-101, at seq. c.a.S.), the Colorado

The county shall have no duty or obli9ation to provide any

additional funding to the SubGrantee if its projects or
activities cannot be completed with the funds allocated by the
county to the SubGrantee. Any cost overruns shall be the sole
responsibility of the SubGrantee. ·
1. The SubGrantee agrees that all funds allocated to it for
an approved projects or activities shall be used solely
for the purposes approved by the county. Said funds
shall not be used for any non-approved purposes.
2. Th• SubGrantee agrees that the funds allocated for any
approved projects or activities shall be sufficient to
complete said projects or activities without any
additional CDBG funding.
H. Insurance If the SubGrantee•s projects involves
construction activities, any Contractor it uses for said
activities shall be required to provide and maintain, until
final acceptance by the SubGrantee of all work by such
Contractor, th• kinds and minimua amounts of insurance as
follows:

d. Any and all deductibles contained in any insurance
policy shall be assuaed by and at the sole risk of
the contractor.

to provide to the County upon request, a copy of any audit
reports pertaining to the SubCrantee's financial operations
during the term of this agreement.
J. Reporting -The SubGrantee shall file all reports and
other information necessary to comply with applicable Federal
laws and regulations as required by the County and HUD. This
shall include providing to the County the information
necessary to complete the Grantee Performance Reports in a
timely fashion.
K. Tiaeliness -The SubCrantee has submitted to the county,
along with its proposal, a description of the work to be
performed, a budget, and a timetable delineating the length of
time needed for each project phase, if applicable, through the
completion of the projects. The SubGrantee shall comply with
timetable for completion of the projects. The SubCrantee
understands that failure to comply with the timetable may
lead to a cancellation of the projects and a loss of all
unexpended funds, unless the county determines that there are
extenuating circumstances beyond the SubCrantee•s control and
that the projects will proceed within a reasonable length of
time. The tiaetable's implementation shall begin when the
County provides written notification to the SubCrantee to
proceed.

before the County can distribute any COBG funds to it, the
SubGrant•• aust subait to the County's Housing and Community
Development Services Division documentation in the fora
required by that Division which properly and fully identifies

request. Upon approval of the request, the County will
distribute the requested funds to the SubGrant .. or directly
to the appropriate subcontractor or vendor as soon as
possible. Such requests shall not be submitted aore

as required by 24 CFR Part 58.
Q. Sul)contraots -If aubcontracts are used on the projects,
the SubCrantaa agrees that the proviaiona of this agreement
shall apply to any subcontract.
R. auapaasioa or Taraiaatioa -This agreement may be
suspended or terminated by the County if the SubCrantaa
materially fails to comply with any term of thi• agraa .. nt.
This agr .... nt may alao be terminated for convenience by
mutual agra ... nt of the county and the SubGrantee.

BACKGROUND
The federal CDBG Pnmlro consists of the following objectives::
The Entitlement Program provides grants to units of local government and urban
counties to meet housing and community development needs. The primary objective
of the Program is the development of viable urban communities by:
1) providing decent housing and a suitable living environment; and
2) expanding economic opportunities, principally for persons of low-and
modente-income.
The objective ol the Program is achieved through a program developed by the local
government which is designed to give maximum priority to thoae activities whic:h will
benefit low-and modente-income families or which will aid in the prevention or
elimination ol llum or blighl The request for funds may also include activities which
are designed to meet other urgent development needs in the community which pme a
serious and immediate threat to the health or welfare of the community lf other
financial resources are not available.
The activities that will best lel'Ve the objectives of the program will be determined by
the local governmenl
Funds, which are appropriated annually by the Congretl for this program. are allocated
by statutory formula to each entitlement area. Arapahoe County is an approved
entitlement area. The grant funds are dislrtbuted on a formula bull to participating
dties within Arapahoe County.
In order to receive funds from the 19M Arapahoe County CDBG Program. the local
government mlllt IWllnlt an applicatkln. Since tlw proarun II noncompetitive, the
County will evaluate the applications bued on compBance with the National
Objectives.

approved Ordinance No. 35 adopting the election procedllftl let faith in the Uniform
Election Code of 1992 for the 1993 munidpal election.

Staff has met with Arapahoe County; hu reviewed the propoeed intergovernmental
agreement; and c:oncun with the Commlllloft's ncanmendatkln. with the understanding that
the Englewood Hrme Rule Charter provillons sapenede any confliding provisions of the
Uniform Election Code. The County hu been fully appdled of thole confliding provisions
and hu agreed to work with the City to ensure a lUCCellful election this November.
FINANCIAL IMPACT

City of Englewood at the time of elec:tian and the me of the ballot, which depends upon the

Before g.ning to the particular problems -have been
having with the PAL progam. -would like to -y that -have
lalked to the Engle..,oad City Planning Administrator. Harold Stitt
and that he is also concerned about th-same problems.

by the operators of this prgram in follovwing ways :
The residents and city-r• n-r -ked or informed when
the program w-opened at this location .
The program w-opened -"Foeter Care" for young men

The PAL Program w-intended IO have fDw: clients . but since
