WHERF.AS, the City of Englewood and the City of Littleton applied for
a Ei-1AR'l' Grant a1 June 28 , 1990, in order to ~lE!lll!nt a recycling program
in the cities; and
\'mERF.AS, the State of Colorado awarded the Ei-1AR'l' Grant in 5eptent)er
of 1990; and
WHERF.AS, due to the fact that trash is a nationwide problem and a
City wide problem; and
WHERF.AS, it is necessary to oa1rte111ce inplenentatial of this program
so that it will occur before spring cleanup; and
\'I~, by approving this Contract the City will receive $90,000
fra,, the State for the 9'MT Grant Recycling Program; and
WHERF.AS, to insure the effectiveness of the recycling program trash

1. The City shall inplernent a recycling project piloting
approximately 3,000 households. Said households are
anticipated to purchase 8 trash disposal bags per ncnth in
order to service their hauling needs.
2. A recycling container will be stWlied to each of the
participating hooseholds in the pilot area. By instituting a
volune charge for trash and offering free curbside recycling
pick up, it is expected that SO'X, of the halseholds will
participate voluntarily.
3. The oost-per-bag program will replace the existing flat-fee
disposal rate paid by the haneowner to the trash hauler. A
curbside recycling cmponent will be dellel~ in additioo to
the lJ!t)lementatioo of the per-bag disposal fee.
4. 1\n anti-scavengin<J of separated recyclables ordinance will be
reviewed.
S. The City of E)lglewood shall undertake the following steps:

a) The City shall hire local program coordinator who will be
responsible for a.ierseeing the program and the CDll)letioo
of all milestones, meet with haulers and identify bag
distributor locations, and issue a Request for Propoaal for
bucket nnd bag procb::tioo. (fblth 1)
b) The City shall prepare ecllcational materials, and Mllllrd
oontract(s ) for bucket and bag pnxb:tian. (Month 2)

evaluated and c:c.q>ared to determine the effectiveness of each in
the viability and reduction of solid waste.
2. Reports.
A. /\ quarterly report shall be subnitted to the State a, the 20th of
the ITOllth follo.ring the end of each quarter. The report shall
indicate the status of work to be performed pursuant to this
contract and shall indicate clearly~ work is proceeding
according to schedule, ahead of schecllle or behind schedule, the
City shall i.rmediately begin .iJlt:,lementation of a program to bring
work up to schedule if behind schecill.e.
B. The ~erly report shall contain a financial report Sllllllill"izing
expenditures.
c. Audit Requinmmts:
1. The City acknowleO]E!& the funds granted under this a:intract are
Federal funds, and will notify its auditors that these funds
are subject to audit procedlres outlined in om Ci.rcular A-US.
2. Within 6 ITOllths after the end of the City' s fiscal year, a copy
of the City's financial audit shall be filed with the Office of
Energy Corulervation.

after the date final payment for this Project is received by the City.
8. 'l'he State shall have the right to enter the City's prerttlses or other
places where work under the Contract is being perforned in order to nau.tor
or evaluate the ll«lrk perforned. All nau.toring and evaluations will be
perfoillled in soch a manner that they will not uncb.11.y interfere with work
under this Contract.
9. No subcontracts will be made by the City with any other party for
furnishing any work or SP.rvices under this Contract without the consent,
guidance, and approval of the State other than individual
Sll)loyer~loyee contracts and those contained in the City's proposal,
which by issuance of this Contract receive the state's assent. '!be City
shall request in writing permission to subcontract.
10. '!be City represents that it has, or will secure at its °'11'1 expense,
unless otherwise stated in this Contract or its attactnents, all persainel,
as Sll)loyees of the City, necessary to perform the ll«lrk and services
required to be perforned by the City under this Contract.
11. 'lbe City shall perform its duties hereunder as an independent
contractor and not as an E11t>loyee.
12. If the City fai ls to ~ly with llnY contractual provision, the State
fllily, after notice to the City, suspend the Co'ltract and withhold further
payments or prohibit the City frcn incurring additional obligations of
contractual funds, pendinq oorrectiw action by the City or a decision to
tcmti.nate in accordance the tems of the Co'ltract. 'lhe State may determine

until such tine as the exact iWIIOW\t of damages due the State fran
the City is detemined.
B. Termination for COmlenience. '1'he State may terminate this caitract
at any time the St.ate determines that the purposes of the
distribution of State funds under the caitract would no longer be
served by the cait>letion of the caitract. '!be State shall effect
such termination by giving written notice of termi.nation to the
City and specifying notice of temi.nation to the caitractor and
specifying the effective date thereof, at least 20 days before the
effective date of such termination. In that event, all
finished/unfinishl!d tbcments and other naterials shall, at the
option of the State, beccllle its property. If the Contract is
tenninated by the State as prorided in the Contract, the City will
be paid an l!IIDlnt which bears the &a111e ratio to the total

19. To the extent that this Contract ffl!IY be executed and perfonnance of
the obligations of the parties lllllY be ar:xx:lll)lished within the intent of the
OJntract, the terms of this Contract are severable, and should any texm or
prc,visioo hereof be declared invalid or beoane inoperative for any reason,
such invalidity or failure shall not affect the validity of any other term
or wovisiat hereof . '1'le waiver of any breach of a term hereof shall not
be construed as waiver of any other term.
20. Notwithstanding anything herein to the contrary, the parties
understand and agree that all teDml and ocnditiaus of this OJntract mid the
exhibits and attacment.s which may~ acntinued perf<mWICe er
~Hance beyond the teminaticn date of the OJntract shall aurvive such
tennination date and shall be enforceable by the State as prcwided herein
