WHEREAS, on December 14, 1983, a petition to annex addressed to the City Council was received to annex to the City of QlglewOOd a certain unincorporated parcel of land within Arapahoe County, as hereinqfter described; and W~REAS, City Council, being familiar with the boundaries of the City of Qlglewood and taking notice thereof, finds that not less thu n one-sixth of the perimeter of the area proposed to be annexed is contiguous with the City of Qlglewood, Colorado; and WHEREAS, the said petition for annexation is signed by the president and secretary of the owner of one hundred percent of the property proposed to be annexed, exclusive of streets and alleys; and · WHEREAS, City Council finds that a community of interest exists between the area to be annexed and the City of Englewood and that said area is urban and is integrated with and capable of being integrated with the said City of Englewood; and WHEREAS, the City of Qlglewood can provide the owner with municipal servic:ea; and WHEREAS, the City Council finds that the proposed annexation cgmplies with all the applicable provisions of the Colorado ttmicipal AMexation Act of 1965, u amended; )lOW, THIRIPORE, BE I'l' ORDAINED BY '1'HE CI'l'Y OOUNCIL CF THE CITY OF EN:>LEJ«XlQ, OOLORADO, AS FOLLOWS: Section 1. WHEREAS, by Ordinance NO. 35, Series of 1980, finally passed and adopted on OCtober 6, 1980, the city COII!Cil of the City of Englewood, COlorado, created Downtown Impz:ovanent District NO. 198G-l, within the City, for the purpose of paying part of the cost of constructing and installing a parking lot in the 3400 Block of South Lincoln Street, and ..alk-through improvanents at 3448-3450 South Broad..ay, to connect with the proposed parking lot, together with necessary incidental costs, or for the reimbursement of costs already incurred; and WHEREAS, pursuant to the City <llarter, the l'tlnicipal OX!e of the City of Fhglewood, and Ordinance No. 71, Series of 1981, finally passed and adopted on OCtober 19, 1981, assessments have been levied against the real property included within the District and specially benefited by the construction and installation of impz:ovanents therein; and WHEREAS, the assessnent roll, setting forth the cmomt of each assessment, was attached as Ex:hibit A to Ordinance NO. 71, Series of 1981; and ~. f ollowing the passage and adoption of said Ord i nance, an act i on was caclhenced in the District Court for Arapahoe Comty, COlorado, relating to, among other things, the cmomts asses sed against certai n property owner s within the Di s trict ; and WHEREAS , the District COurt subsequently entered an Order approving the Settlement )!g reernent , dated Ma rch 8 , 1984 , ..tlich had been entered into by certain parties; and WHEREAS, as a result of the Settlement )!greernent and the change in two of the assessments , it is necessary to ratify and appro ve , by ordinance, the changes in the assessment roll for Down t own rmprovanent District NO. 1980-1 ; ~. AN ORDINANCE AUTHORIZING THE ISSUANCE AND SALE OF $9,500,000 CITY OF ENGLEWOOD , COLORADO, INDUSTRIAL DEVELOP!IIENT REVENi.JE BONDS (KING SOOP ERS PLAZA PROJECT) SERIES 1984, TO FINANCE PROPERTY SUITABLE FOR USE FOR COMMERCIAL OR BUSINESS ENTERPRISES; RATIFYING CERTAIN ACTIONS HERETOFORE TAKEN; AUTHOR- IZING THE EXECUTION AND DELIVERY BY THE CITY OF A FINANCING AGREEMENT, INDENTURE OF TRUST, BOND PURCHASE AGREEMENT, INDUCEMENT LETTER, FINAL OFFI- CIAL STATEf\~ENT, SAID BONDS AND CLOSING DOCm1ENTS IN CONNECTION THEREWITH; AND REPEALING ACTION HERETO- FORE TAKEN IN CONFLICT HEREWITH . WHEREAS, the City of Englewood, Colorado (the "Issuer") is a legally and regularly created, established municipal corporation duly organized and existing as a home-rule city pursuant to Article XX of the Constitution of the State of Colorado; and WHEREAS, the provisions of the County and Municipality Development Revenue Bond Act, constituting Article 3, Title 29, Colorado Revised Statutes (the "Act"), author i ze munici- palities to finance , refinance, acquire, own, lease, improve and dispose of one or more projects, including any land, building or other improvement and all real or personal properties suitable or used for or in connection with com- mercial or business enterprises (including, without limita- tion, enterprises engaged in selling any products of agri- 1u I • • - • • • • • culture, industry, commerce, manufacturing or business), upon such conditions as the municipality may deem advisable; and WHEREAS, such municipalities are further authorized by the Act to issue revenue bonds for the purpose of defraying the cost of financing any such project; and WHEREAS, such municipalities may authorize the us~r of the project, or an agent of the user or a trustee, to dis- burse the proceeds of such bonds to pay certain costs authorized by the Act under certain conditions set forth therein, including the condition that the user thereof agree to pay to such municipality an amount sufficient to pay, when due, the principal, interest and premium, if any, on such bonds, and any other expenses incurred by the munici- pality in connection therewith, such bonds to be payable solely from the revenues derived from payments to the munic- ipality by the user of the project; and WHEREAS, Englewood Redevelopers, Ltd., a Colorado limited partnership, organized and existing under the laws of the State of Colorado (the "Partnership"), has presented to the Issuer a proposal whereby the Issuer will, pursuant to the Act, issue the revenue bonds hereinafter described and loan the proceeds therefrom to the Partnership to finance the acquisition, construction and improving of a commercial facility consisting of a retail grocery store, related convenience shops and a parking structure, having an -2- I • • • • • • area of approximately 100,000 square feet, proposed to be located in an area surrounded by Floyd, Broadway, Girard and Bann ock streets , all within the City, as well as all real esta~e, fixtures and equipment necessary or convenient therefor (collectively, the "Project"), which Project will be located within the boundaries of the Issuer and qualifies as a "project" within the meaning of the Act in that such facilities are suitable for commercial or business enter- prises; and WHEREAS, the Partnership has given its assurance to the City that the Partnership will pay, or reimburse the City for payment of, any and all legal fees and expenses and administrative costs and expenses heretofore incurred or hereafter to be incurred by the City related to the Project and its financing, and that such agreement to pay or reim- burse the City is not contingent upon commencement or com- pletion of the Project or the financing; and WHEREAS, the Partnership has represented to the City that the Project will be designed to qualify as a "project" within the meaning of the Act; and WHEREAS, the City considers that the Project, if located within the City, will assist the City in promoting economic development and additional employment within the City; and WHEREAS, the City has considered the Partnership's proposal and has concluded that the economic and other -3- I • • - • • • • benefits to the City will be substantial and that it wishes to proceed with the development and financing of the Proj- ect; and WHEREAS, the "City of Englewood, Colorado, Industrial ""' Development Revenue Bonds (King Soopers Plaza Project) Series 1984," in the aggregate principal amount of $9,500,000 (the "Bonds"), w~ll be issued, sold and delivered by the Issuer to Boettcher & Company, Inc . of Denver, Colorado (the "Original Purchaser"), to provide funds to finance the Project, and to pay certain incidental costs incurred in connection with the issuance of the Bonds; and WHEREAS, there have been presented to the City Council of the Issuer: (a) a proposed form of Financing Agreement to be dated as of September 1, 1984 (the "Financing Agree- ment"), between the Issuer and the Partnership, {b) a pro- posed form of Indenture of Trust to be dated as of September 1, 1984 (the "Indenture"), between the Issuer and Denver National Bank, as trustee (the "Trustee"), {c) a proposed form of Bond Purchase Agreement, to be dated as of the date of the final adoption of this Ordinance (the "Bond Purchase Agreement"), between the Issuer and the Original Purchaser, {d) a proposed fcrm of Inducement Letter to be dated as of the date of the final adoption of this Ordinance (the "In- ducement Letter"), among the Partnership, the Issuer and the Original Purchaser, (e) the Preliminary Official Statement to be used by the Original Purchaser in connection with the -4- I • • • • • • pricing, marketing and sale of the Bonds (the "Preliminary Official Statement") and (f) a proposed form of final Offi- cial Statement (the "final Official Statement") to be dated as of the date of the final adoption of this Ordinance. NOl-l, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ENGLEWOOD, COLORADO THAT: Section 1. All action (not inconsistent with the provisions of this Ordinance) heretofore taken by the City Council and the efforts of the Issuer directed toward financing the Project, the issuance and sale of the Bonds therefor, and loaning the proceeds thereof to the Partner- ship therefor be, and the same hereby are, ratified, approved and confirmed. The distribution and use of the Preliminary Official Statement and the proposed distribution and use of the final Official Statement in connection with the sale of the Bonds is hereby acknowledged; provided, however, that neither the Issuer nor any officer or employee thereof has or assumes any responsibility for the accuracy or completeness of the information contained in the Prelimi- nary Official Statement or the final Official Statement. Section 2. The Issuer shall finance the Project, including the paying of incidental issuance expenses and, if necessary, a portion of the interest to accrue on the Bonds, by depositing the proceeds of the Bonds with the Trustee, the proceeds of which will be disbursed by the Trustee for -5- • I • • - ( • ( • • • • such purposes in accordance with the provisions and condi- tions of the Indenture. Section 3 . To defray the cost of financing the Proj- ect, the paying of incidental issuance expenses, and, if necessar y, a portion of the interest to accrue on the Bonds, there is hereby authorized and created an issue of revenue bonds designated as the "city of Englewood, Colorado , Indus- tr i al Development Revenue Bonds (King Soopers Plaza Project) Series 1984," in the aggregate principal amount of $9,500,000, to be dated as of September 1, 1984. The Bonds shall bear interest from their date payable semiannually commencing on March 1, 1985 and on each September 1 and March 1 thereafter until maturity or prior redemption at the rates, and the Bonds shall mature on the dates and in the amounts set forth in the Supplemental Resolution to be adopted by the Issuer on August 27, 1984 (the "Supplemental Resolution"). Pro-vided, however, that the net effective interest rates on the Bonds shall not exceed ll.OOX per annum . The Bonds shall be subject to redemption as set forth in the Indenture, and shall be issuable solely as fully registered bonds, all in accordance with the provisions of the Indenture. The Bonds shall be in substantially the form provided for in the Indenture. The Bonds shall be sold to the Orig- inal Purchaser for a purchase price set forth in the Supple- -6- • I • • - ( • ( • • • • mental Resolution, all in accordance with the Bond Purchase Agreement. Section 4. The following determinations and findings are hereby made in accordance with the Act: (a) The Issuer is authorized by the Act to enter into the Financing Agreement for the public purposes expressed in the Act, and to assign its interest there- in to the Trustee pursuant to the Indenture; (b) The Issuer has made the necessary arrange- ments with the Partnership for the establishment within the boundaries of the Issuer of the Project, consisting of certain property more fully described in the Financ- ing Agreement, which will be of a character described in, and will accomplish certain public purposes contem- pla~ed by, the Act; (c) In authorizing the financing of the Project and the issuance of the Bonds, the purpose of the Issuer is, and in its judgment the effect thereof will be, to create new or additional employment opportuni- ties, to promote industry and develop trade or other economic activity by inducing the Partnership to locate, expand or remain in the State of Colorado, to mitigate the serious threat of extensive unemployment in parts of the State of Colorado, to secure and main- tain a balanced and stable economy and to further the -7- • I • • ....... ( • ( • • • .. use of the agricultural products and natural resources of the State of Colorado; (d) The Bonds shall be limited obligations of the Issuer. The principal of, premium, if any, and inter- est shall be payable solely out of the revenues derived from the Financing Agreement. The Bonds and interest thereon shall not constitute a general obligation or an indebtedness of the Issuer ~ithin the meaning of any provision or limitation of the Constitution or statutes of the State of Colorado, or the Charter of the City, and shall never constitute nor give rise to a pecuniary liability of the Issuer or a charge against its general credit or taxing powers. Neither the faith and credit nor the taxing power of th~ Issuer, the State of Colorado or any other political subdivision thereof, is pledged to the payment of the principal of the Bonds or the interest thereon or other costs incidental thereto; (e) The amount necessary in each year to pay the principal of and the interest on the Bonds will be set forth in the Supplemental Resolution as Exhibit A and incorporated herein by reference, and the Financing Agreement requires such payments to be made by the Partnership ; there is to be no reserve fund established for the retirement of the Bonds or the maintenance of the Project; and since the Financing Agreement provides that the Partnership shall maintain the Project and -8- • I • • r ( • • • • carry certain insurance with respect thereto, no deter- mination of the estimated cost of maintaining or insur- ing the Project need be made; and (f) The revenues of the Partnership will be sufficient to, and that the Financing Agreement pro- vides that the Partnership shall, pay all taxes which may be due and owing with respect to the Project. Section 5. The forms, terms and provisions of the Inducement Letter, the Financing Agreement, the Indenture, the final Official Statement and the Bond Purchase Agreement be, and they hereby are, approved, and the Issuer shall enter into the Inducement Letter, the Financing Agreement, the Indenture and the Bond Purchase Agreement, and shall execute the final Official Statement, substantially in the forms of each of such documents presented at this meeting but with such minor changes therein as are consistent here- with and as the officers of the Issuer executing such docu- ments shall approve, their execution thereof being deemed conclusive of their approval of any such changes; and the Mayor of the Issuer is hereby authorized and directed to execute and deliver such documents and the Ex Officio City Clerk/Treasurer is hereby authorized and directed to affix the seal of the Issuer to, and to attest, such documents in substantially the forms of each of such documents presented at this meeting. -9- • I • ( • • • .. The form, terms and provisions of the Bonds, in substantially the form contained in the Indenture, be and they hereby are, approved; and the Mayor is hereby authorized and directed to cause his facsimile signature to be affixed to the Bonds ; the Ex Officio City Clerk/Treasurer is hereby authorized and directed to attest the Bonds with his facsimile signature, and each is authorized to deliver the Bonds in the form contained in the Indenture but with such minor changes therein as are consistent with the Inden- ture and this Ordinance and as the officers of the Issuer executing the Bonds shall approve, their execution thereof being deemed conclusive of their approval of any such changes. The seal of the Issuer is hereby authorized and directed to be affixed to or imprinted on the Bonds. Section 7 . The Mayor of the Issuer is hereby author- ized to approve the appointment of Denver National Bank, a national banking association with its principal office located at Denver, Colorado, as Trustee, bond registrar and paying agent, the execution of the Indenture by the Issuer being conclusive evidence of the approval of the Trustee. Section 8. The officers of the Issuer shall take all action which they deem necessary or reasonably required in conformity with the Act to finance the construction and improvement of the Project which is hereby authorized , including the paying of incidental issuance expenses from the proceeds of the Bonds, and for carrying out, giving -10- • I • • ( • • • • effect to and consummating the transactions contemplated by this Ordinance, the Inducement Letter, the Financing Agree- ment, the Indenture, the final Official Statement and the Bond Purchase Agreement, including without limitation the execution and delivery of any closing documents to be delivered in connection with the sale and delivery of the Bonds. Section 9 . The cost of financing the Project, includ- ing the paying of incidental issuance expenses, will be paid out of the proceeds of the Bonds. The Bonds together with interest payable thereon are special, limited obligations of the Issuer payable solely as provided in the Indenture. The Bonds or interest payable thereon shall never constitute the debt or indebtedness of the Issuer, the State of Colorado or { any political subdivision thereof within the meaning of any provision or limitation of the Constitution or statutes of the State of Colorado, or the Charter of the City, nor shall anything contained in this Ordinance or in the Inducement Letter, the Bonds, the Financing Agreement, the Indenture, the Bond Purchase Agreement, the final Official Statement or any other i nstrument constitute or give rise to a pecuniary l i a bi lity of, or a charge against the general credit or taxing power of, the Issuer, nor shall the breach of any agreement contained in this Ordinance, or any of the above-mentioned documents or instruments impose any pecuni- ary liabi lity upon the Issuer, the Issuer havin9 no power to -11- • I • - • • • • pay out of its general fund, or otherwise contribute any part of the costs of financing the Project, nor shall the Issuer condemn any additional land or other property for the Project nor contribute any land or other property to the Project. Section 10. After any of the Bonds are issued, this Ordinance shall be and remain irrepealable until the Bonds and interest thereon shall have been fully paid, cancelled and discharged. Section 11. If any section, paragraph, clause or provision of this Ordinance shall for any reason be held to be invalid or unenforceable, the invalidity or unenforce- ability of such section, paragraph, clause or provision shall not affect any of the remaining provisions of this ( Ordinance. • Section 12. All bylaws, orders, resolutions and ordinances, or parts thereof, inconsistent herewith and with the documents hereby approved, are hereby repealed to the extent only of such inconsistency. This repealer shall not be construed as reviving any bylaw, order, resolution or ordinance, or part thereof. Section 13. The principal of, premium, if any, and inter- est shall be payable solely out of the revenues derived from the Financing Agreement. The Bonds and interest thereon shall not constitute a general obligation or an indebtedness of the Issuer ~ithin the meanin9 of any provision or limitation of the Constitution or statutes of the State of Colorado, or the Charter of the City, and shall never constitute nor give rise to a pecuniary liability of the Issuer or a char9e against its general credit or taxing powers. Neither the faith and credit nor the taxing power of the_ Issuer, the State of Colorado or any other political subdivision thereof, is pledged to the payment of the principal of the Bonds or the inter~st thereon or other costs incidental thereto; (e) The amount necessary in each year to pay the principal of and the interest on the Bonds will be aet forth in the Supplemental Resolution as Exhibit A and incorporated herein by reference, and the Financing A9reement requires such payments to be made by the Partnership; there is to be no reserve fund established for the retirement of the Bonds or the maintenance of the Project; and since the Financin9 Agreement provides that the Partnership shall maintain the Project and -8- • I • • - • • • • ,. • carry certain insurance with respect thereto, no deter- mination of the estimated cost of maintaininq or insur- ing the Project need be made; and (f) The revenues of the Partnership will be sufficient to, and that the Financing Agreement pro- vides that the Partnership shall, pay all taxes which may be due and owing with respect to the Project. Section 5. The forms, terms and provisions of the Inducement Letter, the Financing Agreement, the Indenture, the final Official Statement and the Bond Purchase Agreement be, and they hereby are, approved, and the Issuer shall enter into the Inducement Letter, the Financing Agreement, the Indenture and the Bond Purchase Agreement, and shall execute the final Official Statement, substantially in the forms of each of such documents presented at this meetinq but with such minor ehanqes therein as are consistent here- with and as the officers of the Issuer executinq such docu- ments shall approve, their execution thereof beinq deemed conclusive of their approval of any such chanqes; and the Mayor of the Issuer is hereby authorized and directed to execute and deliver such documents and the Ex Officio City Clerk/Treasurer is hereby authorized and directed to affix the seal o! the Issuer to, and to attest, such documents in substantially the forms of each of such documents presented at this meetinq. -9- • I • - ( • • • • Section 6 . The form, terms and provisions of the Bonds, in substantially the form contained in the Indenture, be and they hereby are, approved; and the Mayor is hereby authorized end directed to cause his facsimile signature to be affixed to the Bonds; the Ex Officio City Clerk/Treasurer is hereby authorized and directed to attest the Bonds with his facsimile signature, and each is authorized to deliver the Bonds in the form contained in the Indenture but with such minor changes therein as are consistent with the Inden- ture and this Ordinance and as the officers of the Issuer executing the Bonds shall approve, their execution thereof being deemed conclusive of their approval of any such changes. The seal of the Issuer is hereby authorized and directed to be affixed to or imprinted on the Bonds. Section 7. The Mayor of the Issuer is hereby author- ized to approve the appointment of Denver National Bank, a national banking association with ita principal office located at Denver, Colorado, as Trustee, bond registrar and paying agent, the execution of the Indenture by the Issuer being conclusive evidence of the approval of the Trustee. Section 8. The officers of the Issuer shall take all action which they deem necessary or reasonably required in conformity with the Act to finance the construction and improvement of the Project which is hereby authorized, including the paying of incidental issuance expenses from the proceeds of the Bonds, and for carrying out, giving -10- I • • - • • • • effect to and consummating the transactions contemplated by this Ordinance, the Inducement Letter, the Financing Agree- ment, the Indenture, the final Official Statement and the Bond Purchase Agreement, including without limitation the execution and delivery of any closing documents to be delivered in connection with the sale and delivery of the Bonds. Section 9. The cost of financing the Project, includ- ing the paying of incidental issuance expenses, will be paid out of the proceeds of the Bonds. The Bonds together with interest payable thereon are special, limited obligations of the Issuer payable solely as provided in the Indenture. The Bonds or interest payable thereon shall never constitute the debt or indebtedness of the Issuer, the State of Colorado or any political subdivision thereof within the meaning of any provision or limitation of the Constitution or statutes of the State of Colorado, or the Charter of the City, nor shall anything contained in this Ordinance or in the Inducement Letter, the Bonds, the Financing Agreement, the Indenture, the Bond Purchase Agreement, the final Official Statement or any other instrument constitute or give rise to a pecuniary liability of, or a charge against the general credit or taxing power of, the Issuer, nor shall the breach of any agreement contained in this Ordinance, or any of the above-mentioned documents or instruments impoae any pecuni- ary liability upon the Issuer, the Issuer having no power to -11- I • • • • • • pay out of its general fund, or otherwise contribute any part of the costs of financing the Project, nor shall the Issuer condemn any additional land or other property for the Project nor contribute any land or other property to the Project. Section 10. After any of the Bonds are issued, this Ordjnance shall be and remain irrepealable until the Bonds and interest thereon shall have been fully paid, cancelled and discharged. Section 11. If any section, paragraph, clause or provision of this Ordinance shall for any reason be held to be invalid or unenforceable, the invalidity or unenforce- ability of such section, paragraph, clause or provision shall not affect any of the remaining provisions of this Ordinance. Section 12. All bylaws, orders, resolutions and ordinances, or parts thereof, inconsistent herewith and with the documents hereby approved, are hereby repealed to the extent only of such inconsistency. This repealer shall not be construed as reviving any bylaw, order, resolution or ordinance, or part thereof. Section 13 . The ordinance, if adopted, will authorize the sale and delivery by the City of industrial revenue bonds relating to the above-captioned issue. In that there have been changes in the security provision originally submitted to the City when the or d inance was read and adopted on first reading, it is appropriate to consider the issue as currently structured prior to second reading and adoption of the ordinance. The original proposal submitted by Englewood Redevelopers, Ltd., the borrower, indicates that the bonds would be secured by an irrevocable letter of credit to be issued by Silverado Banking, Savings and Loan Association for the principal amount of the bonds. Further, the letter of credit was to be secured by a surety policy which would be issued by Industri- al Indemnity Corporation. In addition, the bonds are to be secured from certain revenues derived from the Partnership, primarily the lease revenue from the tenant, King Soopers. It is my understanding that Industrial Indemnity has not _qualified the issue enablin the Issuance o1 a surety policy; nowever, t e etter o ere It rom o an tng, av1ngs and Loan Association and Financing Agreement provisions remain as previously presented to the Council.
