The next order of business was the election of officers to serve the corporation during the first corporate year and until their successors are elected and qualified. On motion duly made and seconded, the following resolution was adopted: RESOLVED, that the form of certificate representing shares of the capital stock of this corporation, which has been submitted to this meeting, be and it is in all respects approved and adopted as a form of certificate to represent the shares of the capital stock of this corporation, and the secretary is hereby directed to attach a copy of the same to these minutes as Exhibit "E". It was decided to open an account in the United Bank of Skyline, Denver, Colorado, and to adopt the standard form of resolution used by the bank. Upon motion and duly made and seconded, the following resolutions were unanimously adopted: RESOLVED, by the Uoard of Directors that the officers of the corporation are authorized and directed to take all steps necessary and appropriate and to file all documents in order to qualify Encore, Incorporated to do business in the States of Colorado and Texas at such time as they deem appropriate; and FURTHER RESOLVED, that upon qualification of the corpora- tion in Colorado and Texas the officers of the corporation are authorized and directed to carry on business in said States on behalf of Encore, Incorporated. The meeting then proceeded to a discussion of the issuance of stock of the corporation. Upon motion duly made and seconded, the matter of issuance of the corporation's stock was tabled for action upon at a later date. It was at this time suggested that a formal resolution be adopted whereby the action of the Incorporators of the corporation would be ratified and adopted by the Board of Directors, and whereby the expenses attendant upon the formation of the corporation would be assumed by it. The Chairman stated that in view of the prospective efforts and services to the corporation by the officers and Directors that a salary in the amount of $150.00 per month should be authorized for each officer or Director of the corporation. He stated that each officer should receive $150.00 per month without reference to the number of offices held by such officer. Upon motion by Hr. Person, seconded by Daniel R. Crow, the followinq resolution was unanimously adopted: RESOLVED, by the Board of Directors that, pursuant to Section 13 of Article III of the Bylaws of the corporation, each Director of the corporation shall be paid a monthly Director's f e e of $150.00 for his services to be rendered to the corporation; and FURTHER RESOLVED, that each officer of the corporation shall be paid a total of $150.00 for his service rendered as an officer of the corporation irrespective of the number of offices held by such officer. No payment pursuant to this resolution shall preclude any officer from serving as a Director of the corporation and receiving compensation therefor. -3- • ' • • - • • • • 0 • The Chairman then presented to the meeting a copy of an Agreement whereby the shareholders of the corporation have agreed not to compete with the corporation in its business and activities . He suggested that the Board of Directors authorize the execution of this Agreement. After full discussion, upon motion duly made and seconded, the following resolution was unanimously adopted: RESOLVED, by the Board of Directors that the proper officers of the corporation are authorized and directed to execute an Agreement whereby the shareholders have agreed not to compete with the corporation in its business and activities, a copy of which shall be attached to these minutes as Exhibit "B". The Chairman then presented to the meeting a copy of a Stock Purchase Agreement between the corporation and its .shareholders whereby the corporation will have an absolute obligation to purchase the shares of a deceased shareholder. He stated that the corporation will have to purchase life insurance on its officer-shareholders in order to fund the purchase of the shares. After full discussion, upon motion duly made and seconded, the following resolution was unanimously adopted: RESOLVED, by the Board of Directors that the corporation shall enter into a Stock Purchase Agreement with its shareholders whereby the corporation will have an absolute obligation to purchase the shares of a deceased shareholder, a copy of which shall be attached to these minutes as Exhibit "C"; and FURTHER RESOLVED, the corporation is authorized to purchase life insurance on the lives of its officer- shareholders in amounts equal to the agreed value of their respective stockholdings as provided for in the Stock Purchase Agreement and as from time to time determined pursuant to said Agreement; and -4- • .. After said restriction has been placed upon the stock certificates, the President is authorized and directed to deliver said certificates back to the respective shareholders. The Chairman stated that the corporation should execute a Stock Option Agreement between Jimmy S. Trujillo and the other shareholders in the same form as the Stock Option Agreements previously entered into among other shareholders. He presented a copy of the Stock Option Agreement to the Board of Directors. · After full discussion, upon motion duly made and seconded, the following resolution was unanimously adopted: RESOLVED, by the Board of Directors that the proper officers of the corporation are authorized and directed to execute the Stock Option Agreement for Ji~~y s. Present at this meeting were representatives from Littleton, Columbine Valley, Sheridan, Arapahoe County and the co-chairperson of the Ad Hoc Commission. All of those in attendance were disturbed that the Governor's I-470 Ad Hoc Commission is prepared to make a recommendation to the Governor on Nov- ember 12th without significatt input from the affected local jurisdictions. The State Highway Department has produced such a volume of complex material that it has been virtually impossible for the elected officials to adequately assess the impacts, both positive and negative, of each alternative. We all felt strongly that the Governor's I-470 Ad Hoc Commission should delay making their decision until the third week In December in ord e r that we may continue our collective evaluation of the alternatives before us. All seventeen elected officials who were in attendance at the meeting, felt that this was the fir st forum in which they had had an opportunity to express their views and concerns and in which an attempt was made to objectively weigh the impacts of the various alternatives on their communities. We all T ' • • • • - Mr. Patton, Mrs. Paterson, Mr. Kinstlinger November 5, 1976 Page 2 want the P.rocess to continue and have scheduled a meeting for November 18, 1976, in order that we may make our recommendation to the Governor's I-470 Ad Hoc Commission by December 10, 1976. We believe this delay is essential if the eventual development of an interstate system is to meet not only the needs of the communities in the Southwest quadrant of the Denver Metropolitan area, but also those of the region. As you know, the City of Englewood was seriously considering the pros and cons of the Supergrid alternative when the Ad Hoc Commission unexpectedly eliminated it from their further consideration. At that point, our Planning Commission re-evaluated the remaining alternatives and determined that Alternative Number 12 would best serve the needs of the City of Englewood. The Planning Commission then recommended to the City Council members that they consider Alternative Number 12, the Santa Fe/Hampden route. As a result of this recommendation, the City Council has been reviewing this alternative and its impact on Englewood. It is recognized that the choice of Alternative Number 12 would have impacts beyond Englewood on other communities in the southwest metro area. It was for this reason that the November 4th meeting of elected officials was called to ascertain these im- pacts first hand. The members of both the Planning Commission and City Council realize that the construction of the interstate on the Santa Fe/Hampden route will not solve the traffic problems which we have today, or those which we will have in the future. Other improvements are going to have to be made to arterials in Englewood, in particular Hampden A venue east of Santa Fe Drive, and in the adjacent communities if the ever-increasing volume of traffic is to be accommodated. We are of the opinion that these major improvements are going to have to be made regardless of which I-470 alternative Is Implemented, or indeed, even If none of them are accepted. The studies which have been made show very clearly that a very small percentage of the projected inter- state trips will be by persons wanting to completely circumvent the southwest area. The trip demand will in fact be to and from the residential areas, the employme nt centers and retail activity centers as well as to connect with 1-25 and I-70. Some of those persons in attendance at the m eeting Thursday evening raised many valid questions which must be addressed. The City of Sheridan repre- sent3tives are understandably concerned about introducing additional traffic through the center of their community and are questioning what adverse effects would be Imposed on their citizens, most particularly as to air and noise • ;- r I • ·' ' r I f . , 'I' - • • • - Mr. Patton, Mrs. P aterson, Mr. Kin s tlinger November 5, 1976 Page 3 pollution. The Littleton officials must weigh the e ffect of both the interstate and the railway lines on their c e ntral business district and all of the officials in this southwest quadrant are conce rned about the consequence of the inter- state on future land use and growth patterns in this area. It is because of these and similar concerns and the necessity for addressing them both individually and collectively, that we urge the members of the Governor's I-470 Ad Hoc Commission to delay making its recommendation to the Governor for at least one month. This will give the affected local jurisdictions an opportunity to meet as planned on November 18th and if necessary, to hold subsequent meetings. The collective jurisdictions will then be in a position to submit definitive comments and position statements to the Commission following a final meeting on December 10, 1976.
